Terms and conditions of sale and supply

1. General Clause 1.1. These general conditions of sale and supply of products will be an integral part of the purchase contract that DO IBÉRICA subscribes to its customers. 1.2. Any clause, provision or condition of purchase that modifies the system under these conditions require the express written consent of DO IBÉRICA and its inclusion in the order form.

2. Range of the offer defined in the products catalogue. 2.1. The offer defined in our current catalogue, will depend on the existence of a specific product and its availability in DO IBÉRICA, at the time of the clients order. 2.2. It is hereby understood that catalogue information related to prices, order amounts and delivery times is only a guideline. DO IBÉRICA will establish the applicable price to be determined when the order is made, modifications will be based on the specific conditions found on the order form. If no modifications are necessary, product prices found in the catalogue will be applicable. 2.3. The cost of an operation will include product prices and all expenses necessary for the delivery of products to the place designated by the client.

3. Offer and finalization of an order 3.1. The offer is finalized when the client has filled in and signed the order form and has paid 30% of the total price of the operation, in advance. Payments to be made to the bank account indicated by DOIBÉRICA, stating the order reference. 3.2. DO IBÉRICA will not consider an operation finalized until the above stated documents have been duly submitted. 3.3. The remaining 70 % of the established price, is to be paid before the cargo is loaded onto the transportation used by DO IBÉRICA, for the delivery of this cargo to the place designated by the client, or the vehicle chosen by the client. 3.4. DO IBÉRICA reserves the right to cancel the order, should the client refuse to pay in accordance with the above-mentioned conditions. In this case the client would lose any payment that has been made in advance, regardless of any claim for damage or injury that the client might make against DO IBÉRICA.

4. Delivery dates and deadlines 4.1. Delivery dates will be established on the order form along with any specific conditions. Delivery deadlines will be calculated from the day that DO IBÉRICA receives all the necessary documentation stated in point no. 3. 4.2. As a general condition, except in the case where the contrary is stated, DO IBÉRICA will assume the organization and the responsibility of transportation and insurance of the products to the place designated by the clients. Non-stipulated conditions between all parties will be adjusted, following the conditions of INCOTERM Free Carrier (FCA) 4.3. When the client takes on the organization and responsibility of transportation from the DO IBERICA warehouses, it is the client who assumes the costs and the risks of the transport operation .Non- stipulated conditions between all parties, will be adjusted following the conditions of INTERCOM Ex Works (EXW).

5. Catalogue prices 5.1. The prices in the catalogue serve as a guideline and appear without the additional tax, applicable in the place of origin of production. The catalogue prices do not include expenses of transport and delivery to the place designated by the client. 5.2. In the case of the return of products or of products not arriving to the place designated by the client due to causes beyond DO IBÉRICAs control, all expenses will be assumed by the client.

6. Defects and damage of packaging 6.1. Products are checked and packaged by DO IBÉRICA. Any damage to packaging will be noted on the delivery form for the purpose of claims. 6.2. The client will check for any damage on receipt of the product. All claims must be made by fax or email within a period of 48 hours after delivery.

7. Use of brand names 7.1. The client does not have the right to use the brand names and place of origin of products we supply, for their own use. 7.2. The client must not use the brand names, place of origin nor any other type of industrial right, without written authorization from the title holder of the brand name.

8. Applicable legislation 8.1. All parties agree that litigation, discrepancies or claims resulting from the finalization, fulfillment or interpretation of this contract and all things related, directly or indirectly, will be solved in the legal courts of Madrid, Spain. Both parties will renounce any other corresponding jurisdiction options.
