All members present registered in the attendance book. MIN. 03/11/2016: Adoption of Agenda MIN. 04/11/2016: Self-introductions Self-introductions of members who were present was done. MIN. 05/11/2016: Minutes of the previous meeting Salam Vincent moved that we adopt the minutes as a true record of the previous meeting, Gyaviira Lwesabula seconded him. MIN. 06/11/2016: Headmaster’s report The Deputy Headmaster Mr. Augustine Kirungi presented a report on the status of the College on behalf of the Headmaster who was away for a function in Kiwanga (Launch of the Parish). The Deputy Headmaster also thanked the old boys for the strong love and solidarity for the school. MIN. 07/11/2016: The Treasurer’s Report The treasurer presented audited accounts of NACOBA, basing on the financial year as decided by the executive starting 1 st October of the preceding year to the 30 of September of the current year. MIN. 08/11/2016: Presidents’ report The President welcomed and thanked the old boys who were able to make it for the AGM. In the report, the President shared with the OB’s what the Association had been able to accomplish in the previous year. He also continued to encourage more members to join the NACOBA SACCO where over 300 million shillings had been collected. MIN. 09/11/2016: Matters arising and responses Dr. Peregrine Kibuuka noted the aspect of the College lacking able students for leadership that should not be taken lightly. He suggested that a clear criterion should be put up for students to step up for leadership. He also thanked the treasurer and advised the president to continue with the strategic plan. Mr. Kagoro Robert noted that the figures in accounts on page 16 of the booklet should be corrected. He also noted that Namilyango as a school needs a general overhaul and we should lobby for it. The president replied to the concerns about of the overhaul of the school together with the deputy Headmaster who replied to the concerns about the leadership issue among the students.

Dr. Livingstone Ssewanyana noted that the NACOBA Executive is very exemplary and thanked all the members coupled with asking everyone to applaud them. He also encouraged everyone to invest more in leadership development.

He also noted that the school lacks visibility. He also tasked the executive to consider fundraising for the sending off of the headmaster. MIN. 10/11/2016: A.O.B Mr. Andrew Luzze delivered an invitation from the Bishop of Lugazi Diocese inviting everyone to the ground breaking ceremony in celebration of 100 years since the establishment of Nyenga Seminary. Mr. Muhumuza Japheth also appealed to all Old boys to give support to the NACOBA Campus Chapter Annual Dinner preparations for 2017. MIN. 11/11/2016: Closing prayer The meeting ended with a closing prayer at 2:10 p.m. led by the oldest OB present Daniel Midholi. Members present were served a delicious meal in the dining hall and thereafter departure was at leisure.

HEADMASTER’S REPORT The President, Executive Committee members, fellow old boys, Ladies and Gentlemen, I welcome you on this day to the College when we have our annual general meeting (AGM). Thank you for always deciding to have this special reunion with us. I congratulate you all upon the many achievements you have made since the last annual general meeting. I also commiserate with all those who have met trials and tribulations during that same period. Here at the college we have continued to give an all-round quality education by purposefully involving ourselves in activities that train the head, the heart and the hands. Our current population stands at 1,302 boys. The enrollment could have been bigger if only the facilities were not limited. Academics UCE 2016

We got 12 students scoring 8 in 8. UACE 2016 At UACE-2016, the top mark was 19pts with two students having that good accomplishment. Co-curricular achievements activities and other land mark special activities

x Celebrated Namilyango Day where our old boy and Chief Justice, Hon. Mr. Bart Magunda Katureebe, was chief guest and the Ordinary of Lugazi Diocese, Rt. Rev. Bishop Christopher Kakooza was the main Celebrant for the Holy Mass. Achievements

1. Constructed two sets of water borne toilets each with nine stances with comfortable urinals and hand wash basins. 2. Purchased a brand new 33 seater bus to help us carry out our excursions for numbers less than 65 and more than 14. 3. Renovated the ablutions of Kiwanuka House. 4. Added more rain water harvesting tanks to the existing ones 5. Added a separate water reservoir to feed the drinking water system. 6. Increased the number of bathrooms at Minderop Hostel by 8 by transforming the water borne toilets which were on the block. 7. Purchased a submersible pump to increase on the water availability at the college. 8. Installed an extra 8 CCTV cameras on the College Compound. 9. We have planted over 1000 trees on the school land.

Priority projects;

x Road tarmacking and gate x Extra dormitory for O’Level x Expansion of the HSC hostel x Construction of a main hall complex with a sitting capacity of at least 2000 people. x Perimeter wall x pool Areas of improvement in the physical plant

x Renovation of almost the entire school. x Landscaping in some parts of the college. x Creation of more paved walk ways to reduce on the dust and dirt especially in the dormitory areas x Planting more trees on the compound and on the college land. x Planting more flowers and shrubs on the compound.

1.0 General Information

Namilyango College was founded by the Mill Hill Fathers in the year 1902. It is a Catholic Church founded school found in . It is the oldest secondary school in Uganda. The alumni of the College formed the Namilyango College Old Boys Association (NACOBA) was founded on 30 th June 1940 The main aim of NACOBA is to band all Old Boys together no matter how far apart they may be scattered, to foster and promote mutual assistance, both spiritual and temporal, to establish a link between the Old Boys and present students and to promote and maintain the good academic and moral standards of the college. The current members of the NACOBA executive are listed below;

3.0 Auditors Roselu & Associates were approached by the Treasurer to have the accounts for the year ended 30 th September 2017 audited. Pursuant to Article 22, 4 (e) of the Constitution of NACOBA.

4.0 Statement of the NACOBA Executives responsibilities The NACOBA executive is required to prepare financial statements for each financial year, which give a true and fair view of the state of affairs of the Association as at the end of the financial year and of its

It is also required to ensure that the Association keeps proper accounting records, which disclose with reasonable accuracy, the financial position of the Association. The executive is also responsible for safeguarding the assets of the Association. The NACOBA executive accepts responsibility for the years’ financial statements, which have been prepared using appropriate accounting policies supported by reasonable and prudent judgment and estimates, in conformity with International Financial Reporting Standards. The executive is of the opinion that the financial statements give a true and fair view of the state of the financial affairs of the Association and the maintenance of accounting records, which may be relied upon in the preparation of financial statements, as well as adequate systems of internal financial control. Nothing has come to the attention of the executive to indicate that the Association will not remain a going concern for at least the next twelve months from the date of this statement. The executive submits their report and the audited financial statements for the year ended 30 th September 2017 which disclose the state of affairs of NACOBA. Report on the audit of the financial statements of NACOBA for the year ended 30 th September 2017

Opinion

We have audited the financial statements of Namilyango College Old Boys Association (NACOBA), which comprise the statement of financial position as at 30 th September 2017 and the statement of comprehensive income for the year then ended, and notes to the financial statements, including a summary of significant accounting policies.

In our opinion, the accompanying financial statements give a true and fair view of the financial position of NACOBA as at 30 th September 2017 and its financial performance and its cash flows for the year then ended in accordance with International Financial Reporting Standards (IFRSs).

Basis for Opinion

We conducted our audit in accordance with International Standards on Auditing (ISAs) and Guidelines issued by the Institute of Certified Public Accountants of Uganda. Our responsibilities under those standards are further described in the Auditor’s Responsibilities for the Audit of the Financial Statements section of our report. We are independent of NACOBA in accordance with the International Ethics Standards Board for Accountants’ Code of Ethics for Professional Accountants (IESBA Code) together with the ethical requirements that are relevant to our audit of the financial statements in Uganda, and we have fulfilled our other ethical responsibilities in accordance with these requirements and the IESBA Code. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion.

Key Audit Matters

Key audit matters are those matters that, in our professional judgment, were of most significance in our audit of the financial statements of the current period. These matters were addressed in the context of our audit of the financial statements as a whole, and in forming our opinion thereon, and we do not provide a separate opinion on these matters.

(i) The Association did not provide us with an annual budget upon which we would assess its annual actual performance against an approved plan; and

(ii) The Association lacks standardized way of preparing its accounts e.g. a chart of Accounts. A simple accounting software would assist in this respect

Responsibilities of Management and those Charged with Governance for the Financial Statements

The NACOBA executive is responsible for the preparation and fair presentation of the financial statements in accordance with IFRSs, and for such internal control as management determines is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the NACOBA executive is responsible for assessing the Association’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting.

Those charged with governance are responsible for overseeing the Association’s financial reporting process.

Auditor’s Responsibilities for the Audit of the Financial Statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs will always detect a material misstatement when it exists.

Misstatements can arise from fraud or error and are considered material if, Individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

As part of an audit in accordance with ISAs, we exercise professional judgment and maintain professional scepticism throughout the audit. We also:

(i) Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal controls.

(ii) Obtain an understanding of internal controls relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Association’s internal controls.

(iii) Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the executive.

(iv) Conclude on the appropriateness of the executive’s use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Association’s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the Association to cease to continue as a going concern.

(v) Evaluate the overall presentation, structure and content of the financial statements, including the disclosures, and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation.

We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

We also provide those charged with governance with a statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.

From the matters communicated with those charged with governance, we determine those matters that were of most significance in the audit of the financial statements of the current period and are therefore the key audit matters. We describe these matters in our auditor’s report unless law or regulation precludes public disclosure about the matter or when, in extremely rare circumstances, we determine that a matter should not be communicated in our report because the adverse consequences of doing so would reasonably be expected to outweigh the public interest benefits of such communication.

Report on Other Legal and Regulatory Requirements

As required by best practices in Accounting and Auditing, we report to you based on our audit that:

1. We have obtained all the information and explanations which to the best of our knowledge and belief were necessary for the purpose of our audit; 2. In our opinion, proper books of account have been kept by the Association so far as appears from our examination of those books; and 3. The Association’s statement of financial position and statement of comprehensive income are in agreement with the books of account. 8.0 Accounting Policies The principal accounting policies adopted in the preparation of the financial statements are set out below:

D Basis of preparation The financial statements are prepared under the historical cost convention on a Receipts and payments basis and are compliant with the International Financial Reporting Standards (IFRS). This accounting basis only considers cash actually received and paid within a given financial year/period.

E Revenue recognition Revenue comprises the collections from the members and other activities like advertising and donations. Donations in kind are not captured. This revenue is only recognised when received in cash or cash equivalents like cheques and bank drafts.

F Expenses Expenses represent money spent or costs incurred in the Association’s efforts to fulfill its mandate/obligations and to generate revenue. Only cash expenses are considered in the accounts.

G Fixed Assets An item is recognized as a fixed asset if it is not consumable and can be used for a number of years. The Association does not have any fixed assets as of now. Given the receipts and expenses accounting basis, all assets’ payments are expensed within a financial year.

H Receivables Receivables are the amounts due from members within a given financial year. The Treasurer maintains this record separately from the Accounts. The amounts due from members as at 30 th September 2017 are not reflected in these accounts.

I Cash and cash equivalents Cash and cash equivalents comprise cash in hand, deposits held at call with banks, and investments in money market institutions due for clearance. The Association has cash at bank only.

J Taxation The Association is exempted from Income tax under the Income Tax Act.

K Trade payables The Association fully pays off all its suppliers for goods, services and works upon delivery of goods or upon completion of services and works. There were no payables at the end of the financial year.

L Social security obligations The Association is managed by executive members and there are no employees. Accordingly, the Association is not required to make any NSSF contributions.

M Comparatives Where necessary, comparative figures have been adjusted to conform to changes in presentation in the current year.

PRESIDENT’S REPORT

1. Introduction and Purpose of AGM

The Old Boys and Head Master of Namilyango College, it is with profound pleasure that I once again welcome you to yet another Annual General Meeting (AGM) of the alumni of this great college.

This AGM is held annually, every first Sunday of November in conformity with Article 12 of the constitution which obliges the executive, to hold an annual general meeting at which the President is obligated to report on the activities of the preceding year. Every two years, we hold elections for new NACOBA Executive Committee office bearers in line with article 18.2 of the constitution, and today marks the end of that two-year cycle and we shall be electing new office bearers to take the association to the next level.

The primary obligation of NACOBA as per article 4 of the NACOBA constitution is mobilisation and unity of the old boys, and I am glad to report that our paid membership in 2017 as of this AGM stands at 360, up from 285 members same time last year which represents a 26% rise and 75% rise from the same period in 2015. The membership numbers are still short of the conservative targets we set our selves of 500 paid up members, I am still encouraged by the upward trend.

2. ACTIVITIES AND ACHIEVEMENTS IN THE YEAR As always, I would like to thank the executive and many other old boys who worked tirelessly, giving of their time and monies to support the various activities of the association, and the school. The year on year increase in paid up membership not only shows the confidence you have in the association, but also demonstrates the hard work the executive has put in place to mobilise the old boys.

I will briefly highlight our successes in various areas over the last year.

2.1 NACOBA SACCO

The SACCO continues to be one of our success stories and I was delighted to see it growing in subscribers and value to 767,062,398 Uganda Shillings at the time of this AGM up from 597,395,879 Uganda Shillings as of 31 st December 2016. The growth has slightly dropped and I encourage those who haven’t joined to do so. With plans underway by the SACCO leadership to diversify the investments of the funds, I see a much brighter future and returns for the organisation and the investors. Our long-term objective remains to open a NACOBA BANK (NACOBANK) that will also work as the investment arm of NACOBA and its related activities. We would like to create an eco-system in which various activities feed into and off each other as we collectively grow the wealth of the network. The SACCO renewed the Health Insurance partnership for NACOBA members, family and friends with IAA this year giving inpatient cover of up to 200M Uganda Shillings for a premium of 290,000 Uganda Shillings. I encourage you to recruit more of your friends and members who are not under any health cover to avoid the stress that comes with mobilising funds in case of disease.

2.2 NACOBA Consultants Ltd Last year, I informed you of the registration of NACOBA Consultants Ltd, under Reg. No. 210825 with a total share Capital is 200M Uganda Shillings in which you could buy yourself a minimum of 5 shares and a maximum of 200 shares at 50,000 Uganda Shillings Only. I would also like to thank our first and biggest clients in the first year; Namilyango College. The Headmaster and administration will attest to the professionalism exhibited in execution of the college jobs and how the company has saved the college lots of monies. I would like to thank the leadership of the company especially Engineer Stephen Nsubuga for not only providing leadership to the organisation, but also spearheading the professional execution of the jobs. I encourage all of you to register your services with the company, and to give the company jobs.

2.3 NACOBA Bursary Fund Last year, we celebrated an old boy Natif Anthony who offered a 5 year bursary for 3 good performing students who were coming from under privileged backgrounds. This year, the old boys led by President Emeritus Mathias Nalyanya mobilised old boys to set up a bursary fund for other less privileged, well behaved and brilliant boys at the college. The old boys agreed to mobilise 5 million shillings per term to

Namilyango College Old Boys Association (NACOBA) AGM - 5th November 2017 this cause and I would like to applaud all those who have responded positively to the cause. To date, we have raised 13,391,788 Uganda Shillings. I would also like in a special way to thank the cohort of 1994- 1999 that committed to raising 2 Million Uganda shillings per term towards the same cause. Thank you all for practically living out our old age mantra of, “In Namilyango We Share ”.

2.4 Strategic Plan At this AGM last year, I apologised for our failure to complete and deliver the 5 year strategic plan and promised to have it delivered this year. As you can imagine, such a plan consumes a lot of time and it was difficult pulling it off because of the difficult schedules of the members. I am glad to finally present the report to you for your adoption at this AGM, and would like to thank all the old boys that contributed to the development of the plan. Special thanks to Charles Abola, William Kidega, Ron Kamara and the executive for their efforts in ensuring we crossed the finish line. Thanks to the members who sent through their input into the plan. Going forward, the new executive members will develop annual operational plans for execution in line with the longer term strategic plans and it will be reviewed every 3 years.

2.5 Diaspora Chapters

You will recall we agreed to set up Diaspora Chapters at the last AGM, with their leadership appointed by the President. We had a chapter in , which had gone silent in the recent past with the return of the leader Dr. Ibra Muhumuza and a new leader will have to be appointed soon. The EU chapter is led by Jonathan Kamya and is an active chapter. We also have a North American chapter based in Boston under the leadership of Godfrey Kateregga and earlier this year, we saw the value of such chapters when one of our old boys suddenly took ill and went missing; we saw all members of this diaspora chapter come together to help trace the old boy. I'd like to also thank the Old Boys in South Africa who came together to host, give exposure and partially fund our young students who travelled to South Africa for International debating championships.

2.6 Alumni Partnerships Fellow old boys, cognizant of the fact that at a macro level, we can achieve greater together, we promised to establish partnerships with other alumni associations of top traditional schools in Uganda and set aside budgets to support this. I am happy to report that we kicked that off this year and had the Presidents of and Budonians’ Alumni Associations turning up for our 115 th anniversary celebrations this year while the Namagunga and SMACK alumni sent apologies because of coinciding functions. We were invited to the 75 th anniversary celebrations of Trinity College at which we contributed One Million Uganda Shillings and for their New Administration Block fundraiser at which we contributed Five Hundred Thousand Uganda Shillings. Hopefully, partnerships can be established for compassionate admission of our daughters in future in those schools and we extend the same to their sons. On 27 th October 2017, I convened the first meeting of the Presidents of SMACKOBA, Namagunga Old Girls Association, Gayaza Old Girls Association, and Old Budonians Association with the view of establishing a joint association that would among other things create a strong advocacy voice at the Ministry of Education to address matters of common concern.

2.7 8th Annual Sports gala This annual family activity continues to grow and attract many more old boys and their family members and I thank all of you that continue to turn up and participate in big numbers and our sponsors, especially MUBS, Century Bottling Company and Nile Breweries that have been with us year in, year out.

2.8 Namilyango Day This year, Namilyango College celebrated 115 years of existence and great service to the nation, and the old boys and other stakeholders gathered at the college on 25th March 2017 to commemorate the founding day. I would like to thank the old boys that turned up. As NACOBA, we also contributed a bull towards the day’s function. As mentioned earlier, we were honoured to have Presidents of the Old Budonians and Gayaza High School Alumni Associations present. The chief guest was our old boy, His Lordship, the Chief Justice of the Republic of Uganda, Hon. Justice Bart Katureebe.

2.9 6th Annual Medical camp As has been the tradition in the recent years, the old boys’ fraternity in conjunction with the Uganda Police organised a medical camp as part of our Namilyango community outreach program. Through these camps, we have been able to offer care to the less privileged in society, who don’t have ready access to medical care. This year alone, we saw over 340 patients, to whom we offered free medical care, VCT, medicines and free male circumcision. Special thanks to Dr. Byaruhanga of the Uganda Police for his continuous support, the old boys’ medical team and Rogers Nambaale Ssekagya for coordinating the whole camp.

2.10 Career Guidance and Inspirational Talks In line with our dedication to help improve the academic performance of the college, we have old boys that continue to give of their time to speak to the students and help in their formation and academic excellence. We are raising a generation that probably needs more guidance than we did back in the day and I salute you all who have taken time off to talk to the boys. Special thanks to Saul Abok the NACOBA executive committee member in charge of career guidance talks.

2.11 Monthly get-togethers For the 5 th year in a row, we have maintained our culture of monthly get togethers which have served as a useful platform for networking and birthing of new ideas. In the annex you will find the detailed attendance numbers which average about 80 per month. The get togethers are organised in houses and Campling House has consistently mobilised the highest numbers over the last three years. I encourage all of you to make time and attend the monthly meetings. I’d like to thank our treasurer and “get together prefect”, Deo Kawulu Lubega , who has done an amazing job in mobilizing us and ensuring we honour our financial obligations in a process he dubbed “getting our meal cards”.

2.12 NACOBA Website I am glad to let you know that we have recently upgraded our website www.nacoba.ug with a downloadable app “NACOBA” available in the Play Store, and I would like to thank our old boy and former HP Moses Umah Tete who redesigned the website. The site has an opportunity for you to

3. THE FUTURE 3.1 NACOBA Strategic Plan As stated earlier, we finally have completed the 5 year strategic plan for NACOBA in which we have defined our identity and what we want to focus on over the next 5 years. The new executive will over the next one month complete the new year operational work plan that they will share with us.

I invite you to please approve the strategic plan today, and to identify areas where you believe you can contribute.

3.2 College Gate Fundraising Project At the last AGM and in my speech at this year’s Namilyango Day celebrations, I mooted the idea of the old boys collecting funds to improve the look and feel as you enter the college. Namilyango College contracted NACOBA Consultants Ltd to scope, design and cost the work which I am glad they did. Many of you had an input into the proposed designs before the final design was made. The gate will cost 150 Million Uganda Shillings while upgrade of the road from the main gate to the small gate neighbouring Namilyango Junior Boys School will cost approximately 700 Million Uganda Shillings. To-date, we have raised over 20 Million Shillings in cash and pledges towards the college gate and I encourage all of you to make a contribution to the cause which should be completed in 2018 as the school raises funds for the road. Names of contributors will be pinned up at the gate.

4. OB ACHIEVERS We congratulate old boys that have attained various achievements in life and we continue to pray for their success in the new roles. Some of these include: 1. Constantine Mpuuga who was appointed Headmaster Namilyango College replacing the long serving Gerald Muguluma. 2. Matthias Nalyanya who was appointed to the board of Standard Chartered Bank. 3. Rogers Ssemakula Luliika who was re-elected the “Sabakristu” of the Metropolitan parish of Christ the King Church, Kampala.

5. DECEASED MEMBERS We’d like to remember some of our members and their loved ones that have departed from the earth in the last 12 months. This year has been very cruel claiming many of our number and family members and I’ll highlight a few. One of the most notable absentees at this AGM that has always been present is Senior Counsel Edward Ddamulira Muguluma who went to be with the Lord this year. Professor Kiwanuka Ssemakula lost his dear wife, Richard Zimula lost his mother, Moses Baguma lost his daughter, and Kiwuwa John Isaac lost his brother.

May I request for a moment of silence in memory of the departed and we pray that their Souls rest in Eternal Peace.

NACOBA SACCO

On behalf the SACCO Executive Committee, it is my pleasure to welcome you all to this very important occasion in our association’s calendar. As members of NACOBA and savers in NACOBA SACCO, we converge on this day in order to review our past and project our future. I wish to honor the outgoing leadership of this great Association for not only being supportive to the SACCO, but also for their continued guidance and wise counsel. As you may be aware, one of the objectives of NACOBA is to unite the old boys into social and economic development and to enable members give all possible assistance to one another in spiritual as well as temporal terms. As part of the above objectives and having recognized the challenges faced by members in accessing financial services from the banks due to rigidity, unfavorable terms and conditions set by the banks, micro finance and other money lending institutions, the NACOBA Executive decided to establish and register a savings and credit association which is exclusive to NACOBA Members. The core functions of the SACCO are: saving mobilization, disbursement of loans and investments. The SACCO offers various long and short term loan products to members for various business development needs and to cater for members’ unforeseen needs. The SACCO has also partnered with some service providers to provide value additional services such as medical insurance and mobile banking through the NACOBA SACCO wallet.

Achievements as at 30 September 2017:

9 The SACCO membership stood at 254 up from 223 by 31/12/2016. An increase of 13%. Our target is to have at least 300 members by year end. I call upon the entire NACOBA family to join the wheel.

9 Loans have increased by 12.4% from UGX 425,785,576 as at 31/12/2016 to UGX 478,564,318. 9 The SACCO net worth has grown from UGX 597,395,879 as at 31 December 2016 to UGX 767,062,398. Our target is to have a net worth of UGX 800,000,000 by the end of the year.

9 We have invested UGX 165,000,000 in various trust funds realizing an annual yield of about 15% per annum.

9 Despite a reduction in interest rates, our income which currently stands at UGX 117,302,208 is set to match the 2016 total income of UGX 132,422,987.

9 We have partnered with K2 and developed a mobile application. The 80 members who have registered on the platform can access their savings on a real time basis. We plan to use the platform to provide quick loans.

9 42 members and their dependents have in-patient medical insurance cover up to a limit of UGX 200,000,000.

NACOBA CONSULTANTS LTD

Dear Namilyango College Old Boys, Today marks two (2) years and one (1) week since NACOBA Consultants Limited (NCL) was registered. Its main objective remains the provision of quality consultancy services to the public through leveraging the diverse expertise, skills and work experience of the Namilyango College Alumni and external professionals. Over the last one year, the number of shareholders increased from 39 to 43; share capital increased from UGX 23 to 28 Million and total revenue from UGX 15.5 to 32.9 Million. Overall, the Company has improved its financial standing from the previous year. The Company has since its launch successfully undertaken 3 Consultancy Services for Namilyango College. These include:

(i) Design review and supervision for the construction of three (3) waterborne toilets (ii) Feasibility study, design and cost estimation of the College road and main gate (iii) Investigation and restoration of water supply on a malfunctioned motorized water source.

Mainly in-house expertise with minimal external support was used to implement these projects.

In order for NCL to reach the next growth level, it needs to restructure/streamline its management; secure the commitment of more old boys, secure more work opportunities and have regular progress review meetings among others. I remain confident that we can successfully navigate the significant challenges we face over the coming months and years if we remain focused, committed and draw lessons from our shortcomings and successes. Finally, I want to put on record again my appreciation to the interim Board of Directors and Operations Director with whom I am fortunate to work alongside. NACOBA BURSARY FUND

The genesis of the NACOBA Bursary Fund has to start with a fortuitous, or perhaps divinely set, encounter on 2 nd March 2017 with Mark Kimong S5A, a lanky boy who hails from Patong in far- flung Agago District.

He had arrived late in the College, accompanied by his sister Evelyn Kimong, and I was leaving after a long meeting. Kimong was late on 2 counts; he was reporting 3 weeks after the beginning of 1 st term, and arrived after 5:30 pm beyond which no visitor is allowed into the College.

On inquiry I established he had delayed because of failure to raise the fees, and he had only managed to get half of it. I pressed further to find out: where were they from, why had they arrived so late in the College, why was the boy almost 3 weeks late? An answer one to one question led to the next question, and the next question. I have already told the story of the Kimong siblings elsewhere.

Some OBs were also moved by the story and immediately sent me cash to clear the balance of the fees and to buy scholastic requirements and for pocket money. Other OBs provided him with items such as a travel bag, shoes, pants and books.

On further interaction with the Administration at the College I heard stories of other needy students. I therefore thought that we as OBs could help some of these needy students by setting up a bursary fund. That is how the NACOBA Bursary Fund was born.

We aim to raise UGX 5,000,000 per term from which we shall grant bursaries to needy and deserving students at the College every term. So far more than UGX 13 million has been raised. The bursaries will normally be up to 50% of the fees but may be higher in exceptional circumstances. There is a process under way to open a separate account on which to deposit and keep the bursary funds.

The criteria for selection of beneficiaries are three; First, the student must be from a poor background. Second, the student must be hard-working and attain satisfactory academic performance. Third, the student must be well behaved.

A student may lose the bursary if: (a) His overall academic performance deteriorates drastically by the end of an academic year or if he repeats a class; or

(b) He misconducts himself and is suspended from the College for indiscipline.

The College Administration will assist with identifying students for consideration for bursaries and also provide reports of their academic progress and general conduct. Beneficiaries for bursaries will be selected at the beginning of each academic year, except for the inaugural bursaries which were awarded at the beginning of 3 rd term. There will be a bursaries committee which will consider nominations, award and withdraw bursaries.

The Class of 1994-1999 has joined the bursary effort and has pledged to contribute UGX 1m per term to the NACOBA Bursary Fund and UGX 2m for the full termly fees of 2 students. They have already made their first contribution of UGX 3 million. On 12 th October 2017 the inaugural bursaries were awarded to a total of 12 students. Ten received bursaries of UGX 500,000 each and 2 received bursaries of UGX 1M each. A total of UGX 7m has been handed over to the College for the bursaries.

Brothers, there are really poor students who share the classroom, the dormitory the dining hall and everything else with our much-pampered children. It is easy not to notice and walk by, like the priest and Levite in the Gospel story of the Good Samaritan. But if you develop some interest in people and ask the right questions with the right attitude, you will get to hear of stories of deprived personal circumstances and be motivated to help.

MAIN GATE AND ROAD PROJECT

Project Cost Estimation Construction of the Main Gate and Road Tarmacking will cost approximately UGX 169 Million and UGX 564 Million respectively totaling to UGX 733 Million . The fundraising campaign for this project is already underway and the NACOBA alumni have to- date pledged UGX 22,950,000 of which only UGX 6,900,000 has been honored. Message from the President Fellow old boys, I am filled with profound joy seeing this inaugural NACOBA strategic plan come to fruition. We have made significant progress as NACOBA especially in the last 15 years and I’d like to thank the previous NACOBA executives that have laid the foundation for the revival of the association especially for the period post the Centenary celebrations in 2003. While the association has initiated many wonderful programs and projects during this time and in its past existence, this is the first time in the available records of the association, members have pulled together to make a comprehensive definition of the NACOBA identity and a long term strategic plan to work towards achievement of the same. Our fore fathers that started up the association on 30 th June 1940, sought to create a vibrant association that would foster unity among the old boys that were scattered in different places, offer support to each other in both temporal and spiritual matters, and benefit the Alma Mater. Those overall objectives remain relevant today as they were back then in 1940, and have only been expanded because of other emerging needs, and this strategic plan seeks to put in place a structured long-term approach to meeting those needs. This strategic document has been in the offing for the last two years in part because of the hectic schedules of the members volunteering to design it, and is a product of total dedication and sacrifice from many old boys that responded to my call in 2015 to come together and help define the NACOBA we want to see in the long term, and put together a plan against which the annual operational plans would be based. Together with these old boys, we have defined our True North, and the work of the future leaders of NACOBA has been clearly cut out. I am eternally grateful to the Old Boys that sacrificed their time and other resources to bring this to fruition. The names of these gallant old boys have been written in the Annex 3 of this document. I would like to thank Dr. Peregrine Kibuuka, old boy and ex Head Master for his wisdom and historical information about NACOBA and the college that enriched this document. The executive with which I’ve served the NACOBA family as president has by the grace of God delivered many things, but this here for me is one of the most important gifts we shall live behind as we hand over office on the 5 th of November 2017. We trust it will form a blue print for subsequent plans of the future leadership. Like every other plan, this will only be as good as its execution. 1.0. Introduction

1.1. Purpose This strategic plan is intended to guide the association towards realizing its mission. The plan provides for a clear understanding on where NACOBA has been since its establishment, the current situation and environment of the association and what strategic issues it would wish to address in the next five years as well as how it plans to get there.

1.2. Timeframe This document is a five-year plan that runs from 2017 to 2022 with actual implementation starting from October 2017 to September 2022. The plan shall be reviewed after two and a half years to assess its performance as well as changes in the community needs and donor priorities.

1.3. About Namilyango College Old Boys Association (NACOBA) Namilyango College Old Boys Association (NACOBA) is an association of alumni of Namilyango College, the oldest secondary school in Uganda.

The first ever gathering of the old boys to form an association was on June 30 th 1940, 38 years after the school started. The inaugural meeting was attended by 150 old boys, and 3 key objectives were set for the association, namely;

1. Band all old boys together no matter how far they had scattered

2. Foster and promote mutual assistance, both spiritual and temporal

3. Establish and link between the old and the present Boys.

In the words of Rev. Father B Doyle, from the 1st meeting,

“The association should be a large family with one mother house to which all should return at least once a year for re-union: a family in which the members should assist one another in the best way they could. Old boys should not be the only beneficiaries of their fellow old boys’ kindness. The Alma Mater should hold a special place in the heart of each boy; and all support should be given to it for the purpose of helping it to exist and to produce more “sons”.

An entrance fee of 10/= and annual subscription of 2/= was to be paid by each boy, while free membership was given to the Namilyango Makerere students. In the same meeting, old boys were called upon to help raise funds to improve the school infrastructure such as expansion of the chapel that was becoming small for the growing population, after several promises from the government of the time hadn’t been fulfilled yet.

Seventy-Seven years later in 2017, the message of the time sounds as relevant as it was back then. The association went through a slumber for many years, but was revived and became active again towards the Centenary Celebrations in 2003, during which time many old boys were brought back to the fore and offered great support to the association- it has not looked back since.

Over the last 14 years, post the Centenary celebrations, NACOBA has had many leaders that have sacrificed greatly to mobilise the old boys for association and college activities and causes. NACOBA has indeed seen an increase in the number of old boys who sacrifice both their time and money to ensure that the living and learning environment in the college is improved. Infrastructure at the college has been improved, bursary schemes have been established, and community health camps have been organized among many other activities. The old boys have also taken an active role in the management of the college with a permanent seat on the board, and have in the process influenced a policy shift that gives preferential compassionate admission to sons of old students that actively give back to the college.

Besides investment in the college, the old boys have over the years created platforms for communication and socialization through which different innovative ideas have come to tap into the latent potential of the network. For example, the old boys have also launched a Savings and Credit Cooperative “NACOBA SACCO” which is steadily growing with a long term objective of growing into a bank, a Company called NACOBA Consultants Ltd that seeks to provide professional services using the skill sets within the network. The association also set up a Health Insurance Scheme for members not on formal insurance with their work places and have also mobilized resources to help out distressed old boys. All the above activities and initiatives of the old boys have greatly contributed to continuously improve the image of the college that had taken a hit in the last few decades due to a number of reasons.

2.0. Context Analysis

2.1. Political, Economic, Social, Technological, Legal and Environment (PESTLE) Analysis NACOBA operates within the broader Ugandan education community that falls under the ambit of the Ministry of Education, and Sports (MoES), and is guided by different policies. These policies include among others:

The Strategic Plan for Universal Secondary 2009 – 2018, whose objectives are to;

i. Increase and improve equitable access to quality secondary education; ii. Improve the quality and relevancy of secondary education; and iii. Increase effectiveness and efficiency in delivery of secondary education

The Information and Communication Technology in Education Sector Policy (Note: From the literature review, this is still in draft), whose objectives are to, i. Sensitize and create awareness of the use of Information, Communication and Technology (ICT); and ii. Improve literacy and human resource capacity building

The Basic Requirements and Minimum Standards Indicators for Education Institutions, with the objectives of; i. Fulfilling the Ministry of Education and Sports (MoES) vision of “Provision of Quality and Appropriate Education and Sports Services for All”; ii. Facilitating and guiding institutions (both government, community and private), in creating a conducive learning environment, alleviation or total elimination of impediments to the achievement of quality education in the country; iii. Advancing further, Government’s and Education Development Partners’ efforts and commitment to support schools in this endeavor; and iv. Providing a strong foundation and comprehensive framework for an effective and systematic development, organization and management of schools

To this end, these policies impact on the existence and operations of the college and NACOBA in turn.

Below is a PESTLE analysis of the factors that potentially have a bearing on NACOBA’s existence:

Political x Uganda’s current political environment offers NACOBA members with opportunities to participate in the country’s governance. x Uganda’s Constitution and subsequent laws allow for freedom of association and assembly meaning NACOBA is not in any way in breach of existing laws.

Economic x Uganda’s economy has generally been growing although at a slower pace lately. This therefore means that just like other citizens NACOBA members are likely to be exposed to economic hardships. x Economic hardships are likely to impact negatively on payment of annual subscriptions and contributions/donation for specific projects as members turn their focus on their own survival. x Inadequate domestic financing to government aided schools that could potentially affect the routine functionality of the college, and hence exerting pressure on the need for funding from alternative sources, such as NACOBA. x The ever rising cost of living and the failure of parents to raise funds to support the operations of the college, hence affecting its financial base. x Inadequate financial support from NACOBA to support initiatives and projects at the college. Social x Uganda has one of the youngest populations in the world with 50% below 15 years, and high fertility rates without a commensurate increase in the quality education infrastructure. This is increasing pressure on the aging college facilities. x There is a decline in quality of education especially at the primary level, hence affecting the enrolment of students in the college, and consequently its financial base. x A number of socializing networks have been established, increasing interaction and strengthening the existence of NACOBA. Technological x Innovations in IT are fast revolutionalising most sectors in the society. Mobile money, mobile banking etc. are some of the innovations that NACOBA can tap into or access to ease payment options for its members. x Advances in technology present opportunities for increased access to quality education, networking and overall learning. x Over reliance on technology, and the inadequate capacity of the college to mitigate against cyber-attacks that can wipe out its valuable data/ information, and its institutional memory. x Misuse of technology by the students that will promote indecent conduct, which are against the values of the college. Legislative x The emergence of/ rollout of new legislation that may create risks of non-compliance by the college challenges to its existence. Environmental x The set up and expansion of the industrial park in has opened the college community to risks of environmental pollution and taken away the old serene environment. x The college administration failing to refurbish old and dilapidated infrastructure, due to inadequate financial resources, thus affecting student enrolment.

2.2. Strengths Weaknesses Opportunities and Threats (SWOT) Analysis The matrix below summarizes NACOBA’s strengths, weaknesses, opportunities and threats.

In particular, NACOBA shall consolidate and use her strengths to take advantage of opportunities while at the same time using its strengths to avoid threats.

Similarly, NACOBA shall overcome her weaknesses by taking advantages of opportunities while at the same time minimizing its weaknesses and avoiding threats.

3.2. Values Central to all our values is the strong religious foundation that Namilyango College offered us. The college motto Nisi Dominus (“Without God, all is in vain”) remains a strong motivation for us in our everyday life and the life of the association. 3.8. Target Audience The primary target audience for this plan is we the old boys of The College with a desire to improve both ourselves and the college. The secondary target audience is the friends and associates of the college and NACOBA.

4.0. Strategy Implementation

4.1 Results framework

Annual work plans shall be developed from this results framework.

4.2 Implementation, Monitoring and Review Implementation: Management Team and Responsibilities The Executive Committee (ExCo) on behalf of the general assembly shall lead the implementation of this strategic plan. Over time and considering that ExCo members have work responsibilities it may be worth considering employing an Administrator to follow-up on activities of the ExCo and also provide IT support in maintaining a database of members. See the Organization structure in the Annex 2 . Activity implementation shall be guided by an annual work plan and budget developed by the Executive Committee and approved by the AGM. The annual work plan shall be developed from the results framework.

Monitoring: The ExCo shall monitor progress with regard to implementation of activities in the annual work plan and report to the AGM for ratification. The ExCo shall every two months or at least once a quarter reflect on progress in regard to implementation of the quarterly work plans and ultimately the annual work plan in line with key indicators; for this strategy (see table of indicators below). The results matrix shall constitute the key monitoring framework and therefore the key document to guide the ExCo in monitoring and reporting on progress. Where deemed necessary, a comprehensive M&E Plan and indicator Matrix may be formulated as a separate document.

Review and Evaluation Halfway during its life span, NACOBA ExCo shall review this plan to take stock of changes in the external environment. The executive will lead the process of reviewing the strategic plan with facilitation from an external consultant or members competent in the area of monitoring and evaluation.

At the end of the initial five-year period, NACOBA ExCo will engage an independent evaluator to assess the association’s realization of its strategic objectives.

4.1 Sources of funding (resource mobilization) and cost of implementation Funding to the association’s activities shall be drawn from the following principle sources : 1. Annual membership subscription fees 2. Donations from old boys in support of specific college infrastructure projects 3. Consultancy income from the NACOBA consultancy – a percentage should be charged which is remitted to NACOBA 4. SACCO Income – a percentage of the income/profits from the SACCO to be contributed to the association
