It is not a substitute for the policies which are the evidence of the contracts between you and your insurers and to which reference must be made for definitive interpretation of the policy terms and conditions. You should have the policies and related endorsements and recent renewal notices. If you do not, please let us know and we will provide copies. You should refer to us for explanation of any points in the policies or in this register that are unclear. This register, provided by Lockton, does not attempt to identify risks that are not insured. This register intends to provide accurate information on insurance covers, important procedures to be aware of concerning claims and an outline to the important function of risk control. The register is produced for your use only. It contains information that is confidential between you, your insurers and us. You should ensure that it remains safe and its contents are not disclosed to anyone. We will not be responsible if others rely on it, without our knowledge or consent. If another party, say a lender, who has a legitimate right to know, requests insurance information, we will supply it, on your instructions. Your responsibilities Material facts - Utmost good faith All policies of insurance are subject to the doctrine of utmost good faith. This means that the policyholder is under a duty to disclose all material facts. A material fact is one which may affect the judgement of a reasonable or prudent underwriter in deciding whether to take on a risk or in deciding the price that he or she might charge. Failure to disclose all material facts could prejudice your rights to recover in the event of a claim or allow underwriters to void the policy from its inception. If you are in any doubt as to what might constitute a material fact, then please discuss the matter with us. With regard to motor insurance, convictions against any driver (except minor parking offences), and accidents of which your insurers may be unaware (e.g. in a spouse’s car) would be regarded as material. We recommend that you carry out a regular physical check of driving licences, together with a regular declaration of accident history. Lockton is able to provide drivers’ declaration forms suitable for this purpose on request. Warranties The effect of a breach of warranty is to make the policy voidable by your insurers. It is therefore vital that all warranties are complied with precisely. Where specific warranties apply, their existence is brought to your attention, but for the exact wordings reference should be made to the policy. 4 Notifying changes in risk We conduct regular reviews with our clients but it is essential that you inform us in advance about proposed changes in your operations which may have a bearing on your insurances, for example: Changes in the designation of the insured. Acquisition or disposal of companies or businesses, including joint ventures or consortia in which you have an interest. Acquisition, construction, or leasing of new buildings or premises. Vacation, unoccupancy, demolition, or change of use of existing premises. Removal of stock or plant to new locations, e.g. warehouses, customers’ premises, processors, sub-contractors. Changes in processes, products, activities or extensions of sales or business operations into new territories. Special attention should be paid to sales to or operations in USA or Canada. Assumption of new contractual liabilities, granting by you of indemnities, entering into hold harmless agreements, issue of collateral warranties or duty of care agreements. Alteration, amendment, removal or disconnection (for any time) of fire or security systems, including automatic sprinklers, automatic fire alarms, intruder alarms, CCTV or access control systems. Alterations to physical security including changing locks, replacing safes etc. Use of aircraft, or water craft, other than for ordinary travel as a passenger. Motoring offences or prosecutions pending. Hiring in or hiring out of plant or equipment. Exercising Reasonable care Insurers require that all things reasonably practicable be done to avoid or diminish any claim under the policies, including the exercising of reasonable care in: Selecting competent employees Preventing accident, injury, loss or damage Maintaining all buildings, plant, equipment and vehicles in good and efficient condition Complying with all statutory requirements 5 Inspection of statutory plant Current safety legislation calls for the periodic inspection of certain types of plant. Although this is not solely the province of insurance, some specialist insurers do provide this service on a fee basis. Whether you use an insurance company inspecting engineer or an independent source, it should be appreciated that responsibility for ensuring that these statutory inspections are performed promptly cannot be delegated.
