Introduction

This document, the client register, is intended to give you a clear and accurate summary of the insurances Lockton Companies LLP arranges for you.

It is not a substitute for the policies which are the evidence of the contracts between you and your insurers and to which reference must be made for definitive interpretation of the policy terms and conditions. Disclosure & Procedure

This handbook is designed to provide an outline of the insurance protection you purchase and confirms the information you need to supply, the procedures to adhere to and any changes that are material.

Your responsibilities

Material facts - Utmost good faith All policies of insurance are subject to the doctrine of utmost good faith. This means that the policyholder is under a duty to disclose all material facts.

A material fact is one which may affect the judgement of a reasonable or prudent underwriter in deciding whether to take on a risk or in deciding the price that he or she might charge.

Failure to disclose all material facts could prejudice your rights to recover in the event of a claim or allow underwriters to void the policy from its inception.

If you are in any doubt as to what might constitute a material fact, then please discuss the matter with us.

With regard to motor insurance, convictions against any driver (except minor parking offences), and accidents of which your insurers may be unaware (e.g. in a spouse’s car) would be regarded as material. We recommend that you carry out a regular physical check of driving licences, together with a regular declaration of accident history. Lockton is able to provide drivers’ declaration forms suitable for this purpose on request.

Warranties The effect of a breach of warranty is to make the policy voidable by your insurers. It is therefore vital that all warranties are complied with precisely. Where specific warranties apply, their existence is brought to your attention, but for the exact wordings reference should be made to the policy.

Notifying changes in risk

We conduct regular reviews with our clients but it is essential that you inform us in advance about proposed changes in your operations which may have a bearing on your insurances, for example:

 Changes in the designation of the insured.  Acquisition or disposal of companies or businesses, including joint ventures or consortia in which you have an interest.  Acquisition, construction, or leasing of new buildings or premises.  Vacation, unoccupancy, demolition, or change of use of existing premises.  Removal of stock or plant to new locations, e.g. warehouses, customers’ premises, processors, sub-contractors.  Changes in processes, products, activities or extensions of sales or business operations into new territories. Special attention should be paid to sales to or operations in USA or Canada.  Assumption of new contractual liabilities, granting by you of indemnities, entering into hold harmless agreements, issue of collateral warranties or duty of care agreements.  Alteration, amendment, removal or disconnection (for any time) of fire or security systems, including automatic sprinklers, automatic fire alarms, intruder alarms, CCTV or access control systems. Alterations to physical security including changing locks, replacing safes etc.  Use of aircraft, or water craft, other than for ordinary travel as a passenger.  Motoring offences or prosecutions pending.  Hiring in or hiring out of plant or equipment.

Exercising Reasonable care Insurers require that all things reasonably practicable be done to avoid or diminish any claim under the policies, including the exercising of reasonable care in:

 Selecting competent employees  Preventing accident, injury, loss or damage  Maintaining all buildings, plant, equipment and vehicles in good and efficient condition  Complying with all statutory requirements

Inspection of statutory plant Current safety legislation calls for the periodic inspection of certain types of plant. Although this is not solely the province of insurance, some specialist insurers do provide this service on a fee basis. Whether you use an insurance company inspecting engineer or an independent source, it should be appreciated that responsibility for ensuring that these statutory inspections are performed promptly cannot be delegated. You should therefore make certain that examinations are made within the prescribed periods and that any faults discovered are rectified within the appropriate time.

Structural alterations Advice of proposed construction projects at the planning stage will enable us to recommend:

 Adequate insurance to protect your interest. This will include investigating the Contractor’s insurance arrangements and our recommendations in the light of contract conditions.  Proposed Fire Protection and Security Systems to minimise further premiums.  Advance Profits Insurance.

Insurance policy declarations

Insurance policies are based on criteria which you are obliged to declare to insurers in good faith. You have a duty to provide accurate information and to advise insurers of matters which affect the risk.

The declarations that you provide play an important part in determining [1] the amount that you may be able to claim in the event of a loss; and [2] the premium that you will pay for the insurance cover.

The price to you for the insurance cover (the premium) is normally paid in 2 parts. Initially, a premium is calculated and payable at the beginning of the insurance period based on your best estimate of the relevant rating factors, e.g. Turnover, Wageroll etc. Then, at the end of the insurance period (usually one year, unless otherwise agreed) an adjustment is payable by you or refundable to you based on the actual numbers achieved. Please note that no return premium can be paid in cases where the initial premium is described as ‘Minimum and Deposit’.

We summarise below for each type of policy the information required and a typical frequency at which it is required – please refer to your policy documentation for full details.

Claiming on your Insurance Policies

Please note the following important points:

 Notify without delay: please ensure you advise us as soon as possible of incidents likely to give rise to a claim under any of your insurance policies. Failure to notify promptly can lead to an insurer declining to deal with a matter. It is particularly important to notify without delay any incident which might give rise to a claim under a liability policy. Please always notify us urgently of fatalities, major injuries and all RIDDOR reportable incidents. See the claims contact details under Lockton Service Team.

 Record information: please ensure you keep suitable records of what has occurred and what action you have taken, so that you can give this information to insurers to enable them to deal with the matter. Please do not speculate as to what has occurred, or why – stick to recording the facts.

 Forward correspondence: please forward to us any initial letter of claim and any subsequent correspondence without delay, and without replying to the claimant/representative (as the date of replying can trigger legal timetables).

 Retain evidence: you must retain such records and/or physical evidence as may be necessary to enable you to pursue a claim or to enable insurers to defend a liability claim against you. The successful defence of a liability claim will depend upon your ability to demonstrate that you have made suitable assessments of risk and taken steps to reduce the risk. If you are claiming under a property policy, insurers will need to examine the damage that has occurred.

 Emergency Repairs: if an urgent repair is necessary before insurers can be given the opportunity to examine a site, please take photographs and keep suitable notes in order to demonstrate that the actions you have taken were appropriate. Following an incident, take care to avoid breaching policy warranties such as locking up, setting of alarms etc – you may need to take alternative action to protect your premises until full repairs can be undertaken.

 Theft / Break in / Malicious Damage: where a loss is due to theft, break in or malicious damage, it is a normal policy requirement for the police to be notified, and the insurers will require details of the officer, station and crime number before considering your claim. Please note that theft cover normally only operates where there is evidence of forcible and violent entry to the premises.

Statutory inspection of Property during normal working hours at the locations specified in the schedule within the territorial limits to comply with LOLER & PUWER Regulations

Plant Inspected: In accordance with latest Plant Schedule issued by insurers.

Situation: 25 & 30 Golden Square, London. 15 Adeline Place, London. WC1B 3AJ

Insurance Cover: Fragmentation

Damage by impact to surrounding property belonging to the insured or for which the insured is responsible resulting from fragmentation of any part of the property

Sudden and Unforeseen Damage

Sudden and unforeseen damage (including Accidental Damage, Breakdown, Explosion, or Collapse) to the Insured Property

Limits of Liability: Damage to Own Surrounding Property £2,000,000 Sudden and Unforeseen Damage £500,000 Fragmentation £20,000

Excess: £250 each and every claim – reducing to £ 100 in respect of losses arising from Fragmentation

Definition(s): Breakdown

a) the actual breaking distortion or burning out of any part of the Plant (other than Pressure Plant) while in use arising from mechanical or electrical defects in the Plant (other than Pressure Plant) causing sudden stoppage

b) fracturing of any item of Insured Property by frost which necessitates repair or replacement before it can resume normal working

Explosion

The sudden and violent rending of Pressure Plant by force of internal steam or other fluid pressure (other than pressure of chemical action or ignition of the contents of ignited flue gasses) causing bodily displacement of any part of the Pressure Plant together with forcible ejectment of the contents.

Collapse The sudden and dangerous distortion (whether or not attended by rupture) of any part of the Pressure Plant caused by crushing stress by force of steam or other fluid pressure ( other than pressure of chemical action or ignition of the contents or of ignited flue gasses)

Property: Property includes Boiler and Pressure Plant (unless otherwise stated in the Schedule) and shall mean all integral parts of any item of machinery and plant described in the Schedule but excludes even if integral to the Property (unless specifically covered)

a) foundations masonry brickwork chimneys tanks gantries tracks grabs magnets or refractory linings b) materials being processed by or contained in the Insured Property c) office machinery computers or other electronic data processing equipment d) plant or machinery which is prototype experimental or untried e) plant machinery pipes or cables situated underground f) plant or machinery used for the generation of electricity (other than standby diesel engine and generator sets up to one mega watt per set) g) glass lined vessels.

General Condition: Inspections The Insurers shall have the right to inspect the insured Property at all reasonable times during the period of insurance.

The Insurers may make periodical inspections of the Property described in the plant schedule and the Insured agrees to properly prepare and make available the Property at no expense to the Insurers to carry out such inspections and report thereon.

Unless otherwise agreed Insurers shall not carry out or witness any ultrasonic radiographic or other special tests of a non-routine character nor any proof load stability anchorage or similar tests.
