PRELIMINARY OBJECTIONS OF TALEN ENERGY MARKETING, LLC
TO: CHIEF ADMINISTRATIVE LAW JUDGE CHARLES E. RAINEY, JR.:
Pursuant to 52 Pa. Code § 5.101(a) of the regulations of the Pennsylvania Public Utility
Commission (“Commission” or “PUC”), Talen Energy Marketing, LLC (“Talen”) submits the following Preliminary Objections to the Formal Complaint (“Complaint”) filed by Robert Fidiam
(“Mr. Fidiam” or “Complainant”), which the Commission electronically served on Talen on July
9, 2021. Pursuant to 52 Pa. Code § 5.101(c), Talen is filing all its preliminary objections at this time. In addition, as permitted by 52 Pa. Code § 5.101(e)(1), Talen is not filing an Answer at this time because one of its preliminary objections is insufficient specificity of the Complaint. Talen respectfully requests that the Commission: (1) dismiss the Complaint in its entirety, with prejudice, due to legal insufficiency; (2) dismiss the Complaint in its entirety, without prejudice, due to insufficient specificity of the pleading; (3) dismiss the Complaint in its entirety, without prejudice, due to the failure to join a necessary party (Interstate Gas Supply, Inc. d/b/a IGS Energy
(“IGS Energy”)); or (4) dismiss the Complaint, in part, due to lack of jurisdiction to grant the requested relief.

In support of these Preliminary Objections, Talen states as follows:
I. INTRODUCTION
1. Talen is an electric generation supplier (“EGS”) licensed by the Commission to supply electric generation service to retail customers in Pennsylvania (Utility Code 110098).
2. Complainant is a residential customer of electricity in the service territory of PPL
Electric Utilities Corp. (“PPL”).
3. The Complaint, filed on July 1, 2021, alleges that Talen “slammed” Mr. Fidiam by transferring his electric generation service without his authorization on or about May 31, 2011.
Complainant further alleges that he only recently became aware of this alleged “slamming.”
Complaint ¶¶ 2 and 4.
4. Attached to Mr. Fidiam’s Complaint is a June 17, 2021 letter from PPL (the “PPL
Letter”) stating that PPL was switching Mr. Fidiam’s electric generation service from IGS Energy to PPL. PPL further stated that it received an enrollment notice from “the supplier” on May 31,
2011. Complaint, p. 7.
5. Mr. Fidiam requests compensation from Talen for overpaying for electric generation service. He also asks that Talen be penalized for “slamming.” Complaint ¶ 5.
6. Talen did not exist on May 31, 2011. Talen was formed in 2015 when its predecessor (PPL Energy Plus, LLC (“PPL Energy Plus”)) was spun off from PPL Corporation and changed its name to Talen Energy Marketing, LLC. Customers were notified in advance of this transaction. Attachment 1.
7. At the time Talen was formed, it provided electric generation services to residential, small commercial, industrial and governmental customers, Attachment 2, but Talen sold its

residential book of business (together with certain other retail accounts) to IGS Energy in 2017.
Talen provided its customers with advance written notice of the assignment of their electric generation services contracts. Attachment 3.
8. Talen suspended its offer to supply electric generation services to residential and small commercial customers in September, 2017. Attachment 4. Talen has not yet resumed offering electric generation services to residential customers.
9. Talen has had no residential customers of its electric generation supply services since September, 2017.
10. When Talen transferred its residential book of business to IGS Energy, Talen also transferred to IGS Energy the records pertaining to Talen’s residential customers at that time. After a reasonable search of its existing records, Talen has no record of a customer named Fidiam, or the address listed on the Complaint, or the PPL bill account number shown on the PPL Letter.
Consequently, Talen is unable to determine whether Mr. Fidiam was ever a customer of Talen and if so, when he was a customer of Talen.
II. ARGUMENT
A. Applicable Legal Standards
11. The Commission’s Rules of Administrative Practice and Procedure permit the filing of preliminary objections.1 All preliminary objections must be raised at one time.2 The
Commission’s procedure regarding the disposition of preliminary objections is similar to that utilized in Pennsylvania civil practice.3

12. Under Section 5.101(a) of the Commission’s regulations, preliminary objections must specifically state the legal and factual grounds relied upon and be limited to the following:
(1) Lack of Commission jurisdiction or improper service of the pleading initiating the proceeding; (2) Failure of a pleading to conform to this chapter or the inclusion of scandalous or impertinent matter; (3) Insufficient specificity of a pleading; (4) Legal insufficiency of a pleading; (5) Lack of capacity to sue, nonjoinder of a necessary party or misjoinder of a cause of action; (6) Pendency of a prior proceeding or agreement for alternative dispute resolution; and (7) Standing of a party to participate in the proceeding.
13. The moving party may not rely on its own factual assertions but must accept for the purposes of disposition of the preliminary objection all well-pleaded, material facts of the other party, as well as every inference fairly deducible from those facts.4 However, the Commission need not accept as true conclusions of law, unwarranted inferences from facts, argumentative allegations or expressions of opinion.5
14. In deciding the preliminary objections, the Commission must determine whether, based on the well-pleaded factual averments of the party, recovery or relief is possible.6
15. While the filing of a formal complaint generally entitles the complainant to a formal hearing, “the Commission may dismiss any complaint without a hearing if, in its opinion, a hearing is not necessary in the public interest.”7
B. Dismissal, With Prejudice, Based on Lack of Legal Sufficiency, 52 Pa. Code § 5.101(a)(4)

17. Under Section 5.101(a)(4), preliminary objections may be filed on the basis of the legal insufficiency of a pleading.8
18. In civil practice, a Preliminary Objection based on legal insufficiency is referred to as a demurrer. Preliminary Objections in the form of a demurrer will be sustained only in cases which are free and clear of doubt and where dismissal is clearly warranted by the record.9 Any doubt must be resolved in favor of overruling a demurrer.10
19. Accepting the factual averments set forth in the Complaint as true, it is clear that the Complaint must be dismissed on the grounds that the applicable limitations period has passed.
20. Section 3314(a) of the Code (“Limitation of actions and cumulation of remedies”) states:
(a) General rule.--No action for the recovery of any penalties or forfeitures incurred under the provisions of this part, and no prosecutions on account of any matter or thing mentioned in this part, shall be maintained unless brought within three years from the date at which the liability therefor arose, except as otherwise provided in this part.
21. The date on which liability arose for the alleged improper switching of Mr.
Fidiam’s electric generation service was the date of the alleged improper switching of his account
-- May 31, 2011. The limitations period therefore expired on May 31, 2014.
22. Mr. Fidiam’s Complaint was not filed until July 1, 2021 – long after the three-year limitations period had expired.

23. Mr. Fidiam alleges that he did not know of the improper switching of his account until June 2021. He does not indicate how he suddenly became aware of it ten years after the alleged improper switching.
24. Mr. Fidiam received monthly bills for electric generation supply service, which indicate the identity of his EGS. Consequently, during the summer of 2011, Mr. Fidiam reasonably should have known that his electric generation supply service had been switched without his consent based on these monthly bills. 11 The three-year limitations period therefore expired during the summer of 2014.
25. This is exactly the type of situation contemplated by the regulations, in which the
Commission should exercise its discretion to dismiss the Complaint without a hearing.12 It would not be in the public interest to permit Mr. Fidiam to utilize the Commission’s complaint process to pursue meaningless litigation, which would do nothing other than consume valuable resources of the Commission and Talen. Consequently, Talen respectfully submits that the Complaint be dismissed outright.
C. Dismissal, Without Prejudice, Based on Lack of Sufficient Specificity, 52 Pa. Code § 5.101(a)(3)
26. Paragraphs 1-25 are incorporated herein.
27. Under Section 5.101(a)(3), preliminary objections may be filed on the basis of insufficient specificity of the pleading.13
28. A formal complaint must set forth “the act or thing done or omitted to be done” by a public utility “in violation, or claimed violation, of any law which the commission has

jurisdiction to administer, or of any regulation or order of the commission.”14 A complaint should contain information specific enough to allow the respondent to understand the allegations against it, in order to conduct a meaningful investigation of the allegations and to prepare a coherent response or defense.15 The Commission has held with regard to complaints:
The purpose of our rules of practice is to facilitate orderly proceedings to afford the parties notice and an opportunity to participate. It is well settled that if these purposes have been met, application of the rules will be relaxed. Hence, a complaint filed with this commission is adequate if it gives the respondent notice and an opportunity to defend; it need not be drawn with technical accuracy.16
29. Mr. Fidiam’s Complaint is based on unwarranted factual inferences that need not be accepted by the Commission. The PPL Letter indicates that, in June 2021, IGS Energy was Mr.
Fidiam’s EGS. The PPL Letter also indicates that PPL had received an enrollment notice from
“the supplier” on May 31, 2011.
30. Somehow, Mr. Fidiam jumps to the conclusion that Talen was responsible for switching his electric generation service in 2011. Mr. Fidiam nowhere states any factual basis for believing that Talen had anything to do with the alleged switching of his electric generation service.
31. Mr. Fidiam does not indicate when or how he became an electric generation service customer of IGS Energy, nor does he explain why he believes IGS Energy was not responsible for the alleged improper switching of his electric generation service. IGS Energy was approved as an
EGS by an Order entered May 19, 2011 at Docket No. A-2011-2228643. It has been authorized to provide electric generation service in PPL’s service territory since August 26, 2011. Docket
No. A-2011-2228643 (Order entered Aug. 26, 2011).

32. In contrast, Talen did not even exist on May 31, 2011. Talen was formed in 2015 when its predecessor was spun off and changed its name.
33. When Talen transferred its residential book of business to IGS Energy in 2017,
Talen also transferred to IGS Energy all of its records pertaining to its residential customers at that time. After a reasonable search of its existing records, Talen has no record of a customer named
Fidiam, or the address listed on the Complaint, or the PPL bill account number shown on the PPL
Letter. Consequently, Talen is unable to determine whether Mr. Fidiam was ever a customer of
Talen and if so, when or how he became a customer of Talen.
34. Mr. Fidiam’s complaint fails to allege sufficient facts for Talen to prepare an adequate response or defense. Consequently, Talen respectfully requests that the Commission dismiss Mr. Fidiam’s Complaint, without prejudice to his right to file another complaint alleging some factual basis for his belief that Talen was responsible for the alleged switching of his electric generation service.
D. Dismissal, Without Prejudice, Based on Nonjoinder of a Necessary Party, 52 Pa. Code § 5.101(a)(5)

36. Under Section 5.101(a)(5), preliminary objections may be filed on the basis of the failure to join a necessary party.17
37. The term “indispensable party” has been held to include an interest of such a nature that a final decree cannot be made without affecting an interest of the “indispensable” party, or leaving the controversy in such a condition that its final determination may be wholly inconsistent with equity and good conscience.18

38. Equity and good conscience require IGS Energy to be joined as a necessary party.
IGS Energy is the only known EGS to provide service to Mr. Fidiam. As such, it may be the party responsible for the alleged switching. Even if it is not, IGS Energy can provide information as to how and when Mr. Fidiam became a customer of IGS Energy. By joining IGS Energy as a necessary party, the Commission can trace Mr. Fidiam’s electric generation service provider back in time, so it can determine who was ultimately responsible for the alleged switching on May 31,
2011 and determine whether Mr. Fidiam had reason to know of that switch prior to June 2021.
39. Talen respectfully requests that Mr. Fidiam’s Complaint be dismissed, without prejudice to his right to file another complaint joining IGS Energy as a necessary party.
E. Dismissal, in Part, Based on Lack of Jurisdiction, 52 Pa. Code § 5.101(a)(1)

41. To act on the Complaint, the Commission must have jurisdiction. Under Section
5.101(a)(1) of the Commission’s regulations, preliminary objections may be filed against a
Complaint on the basis of a lack of Commission jurisdiction.19
42. Not all acts or functions performed by a regulated entity fall under the jurisdiction of the Commission. As a creation of the General Assembly, the Commission has only the powers and authority granted to it by the General Assembly and contained in the Code.20 It is well-settled that the Commission must act within, and cannot exceed, its jurisdiction.21 Jurisdiction may not

be conferred by the parties where none exists.22 Subject matter jurisdiction is a prerequisite to the exercise of power to decide a controversy.23
43. Complainant alleges that he has overpaid for energy generation services and is asking the Commission to direct Talen to refund the amount of these alleged overpayments.
Complaint ¶ 6.
44. The Commission does not have statutory authority to require EGSs to issue refunds to customers. In Blue Pilot Energy, LLC v. Pa. Pub. Util. Comm’n,24 the Commonwealth Court held that the Code contains no express or implied authority for the Commission to order refunds by EGSs.
45. To allow the Commission’s decision in Blue Pilot directing an EGS to issue refunds to customers to stand, the Commonwealth Court found that it would have to “confer on the PUC authority that the General Assembly withheld.”25 In doing so, the Court would run counter to its duty under Section 1921(a) of the Statutory Construction Act26 to ascertain and give effect to the intent of the General Assembly, and “to listen attentively to both what a statute says and what it does not say.”27 The Court concluded that it “would have to be deaf to both in order to affirm the portion of the PUC’s Orders” directing an EGS to issue refunds to its customers.28
46. Similarly, the Commission lacks authority to award damages. Feingold v. Bell of
Pa., 383 A.2d 791 (1977).

47. The relief that Complainant requests is not within the power of the Commission to award. Complainant’s request for relief (to be compensated for overpaying for electric generation services) should therefore be dismissed.
III. CONCLUSION
WHEREFORE, on the basis of the foregoing, Talen Energy Marketing, LLC, respectfully requests that the Commission sustain its Preliminary Objections and:
(1) dismiss the Complaint in its entirety, with prejudice, due to legal insufficiency;
(2) dismiss the Complaint in its entirety, without prejudice, due to insufficient specificity of the pleading;
(3) dismiss the Complaint in its entirety, without prejudice, due to the failure to join a necessary party (Interstate Gas Supply, Inc. d/b/a IGS Energy); or
(4) dismiss the Complaint, in part, due to lack of jurisdiction to grant the requested relief.

Who is Talen Energy? Talen Energy will be one of the largest independent power generation companies in the United States. It is the name under which Talen Energy Marketing, LLC, the company formerly known as PPL EnergyPlus, LLC, will supply residential, small business and commercial customers with competitively priced energy solutions, including electricity supply for your home.
What will happen to PPL EnergyPlus? PPL EnergyPlus will be one of several companies spun off from PPL Corporation on June 2. It will have its name changed and will be known as Talen Energy.
Will anything change with my home's electricity supply? No. The price you're currently paying for electricity supply and your contract terms will continue to be honored.
When PPL EnergyPlus becomes Talen Energy, will my contract term start over? No. Your current supply price and contract terms will remain in place until your renewal date.
If my plan with PPL EnergyPlus has a cancellation fee, will it apply when the company becomes Talon Energy? Yes. If you cancel before your contract term ends, you'll be required to pay the cancellation fee.
Will Talen Energy maintain my power lines? No. Your electric distribution company (utility) will continue to maintain power lines and deliver your electricity. If there's an outage or other problem with the delivery of your power, you will continue to contact your utility.
Will Talen Energy bill me for electricity supply? The way you are billed for electricity supply does not change. You continue to pay your electricity bill to your utility.
What happens when I'm near the end of my term for electricity supply? You will be sent two notices before your term ends, as is the case today. You will have the option of renewing with Talen Energy (unless your home has net metering), finding another competitive supplier or going back to default service provided by the electric distribution company.
Will Talen Energy own power plants? The companies of Talen Energy will own or operate a diverse portfolio of power plants and will be one of the largest independent power producers in the United States.
