1. BECIL Means Broadcast Engineering Consultants India Limited, A Government of India Enterprises - Under Ministry of In- formation and Broadcasting, responsible for shortlisting of agencies as per the requirements of Prasar Bharati.

2. Bidder/ Agenclr Means any interested and eligible entity either company registered under Companies Act1956/2013 OR firm regis- tered under Limited Liability Partnership (LLP)Act, 2008 OR Registered lnstitution/ Autonomous Body of Central/ State Government OR Society Registered under Societies Registration Act who submit their proposals that may provide or provides the Services to the Prasar Bharti un- der the Contract.

3. Contract Means the Contract signed by the Parties and all the at- tached documents listed, i.e. Terms of Reference, the General Conditions and the Appendices.

4. Project Specific In- Means such part of the lnstructions to Bidders used to formation reflect specific project and assignment conditions. 5. Day Means calendar day 6. Government Means the Government of India 7. Instructions to Bid- Means the document, which provides bidders with all in- ders formation needed to prepare their proposals. 8. Personnel Means professionals and support staff provided by the bidder. 9. Proposal Means the Technical Proposal and the Financial proposal read separately and also together 10. 1.3 Trnvs & CoruomoNs oFrHE Eol

1.3.1 Conditions under which this Eol is issued a) This Eol is not an offer and is issued with no commitment. BECIL/ Prasar Bharati re- serve the right to withdraw the Eol and change or vary any part thereof at any stage. BECIL/ Prasar Bharati also reserve the right to disqualify any bidder, should it be so necessary at any stage. BECIL/ Prasar Bharati may in its absolute discretion, but without being under any obligation to do so, update, arnend or supplement the in- formation, assessment or assumption contained in this Eol. These amendments will officially be notified on BliClL/ E-Wizard website. b) This Eol supersedes and replaces any previous public dorcumentation & communica- tions, and bidders should place no reliance on such comnrunications. c) BECIL/ Prasar Bharati reserve the right to withdraw this Eol, alter/ modify the condi- tions mentioned in this Eol document at any state of the bidding process. d) Timing and sequence of events resulting from this EOI shall ultimately be deter- mined by BECIL/ Prasar Bharati. e) No oral conversations or agreements with any official or employee of BECIL/ Prasar Bharati shall affect or modify any terms of this Eol and any alleged oral agreement or arrangement made by a bidder with any department, entity, official or employee of BECIL/ Prasar Bharati shall be superseded by the definithre contract that results from this Eol process. Oral communications by BECIL/ Prasar Bharati to bidders shall not be considered binding on BECIL/ Prasar Bharati, nor shall any written materials pro- vided by any person other than BECIL/ Prasar Bharati. f) Neither the bidder nor any of the bidder's representatives shall have any claims whatsoever against BECllt/ Prasar Bharati or any of their respective officials, agents, or employees arising out of, or relating to this Eol or tl"rese procedures (other than those arising under a definitive service contract with the bidder in accordance with the terms thereof). g) Bidders who are found to canvass, influence or attempt to influence in any manner the qualification or selection process, including without limitation, by offering bribes or other illegal gratificatircn, shall be disqualified from thre process at any stage. h) In case of any dispute arising, the decision of the BECIL/ lPrasar Bharati will be final. i) The jurisdiction in case of disputes shall be the Courts of Delhi/New Delhi.

1.3.3 Acknowledgment of tJnderstanding of Terms a) By submittirtg a proposal, each bidder shalll be deemed to acknowledge that it has carefully read all sections of this Eol, includirng all forms, schedules and annexure he- reto, and has fully informed itself and agrees to accept as to all existing conditions and limitations. b) All information supplied by bidders may be treated as contractually binding on the bidders, on successful award of the assignnrent by the BECIL/ prasar Bharati on the basis of this Eot.

1.3.4 Pre-Bid Meeting and Clarifications a) Bidder's Queries i. BECIL/ Prasar Bharati shall hold a pre-bid meeting with the prospective bid- ders at ErueI r Secron -52. Nolon -201307 (U.p.l. ii. As a part of pre-bid if there are changes in submission format, then all the proposals submitted till that time will be null and void. The bidder has to re- submit the proposals. BECIL/ Prasar Bharati will not take any responsibility for any lapse whatsoever on account of this issure.

1.3.5 Clarifications and Amendments ofEol document a) Bidders may request a clarification on any clause of ther Eol document. Any request for clarification rnust be sent in writing, or by standard electronic means to the BECIL address. BECIL will respond in writing, or by standard electronic means and will send written copies of the response (including an explanation of the query but without identifying the source of inquiry) to all bidders. Should the BECIL/ Prasar Bharati deem it necessary to amend the Eol as a result of a clarification, it shall do so follow- ing the procedure under para b) below. b) At any time before the submission of proposal, BECIL/ Prasar Bharati may amend the Eol by issuing an addendum in writing or by standard electronic means. The adden- dum will be binding to all the prospective bidders. To give bidders reasonable time in which to take an amendment into account in their proposals BECIL/ Prasar Bharati may, if the amendment is substantial, extend the deardline for the submission of proposals.

1.3.5 Preparation of the Proposal At the time of submission of proposal, the bidder has to ensure that each page numbered and is duly signed by the bidder rcr his duly authorized representative. In case the proposal is signed by the authorized representative, a letter of authorization should be enclosed with the proposal. a) Proposal Content All the forms provided in the annexures should be subnritted with relevant informa- tion and documents as asked in the Eol document. Proposal must be submitted in the form of all the duly signed forms as per Annex- ures of Eol & Other Undelrtakings. Proposal should be a complete document. A compliance statement offering the compliance to various clauses of the Eol should be signed and attached with the proposal.

b) Proposal Preparation Corst The bidder shall bear all its cost associated with or relating to the preparation and submission of its proposal, including, but not limited to preparation, copying post- age, delivery fees, costs incurred in conduct of informative and other diligence activ- ities, participation in meetings/ discussions/ presentations, in providing any addi- tional information required by BECIL to facilitate the evaluation process, and in ne- gotiating a definitive contract or all such activities relatr:d to the bid process. BECIL/ Prasar Bharati will in no case be responsible or liable for those costs, regardless of the conduct or outcome of the bidding process

Submission of Proposal shall be deemed to have been done after careful study and examination of the Eol document with full understanding of its implications. L.4.I Confidentiality Information relating to luation of proposal and recommendations concerning awards shall not be disclosed to bidders who submitted the proposal or to other persons not of- ficially concerned with the until the publication of the award of contract. The undue use by any bidder of con ntial information related to the process may result in the rejec- tion of its proposal and be subject to the provisions of BE{3lL/ Prasar Bharti's antifraud and corruption policy.

L4.2 Conflict of lnterest a) BECIL/ Prasar Bhar i requires that bidders provide pro,fessional, objective, and im- partial advice and at all times and hold the Prasar Bharti's interests paramount, strictly avoiding flicts with other Assignment/jobs or their own corporate inter- ests and act wi any consideration for future work. b) Without limitation n the generality of the foregoing, bidders, and any of their affili- ates, shall be consi ered to have a conflict of interest and shall not be engaged, un- der any of the circumstances set forth belqw: i. Conflicting activities: A bidder that has been engaged by the Prasar Bharti to provide goods, works or Assignment/job other than consulting Assign- ment/job for a project and any of its affiliates, shall be disqualified from providing consulting Assignment/ job related to those goods, works or As- signment/job. Conversely, a bidder hired to provide consulting Assign- ment/job for the preparation or implementation of a project and any of its affiliates, shall be disqualified from subsequenltly providing goods or works or Assignment/job other than consulting Assignment/job resulting from or directly related to the bidder's consulting Assignment/job for such prepara- tion or implementation. For the purpose of this paragraph, Assignment/job other than consulting Assignment/job are defined as those leading to a measurable physical output. ii. Conflicting Assignment/iob: A bidder (including its Personnel and Sub- contractor$) or any of its affiliates shall not be hired for any Assignment/job that by its nature, may be in conflict with another Assignment/job of the bidder to bb executed for Prasar Bharti. iii. I.4.3 Right to accept or reject any or all proposals a) Notwithstanding anything contained in this ment, BECIL/ Prasar Bharati re- serves the right to accept or reject any proposal nd to annul the Selection Process and reject all proposals, at any time without any liability or any obligation for such acceptance, rejection or annulment, and without igning any reasons thereof. b) BECIL/ Prasar Bharati reserves the right to reject any proposal if: (a) at any tirne, a material misrepresentation is made or discove or (b) the bidder does not pro- vide, within the time specified by the BECIL/ Bharati, the supplemental infor- mation soughrt by the BECIL/ Prasar Bharati for ion of the proposal. 1.4.4 Fraud and corrupt practices a) The Bidders and their respective officers, e agents and advisers shall ob- serve the highest standard of ethics during the lection Process. Notwithstanding anything to the contrary contained in this docu nt, BECIL/ Prasar Bharati shall re- ject a proposal without being liable in any whatsoever to the bidder, if it de- termines that the bidder has, directly or indirect or through an agent, engaged in corrupt practice, fraudulent practice, coercive actice, undesirable practice or re- strictive practice (collectively the "Prohibited ices") in the Selection Process. In this re,gard, background of Prasar Bharati (PB)/ All lndia Radio (AlR)/ Doordarshan (DD) and Broad Scope of Work for Man Power Audit are given in paras below.

2.1 BRcre Rourrro

2.1.L PrasarBharati(PB) Prasar Bharati is an autonorhous body set up by an Act of the Parliament [The Prasar Bharati (Broadcasting Corporation of India) Act, 19901 and comprises All lndia Radio (AlR) and Door- darshan. lt is the largest public broadcaster of the world engagerd in broadcasting TV, Radio as well as having its own DTH platform.

2.1.2 All India Radio (AlR) a) All India Radio (AlR has been serving to inform, educate and entertain the masses since its inception. One of the largest broadcasting organisations in the world in terms of the num of languages of broadcast, the spectrum of socio-economic and cultural diversity it AIR's home service comprise:; 421 stations today located across the country, nearly 92% of the country's area and 99.20 % of the to- tal population. AIR inates programming for music, spoken word and news in 38 languages (Home in 23 languages) and 179 dialects. b) All India Radio's service comprises Capital Stations, Regional stations and Local Radio tions and Community Radio stations broadcasting on Medium Wave (MW), Short ave (SW) and Frequency Modulation (FM) Bands. Digital broad- casts on DRM Tran itters have been initiated. c) FM Channels cater to both youth and mature audience are a major source of rev- enue. Most of broadcast 24/7. National Programmres are produced by AIR Del- hi, Vividh Bharati - e pan India light entertainment service originated in bulk from Mumbai having s for local window programming across the country. The Na- tional Channel, fu ioning from Delhi also has a pan India programming. With its transmitters in difficult terrains, AIR serves the people all along the borders

From27 news bulletins in 1939-40, AIR today broadcasts rnore than 607 bulletins daily of around 6L hours in 92 languag- es/dialects in the Home, Regional and External Services. Out of these, 89 bulletins are broadcast daily from Delhi in the Home Service in English, Hindi and other lndian languages. fhe 47 Regional News Units (RNUs) broadcast 444 daily news bulletins in 77 languages;. In addition to the daily news bulletins, the News Services Division also mounts everyday a number of news-based programmes on topical subjects from Delhi and some other Regional News Units. s) NSD of AIR is also very active on the digital platform. Through a robust web platform AIR news division is catering to the news requirement of global audience round the clock and also through its social media platforms. lts Twitter handle @airnewsalert is tweeting news and updates round the clock. The Youtube channel of AIR News is al- so popular by putting out headlines, videos and special programmes for netizens regularly. Directorate General, All India Radio has taken the lead in active use of so- cial media platforms such as Facebook, Twitter, You Tube, Instagram etc. DG:AlR is also active in blogosphere. h) ExternalSen'ices Division (ESD)of AIR has been a vital link between India and restof the World, which ranks high among the External Radio networks of the world both in reach and range covering about 100 countries in 27 languages. AlR, through its ex- ternal broad,casts, aims to keep the overseas listeners in touch with the ethos of In- dia. The languages in which AIR reaches its foreign audience are English, French, Russian, Swahili, Arabic, Persian, Tibetan, Chinese,'l'hai, Burmese, and Bhasha Indo- nesia. The services in Hindi, Bangla, Tamil, Telugu, Malayalam, Kannad and Gujarati are directed at overseas Indians, those in Urdu, Punjabi, Sindhi, Saraiki, Sinhala and Nepali are meant for listeners in the Indian sub-continent and immediate neighbor- hood. ESD follows a composite pattern that generally comprise News Bulletins, Commentari,es, Currents Events and Review of the Indian Press. ESD continues to supply recordings of music, spoken word and composite programmes to about 25 foreign broadcasting organizations under the existing Cultural Exchange Pro- grammes. Similarly, other AIR channels/stations are also very active on the social media plat- forms. Most of the channels/stations have Twitter handle, Facebook, and Youtube channel whirch update and provide content in various languages, dialects and for- mats like text, pictorial/graphic representation & intb-graphics etc. to netizens regu- larly. Civil Construction Wing (CCW) is the civil & electrical engineering arm of Prasar Bha- rati under adlministrative control of All India Radio. CCW carries out the construction works as we,ll as maintenance of the existing buildings. CCW not only undertakes works of Prasar Bharati but also many other arms of Ministry of l&B and other or- ganizations. k) AIR Archives (Central and North, North-East, East, South and West Regions) with its huge repository of archival material in, both audio and scripts forms, serves the pur- pose of exchange, research and sale.

Page 16 "-ff* r) Audience Research Units provides qualitative and quantitative feedback to the Pro- gramme planners to improve the quality of programmres (wherever required) and modify the programmes according to the needs, tastes and aspirations of the au- dience. The 46 Audience Research Units of AIR include six Regional Mobile Units (RMU), one with Central Sales Unit and one at Headquarters. m) The National Academy of Multimedia and Broadcasting (NABM) (New Delhi and Bhubaneswar) along with six Regional Academy of Broadcasting and Multimedia (RABM) impart training to Prasar Bharati Personnel frorn Programme, Technical and Administrative wings. Officials from broadcasting organizations of some neighbour- ing developing countries are regular participants in the academy's training pro- grammes. Now this setup is under direct control of Prasar Bharati Secretariat.

2.1.3 Doordarshan (DD) a) Doordarshan, the Television arm of the Prasar Bharati is one of the largest broad- casting organisations in the world in terms of the studios and transmitters. Doordar- shan has a three tier programme services - National, Regional and Local. There are 7 national & international channels & 16 state/regional level channels. Apart from these 23 channels, there are 2 central production centers and 48 other Kendras /Programme Generating Facilities (PGFs), which generate programmes which are beamed on DD National at specific time and also on thet Regional Language Satellite Channels. Doordarshan beams programmes through a network of more than 1416 terrestrial transmitters (HPTs, LPTs & VLPTs). There are 67 Doordarshan studios pro- ducing TV programmes today. b) Out of 7 National channels of Doordarshan, DD News is; the only terrestrial cum sa- tellite News Channel of the country. DD News terrestrial reach is 49%by population and 25% by area of the country. DD News is currently' producing news content in Hindi, English, Urdu and Sanskrit languages. Over 17 hours of LIVE transmission in- clude telecast of more than 30 news bulletins in these languages. c) Besides this 14 Regional News Units of DD News are producing four regional shows in a day which are aired on DD News. The channel also telecast daily three sports bulletins, one business show, daily current affairs programme. Special shows on Health, Youth issues, Cinema, Art & Culture, flagships schemes, communal harmony, employment opportunities, international events, market developments etc. are pro- duced in-house by the News Channel. d) DD News is also producing news content for its sister channels i.e. DD National, DD lndia and DD Urdu. Five bulletins in Hindi/English of 15' minutes duration are being produced daily hy news wing for DD National Channel. Recently news wing started producing 10 LIVE bulletins and news scrolling for DD Urdu. e) DD News has 30 functional Regional News Units (RNUsll / Bureaus which are broad- casting over 100 news bulletins in 22 languages/dialects. DD News is also very active on the digital platform. Through a robust web platform DD news is catering to the news requirement of global arudience round the clock and also through its social media platforms. lts Twitter handle @DDNewsLive is tweeting news and updates round the clock. All channels have Twitter lhandle, Youtube channel which update and provide news & entertain- ment content in various format like text, pictorial/graphic representation & info- graphics etc. to netizens regularly. h) Doordarshan Commercial Service is an independent wing to co-ordinate all the commercial activities being performed at the Headquarter, Doordarshan Kendras, Marketing Dirrisions and Development Communication Division (DCD) towards sale of air time as well as collection of revenue from agencies/clients/producers. Directo- rate Commercial Service (DCS) is responsible for framing of commercial policies and updating of riate card as per inputs received from Marketing Divisions and Regional Kendras with the approval of Prasar Bharati Board. Apart from that Commercial Revenue Divi:sions (CRDs) are there in DD and AIR which are in direct control of Pra- sar Bharati.

AIR & Doordarshan have been functioning with the sanctioned strength in various streams for the network which existed even before the formation o{' Prasar Bharati. However, since 1990's both the organizations have undergone massive expansion at a faster pace and the resources have not kr-'pt pace with this. Even, over the period of time new activities like So- cial Media, lnformation Technology, Marketing and Public Relations have been added and those activities are b,eing managed with the same staff strength without infusion of any ad- ditional regular staff. Prasar Bharati has its own Secretariat which oversees its two arms All India Radio and Doondarshan in policy matters.Presently, Prasar Bharati Secretariat has no sanctioned manpow€|r except for full time Board members. lt is running with the manpower drawn from AIR and Doordarshan. The manpower mix consists of four broad categories i.e. programme staff, technical staff, administrative staff and Consultants. The staff strength break-up and the detailed list of sta- tions of Doordarshan and All India Radio are attached as Appendix-1,2and 3 respectively.

2.2 BRoRo Scopr oF WoRK The Broad Scope of \Morkfor Man Power Audit of Prasar Bharati as envisaged in the Sam Pi- troda Committee Report submitted in 20L4 is as indicated below:- a) To undertake a comprehensive manpower audit and HR planning exercise to map workforce requirements for the future in line with Prasar Bharati's mandate. Such Planning cannot be done without clarity about the vision of Prasar Bharati for the next five to ten years, after factoring in the impact of the mix of technologies it opts for. b) Supplement manpower audit with a re-deployment plan that addresses training, re- skilling and promotion of existing manpower through an institutionalised modern appraisal system. c) The manpourer audit recommended above should be followed by a re-deployment pfan and surplus resources should be given the option of re-locating and/ or re- skilling. This is inevitable with the gradual obsolescence of the analog terrestrial broadcast system and the onset of digitalization.

The Bidders are required to submit all required documentation as per qualification criteria specified in Eol. b) lt will be bidcler's responsibility to furnish sufficient and relevant information/ doc- uments in support of their claim that they meet the requirements in the qualifica- tion criteria fully. c) Eol proposals received by the prescribed date and time shall only be considered and evaluated by evaluation committee constituted by competent authority.

d) Evaluation of proposals shall be based on : i. Information contained in the proposal, the documents annexed there to and clarifications provided, if any. ii. Experience and Assessment of the capability of the bidder based on past re- cord. iii.
