Your letter indicates that the proponent has withdrawn the proposal and that Monsanto therefore withdraws its September 19, 2014 request for a no-action letter from the Division. In a letter to the Securities and Exchange Commission (the "Commission'') dated September 19, 2014 (the "Company Letter''), the Company requested that the staff of the Division of Corporation Finance of the Commission confirm that it would not recommend any enforcement action if the Company excluded the Proposal from its 2015 Proxy Materials. The Company hereby notifies the Securities and Exchange Commission (the "Commission") of the Company's intention to exclude the Proposal from its 2015 Proxy Materials for the reasons set forth below. The Company respectfully requests that the staff of the Division of Corporation Finance of the Commission (the "Staff'') confirm that it will not recommend any enforcement action if the Company excludes the Proposal from its 2015 Proxy Materials.
