Source: Innofactor Oyj September 22, 2015 01:30 ET Innofactor Personnel Issue Oversubscribed Innofactor Plc Stock Exchange Release September 22, 2015, at 8:30 Finnish time The Board of Directors of Innofactor Plc has today accepted subscriptions of 800,000 new shares in Company’s personnel issue. Subscription undertakings were submitted for 963,356 shares in total, which exceeded the offered 800,000 shares by 20.42 percent. “The subscription of personnel issue in full, in a moment where the stock market has been in quite a turbulence, shows the commitment of our management and personnel to our business and strategy”, states the founder, main owner and CEO of Innofactor Sami Ensio. “I am very pleased with the end result of the personnel issue.” The Board of Directors of Innofactor Plc decided on June 29, 2015 on a share based incentive plan on the basis of an authorization granted by the General Meeting of Shareholders, for all Innofactor Group’s personnel in order to engage the personnel to the Company and its goals. Key conditions of the issue were informed in a stock exchange release on June 30, 2015. As a result of the personnel issue the number of Innofactor’s shares will increase with 800,000 shares to total of 33,453,737 shares. The new shares will correspond to 2.39 percent of Innofactor Plc’s post-issue share capital and votes. The subscription price was 0.783 per share. The subscription price will be credited as an increase in the Company’s fund for invested unrestricted equity. The new shares will be registered in the Trade Register without delay. Trading with the issued personnel shares on the Helsinki Stock Exchange (NASDAQ OMX) is estimated to start on September 30, 2015.
