Mayor Henry L. Kuspa called the City Council meeting to order at 7:00 p.m. with the Pledge of Allegiance and the Roll Call as follows:

The Oak Forest Park District's Farmer's Market will be held every Saturday at the Metra Train Station from 7 a.m. until noon.

Alderman Toland made the motion to approve to pay Oak Forest Fire Department employee, Charles Sopko, while he is on administrative leave.

Alderman Wolf seconded.

Alderman Hortsman asked for confirmation that Charles Sopko will receive Lieutenants pay. Mayor Kuspa confirmed.

Alderman Simon and Alderman Toland stated their reasons for not supporting the proposed action.

Alderman Simon asked if Olympia Fields was one of the hold out communities. City Administrator Ishler stated that Olympia Fields in under their own contract, however, it is hopeful they will join the contract.

9. COMMUNITY DEVELOPMENT

A. Approval of Ordinance No. 2014-06-05000, an amendment to Redevelopment Agreement between the City of Oak Forest and MD Oak Forest, LLC, pertaining to the development of L.A. Fitness.

Alderman Simon made the motion to approve Ordinance No. 2014-06-05000.

Alderman Toland seconded.

Community Development Director Dotson came forward with supporting detail.

Alderman Keating stated the issues with the soil would have to be addressed regardless of the developer/project. Community Development Director Dotson confirmed.

Alderman Simon asked if the building would be located on the old theatre site. Community Development Director Dotson confirmed.

Alderman Hortsman asked if the size of the building, services or amenities of L.A. Fitness have been altered in any way. Community Development Director Dotson stated the racket ball court has been eliminated to accommodate more trendy work out methods. He also stated the pool will still be located inside the building.

Alderman Simon asked if there was a ground breaking date set. Community Development Director Dotson stated the site would be handed over to the developers around November 1st. Alder Simon also asked for confirmation that site clean-up would need to take place prior to that date. Community Development Director Dotson confirmed.

Alderman Hortsman asked if there was TIF monies available for the clean-up, or would it be additional costs to the City. Community Development Director Dotson stated the City does have the capacity to handle costs within TIF 1.

Approval of Resolution No. 2014-06-0237R to extend the time period for the Preliminary Development Agreement with Mid-America Development Properties, LLC, a developer, for City-owned property commonly known as the "Oak Fest Site and Church Property" located in the 5400 Block of West 159th Street.

Alderman Simon made the motion to approve Resolution No. 2014-06- 0237R.

Alderman Toland seconded.

Community Development Director Dotson came forward with supporting details.

C. Approval of Resolution 2014-06-0238R authorizing the application to the 2014 Open Space Lands Acquisition and Development (OSLAD) Grant to acquire 15222 Lavergne Avenue (Pin No. 28-16-203-021- 0000). CITY COUNCIL MEETING 24 June 2014 Page 9

Alderman Wolf made the motion to approve Resolution No. 2014-06-0238R.

Alderman Toland seconded.

Community Development Director Dotson came forward with supporting detail.

Alderman Simon asked if the property is adjacent to the existing detention pond. Community Development Director Dotson stated it is the four lots to the north of the storm station. Alderman Simon also asked if there was a known value to the property. Community Development Director Dotson stated the property would be appraised, however, it may be estimated between $300,000 and $400,000.

City Administrator Ishler stated the proposed resolution will not bind the City to any agreement. This resolution is only allowing staff to apply for the grant.

Alderman Wolf stated her concerns with the City's potential decision to purchase residential property. She also stated there are existing issues with the park and she has concerns with the installation of a bike path. She also asked if the Park District and affected residents were made aware of potential changes. Community Development Director Dotson stated there have been no discussion as this is only a step in applying for the grant.

Alderman Keating stated his concerns with the City purchasing residential property.

Alderman Simon asked if staff had any idea what MWRD had planned for the area. City Administrator Ishler stated he was involved in a conceptual plan several years ago, however MWRD stated that did not have the proper flooding. Alderman Simon also asked if this project would affect flooding issues in Midlothian. City Administrator confirmed.

Alderman Hortsman asked for confirmation that the other taxing body has the opportunity to apply for this grant. Community Development Director Dotson confirmed.

Alderman Toland stated detailed discussion could take place if/when the City would be awarded the grant money. CITY COUNCIL MEETING 24 June 2014 Page 10

City Administrator Ishler commented on the interest MWRD has on the property.

Mayor Kuspa opened for public testimony, but there was none.

11. OLD BUSINESS

Alderman Wolf brought up the City's Crime Free Housing program and its affect to homes and apartments with respect to inspections. She commented that a program, similar to an apartment inspection, should be considered for the rented homes.

Mayor Kuspa stated this topic has been discussed previously and should be given some consideration by the Council.

Alderman Keating stated his approval for more detailed inspection program.

Alderman Toland asked a cost to homeowners has been discussed. Mayor Kuspa stated no costs have been discussed at this time. Alderman Toland also suggest careful consideration be given as it could potentially have a negative effect.

Alderman Wolf asked if the corporation that has bought a large percentage of homes in Oak Forest as rental homes plan on selling the CITY COUNCIL MEETING 24 June 2014 Page 11 properties. It was commented the homes were bought as an investment and would most probably be sold one the housing market increases.

Mayor Kuspa asked for the opportunity to discuss a potential ordinance with the City Administrator and Building Commissioner.

Alderman Wolf commented on a neglected, vacant home within her ward that houses many wild animals. She suggested staff evaluate/clean-up the home which should control the animal problems.

Alderman Hortsman commented on a similar vacant home in his ward. He stated ordinance enforcement has been extremely helpful; however, more needs to be done to the property before serious issues arise. Building Commissioner Gerdes stated the bank is currently maintaining the property and the house has been property tagged to any potential buyer. He further commented on the difficulties in getting the necessary repairs done on bank-owned properties.

Alderman Wolf asked if consideration could be given to a different kind of vehicle registration program, similar to one currently in the City of Evanston. This program would have details registration information linked to the license plate.

Clerk Burkhardt had contacted the City of Evanston and was given some details regarding the program. He stated that separate paroling vehicles would need to be purchased, along with staff. He further commented on budgeting issues and the importance of the ongoing sticker program.

Mayor Kuspa commented on the costs to the City.

Alderman Wolf asked for an update on the sprinkling ordinance. City Administrative Ishler stated that a meeting had taken place with the fire department. Information is being gathered.

Alderman Simon stated his concerns with residential sprinkling.

Everyone was in agreement and the Executive Session started at 9:33 p.m.

1. Meeting called to order at 7:08pm

2. Members present: Dennis Mitzner, Jim Richmond, Jim Watson, Jason Riha and Sandi Czyznikiewicz and Officer Lori Manning. There was a quorum.

3. Correspondence/Announcements: None

4. Motion to approve the minutes of 21 May14 was made by Jim Richmond and seconded by Jim Watson. Motion unanimously approved.

5. Treasurers Report: $3,300.00

6. 2014 National Night Out

A. Mark and I, as suggested by Mark at the last meeting will see if Kenootz Pizza will donate "ten" pizzas to the event. We can then go to other food vendors and say, "this is what one of your competitors is doing for us." Would you match his generosity? Will print flyers with the donating businesses name that they can hand out and/or include with carry-out orders. Sandi mentioned that Markella's will donate some food certificates. We should include on the flyers; "limited supplies."

B. Solicit vendors for "free" or "deeply discounted" food and drink. I have prepared a donation letter and hopefully will have it printed on City stationery for this meeting. Mark Judge has volunteered his Lora to help us out in our solicitation of Oak Forest businesses for donations. Lora has "volunteered" Rhonda Ceska to help in acquiring both prizes and food.

C. Mark Judge has a 16x16 jumper we can use, but we have to limit the number of kids in it to 5-6 at a given time. Purchase a second "jumper'' for the night. Mark and Dennis to explore. Segregate the age groups in the two jumpers. I've also requested

Page 11 21May14 Crime Prevention Commission Minutes donated materials from ISP through Trooper Roman at ISP District Chicago and possibly have a Trooper at the event. I've reached out again, since I did not receive a reply.

D. Putting our literature in the plastic bags worked out well. In an effort to expand our email list, we should have those wanting information to sign our sheet to include email address before handing out the bags. This was Sandi's idea, and the members agreed. At the same time a raffle ticket can be also given out, but not before filling out the sheet. This will also help us get a more accurate count of attendance.

E. We should relocate the Command Van closer to 'where the action is' next year.

F. Have a meeting with Chrissy Maher to help with and expand our advertising of NNO for next year to include our own City's website homepage. Chrissy gave me contact information for individuals at the SouthtownStar and Village News. I've reached out, but haven't heard anything yet. I will work with Chrissy to develop the message. I'd recommend having it go out the evening of Monday August 4th. Comments? OK to find out the cost.

G. Sandi to explore "bulk mailed" advertising again. Sandi will see if she can either acquire or compile a list of families to represent our "target audience" to receive a mailing. Determine a maximum dollar amount we want to spend in postage for this mailing. Might be determined by the USPS's minimum number of pieces to be classified as a bulk mailing. Postcard versus flyer? Sandi to have some information at the .June meeting.

H. We need to publicize the event better than we did. OFC-TV should have more information regarding the event. If they let us, a PSA. Sandi will explore "The Village" newspaper. We should submit a press release to: The Patch, Topix, etc. Topix is a blog, but "exposure is exposure and it's free." The use of local electronic bill-boards has been recommended, i.e. banks and other local businesses that have them. During the months of .June and .July we will have a message on the cable channels promoting the event with emphasis on the tablets we will be giving away. We will also contact our pizza vendors in town to see if they will attach one of our fliers with each pizza delivered or carried out. The same flier can be given to the churches in town to be distributed at the masses/services on Saturday/Sunday August 2nd and 3n1.

I. Lydia Ponczak aka "Views Of The News" interviewer will schedule "us" for a spot on the filming of the .July program; which will take place in .June at a date and place to be determined. I'll let you know if you want to join me•

.J. Publicize at Oak Fest by having a table displaying one of the tablets along with our flier. Hand out a raffle coupon to everyone who fills out our sign-up sheet that includes their e-mail address. Waiting for .Joe Koce's response. Lori recommends

K. I'm hoping, again, to have Tom Ceska at tonight's meeting and give us his professional opinion. Also, and very important as we've discussed in the past, is the layout of the sign. If it is too busy, it can't be read while driving by it even though it may look really nice. Mark .Judge raised the question on whether or not we need a permit to place yard signs on public property. If each of the members strategically placed five yard signs in each of the seven Wards, we could get fifty yard signs. Yard signs placed at Metra station also. I have asked the Crime Prevention civilian in Tinley Park to send me a picture of the yard sign they used last year.

L. A motion was made by .Jim Watson and seconded by .Jim Richmond to hire a D..J recommended by Sandi to supply music for the event. T.Rock Entertainment will be paid $250.00 to provide the music.

M. Chief Anderson said we can coordinate a Police Department Open House with NNO again this year. He also said we can use the 'reverse 911" system to send out blast to the homeowners. Let's decide what would be the best time on the weekend prior. Sunday night, August 3'd, probably would be the best night for the message.

N. Purchase school supplies for the event.

0. We discussed having a Neighborhood Watch meeting to be held in the Council Chambers immediately following National Night Out at -8:30pm. We will have further discussion on this. We will have people's attention, but will it be too much?

P. A suggestion was made to have other City commissions help promote NNO at their events; which we all decided we should do.

Q. Mark .Judge will have ice cream and a face painter for the event. Thank you, Mark.

R. Parking for the event. Have signage directing residents where to park. Suggest Library and Park District.

S. Mini Neighborhood Watch meeting in the Council Chambers. PD Power-Point presentation with an officer present to answer questions.

T. Have Tom contact the person with the ICEE machine. Also get the cost of a popcorn machine. Contact your favorite food vendor to see if they would be willing donate free food for the event. Ask Ken Keeler first as leverage.

U. Ad-specialty pens for giveaways to adults • .Janelle will handle. Also, small magnets with the police department non-emergency phone number on it. Pen has to be good quality. Or do we do a magnet and a pencil? I will bring samples of the

7. Neighborhood Watch

Alderman Toland (4th), will be holding a Neighborhood Watch meeting in the Council Chambers on Thursday .June 26th at 7:00pm.

8. Old Business:

A. Mark suggested an Oak Forest lady who embroiders clothing to get us a quote on new commission polo shirts, since all of our members do not have them. For a short­ sleeve shirt it should be self-wicking. Mark and I will set up a meeting. Sorry this is taking so long.

B. Crime Prevention website and what it should contain • .Jim Richmond suggested putting the handouts we use on the website, so the residents can read and/or print them out if desired. from what I can see, the new website has not been launched as yet. After it is up and running we can add to our webpage.

C. Teen Suicide Awareness Campaign - Sandi

A key point made by Sandi is that youngsters in today's society need to know that it is okay to fail if you've made a genuine effort at the task at hand. Kids are being told and taught that no one fails, and that is not reality. We should also reach out to the grade schools in this campaign. The administrator at Oak Forest high school states that one-on-one meetings are more productive than group settings. Children and adults, thanks to technology and the pace of today's world we live in, do not communicate as efficiently as we should. Sandi would like to table this discussion for now.

Cook County Commissioner .Joan Murphy should also be contacted to see if possibly we could partner with her office in this effort. Information from them is forthcoming.

We should prepare a list of resources and from that determine who would be the best choices to speak at the seminar. The list should also appear on the new website.

Both students and parents should be involved.

D. Heroin Epidemic Awareness Campaign in conjunction with SD228 and OFFD and OFPD. Per Sandi, couple that with Gang Awareness. Target parents of students in SD228.

Pagel4 21May14 Crime Prevention Commission Minutes New form of Narcan; which will bring an overdose victim out of a drug induced coma, is a nasal spray. Should each squad car and/or officer carry it? This is not our decision, but just a question for discussion. Personally, I think they should.

Officer Manning is on the Board of Bremen Youth services and will discuss with them their possible involvement with us in this campaign.

E. Dennis found out that the company he worked for makes a Valve Action type marker that contains UV paint. I will have a few samples at the meeting tonight and more to come. The question then remains, as Chief Anderson pointed out, who will look for personal markings on recovered property?

A. Crime Reports are now available online at the City's website, police tab. You can set the time period want to look at and offenses/incidents you want to look at. You can even set up a daily or weekly alert of just crimes you've selected to be emailed to you. I will email the link to you.

All vets invited. • Any follow-up on the re-enactment of the war of 1812? • Joe Pletzke invited a World War II re-enactor to our meeting.

We have received some very positive comments. • "I am an American Day" parade; Joe Pilch has talked with Cindy Gran non, Park District Director, about promoting bike decorating with the kids. She was very receptive to the idea. Chrissy and Joe Pilch hasn't met with Cindy yet. • Asked if anyone would want to be a bike decorating judge. Dennis Mitzner agreed to do the judging at the Park District. • Any feedback on the email Joe Pilch sent to the Veterans distribution list? Joe has received a handful of positive responses and a handful of failures. Joe is still tweaking the distribution list. • It was suggested we have a Facebook page for the Veterans Commission. • New shirts status. o Cords and Ascots need to be ordered. o Do we want to wear the polo shirts for casual occasions i.e. picnic, etc.? o The shirts the embroiderer made with the wrong logo should we make an offer on them? Motion made by Joe Pletzke and 2nd by Dennis Mitzner to offer $15 per shirt.

7. NEW BUSINESS: • Wayne Snedden suggested we need a final resting place for the ashes of the retired city flags. Wayne had a sketch of what he thought the monument should look like. His sketch was one that was about 4 feet tall and 2 foot round. Another suggestion was to have it flat on the ground. • Rich Wojtowicz small display plane crashed. He said he will rebuild it and hang it back up. • Bill Becker attended the Hines Community Health fair. He picked up a Mental Health Summit booklet. • Do we want to have a brass nameplate made for all Oak Forest Veterans? • It was suggested we have a plaque made explaining the falling Star on the Veterans Memorial. • Haven't heard from Jack King lately. Anyone know how he is doing?

Adopt-A-Spots

The Boca Rio adopt-a- spots are 95 % dead. That area is having a ward clean up, waiting to see if the alderman of that ward can get someone to commit to take care of the spots. They will need to be maintained.

It was brought up that the two benches in front of city hall needed to be painted, it was decided to hold off for now because the front of city hall also needs to be painted.

New business:

Bill suggested a Rain Barrel by the senior center, it would make watering the plantings there a lot easier, since there is no water spigot on the building.

Forest in bloom award signs, we picked two choices: A yellow daisy and if that cannot be used a bunch of flowering chives.

The watering schedule was passed around and everyone signed up for two weeks during the growing season.

The streetscape commission would like their own shed. Something to supplies in and also the hose caddy. Laura is checking into this.

The deadline for the entries for the forest in bloom contest is July 1, 2014, All entries must be postmarked by that date.

Next meeting; July 2, 2014, to assign which wards to judge.

BACKGROUND

Before the Council is a contract to purchase certain property owned by the City of Oak Forest. 1 This proposed project is approximately 3.8 acres and located at Long Ave between 158 h and 1 159 h Street. The City Council and staff have been working with the designated developer, Mid America Development Partners, LLC. As part of the redevelopment agreement approved on January 28, 2014, the parcel will serve as LA Fitness' new location in Oak Forest.

ACTION REQUESTED

To approve the Agreement No. 2014-07-0202A regarding the purchase and sale of property at 5418 West 159th Street.

RECOMMENDATION

City Council approve the sale of the property to initiate development of the site, the City Council must vote with a majority. RESOLUTION NO. 2014-07-0240R

A RESOLUTION APPROVING PURCHASE OF PROPERTY AND AUTHORIZING EXECUTION OF PURCHASE and SALE AGREEMENT (5418 W. 159th Street, Oak Forest, Illinois)

WHEREAS, the City of Oak Forest, Cook County, Illinois ("City") is a home rule unit of local government pursuant to Article 7, Section 6 of the Constitution of the State of Illinois; and

WHEREAS, the City currently owns certain real property located at 5418 W. 159th Street in Oak Forest, Illinois, being approximately 170,000 square feet in size (the "Property"); and

WHEREAS, pursuant to the Illinois Municipal Code and Article 7, Section 6 of the Illinois Constitution, and the exercise of its home rule powers, and the Tax Increment Financing Act, the City is authorized to utilize public property for redevelopment purposes pursuant to the terms and conditions set forth in such a redevelopment agreement, as negotiated by and between the City and the developer; and

WHEREAS, the City and developer here MD Oak Forest, LLC (the "Developer") have previously entered into a Redevelopment Agreement approved by the City on January 28, 2014, for the Property (the "Redevelopment Agreement"), the terms of which include the conveyance of this Property as part of the redevelopment of the Property, pursuant to terms and an agreement to be approved by the City and Developer; and

WHEREAS, the City and Developer has now negotiated the proposed terms of the sale and purchase of the Property to the Developer as part of the redevelopment of the Property pursuant to the Redevelopment Agreement, said purchase and sale agreement (the "PSA") attached hereto as Exhibit A; and

WHEREAS, the Mayor and City Council have determined that, subject to compliance with all requirements of Illinois law and the Tax Increment Financing Act, the conveyance of certain property owned by the City is for a commercially reasonable price, and is in the best interests of the residents of the City and is for a public purpose; and

WHEREAS, the Mayor and City Council have determined that for broader development and economic purposes in the City, and for a commercially reasonable price, it is necessary and desirable to approve the PSA for the Property; and

WHEREAS, the City and the Seller have agreed on the proposed terms and conditions of the sale and purchase of the Property.

331631_1 NOW, THEREFORE BE IT RESOLVED BY THE MAYOR AND CITY COUNCIL OF THE CITY OF OAK FOREST, COOK COUNTY, ILLINOIS, AS FOLLOWS:

SECTION 1: That the recitals set forth hereinabove are hereby adopted and incorporated as if fully set forth herein.

SECTION 2: That under the authority vested in the corporate authorities of the City of Oak Forest, pursuant to Article 7, Section 6 of the Illinois Constitution, the Illinois Municipal Code and applicable statutes, it is necessary and desirable for the City to convey the Property to the Developer, pursuant to the terms and conditions set forth in the Purchase and Sale Agreement attached hereto as EXHIBIT A and made a part hereof, the purchase of such Property being desirable, warranted and needed to promote the objectives of the City, and further the interests of the City and its residents, which Property lies wholly within the limits of the City of Oak Forest.

SECTION 3: The Mayor and City Council hereby approve the sale and conveyance of the Property, and this process for conveying the Property, set forth herein and consistent with the Tax Increment Financing Act, any additional or differing requirements related to the conveyance of this Property hereto being hereby waived, pursuant to the terms and conditions Purchase and Sale Agreement attached hereto as EXHIBIT A, as necessary and desirable for business promotion and growth under the authority vested in the corporate authorities by Illinois law and Article 7, Section 6 of the Illinois Constitution, and subject to any further revisions as may be recommended upon final review by the City Attorney.

SECTION 4: That for and on behalf of the City Council, the Mayor and the City Clerk are hereby authorized and directed to execute the Purchase and Sale Agreement, attached hereto as EXHIBIT A and made a part hereof, and to take such further actions as may be needed to complete the closing and conveyance of title to this Property to Developer, to complete the Purchase and Sale Agreement.

SECTIONs: This Resolution shall be in full force and effect from and after the date of its passage, approval in the manner provided for by law.

SECTION 6: If any section, paragraph, clause or proVIsion of this Resolution shall be held invalid, the invalidity thereof shall not affect any of the provisions of this Resolution.

This PURCHASE AND SALE AGREEMENT (the "Agreement") is entered into as of the day this Agreement is signed by later of the Seller or Purchaser at the end of this Agreement (the "Effective Date") by and between the City of Oak Forest, a municipal corporation ("Seller") and MD Oak Forest, LLC, an Illinois limited liability company, or its Nominee ("Purchaser"). (Seller and Purchaser may be individually referred to herein as a "Party" and collectively as the "Parties" for convenience.)

RECITALS

WHEREAS, Seller is the owner of certain real property located at 5418 W. 159th Street, Oak Forest, Illinois consisting of approximately 162,000 square feet, more or less, and, legally described in Exhibit "A" attached hereto and made a part hereof and in the approximate dimensions (and in the approximate location) shown on the Site Plan attached hereto by Seller and made a part hereof as Exhibit "B" (the "Property"); and

WHEREAS, subject to the terms and conditions of this Agreement, Purchaser desires to purchase the Property for its own purposes and in accordance with its intended use.

AGREEMENT

NOW THEREFORE, In consideration of the mutual promises and covenants contained herein, Seller and Purchaser agree as follows:

ARTICLE I PROPERTY

1.1 Purchase and Sale of Property. On the Closing Date (defined in paragraph 9.1 below) Seller agrees to sell, transfer, assign, convey and deliver to Purchaser all of Seller's right, title and interest in the Property, including all right, title and interest in all easements, privileges and appurtenances, development rights, sewer and water reservations for the Property and any and all improvements thereon. Purchaser intends to construct and complete a health club facility on the Property ("Project"), as agreed to in that REDEVELOPMENT AGREEMENT previously entered into as of the 28th day of January, 2014, between the City of Oak Forest and MD Oak Forest, LLC, ("Redevelopment Agreement").

1.2 Legal Description. Purchaser and Seller acknowledge and agree that as of the Effective Date, the Property is not a legally subdivided and separately distinct parcel of real estate. Accordingly, as of the Effective Date the legal description of the Property has not yet been determined. Seller and Purchaser agree to attach to this Agreement a copy of the legal description for the Property once it has been developed and approved by both parties and the Title Company (defined in paragraph 4.1 below) in accordance with the terms and conditions of Section 3.2 of this Agreement.

326268 I ARTICLE II PURCHASE PRICE

2.1 Purchase Price. Subject to such adjustments or credits as may be provided for in this Agreement, Purchaser shall pay at the Closing Date, the sum of ONE HUNDRED AND NO/lOOths DOLLARS ($100.00) as the purchase price (the "Purchase Price") for the Property. The Purchase Price, less the Earnest Money, plus or minus adjustments and prorations is due and payable in cash or in immediately available funds to the Escrow Agent (identified in paragraph 4.1 below) at the Closing.

2.2 Earnest Money-Amount and Payment. Within five (5) business days of the Effective Date, Purchaser shall deposit the sum of $100.00 as Earnest Money with Seller. The Earnest Money shall be non-refundable except in the event of Seller default.

ARTICLE III SELLER'S OBLIGATIONS

3.1 Seller Deliverables. Within fifteen (15) days of the Effective Date, Seller shall deliver to Purchaser, complete copies of all existing surveys, topographical data, title policies, environmental reports and investigations, soil studies, and other geotechnical investigations, leases, rent rolls, and financial statements concerning the Property and within Seller's possession or control.

3.2 Subdivision Plat. Seller shall, at its sole cost and expense, and within thirty (30) days after the Effective Date, deliver to Purchaser a preliminary plat of subdivision for the Property prepared by Seller (the "Preliminary Plat"). Such Preliminary Plat shall be prepared in accordance with all applicable laws and ordinances and shall utilize the approximate dimensions and configuration shown on the Site Plan attached hereto as the boundaries for the property lines of the Property. The Preliminary Plat shall be prepared such that the Property shall have direct, open and free access to the public street bordering on the proposed eastern boundary of the Property and known as Long A venue in the locations shown on the Site Plan. Purchaser will have five (5) business days from its receipt of the Preliminary Plat (the "Plat Review Period") to review and approve or disapprove same, in its reasonable discretion. In the event Purchaser disapproves the Preliminary Plat, Purchaser shall provide a mark-up of requested changes to the Preliminary Plat to Seller on or before the expiration of the Plat Review Period and Seller shall have five (5) business days to deliver to Purchaser a revised preliminary plat (the "Revised Preliminary Plat") for Purchaser's approval or disapproval. Upon receipt of the Revised Preliminary Plat, Purchaser shall again have five (5) business days to review and approve or disapprove same and in the event Purchaser disapproves the Revised Preliminary Plat Purchaser shall again deliver a mark-up of requested changes to Seller and Seller shall again have five (5) business days thereafter to deliver to Purchaser a further revised plat. The foregoing process shall continue until Purchaser approves a plat. Notwithstanding anything to the contrary herein contained, in the event that Purchaser disapproves the Preliminary Plat or any Revised Preliminary Plat based upon Purchaser requesting a Material

For purposes of this Agreement, the term "Material Change" shall mean and refer to any change made to the Preliminary Plat or Revised Preliminary Plat, at the request of Purchaser, that substantially deviates from the configuration shown on the Site Plan. Upon Purchaser's approval of the plat (the "Purchaser Approved Plat") Seller shall submit the Purchaser Approved Plat to the applicable governmental authorities and agencies having jurisdiction over the review and approval of same. Seller shall give Purchaser telephonic or e­ mail notice of the submission of the Purchaser Approved Plat for governmental review and approval and in the event meetings (public or private) for the approval of the Purchaser Approved Plat are required Seller shall advise Purchaser in such notice of the times and dates of such meetings and Purchaser may elect to attend such meetings. In no event shall Seller make any modifications or changes to the Purchaser Approved Plat without Purchaser's prior consent and Seller shall promptly deliver copies of any correspondence and documentation issued by such governmental authorities in relation to the plat. Seller shall obtain the final formal governmental approval of the Purchaser Approved Plat no later than five (5) business days prior to the expiration of the initial Inspection Period and shall cause same to be properly executed and in recordable form on or before the expiration of the Inspection Period. Notwithstanding anything to the contrary herein contained, in the event that the process for approval of the Preliminary Plat, Revised Preliminary Plat and/or Purchaser Approved Plat is delayed due to matters that are outside the control of either Purchaser or Seller, including the Purchaser requesting a Material Change to the Preliminary Plat or Revised Preliminary Plat as set forth hereinabove, then the Inspection Period, the Governmental Approvals Period and the Title and Survey Review Period shall each be extended one (1) day for each day of delay.

3.3 Pylon Sign. Seller shall grant to Purchaser and its successors and assigns, at no cost to Purchaser: (i) a temporary construction easement to allow Purchaser to construct a 1 pylon sign ("Pylon Sign") at the northwest corner of 159 h Street and Long Avenue on property owned by the City in the approximate location depicted on Exhibit "B" attached hereto and made a part hereof (the "Sign Construction Easement") and (ii) an exclusive permanent easement to install, maintain and repair the Pylon Sign (the "Pylon Sign Easement"). Within forty-five (45) days after the Effective Date, Purchaser and Seller shall agree on the exact location and dimensions of the easement area for the Pylon Sign Easement including the proposed location of electrical service lines which shall be installed by Purchaser within the determined easement area for the purpose of providing electrical service to the Pylon Sign. During the initial Inspection Period, Purchaser and Seller shall negotiate and enter into an easement agreement which shall contain the general terms set forth in this Section 3.3 and such other terms and conditions to be agreed to between the Parties. The final negotiated easement agreement (the "Pylon Easement Agreement") shall be delivered into escrow by the Parties on or prior to the expiration of the Inspection Period and shall be recorded at Closing at Purchaser's expense. Such pylon sign/structure shall be subject to compliance with City Code and any prior required approval from the City of Oak Forest, which approval will not be unreasonably withheld.

Seller and Purchaser acknowledge that certain existing easements which burden the Property may need to be vacated and certain easements benefitting the Property may need to be created in order to allow Purchaser to develop the Property in accordance with Purchaser's intended use, including but not limited to the vacation of an existing 25 foot utility easement generally located along the northern boundary of the Property. Seller and Purchaser shall cooperate with each other and exercise due diligence to agree upon the necessary easement vacations and easement grants as soon as reasonably practicable after the Effective Date and in any event prior to the expiration of the Inspection Period. In the event that a plat of vacation, plat of easement and/or any other agreement is required to be entered into by the City or any applicable utility or service company in order to terminate and remove such easement from title then Seller shall cause such plat of vacation, plat of easement or other agreement to be drafted and shall submit same to Purchaser for its review and approval concurrent with submission to the Title Company for review and approval. Seller shall cause any such final approved plat of vacation, plat of easement or other document to be approved and properly executed by all required parties on or prior to the expiration of the Inspection Period and to be recorded on or prior to the Closing Date. Notwithstanding anything to the contrary herein contained, in the event that Seller is not able to finalize the plat of easement, plat of vacation or other agreement with any of the necessary parties prior to the expiration of the Inspection Period because such party is delayed in providing the required documentation to Seller, then Seller shall have an additional sixty (60) day period, which shall commence upon the date that the Inspection Period would have expired and the expiration of the Inspection Period shall be extended until the earlier of (i) the date that Seller obtains the last of the required documentation and (ii) the last day of the sixty (60) day extension period set forth herein.

3.5 Soil Remediation. Seller and Buyer acknowledge that certain portions of the Property were part of a fill project from prior work on the site. In order to facilitate the completion of the Project, Seller shall, at Seller's sole cost and expense, on or before the expiration of the Governmental Approvals Period, conduct or cause to be conducted such site work remediation of the Property as is necessary to (i) to construct a building pad in the location designated by Seller in accordance with the standards specified by Fitness International, LLC, the intended occupant of the Project, and (ii) deliver the remainder of the Property in sufficient condition so that Buyer may construct site improvements (such as but not limited to parking lot, curb and gutter) in accordance with the standards specified by Fitness International, LLC. The soil remediation shall be conducted in accordance with the provisions of Section 5, Subsection 4 ofthe Redevelopment Agreement.

3.6 Utilities and Roadway Improvements. On or before the expiration of the Governmental Approvals Period Seller shall install or cause to be installed (i) utilities to the property line of the Project sufficient to allow Buyer to provide utilities to Fitness International, LLC as more specifically set forth or to be set forth in the Lease with Fitness International, LLC, and (ii) certain roadway improvements to Long A venue as more specifically set forth in the Redevelopment Agreement. The utility installation and roadway

3.7 Restrictive Covenant. At Closing Seller shall record a restrictive covenant (or such other recordable document as is mutually agreeable) against the property identified as Outlot 1 on Exhibit B is prohibited from being used for certain noxious uses and setting forth certain architectural, and size and parking restrictions as more specifically set forth or to be set forth in the Lease with Fitness International, LLC (the "Restrictive Covenant").

ARTICLE IV TITLE AND SURVEY

4.1 Title Commitment. No later than twenty (20) days from the Effective Date, Seller shall provide Purchaser with a title commitment for an ALTA Form 2006 policy of title insurance covering the Property (and only the Property) dated no more than sixty (60) days after the Effective Date issued by Chicago Title Insurance Company (the "Title Company" or "Escrow Agent") in the amount of the Purchase Price (the "Commitment"), together with complete and legible copies of all recorded instruments referred to in the Commitment as conditions or exceptions to title to the Property (collectively, the "Title Commitment").

4.2 Survey. No later than twenty (20) days from the Effective Date, Seller shall, at its cost, provide a current survey of the Property (in both an electronic PDF and Auto CAD file version and a hard stamped copy) (the "Survey") prepared by a Surveyor licensed in the state where the Property is located (the "Surveyor"). The Survey shall be to the minimum 2011 ALTA/ASCM standards for a survey, and ALTA/ASCM optional items 1-5, 7(a), 8, 10, 11, 16-18 and such other standards that may be requested by Purchaser. The surveyor's certificate shall be in a form reasonably acceptable to Purchaser, any lender that will advance all or a portion of the Purchase Price or Purchaser's development costs to Purchaser and the Title Company. Purchaser may raise written objections to the Survey in the manner provided in paragraph 4.3 below. The legal description of the Property contained in the Survey or the Final Survey (as hereinafter defined), as the case may be, if different from the description contained in Exhibit A, shall be substituted for the description of the Property contained in Exhibit A (provided that the Title Company is willing to insure it), and this Agreement shall be deemed amended by the substitution of the legal description of the Property contained in the Survey or the Final Survey, as the case may be, for the description of the Property contained in Exhibit A. The "Final Survey" shall mean the Survey as it may be amended and accepted by Purchaser, which acceptance shall be evidenced by Purchaser's express written acceptance of the Survey or its failure to object to the Survey in accordance with the provisions of 4.3 below.

4.3 Title and Survey Review Period. Purchaser shall have a period of thirty (30) days after the later of the date on which it receives the later of the Title Commitment and the Survey (provided by Seller pursuant to sub-paragraphs 4.1 and 4.2 above) in which to review the state of Seller's title to the Property (the "Title and Survey Review Period"). Prior to the expiration of the Title and Survey Review Period, Purchaser shall notify (the "Title

5 C:\Users~cr\AppData\Locai\Microsoft\Windows\Temporary Internet Files\Content.Outlook\7KNOGV76\PSA Oak Forest (adpv6- 070714).docx Objection Notice") Seller of which exceptions listed in the Title Commitment are acceptable to Purchaser in its sole reasonable discretion (the "Permitted Exceptions") and all other defects, conditions, or faults in the Title Commitment, Survey or arising on a later Title Commitment shall be deemed "Unpermitted Exceptions" and individually an "Unpermitted Exception(s)" or "Title Defect(s)". Seller shall have a period of fourteen (14) days after receipt of the Title Objection Notice to elect to either (i) remove or cure the Title Defects, in which event Seller shall have thirty (30) days ("Cure Period") after the date of Seller's receipt of the Title Objection Notice to remove or cure any Title Defects to the satisfaction of Purchaser; or (ii) not cure such Title Defects to the satisfaction of Purchaser. In the event Seller elects to cure such Title Defects it shall use its reasonable efforts to remove or cure the Title Defects to Purchaser's satisfaction. The above notwithstanding, the so-called "Standard Exceptions" and liens of mortgages shall be deemed Unpermitted Exceptions which shall be cured by Seller on or before Closing.

If Seller (x) does not cure all of the Title Defects within the Cure Period or in the same period procure a commitment by the Title Company to remove such Unpermitted Exceptions from the Title Policy, then Seller shall notify Purchaser in writing, prior to the expiration of the Cure Period, specifying those Title Defects Seller has failed or will be unable to cure; or (y) Seller elects to not cure such Title Defects, then Purchaser may, by providing written notice of its intentions (the "Purchaser's Title Election") within twenty (20) days after the expiration of the Cure Period, elect to do any one of the following: (i) terminate this Agreement by providing written notice to Seller; or (ii) elect in writing to waive any uncured Title Defects. If Purchaser elects to terminate this Agreement as provided for herein, then Seller and Purchaser shall each be released from any further right or obligation hereunder.

Should Seller fail to deliver a proper Title Commitment and copies of all Schedule B documents, or the ALTA Survey within the time allotments as described herein, the Inspection Period shall automatically be extended one (1) day for each day until such deliveries are made.

4.4 Updated Title Commitment. If Purchaser elects not to terminate this Agreement in accordance with the terms of Article IV above, Seller, upon request of Purchaser, shall cause Title Company to reissue from time to time the Title Commitment prior to Closing. Purchaser shall have the right to object to any new exceptions other than the Permitted Exceptions shown on any updated Title Commitment. If Seller fails to cure such items, Purchaser shall again have the right to terminate this Agreement or in the alternative (i) waive such objection or (ii) deduct from the Purchase Price an amount necessary to cure all liens and encumbrances of a definite or ascertainable amount. The time periods for objecting to and curing the additional exceptions and for terminating this Agreement shall be the same as those set forth in this Article IV above, commencing with the date Purchaser receives the updated Title Commitment, and, if necessary, the Closing Date shall be extended for such purposes.

5.1 Right of Access. At all reasonable times prior to the Closing Date (including, without limitation, the Inspection Period (as hereinafter defined)), Purchaser, its officers, employees, agents, prospective lenders, attorneys, accountants, architects and engineers, shall be entitled, upon reasonable notice to Seller, to enter upon the Property to perform whatever inspections and tests relating to the Property (including, but not limited to, engineering, soil boring and environmental)(collectively the "Tests"), that Purchaser, in its reasonable discretion, deems necessary or appropriate. Seller shall have the right, but not the obligation, to have a representative present at any such time Purchaser accesses the Property hereunder. Purchaser shall restore the Property to its original condition, and further agrees to indemnify and hold harmless Seller from all loss, cost and expense resulting from any actual physical damage to the Property as a result of the inspections performed under this subparagraph ( 5.1) (except to the extent such damage results from or arises out of the negligence or intentional misconduct of Seller).

5.2 Inspection Period. Purchaser shall have a period of ninety (90) days to evaluate, at Purchaser's sole cost and expense, the feasibility of the Property for Purchaser's intended use, said period commencing on the date which is the later of: (i) the Effective Date; or, (ii) the date on which Seller certifies in writing that it has provided all of the Seller's Deliverables to Purchaser. During the Inspection Period, Purchaser will have the right, but not the obligation, to conduct any of the Tests that Purchaser requires, in Purchaser's sole and absolute discretion. Seller shall promptly execute any permits or other documentation necessary for Purchaser to perform any Tests, provided it is at no material cost to Seller. Purchaser shall further have the right to inspect Seller's books and records and other information in Seller's possession or control.

At any time within five (5) business days after the expiration of the Inspection Period, Purchaser may give written notice to Seller to: (i) waive the Inspection Period; or, (ii) terminate this Agreement if Purchaser is not satisfied with the Property for any reason or for no reason whatsoever. Upon termination of this Agreement, Purchaser and Seller shall be released from obligation and liability under this Agreement. In the event Purchaser fails to timely terminate this Agreement as set forth in this Section 5.2, Purchaser shall be deemed to have waived its right to terminate pursuant to this Section 5.2 and the Earnest Money shall remain nonrefundable except in the event of Seller's default.

Purchaser may extend the Inspection Period for up to two (2) additional 30-day periods by providing written notice to Seller prior to the expiration of the Inspection Period (or the first 30-day extension period as the case may be). At any time on or before the expiration date of the Inspection Period as extended, Purchaser may give written notice to Seller to: (i) waive the Inspection Period; or, (ii) terminate this Agreement if Purchaser is not satisfied with the Property for any reason or for no reason whatsoever. Upon termination of this Agreement on or before the expiration of the Inspection Period as extended, Purchaser and Seller shall each be released from obligation and liability under this Agreement. In the event Purchaser fails to timely terminate this

5.3 Governmental Approvals Period. Purchaser shall have a period of one hundred eighty (180) days from the Effective Date (the "Governmental Approvals Period") for Purchaser to obtain all zoning, land use, annexation, site plan, signage, curb cuts, building permits, business approvals, and other approvals (governmental or otherwise) necessary for Purchaser to utilize the Property, in its sole discretion, in accordance with its intended use (the "Governmental Approvals"). Seller agrees to cooperate with Purchaser in obtaining all necessary approvals, provided however that such permits or approvals shall be subject to all required legal hearings, reviews and decision-making by the City of Oak Forest and City Council of the City of Oak Forest This cooperation shall include, but is not limited to, execution of any documents, petitions, correspondence, and agreements, as well as attendance at governmental meetings. In the event that all or some of the governmental approvals are not (or, in Purchaser's judgment, will not be) satisfied on or before the expiration of the Governmental Approvals Period, then Purchaser may terminate this Agreement by delivery of written notice to Seller. Upon termination of this Agreement, Purchaser and Purchaser and Seller shall be released from liability and obligation under this Agreement.

Purchaser may extend the Government Approval Period for up to two (2) 90-day periods by providing written notice to Seller prior to the expiration of the Government Approval Period (or the first 90-day extension period as the case may be).

5.4 Right to Market. This transaction remains subject to the requirements of the Tax Increment Financing Act, prior to any obligation by Seller to convey the Property. Except for compliance with all legal requirements under the Tax Increment Financing Act, and any notices or disclosures required by Seller thereunder prior to completion of this purchase and sale, and subject to such requirements (which requirements shall be satisfied prior to the expiration of the Inspection Period), prior to Closing, Purchaser or its representative shall have the exclusive right to market the Property. Marketing efforts may include, but are not limited to, posting a sign at the Property, newspaper ads, website listings and direct marketing. Seller and/or its representatives will immediately forward any inquires for of the Property to the Purchaser prior to Closing.

ARTICLE VI REPRESENTATIONS AND COVENANTS OF SELLER

6.1 Representations. In order to induce Purchaser to enter into this Agreement, Seller makes the following representations to Purchaser, which representations shall be true and correct as of the Effective Date and on the Closing Date (unless otherwise expressly set forth to the contrary herein) and which representations shall survive Closing:

6.1.1 Seller is the record legal titleholder and the owner of the Property, and has the ability to convey marketable and fee simple title to the Property to Purchaser by

6.1.2 To Seller's knowledge, there is no litigation or proceeding pending or threatened against or relating to any of the Property and no pending, or threatened or contemplated condemnation actions with respect to the Property.

6.1.3 Seller is in good standing in the State in which the Property is located, and is authorized and permitted to enter into this Agreement and to perform all covenants to be performed by Seller hereunder, and Seller's right to execute this Agreement and to perform its provisions are not limited by any other agreements to which Seller is a party or to which Seller or the Property are subject; and Seller's agreements hereunder do not violate any agreement or regulation, law, court order, judgment or decree, applicable to Seller or the Property; provided, however, that Seller and Buyer acknowledge that the Project must comply with the terms, covenants and conditions of that certain Reciprocal Easement Agreement for Oak Forest Commons, recorded in the Cook County Recorder's Office in 1996 as Document No. 96789291, as amended to the present (collectively, the "REA"), and that in the event of any violation or potential violation of the REA the parties shall mutually cooperate to obtain approval of such violation or potential violation and/or modify the Project to eliminate such violation or potential violation prior to Closing.

6.1.4 The person or persons signing this Agreement have been authorized by Seller to do so and to execute the Deed (hereinafter defined) and all other instruments or documents necessary or desirable in connection with this transaction.

6.1.5 To Seller's knowledge, and subject to the provisions of Section 6.1.3 above with respect to the REA, neither the execution nor the delivery of this Agreement nor the consummation of the transactions contemplated hereby will conflict with or result in any violation of or constitute a default under any agreement, mortgage, debt instrument, indenture, franchise, license, permit, authorization, lease or other instrument, judgment, decree, order, law or regulation by which Seller is bound.

6.1.6 Seller is not a "foreign person" as that term is defined in Section 1445 of the Internal Revenue Code of 1986, as amended, and applicable regulations.

6.1.7 To Seller's knowledge, and except as disclosed to Purchaser by Seller in the Seller De1iverab1es, its City Council and Department Heads have no actual present knowledge of Hazardous Substances located on the Property. As used in this Agreement, "Hazardous Substance(s)" shall mean and include all hazardous or toxic substances, wastes or materials, any pollutants or contaminants (including, without limitation, asbestos, petroleum products, and materials which include hazardous constituents) or any similar substances or materials which are included under or regulated by any Environmental Law. "Environmental Law" shall mean and include all local, state or federal laws, rules, orders and regulations pertaining to environmental regulation or the use, processing, storage, disposal, generation or transportation of Hazardous Substances

Environmental Laws include, without limitation, the Comprehensive Environmental Response, Compensation and Liability Act of 1980, the Super Fund Amendments and Reauthorization Act of 1986, the resource, Conservation and Recovery Act, the Hazardous and Solid Waste Amendments of 1984, the Toxic Substance Control Act, the Federal Insecticide, Fungicide and Rodenticide Act, the Federal Water Pollution Control Act, the Federal Safe Drinking Water Act, the Federal Clean Air Act, the Federal Clean Water Act, the National Environmental Protection Act, as any of the foregoing has heretofore been or is hereafter amended, and any regulations promulgated with respect to any of such statutes. As used in this Agreement, "Department Heads" shall mean and refer to all relevant administrative staff of Seller that have working knowledge of the Property.

6.1.8 No part of the Property, to the actual present knowledge of the Seller's City Council or Department Heads has been previously used by Seller, or by any other person or entity, for the storage, manufacture or disposal of Hazardous Substances, except as disclosed in the Seller Deliverables.

6.1.9 Except as set forth in the Seller Deliverables, Seller has not received from any written complaint, order, citation or notice with regard to air emissions, water discharges, noise emissions, or Hazardous Substances, or Environmental Laws or any other environmental, health or safety matters affecting the Property or any part thereof. Except as set forth in the Seller Deliverables, to the actual present knowledge of the Seller's City Council and Department Heads, there are no underground storage tanks of any nature located on any part of the Property.

6.1.1 0 The Property is not subject to any recapture agreements or developer agreements, there is no agreement with any governmental body with respect to access to or from the Property, and the Property is not subject to any agreement with respect to varying zoning regulations, but is covered by a Reciprocal Easement Agreement for Oak Forest Commons, recorded in the Cook County Recorder's Office in 1996 as Document No. 96789291, as amended to the present;

6.1.11 To the Seller's knowledge, there is no agreement with any governmental body with respect to access to or from the Property;

6.1.12 There are no persons in possession or occupancy of the Property, or any part thereof, including without limitation, tenants (including at will or at sufferance);

6.1.13 To the Seller's knowledge, there is no material deficiency in the condition of the Property, including without limitation, wetlands, adverse soil conditions (other than as set forth in Section 3.5 above), flood plains, toxic wastes, sink holes or geologic faults.

6.2 Covenants of Seller. Seller covenants that, from and after the Effective Date, Seller shall:

10 C:\Users~cr\AppData\Locai\Microsoft\Windows\Temporary Internet Files\Content.Outlook\7KNOGV76\PSA Oak Forest (adpv6- 070714).docx 6.2.1 Subject to the provisions of Article V, give Purchaser and Purchaser's agents and representatives full access to physically inspect the Property and to make such inspections, surveys, test borings, soil analyses and other tests and surveys thereon as Purchaser, in its sole discretion and cost, shall deem advisable. Seller shall furnish Purchaser such additional existing information or documents in its possession or under its control concerning the ownership, management, operation and the condition of the Property as Purchaser may reasonably request. Purchaser shall have the right to examine and copy all surveys, plans and specifications, engineering studies, construction documents, environmental reports, wetlands studies, and all information relating to obtaining the approval of the municipality where the Property is located for development of the Property, which Seller has in its possession. The expenses of Purchaser's investigation shall be borne solely by Purchaser.

6.2.2 Make all payments on all indebtedness secured by any of the Property if and when due, and timely comply with all other provisions of the instruments evidencing or securing such indebtedness.

6.2.3 Cause, at or prior to Closing, the release of all Liens and encumbrances (except Permitted Exceptions, which Permitted Exceptions include but are not limited to the REA, the parties expressly acknowledging that the REA is a Permitted Exception and that the parties intend to comply with the terms and conditions of the REA) against the Property and cooperate in good faith with the Escrow Agent to satisfy all requirements and conditions set forth in the Title Commitment.

6.2.4 Not place any type oflien or encumbrance upon the Property.

6.2.5 Subject to Section 5.2, cooperate with and join Purchaser before and after Closing in its efforts to obtain any Governmental Approvals, variances, permits or other matters desired by Purchaser. Seller may withhold any approval, variance or permit however ifthe Purchaser has failed or refused to fulfill any of its respective obligations with respect to the Property pursuant to t h e R e d e v e 1o p m en t A g r e em en t and the applicable provisions of the City Code. The Purchaser shall pay the City's permit fees and customary inspection fees. The Seller and Purchaser agree that the actions and cooperation herein are required to be and shall be in full compliance with all legal requirements and procedures.

ARTICLE VII PURCHASER'S REPRESENTATIONS AND WARRANTIES

7.1 Representations and Warranties. In order to induce Seller to enter into this Agreement, Purchaser makes the following warranties and representations that will be true and correct as of the Effective Date and on the Closing Date:

11 C:\Users~cr\AppData\Locai\Microsoft\Windows\Temporary Internet Files\Content.Outlook\7KNOGV76\PSA Oak Forest (adpv6- 070714).docx 7.1.1 Purchaser represents and warrants to Seller that this Agreement (i) is the legal, valid and binding obligation of Purchaser; (ii) does not violate any provision of any agreement or judicial order to which Purchaser is a party or to which Purchaser is subject, (iii) that all documents to be executed by Purchaser which are to be delivered to Seller at Closing will, at the time of Closing, be duly authorized, executed and delivered by Purchaser, will be legal, valid and binding obligations of Purchaser will not violate any provision of any agreement or judicial order to which Purchaser is a party or to which Purchaser is subject.

7 .1.2 Purchaser represents and warrants to Seller that Purchaser has not (i) made a general assignment for the benefit of creditors; (ii) filed any voluntary petition in bankruptcy or suffered the filing of an involuntary petition by Purchaser's creditors; (iii) suffered the appointment of a receiver to take possession of all, or substantially all, of Purchaser's assets; (iv) suffered the attachment or other judicial seizure of all, or substantially all, of Purchaser's assets; (v) admitted in writing its inability to pay its debts as they come due; or (vi) made an offer of settlement, extension or composition to its creditors generally.

7.1.3 Purchaser represents and warrants that: (i) the Seller is not, and shall not be, in any way liable for any violations of restrictive covenants applicable to the Property that may occur, or for any damages or injuries that may be sustained as the result of the Seller's review and approval of any plans for the Property, or as a result of the issuance of any approvals, permits, certificates or acceptances for the development or use of any portion of the Property; and (ii) the Seller's review and approval of any plans and the issuance of any approvals, permits, certificates or acceptances does not, and shall not, in any way be deemed to insure the Purchaser, or any of its successors, assigns, tenants, or licensees, or any third party, against restrictive covenant violations or damage or injury of any kind at any time.

7.1.4 Purchaser represents and warrants that it will cooperate with and join Seller relative to any approvals, changes, site design, ingress and egress or grants of easement or other issues which must be resolved for the Property or related to the Redevelopment Agreement, that are related to the existing Reciprocal Easement Agreement for Oak Forest Commons, recorded in the Cook County Recorder's Office in 1996 as Document No. 96789291, as amended to the present, prior to Closing on this Property.

ARTICLE VIII CONDITIONS PRECEDENT TO CLOSING: CONDEMNATION

8.1 Conditions Precedent to Purchaser's Performance. Notwithstanding the Inspection Period and Governmental Approvals Period, the obligation of Purchaser to close the transaction described in this Agreement shall be subject to the following conditions

8.1.1 all the representations and warranties of Seller set forth in this Agreement shall be true and correct in all material respects, except as set forth herein, on the Closing Date, and Seller shall have complied with all covenants and agreements of Seller set forth herein.

8.1.2 There shall be no material change in the substantive matters reflected on the Title Commitment from those matters appearing therein on the date thereof (except those changes required by Purchaser in its notice of Title Defects), and no encumbrance or Title Defect shall affect the Property except the Permitted Exceptions, and such Liens that shall be released at Closing.

8.1.3 Seller shall not have breached or defaulted in any of its obligations set forth in this Agreement. Without limiting the generality of the foregoing, Seller shall have delivered or complied with all of its obligations set forth in Article III of this Agreement.

8.1.4 In the event that any of the above conditions are not satisfied or waived in writing by Purchaser prior to the Closing Date, Purchaser may extend the Closing, and prior to the satisfaction of all such conditions, if the above conditions are not satisfied, Purchaser shall be entitled to request, and receive, an immediate refund of the Earnest Money Deposit and all accrued interest, in which case the rights and obligations of the parties hereunder shall terminate, or, in the alternative, Purchaser, in its sole discretion, may elect to waive any condition and proceed to Closing, or, if appropriate, Purchaser may elect to exercise its remedies under Section 10.1 of this Agreement for default by Seller.

8.1.5 In the event of termination pursuant to this Paragraph, Seller shall immediately refund the Earnest Money to Purchaser without prejudice to either Purchaser or Seller to pursue any specific remedies available to such party under the terms and conditions of this Agreement.

8.2 Condemnation.

8.2.1 If prior to the Closing any governmental or quasi-governmental entity with the power of eminent domain, or a private entity acting by, through and under a governmental or quasi-governmental entity (a "Condemnor"), commences or threatens to commence proceedings to exercise its powers of eminent domain with respect to the Property or any portion thereof Purchaser may terminate this Agreement by delivering written termination notice to Seller within thirty (30) days after discovery of the condemnation or proposed condemnation.

8.2.2 Prior to Purchaser's termination of this Agreement, or if Purchaser does

Seller shall make no conveyance in lieu of condemnation without Purchaser's prior written consent. In the event Closing occurs prior to any condemnation award being made, Seller shall withdraw from any condemnation proceeding and assign all right, title and interest to Purchaser.

8.2.3 Any condemnation awards made prior to the Closing shall be the property of the Seller, and the Purchase price shall be reduced by the amount of such award, as it applies to the Property. Any condemnation awards for the Property made after the Closing shall be the property of the Purchaser. Each of the Parties agrees and covenants that it shall execute, upon the request of the other Party, any further documents necessary or desired to document or evidence the foregoing or to more fully vest in the other Party the rights conferred upon such Party by this section.

8.2.4 In the event of termination of this Agreement pursuant to this Section 8.2 compensation of every kind shall be the property of Seller, the Earnest Money shall be immediately refunded to Purchaser, and neither party shall have any further right or obligation under this Agreement.

ARTICLE IX CLOSING

9.1 Time and Place. Closing shall be at the office of the Title Company and shall be through a so called "New York" style escrow. The parties agree to execute such escrow instructions as may be appropriate to enable the Title Company to comply with the terms of this Agreement. The sale and purchase of the Property shall occur upon the transfer of the Deed ("Closing"). Provided that all of the conditions set forth in Article VIII shall have been satisfied or waived in writing by Purchaser, the Closing shall occur on the date which is thirty (30) days following the expiration of the later of the: (i) Inspection Period; or, (ii) the Governmental Approvals Period, or such other time as may be agreed upon by the parties.

The above notwithstanding, Purchaser may extend the Closing Date for one (1) thirty (30) day period by providing written notice to Seller prior to the Closing Date.

9.2 Items to be Delivered by Seller at the Closing. At or before the Closing, Seller shall deposit into escrow with the Escrow Agent, at Seller's expense, each of the following items:

9.2.1 Special Warranty Deed (the "Deed"), duly executed and acknowledged by Seller, granting, conveying and warranting to Purchaser good and indefeasible fee simple title to the Property, free and clear of any Liens, encumbrances, easements, restrictions or other matters affecting title to the Property except the Permitted Exceptions since Seller's acquisition of the Property. With the conveyance of the Property to the Purchaser, the deed shall contain a right of reverter in the Seller, if the Purchaser defaults under the

The right of reverter contained in the deed shall provide that the City shall have the right to exercise the reversionary right upon written notice to Developer and recording a Notice Statement against the Property in the office of the Recorder of Deeds of Cook County evidencing the City's exercise of such reversionary right; provided, however, that the City expressly acknowledges and agrees that the City shall not exercise said right of reverter (and the Purchaser shall not be deemed to be in default) if the Project is under construction as of the expiration of the 18 Month Construction Period (as defined in the Redevelopment Agreement) and construction is completed on or before the fifth anniversary of the commencement of the 18 Month Contrsuction Period. Upon issuance of the certificate of occupancy the Seller's right of reverter shall be deemed null and void and of no further force or effect and Developer shall have the right to unilaterally record a Memorandum evidencing such termination against the Property in the office of the Recorder of Deeds of Cook County. The provisions of this subsection shall survive the termination of the Redevelopment Agreement.

9 .2.2 The Approved Plat as set forth hereinabove.

9 .2.3 The Restrictive Covenant as set forth hereinabove.

9.2.4 An Owner's Policy of Title Insurance with extended coverage (the "Title Policy") in a face amount equal to the Purchase Price issued by Chicago Title Insurance Company on 2006 ALTA Policy Format or ALTA's most current Policy Format (or a marked up "New York Style" commitment), insuring good and marketable fee simple title to the Property in the Purchaser, containing no exceptions (and no Standard Exceptions) except the Permitted Exceptions and the Special Warranty Deed, and containing such endorsements as requested by Purchaser (at Purchaser's cost).

9.2.5 An affidavit in compliance with Section 1445 of the Internal Revenue Code and applicable regulations stating, under penalty of perjury, Seller's United States taxpayer identification number and that Seller is not a "foreign person" as that term is defined in said Section 1445. If Seller fails to deliver such affidavit, Purchaser may withhold from the Purchase price and pay to the Internal Revenue Service the amount required by Section 1445 and applicable regulations.

9.2.6 An "ALTA Loan and Extended Coverage Policy Statement" or other document required by the Escrow Agent, stating that there are no parties in possession of any portion of the Property as lessees, tenants at sufferance or trespassers, and that all work on the Property has been paid in full.

9.2.7 All applicable state, county and city transfer declarations, which declarations shall be duly executed and acknowledged and, if necessary, in recordable form.

15 C:\Users~cr\AppData\Locai\Microsoft\Windows\Temporary Internet Files\Content.Outlook\7KNOGV76\PSA Oak Forest (adpv6- 070714).docx 9.2.8 Any other instruments, documents, affidavits and certificates as Purchaser may reasonably request in order to conform to the provisions of this Agreement, in such form as shall be reasonably satisfactory to Purchaser and its counsel, or any other instruments, documents, affidavits and certificates as may be required by the Title Company to issue the Title Policy.

9.3 Items to be Delivered by Purchaser at the Closing. At or before the Closing, Purchaser shall deposit into escrow with the Escrow Agent, each of the following items:

9.3.1 The Purchase price paid in immediately available U.S. funds.

9.3.2 An "ALTA Loan and Extended Coverage Policy Statement" or other document required by the Escrow Agent, stating that there are no parties in possession of any portion of the Property as lessees, tenants at sufferance or trespassers, and that all work on the Property has been paid in full.

9.3.3 Any other instruments, documents, affidavits and certificates as counsel for Seller or the Title Company may reasonably request in order to conform to the provisions of this Agreement and/or to issue the Title Policy in the form required herein.

9.4 Adjustments and Prorations. At Closing, the following items shall be adjusted or prorated between Seller and Purchaser:

9.4.1 All real estate taxes for the then current calendar year levied or assessed on or against the Property shall be prorated on an accrual basis as of the Closing Date. At the Closing, Purchaser shall receive a credit against the Purchase Price equal to all accrued and unpaid taxes and assessments as of the Closing Date (including, without limitation, all taxes and assessments attributable to the year prior to the Closing but not payable until after the Closing and all taxes and assessments attributable to the year in which the Closing occurs but not payable until the following year). The credit shall be based upon taxes actually assessed for the then current calendar year or, if for any reason such taxes for the Property have not been actually assessed, such proration shall be based upon the amount which is 110% of such taxes for the immediately preceding calendar year. Taxes and assessments shall be re-prorated between Seller and Purchaser at the time of issuance of the actual bills therefor and payment of any adjustment based on such reproration shall be paid by the party owing the other based on such adjustment within fifteen (15) days after receipt by such party of copies of the applicable bills. Notwithstanding anything to the contrary herein contained, at Closing, Seller shall pay any and all past due and unpaid taxes and assessments, including any penalties and interest due thereon, due and payable as of the Closing Date. Seller shall obtain, at its sole cost and expense, all Certificates of Redemption or like documentation required to be obtained by Seller in order to pay any such outstanding unpaid taxes or assessments.

9.4 .2 If the Property is assessed and taxed as a part of a larger parcel, then, for purposes of computing tax prorations, a proportionate part of the real estate taxes

9.4.3 Seller shall pay all special assessments, special taxes or other assessments approved or assessed prior to the Closing Date. If Seller or Seller's predecessors in title have claimed any partial or total exemption from taxation of the Property based on agricultural or open space use or any other use, and if a loss of such partial or total exemption would result in the imposition of tax for a period prior to the Closing Date, Seller shall satisfy same at the Closing, and shall indemnify and hold Purchaser harmless from any tax on any of the Property for years prior to the Closing Date which become due as of the result of any changes in land usage or ownership or otherwise ("Rollback Taxes").

9.4.4 Seller shall pay the entire cost of the Title Commitment, Title Policy (excluding the endorsements specified requested by Purchaser other than an extended coverage endorsement for coverage over the Standard Exceptions which shall be paid by Seller), title searches, all documentary and State and County transfer taxes or fees, all release fees, any costs or fees in connection with the release of any existing Liens or Unpermitted Exceptions, one-half of escrow fee and New York Style Closing fee and all other costs customarily paid by sellers of real property in the city or locale where the Property is located. If the ordinance of the city or locale requires that Seller pay any municipal transfer tax, then Seller shall also pay any municipal transfer tax or stamps required by such ordinance.

9.4.5 Purchaser shall be responsible for the payment of the cost of recording the Deed, one-half of the escrow fee and one-half of the New York Style Closing fee, any lender's title policy issued in conjunction with Purchaser's financing, if any, Purchaser's attorney's fees, and all other costs customarily paid by purchasers of real property in the county where the Property is located.

9.4.6 In the event that subsequent to the Closing any adjustments made at the Closing pursuant to this Paragraph are agreed upon by the parties hereto to be erroneous then for a period of one (1) year following the Closing, either party hereto who is entitled to additional monies shall invoice the other party for such additional amounts as may be owing, and such amounts shall be paid within ten (1 0) business days from receipt of the invoice. The terms of this paragraph shall survive Closing.

9.5 Right to Possession. At the Closing and as a condition thereto, Purchaser shall be given full, exclusive and unrestricted possession and occupancy of the Property free and clear of all tenancies and parties in possession, and Seller will execute such instruments and take such action as may be appropriate or required to assure Purchaser of exclusive, uninterrupted and full possession of the Property immediately following the Closing.

10.1 Default by Seller. If Seller shall be in default of any provision herein, and such failure continues for ten (10) business days after notice from Purchaser to Seller specifying such failure, the Purchaser shall have the right, to (i) terminate this Agreement by giving written notice thereof to Seller, whereupon the Earnest Money shall be immediately returned to Purchaser; or (ii) enforce specific performance (or obtain injunctive relief) of Seller's obligations under this Agreement; or, (iii) pursue its other remedies at law. This provision shall not merge with or into any deed of conveyance or other document or instrument delivered at or in connection with the Closing and shall survive the Closing.

10.2Default by Purchaser. If Purchaser shall be in default of any provision herein, and such failure continues for thirty (30) business days after receipt of notice from Seller to Purchaser specifying such failure, then Seller, as its sole remedy, shall have the right to terminate this Agreement by giving written notice thereof to Purchaser, whereupon the Seller shall be entitled to retain the Earnest Money, free of any claims by Purchaser, as liquidated damages, it being acknowledged by the parties that the Earnest Money is a reasonable, good faith estimate of the actual damages that Seller would suffer, and shall be liquidated damages for Purchaser's failure to perform the duties, liabilities and obligations imposed upon it by the terms and provisions of this Agreement, due to the difficulty, inconvenience and uncertainty of ascertaining Seller's actual damages for Purchaser's default, and no other damages, rights or remedies shall in any case be collectible, enforceable or available to Seller other than provided in this Agreement.

ARTICLE XI MISCELLANEOUS

11.1 Notices. Any notice, demand or other communication required to be given or to be served upon any party or the Escrow Agent hereunder shall be in writing addressed to the person to whom the notice is directed, and delivered either: (i) in person; (ii) by United States Mail, as a registered or certified item with return receipt requested; (iii) by delivery service (including any express mail, Federal Express, or other delivery service); or, (iv) by confirmed facsimile or electronic mail (e-mail) (with a confirmed copy of such transmission sent by United States regular mail and deposited in the mail on the same day such facsimile or e-mail transmission is sent). Notices, demands or other communications delivered by mail shall be deemed given and received when deposited in a post office or other depository under the care or custody of the United States Postal Service, addressed properly, with proper postage affixed. Notices, demands or other communications sent by delivery service shall be deemed to have been given and received when first delivered (or delivery shall have been attempted) to the address of the party to whom it is addressed as stated below. Notices, demands or other communications sent by confirmed facsimile transmission shall be deemed to have been given and received on the date set forth on such confirmation. Either party hereto may change its

address for notice by giving the other party ten business days' advance written notice of such change of address. Notice shall be sent to the Parties as follows:

11.2 Contract to Survive. Except as otherwise specifically provided in this Agreement, all representations, warranties, indemnities, covenants and agreements contained herein, whether to be performed before or after the Closing Date, shall survive the Closing Date.

11.3 Assignment. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective successors and permitted assigns. Purchaser may elect to assign all of Purchaser' right, title and interest in and to this Agreement to an affiliated entity of Purchaser without the consent of Seller. In the event of such assignment, Purchaser shall be

11.4 Interpretation. Where required for proper interpretation, words in the singular shall include the plural; and words of any gender shall include all genders. The descriptive headings of the articles, sections and paragraphs in this Agreement are for convenience only and shall not control or affect the meaning, or construction of any of the provisions hereof.

11.5 Amendment. Except as otherwise specifically provided in this Agreement, this Agreement may not be amended and no condition, covenant or obligation may be waived, except by an agreement in writing signed by Seller and Purchaser.

11.6 Attorneys' Fees. If either party files a lawsuit in connection with this Agreement, the prevailing party in such action shall be entitled to recover from the non­ Prevailing Party, in addition to all other remedies or damages as limited herein, reasonable­ attorneys' fees and costs of court incurred in such lawsuit. As used herein, "Prevailing Party" shall mean the party who substantially attains or defeats the relief sought, as the case may be, whether by compromise, settlement, judgment or the abandonment by the other party of its claim or defense.

11.7 Entire Agreement. This Agreement constitutes the entire agreement between the parties pertaining to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings of the parties in connection therewith. All "Exhibits" referenced herein and attached hereto are made a part hereof.

11.8 Multiple Counterparts. This Agreement may be executed simultaneously in two or more counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

11.9 Effective Dates: Dates. The Effective Date of this Agreement shall be the date defined as such on page one of this Agreement. Any act performable on an official United States Holiday or a Saturday or Sunday shall be performable on the next business day following such date.

11.10 Commission/Finders Fee. Each party represents and warrants to the other that no brokers or finders have been engaged by it in connected with the transactions contemplated by this Agreement or, to its knowledge, is in any way connection with such transaction. In the event of any claim for broker's or finder's fees or commissions in connection with the negotiation, execution or consummation of this Agreement, then each party shall indemnify, hold harmless and defend the other party from and against any such claim based upon any statement, representation or agreement made by, or allegedly made by, the indemnifying party or its broker.

11.11 Construction. The parties acknowledge that they have had the opportunity to be represented by counsel in connection with this transaction and that this Agreement shall be interpreted according to its fair construction and shall not be construed against either party.

If any provision of this Agreement shall for any reason be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provision hereof, and this Agreement shall be construed as if such invalid, illegal or unenforceable provision had not been contained herein.

11.13 Time of the Essence. Time is of the essence to this transaction.

11.14 Section 1031 Exchange.

11.14.1 Purchaser and Seller agree that either party may elect to structure the conveyance of the Property as an exchange pursuant to Section 1031 of the Internal Revenue Code 1986, as amended (the "Code"), provided that such party gives notice of such election to the other party at least five (5) days prior to the Closing Date, but in the event Purchaser elects to exchange, Seller shall receive cash at Closing. If such an exchange is elected by such party ("electing party"), the electing party and other party may enter into an exchange agreement acceptable to both Purchaser and Seller. As an alternative, the electing party may elect to enter into an exchange agreement with a third party to effect such exchange in accordance with Section 1031 of the Code. Neither party makes any representation or guarantee to the other that the transactions contemplated under this provision will result in any particular tax treatment to the other party, or will qualify as an exchange under Section 1031 of the Code. The electing party will assume all costs and expenses, including attorneys' fees, incurred in connection with such election to structure the transaction as an exchange in accordance with Section 1031 of the Code.

11.14.2 Seller and Purchaser agree that, at the request of the electing party, they will execute such agreements and other documents as may be necessary, in the reasonable opinion of respective counsel for the parties, to complete and otherwise effectuate the exchange of properties in accordance with Section 1031 of the Code. In no case shall Purchaser be required to accept a deed from anyone except Seller. The electing party hereby indemnifies and holds the non-exchanging party harmless in connection with any actual loss, cost or damages suffered by the non-exchanging party concerning or arising out of such exchange or deferred exchange, which indemnification shall survive the Closing hereof.

11.15 Confidentiality. From and after the Closing Date, Seller shall not to disclose to any third party any information regarding the terms of the sale of the Property to Purchaser, other than that information that would otherwise be available as public record. The above notwithstanding, Seller may disclose information regarding the terms of this proposed transaction to: (i) its attorneys; (ii) accountants, tax advisors, consultants and employees; (iii) real estate brokers, if any; and (iv) City Council and to the public as required by applicable law.

This Agreement shall be null and void unless executed and delivered by Seller to Purchaser within seven (7) days of the date this Agreement is executed by Purchaser.

11.17 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State in which the Property is located.

11.18 Condition of Property. Purchaser understands, agrees and acknowledges that the Property shall be conveyed to Purchaser on an "as-is", "where-is" condition and basis, including any environmental conditions associated with the Property and, except as otherwise expressly set forth in this Agreement, without any representations and warranties of any kind, express or implied, either oral or written, made by the Seller or any agent or representative of Seller with respect to the physical, environmental or structural condition of the Property, including, but not limited to, the layout, square footage or susceptibility to flooding, or with respect to the existence or absence of toxic or hazardous materials, substances or wastes in, on or under or affecting the Property. Seller and its agents hereby disclaim any implied warranties regarding fitness for a particular purpose, condition of improvements, quality or merchantability of the Property or any portion thereof. To the extent allowed by applicable law, the Seller shall have no responsibility to Purchaser for the monitoring, remediation, or presence of contamination on or at the Property as of the Closing Date, and Purchaser agrees that from and after the Closing Date, Purchaser will not bring any claim, or make any demand on the Seller, in a court of law or otherwise for damages, reimbursement, contributions, indemnification or otherwise relating to contamination on, at or migrating from or through the Property; provided, however, that the foregoing shall not limit Seller's liability or obligation, or otherwise limit or prohibit Purchaser from bringing a claim or other demand against Seller for damages, reimbursement, contributions, indemnification or otherwise for contamination on, at or migrating from or through the Property from any real property (or portion thereof) that Seller owns or otherwise controls adjacent to the Property.

11.19 No Seller Warranty or Representation - Environmental Conditions. The Seller makes no warranties or representations regarding, nor does it indemnify the Purchaser with respect to, the existence or nonexistence on or in the vicinity of the Property, or anywhere within the Tax Increment Financing District ("TIF District") within which the Property is located, of any toxic or hazardous substances or wastes, pollutants or contaminants (including, without limitation, asbestos, urea formaldehyde, the group of organic compounds known as polychlorinated biphenyls, petroleum products including gasoline, fuel oil, crude oil and various constituents of such products, or any hazardous substance as defined in the Comprehensive Environmental Response, Compensation and Liability Act of 1980 ("CERCLA"), 42 U.S.C. §§ 961-9657, as amended) (collectively, the "Hazardous Substances"). The foregoing disclaimer relates to any Hazardous Substance allegedly generated, treated, stored, released or disposed of, or otherwise placed, deposited in or located on or in the vicinity of the Property, or within the TIF District, as well as any activity claimed to have been undertaken on or in the vicinity of the Property or within the TIF District, that would cause or contribute to causing (1) the Property to become a treatment,

storage or disposal facility within the meaning ot: or otherwise bring the Property within the ambit ot: the Resource Conservation and Recovery Act of 1976 ("RCRA"), 42 U.S.C. §691 et seq., or any similar state law or local ordinance, (2) a release or threatened release of toxic or hazardous wastes or substances, pollutants or contaminants, from the Property, within the meaning of, or otherwise bring the Property within the ambit of, CERCLA, or any similar state law or local ordinance, or (3) the discharge of pollutants or effluents into any water source or system, the dredging or filling of any waters or the discharge into the air of any emissions, that would require a permit under the Federal Water Pollution Control Act, 33 U.S.C. § 1251 et seq., or any similar state law or local ordinance. Further, the Seller makes no warranties or representations regarding, nor does the Seller indemnify the Purchaser with respect to, the existence or nonexistence on or in the vicinity of the Project, or anywhere within the Property or the TIF District, of any substances or conditions in or on the Property, that may support a claim or cause of action under RCRA, CERCLA, or any other federal, state or local environmental statutes, regulations, ordinances or other environmental regulatory requirements. The Seller makes no representations or warranties regarding the existence of any above ground or underground tanks in or about the Property, or whether any above or underground tanks have been located under, in or about the Property, have subsequently been removed or filled.

11.20 Waiver by Purchaser. Purchaser waives any claims against the Seller, and its members and officials, for indemnification, contribution, reimbursement or other payments arising under federal, state and common law or relating to the environmental condition of the land comprising the Property.

11.21 Ambiguities. Seller, Purchaser and their respective attorneys have participated in the drafting of this Agreement and neither Party shall be considered the "drafter" for the purpose of any statute, case, or rule of construction that might cause any provision to be construed against the drafter of the Agreement.

BACKGROUND

MD Oak Forest, LLC is requesting support for their application for a Class 8 Tax Incentive for commercial property located at 5418 W. 159th Street. As part of the redevelopment agreement between the City and MD Oak Forest, LLC, the Class 8 Incentive is needed to make the project economics viable for construction and occupation of the facility.

ACfiON REQUESTED Approval of a resolution issuing support for a Class 8 classification for the property located at 5418 W. 1 159 h Street.

RECOMMENDATION On July 2, 2010, the EAC recommended support of the Cook County Assessor's Class 8 incentive. The Community Development Department supports the application to the Cook County Assessor, for Class 8 1 classification for the property located at 5418 W. 159 h Street. Without reservation, Community Development recommends and supports the passage of Resolution 2014-07-239R with the required votes of the City Council. RESOLUTION NO. 2014-07-0239R

BE IT RESOLVED by the Mayor and City Council of the City of Oak Forest, Cook County, Illinois, THAT:

A RESOLUTION SUPPORTING AND CONSENTING TO APPLICATION TO THE COOK COUNTY ASSESSOR OF A CLASS 8 PROPERTY TAX INCENTIVE APPLICATION FOR THE PROPERTY COMMONLY KNOWN AS 5418 WEST 159TH STREET

shall be, and is hereby, adopted as follows:

Section 1. BACKGROUND.

The City of Oak Forest ("City''), is the owner of a vacant parcel of real estate commonly known as 5418 West 159th Street, which property is located in the City, in Bremen Township, and is legally described in Exhibit A, attached to and, by this reference, made a part of this Resolution ("Property''). The Permanent Index Number/s of the Property is/are as set forth on Exhibit A.

Upon passage of this Resolution the City intends to enter into a Purchase Agreement with MD Oak Forest, LLC, an Illinois limited liability company, ("Purchaser") for the sale and conveyance of the Property to the Purchaser.

The Purchaser has received approval from the City pursuant to a Redevelopment Agreement dated January 28, 2014 to construct a commercial building upon the Property. In order to ensure that the commercial building construction upon the Property is viable, the Purchaser desires to apply for and obtain a Class 8 property tax incentive classification the Property from the Cook County Assessor.

The Property is located along one of the City's main commercial thoroughfares. The Purchaser wishes to develop in the City and locate a 37,000 square foot building with a health fitness facility upon the Property. The tax incentive is one of the main reasons to develop and locate the health fitness facility operation in Cook County and upon this Property. The City, by adoption of this Resolution, expressly supports and consents to the Owner applying for and receiving a Class 8 property tax incentive classification for this Property and finds that such property tax incentive is necessary for the development to occur on the Property.

Section 2. SUPPORT AND CONSENT.

Subject to the conditions set forth in Section 3 of this Resolution, the corporate authorities hereby support and consent to the Purchaser applying for and receiving a Class 8 property tax incentive classification for the Property and find that such property tax incentive is necessary to facilitate the Purchaser's proposed development of the Property. The City further finds that this specific project is consistent with the City's overall plan for rehabilitation of the area. Section 3. CONDITION.

The approval granted in Section 2 of this Resolution shall be limited to the initial period of the Class 8 property tax incentive period established by the Assessor, and shall in no way extend to any subsequent application by the Owner for an extension of the Class 8 assessment classification for the Property that may be offered by the Assessor unless the City supports the renewal of the tax incentive. Introduction

Phase 1 of Oak Forest's Marketing and Public Relations Initiative Project included analysis of current conditions that identified the unique attributes of the City's residential character and culture, community aspirations and marketplace opportunities. Collectively, this analysis provided the framework for the development of a community guided, market supported brand positioning statement that clearly differentiates Oak Forest from other communities.

This memorandum details the results of project work thus far, guidance provided by the Economic Advisory Council, and the proposed brand position statement and brand promise. In the second phase of Oak Forest's Marketing and Public Relations Initiative project, a marketing plan that includes preliminary recommended strategies for media, public relations and events will be prepared. In addition, a branding plan that includes a visual identity system comprised of graphic elements (logo/symbol, typography and colors) will be developed.

At its most basic, marketing is a promise, the gut feeling one has about the quality of an entity when they see it graphically or physically represented in an application such as a logo, package, website, sign or building. Branding, by extension, is simply the act of managing the marketing promise.

Defining a brand promise for Oak Forest is ideally the starting point of a management practice that evolves as conditions change over time. In short, the initial brand positioning for Oak Forest should not be viewed as static or etched in stone. One of the basic rules of marketing is to never promise something that cannot be delivered. As the variables that define the Oak Forest product and experience change, so must the brand promise change to remain valid.

Like all good marketing, the core promise for Oak Forest should be simple, direct, easy to understand and easy to communicate. The brand promise should also differentiate the City from marketplace competitors by incorporating and leveraging assets that make the community truly unique.

Perhaps most importantly, Oak Forest's marketing program must be perceived as authentic by the various audiences who interact with the community. Internal audiences such as current residents and other community stakeholders are especially critical because they are among those who experience the brand most directly and frequently on a daily basis. Marketing programs fo r communities emerge where resources , marketplace opportunities and community aspirations al ign. Each has a key role in deve loping and positioning an authentic Oak Forest brand.

For example, community members may exp ress a desire to incorporate certain qualities or features into the City's product and experi ence- howeve r, if those aspiration s cannot be supported by ava ilab le resources or marketplace opportu niti es , th en the marketing progra m will likely fail to del iver on its promise .

That said , a placebrand promise can include aspirational elements- but those managing the brand must clearly and consistently demonstrate that the aspirational element is being supported on a continuing basis over time. Key Community Assets Summary

Analysis for this project included a community survey, a review of existing plans and data, site surveys and photo documentation, personal interviews with stakeholders and guidance provided by Oak Forest's Economic Advisory Council.

From tl1is analysis, the BDI Team identified a number of community assets that define the City's existing profile and character. These. along with community aspirations, have been organized to align with placebrand dimensions described on the previous page and that are listed below.

An important aspect of effective branding is the concept of "differentiation"- the degree to which a brand's key attributes are seen to be distinctly different from those of competitors. While many of Oak Forest's assets and strengths are shared by other peer communities, others are more unique to the City and can be used to help define a distinctive brand position. Assets that are especially distinctive have been highlighted in blue.

Brand Position Oak Forest's distinctive geographic location, cradled in forest preserves just 20 miles from the heart of the Loop, provides residents with a range of conveniences that enhance their overall quality of life.

With easy access via both Metra trains and 1-57, commuters save hours each week that can be spent with family and friends. While a variety of attractive shopping and dining options are just minutes away, Oak Forest does not have the daily traffic congestion of many suburban communities. Residents also have easy access to numerous family friendly recreational amenities that surround the community, including miles of off road bicycle trails, the celebrated George Dunn Golf Course and Gaelic Park. The City's many well regarded schools and parks are easy for nearby neighbors to reach, as are the local festivals and events that foster a strong sense of community and distinctive pride of place.

Whether it's access to regional amenities, Downtown Chicago or simply the friends next door, Oak Forest residents and families can justifiably boast that they are always "close to home."

We studied the positioning and marketing platforms, inclusive of residential and commercial properties, for the communities we listed in the EAC workshop to help guide the differentiating positioning for Oak Forest. and seek any models to follow. The suburbs reviewed were:

Neighboring Southwest Suburbs: • Country Club Hills • Crestwood • Markham • Midlothian • Orland Park • Tinley Park

Suburbs within a 20-mile Metra radius: • Downers Grove • Lombard • Mount Prospect • Wood Dale • Glenview

In the Southwest suburbs, virtually all the neighbors tout proximity to Chicago (20 miles), but none have a platform consistent with today's marketing standards which recognize the importance of tablet and cell phone use to search the internet. Also, importantly, most did not have a strong and consistent marketing position. The same holds true for the Metra 20 suburbs, although some interesting ideas were found. This presents an opportunity for Oak Forest.

On the following pages are summaries of the most relevant suburbs:

50 Tinley Park Not surprisingly, Tinley Park had the most robust and informative website and was one of the few with a tagline: "Profit Center of the Great Southwest. " The identity image depicts transportation (rail and road). However, it is graphically complex and will not work in all marketing environments. With its business testimonials and welcoming "living" information, the Village does a good job marketing itself for business and living .

Country Club Hills Worth noting as it is one of the few with a tagline (actually two)- "Crossroads of Opportunity" and "Honoring our future while embracing our past," and has a logo clearly implying location and access. They seem to be successful in community engagement as their social media sites were fairly active.

51 Orland Park The Village does not have a positioning platform that ties business and living together. Downtown Orland Park and Recreation and Parks have their own iconic images. The number of events shows strong community activities and the messages touts its ranking as a "best place to live" (as do several suburbs) , shopping and quality of life.

Mount Prospect The Village has a very dated image and no real positioning platform other than "Experience Mount Prospect. " On the business side, however, its "Entrepreneur's Cafe'' is very enticing. A collaboration of the Village , Chamber, Small Business Development Center, Downtown Merchants Association and the Library presents educational seminars to help prospective new businesses.

52 The following suburbs were found to be not especially relevant when creating a differentiating market position for Oak Forest:

Palos Park: Old-looking typeface and little economic development information or social involvement.

Downers Grove: Not impressive- identity icon (tree) doesn't work even on a computer and the website is confusing. For business information, the EDC does a decent job, but its graphics are old and tired.

Crestwood: Not much on anything, and the first item in "news" is "Water Crisis.''

Markham: Has a tagline- "Prairie Capital of the Prairie State" but there is no explanation as to why it is used.

Midlothian: Dated typeface and no real positioning. Of interest is their "what's your idea" section for all aspects of living and working in the Village. Could be a way to help keep up to date on the community issues.

Glenview: No real poisoning and the seal as an identity icon doesn't work.

Itasca: Logo type not iconic, and there is no positioning other than the statement: "Committed to our Future, Inspired by our Past."

Lombard: Surprisingly not overly inviting. It is packed with information, but not friendly- just from one list to the next and there is no consistent positioning. (It is all about lilacs.)
