Chaney, do hereby state as follows: 12

1 . I am an Assistant County Counsel for the Lane County Office of Legal Counsel, 13

and I make this Declaration in support of Lane County's Motion for Summary Judgment. 14

15 2. The City of Eugene, Lane County, and the Urban Renewal Agency of the City of

16 Eugene entered into a purchase and sale agreement on August 31, 2107 for the sale and exchange

17 of properties in downtown Eugene.

18 3. The County property that is being sold under the purchase and sale agreement

19 consists of two parcels of land which, taken together, constitute a half-block property bounded

20 on the north and south by 7th and 8th Avenues and on the east and west by Oak Street and West

21 Park Street, and known locally as the "Butterfly Lot." 22 4. I researched the issues of potential restrictions or limitations on the title to the 23 County properties to be sold to the the City and Urban Renewal Agency under the purchase and 24 agreement that could restrict the use of that property for the purposes intended, or might prevent 25

In the 1 2 course of that research I located a number of historic documents and public records, and base the

^ subsequent statements in this declaration upon my review of those documents.

4 5. I prepared a sequential list (a "timeline") of all events for which I have

5 documentation that have potential relevance to interpretation of the Skinner deed and possible

6 restrictions on the Butterfly Lot. A copy of that timeline is attached to this declaration as Exhibit

^ " 1 " and by this reference incorporated herein.

8 6. A Congressional Act dated May 26, 1824, granted counties of each state and

9 . . . territory the right of pre-emption to one-quarter section of land "for the establishment of seats of

10 justice therein," provided that "the proceeds of the sale of each said quarter sections shall be 11 appropriated for the purpose of erecting public buildings." A copy of the Congressional Act is 12 attached as Exhibit "2" and by this reference incorporated herein. 13 7. Lane County was established in 1851 by the Oregon Territorial Legislature. 14

8. Eugene F. Skinner filed a claim for 640 acres of land with the Office of the 15

16 Surveyor General of Oregon on April 27, 1853. I obtained from the U.S. Archives' Seattle

17 Regional Office a certified copy of the entire claim filed by Skinner on behalf of himself and his

18 wife, the original of which is in the custody of the Lane County Historical Museum. A complete

19 copy of that claim file is attached as Exhibit "3" and by this reference incorporated herein.

20 9. An Act of the Oregon Territorial Legislature passed in January 1 853 established a

21 method for the selection of a county seat for Lane County. Based on that law, the Board of

22 Commissioners of Lane County (the Board) selected Eugene City as the location for the county 23 seat on July 6, 1853. 24 10. In recognition of promised donations of 40 acres of land from each of two 25

2 1854. However, but the property description contained in the order does not correspond to the

4 location of the Square on the plat describe any particular parcel with certainty.

5 11. On April 12, 1856, the Board ordered that the Skinners' $25,000 bond

6 guaranteeing their donation of 40 acres of land be recorded.

7 12. On July 12, 1856 the Board accepted a deed from the Skinners, and a deed from

8 the Skinners granting 40 acres of land to the County was dated and recorded the same day.

9 13. On August 29, 1860, the Surveyor General's Office issued a patent 10 to Eugene and Mary Skinner for their land claim. 11 14. A deed was recorded on March 14, 1862 from the Skinners granting the same 40 12 acres of land to the County as the 1856 deed. That second deed, as recorded, bears the date May 13

17, 1855. 14

15. In 1883 or 1884, the City of Eugene constructed a city hall-fire station on the 15

16 southwest corner of the Butterfly Lot within the public square.

17 16. Commencing in 1884, with periodic updates, the Sanborn Map Company

18 prepared fire insurance maps for Eugene, Oregon detailing the location and uses of all buildings

19 within the City for fire insurance purposes. A copy of all five Sanborn Fire Insurance Maps

20 issued from 1884 through 1925 showing the uses of the Butterfly Lot property is attached as

21 Exhibit "4", and by this reference incorporated herein.

22 17. In 1895, Lane County constructed a new county jail on the southeast corner of the 23 Butterfly Lot property within the public square, replacing earlier jails that had occupied the same 24 site since 1853. 25

In 1896, the Board of County Commissioners formally dedicated as a "public 1 2 square" the area used for that purpose since 1854, and ordered the dedication surveyed and

2 recorded on March 21, 1 896.

4 19. A group of plaintiffs led by Joseph Davis sued the City of Eugene and the Lane

5 County Board of Commissioners in Lane County Circuit Court in 1 897, seeking to compel the

6 removal of portions of 8th Avenue and Oak Street to restore the public square to an undivided

7 condition. The suit dismissed in 1 899, and the Court's records related to the action are omitted in

8 the Court's microfilm archive. However, the Lane County Historical Museum retains an original

9 ...... copy of the City of Eugene's litigation file, including a copy of the plaintiffs' revised complaint 10 and sworn depositions taken in the case. 11 20. In 1898 Lane County constructed a new county courthouse on the northeast 12 corner of 8th Avenue and Oak Street, within the public square at the present location of the 13 Morse Plaza. 14

21. The Board vacated the outer 34' of the dedicated road around the public square on 15

16 October 10, 1899, and sold the vacated portion of the roadway to the adjacent property owners.

17 22. The Board ordered on October 20, 1908, that an action be commenced against the

18 City of Eugene to force the City to remove its city hall-fire station and city jail from the

19 southwest portion of the Butterfly Lot property.

20 23. The Board renewed its October 20, 1908 order regarding removal of the City

21 structures on October 10, 1909.

22 24. Lane County has retained continuous ownership of the Butterfly Lot property 23 since the County obtained title from the Skinners, with the exception of four lots and a portion of 24 vacated street right-of-way that were sold by the County to third parties and which, taken 25

25. District Attorney Eugene C. Venn submitted a formal opinion memorandum to 2

3 the Lane County Board of Commissioners dated November 8, 1954 giving his opinion on the

4 legality of selling one of the southerly park blocks to the City of Eugene as a site for a city

5 library. A copy of that memorandum is attached as Exhibit "5" and by this reference incorporated

6 herein.

7 26. The Board vacated the remaining 66 foot width of North Park Street right-of-way

8 on December 26, 1958, the portion of which between Oak Street and West Park Street is now

9 incorporated into the Butterfly Lot.

10 27. Lane County had a parking structure built on the Butterfly Lot, completed in 11 1959. 12 28. Lane County and City of Eugene staff held meetings in 2006 and 2007 to explore 13 the possibility of selling the Butterfly Lot to the City of Eugene as a site for construction of a 14

new city hall. 15

29. At the request of Lane County Circuit Court Presiding Judge Mary Ann Bearden, 16

17 the Court Administrator sent a letter addressed to the Lane County Commissioners, County

18 Administrator, City of Eugene Mayor, and the City Manager dated May 25, 2007, expressing the

19 Presiding Judge's opinion that the proposed sale was prohibited by a restriction contained in the

20 County's deed to the property from the Skinners. A copy of that letter is attached as Exhibit "6"

21 and by this reference incorporated herein.

22 30. The recording of both deeds from the Skinners, both in 1856 and 1862, was 23 handwritten in the Lane County Deed Books. I prepared a transcription of each deed, from 1856 24 and 1862, respectively. A copy of those transcriptions are attached as Exhibits "7" and 8, 25

With respect to the limitations of O.S.S. 275.550:

(a) A special or general election by the voters of Lane County authorizing disposition of the property in question would release the County from tee action of the County Court of December 7, 1854.

Cb) An absolute gift of the property or a lease for nominal consideration is permissible where a public purpose is the motivation for the transaction.

(d) There are possibilities for joint agreements between the County and the City which may or may not evolve a transfer of interests in the land by virtue of the statutory permission given in O.S.S. 190.010 and 190.040.

Kith respect to limitations in the Mulligan Deeds:

At your request this office submits herewith this memorandum regarding possible allocation of County property to the City of Eugene to be used in connection with a proposed City Library, the specific property being the Southeast Park block located in the public square.

At the present writing this office is not advised of any specific plan or proposal regarding this matter. This memorandum, therefore, embraces only the general problems which will confront the governmental agencies involved in future planning. Be advised at the outset, however, that this office is of the opinion that a workable plan can be effected, though the form of that plan must be left to future study and deliberation.

1. The State of Oregon has upon its books legislation relating to the limitation of the power of alienation by the county in certain situations. One such piece of legislation is C.8.S. 275.323. This statute cannot be assumed to be obsolete nor forgotten, since the legislature has dealt with it by way of amendment as recently as the 1951 session.

The statute provides, in part:

"(1) Upon the entry of an order by the county court setting aside the real property for county forest, public park or recreational area, the lands shall be set apart for such use and thereafter way not be alienated by county court for any purpose unless authorized by a majority of the voters of the county in a regular or special election, arceot that the county court way convey the lands to the state, or an incor porated city or town or the United States Government for, nubile use; provided that such conveyance may be made without the payment of compensation,, . (Then follows provisions for relief from tarnation of lands so conveyed and providing for agreements as to management of timber lands. Section (2) relates to procedures of the court as to publication of notice, hearing and orders.)

It appears that on December 7, 1954, the county court, consisting of the three county commissioners, did cause an order to be entered setting aside the particular

. area as a park and recreational area. Assuming that the 1854 proceedings are legally unimpeachable, the statute has apparent application to the problem at hand.

(a) A special or general election by the voters of Lane County authorizing disposition of the property in question would release the county from the 1354 order and the apparent restrictions of . the statute.

A deed (b) without consideration, i.e • » a gift of the property to the City is permissible where a public purpose is the motivation of the transaction.

2. The question arises as to whether or not some transfer of an interest in the property in question can be accomplished whereby the county can receive reasonable remuneration.

This office calls your attention to the term "alienated" in the statute. While there is no case reported from the Oregon Supreme Court interpreting this term, or any other term of the statute, and while there is no comparable legislation in other states which has received judicial interpretation, the word "alienate" has been interpreted in slightly different contexts by the courts in other states. These cases indicate a positive split of authority as to the proper interpretation of the word "alienate" as it may appear in deeds, wills, corporation charters, ordinances or statutes. Some of the cases adhere to the proposition that "alienation" contemplates an absolute surrender and parting of title to the property, and acts short of such divestment of title, while they ore usually accomplished by some form of conveyance, are not properly denominated as an "alienation".

Contrary authority holds that an alienation results from any voluntary transfer of an interest in land, as distinguished from transfers by operation of law, as, for example, passing of title by testate or intestate succession. Rathbun v. Allen. 7 A2d 273. 275. 63 R.I. 109. and others.

(a) From the foregoing authorities it is concluded by this office that an absolute deed giving all right, title and interest, or a free hold interest, to the grantee must be done by way of a gift and for a public purpose as indicated in l.(a) above, but that a lease was not intended by the legislature to be an "alienation". C onsequently a lease for an extended period of time may be permissible under the statute even though the county receives valuable consideration and remuneration for such lease.

3. Your attention is next invited to the tern "conveyance" used in the "exception clause" and the "proviso clause" of the statute under consideration. Here the legislature has departed from the use of the term "alienated" and employed the term "conveyance" and the question is presented whether, in doing so, the legislature intended to include leases as well as deeds within the prohibition of the statute.

The Oregon Supreme Court has enunciated the rule of law that a lease is a conveyance of lands and tenements by a person for life or years and may be conveyed by deed. (122 Or. 285. T927). This proposition is recognized in the discussion above with respect to the term "alienated" wherein it is acknowledged that a lease may be done by conveyance and still not amount to an alienation.

But a lease is also a contract, and it is a fundamental proposition of law that it must be supported by consideration to have binding legal effect. Young v. Neill et al. £90 Or. 161 Bevan v. Tenoleman et al„ 145 Or. 279, 289 Bingham v. Honsysian. 32 Or. 129 Naves v. Staaff, 5 Or. 129 " Feaster v. Fa.tsn. 113 N.TJ. 476, 135 Iowa 633 Ward v. American Health Food Co. 96 TMV. 3G3, 391. 119 : • , 12 Thus, while a tenancy for years may be limited by deed, the landlord- tenant relationship has as one of its cardinal features, the return of consideration by the tenant, the. City in this instance.

If the Oregon Supreme Court were to adopt this interpretation, the statutory interpretation as to the proviso clause would result in the conclusion that the legislature intended the terms "alienated" and "conveyance" in this statute to apply to total divestments of the County's interest in land, and not to leases, since the proviso. is that the "conveyance" be without consideration. The legislature could not have intended the lease to be without consideration, since it would then be no lease at all. Consequently, the statute does not forbid a leasing agreement for valuable considerati on.

(a) It is the opinion of this office, therefore, that a 99 years . . lease at reasonable rental is not prohibited by this statute but cautions that it would be wise to obtain a declaratory judgment of the rights of the parties before extensive expenditures are made.

4. You may also be advised that the position of the City and County in this matter may be strengthened by the fact that a beneficial public purpose is the objective of the proposals. Judicial favoritism for furthering a public purpose is commonplace. Illustrative of this is tSie dictum of the New York Court in discussing a lease of City lands in the face of a statute prohibiting "alienation";

. . it cannot be accurately said that a lease of the public property specified in section 71 is void, if it necessarily carries out a public purpose authorized in any other section,"

Unfortunately, the Court saw no fundamental public purpose being served in t^e'New for?; situation, which this office feels is contrary to the situation now at hand in Lane County, . .

5. If you choose to reject the plans suggested above, it slight be well to consider the possibility of an over-all agreement between the City of Eugene and Lane County, By Statute, local governments are given authority to enter agreements for going performance of functions.

Oregon Revised Statutes 190.010 provides:

"Municipalities, districts or commissions situated in any county or counties, may, whenever it is deemed for their best interests, enter into written agreements with such county or counties, or with each other, for the joint performance of any and all similar admini strative functions and activities of their local governments through consolidated agencies, or by means of institutions, buildings, swimming pools or other recreational or educational facilities and equipment jointly constructed, owned, leased or operated.*1

Oregon Revised Statutes 190.040 provides:

"Wo agreement authorized by 0.8,3. 190.010 shall be entered into for a period of more than two years from the date thereof; but such agree ments may be renewed for' a period of not exceeding two years at any one time, The limitation prescribed in this section is not applicable to contracts to jointly own, cos struct; maintain and operate public paries, athletic fields, swimming pools, other types of recreational or educational facilities and equipment or couaty and city governmental buildings."

These statutory provisions have not received judicial interpretation but merited the attention of the State Legislature as recently as the 1953 session.

6, You have also inquired concerning the possible restrictions as to the use which the County can make of this property contained in the original deed to the Court from Charnel Mulligan and wife.

An examination of the deed on record shows the following as the only possible language in the deed which could be construed as a restriction!

"i'/itnesseth: That the said party of the first part for and in consideration of the sura of one dollar to them in hand paid, the receipt whereof is hereby acknowledged and for the futther consideration that Eugene City; Seat of Justice for said County of Lane has been located, partly thereon, have bargained and sold by these presents. .

The Oregon Supreme Court has adhered to the rule espoused by the great weight of authority in this country that restrictive covenants in deeds are to be strictly construed. The Court has said:

"And an estate upon condition cannot be created by deed, except where the terras of the grant will admit of no other reasonable interpretation... Our conclusions on this point are strengthened by the fact that the appellants are invoking a technical rule of the common law, which rule has never been favored by the courts, but is always construed strictly." Halev v. Umatilla County. 15 0r„ ISO. 181.

The reason for this rule is that the courts ajbhor a forfeiture which would result if a restriction were allowed liberal interpretation. See excellent analysis in Estates and Conditions Suhsecr.'-ent and Estates on Special Limitation, by Kenneth J. O'Connel, Professor of Law, University of Oregon, College of Law, 18 Oregon Law keview 63 at o. 76.

Of great importance also is the fact that the Mulligan deeds were granted for a public purpose. This circumstance has been taken by the Oregon Supreme Cottrt as an indication that a forfeiture is not intended by conditional or limiting words in i the deed. City of Portland v. Terwilliger . 16 Or, 465. •

(a) It is the opinion of this office that the words quoted above from the Mulligan deeds is non-restrictive in nature.

(b) It is the opinion of this office that claims asserted on the basis of this language could be successfully defeated should litigation arise.

Please accept this letter as notification that Lane County Circuit Court and the Oregon Judicial Branch oppose the proposed sale of the property commonly referred to as the "Butterfly Lot", the lot bordered by 8Ih Avenue, Oak Street, West Park and 7th Avenue.

As you know, the Butterfly Lot is part of a donation land claim transferred to Lane County in 1 854 from Eugene and Mary Skinner with specific, permanent, and exclusive deed restrictions. Those deed restrictions include the restriction that "the transfer was made in consideration of and on the condition that the permanent seat ofjustice for said County of Lane be located thereon." It is the position of Presiding Judge Mary Ann Bearden that the proposed sale would violate the deed restrictions. The lot is currently in use for courthouse purposes for the County seat of

In addition, the County and the Court have long-standing plans to build the new courthouse on this lot.

The proposed sale of the lot to the City of Eugene for the construction of a new City Hall, or for any other City of Eugene purpose, is prohibited by the deed itself and, accordingly, is unacceptable to the Court. The Presiding Judge is opposed the proposed sale, has employed counsel, and will take any necessary legal steps to ensure that the deed restrictions are enforced.

! respectfully suggest that the County Commissioners ask for a legal opinion from County Counsel on this matter before pursuing the sale of this lot.
