Appendix A Fine Arts Museums of San Francisco Board of Trustees March 10, 2020 DRAFT MINUTES Fine Arts Museums of San Francisco Board of Trustees Tuesday, March 10, 2020 Call to Order A regular meeting of the Fine Arts Museums of San Francisco Board of Trustees was held on Tuesday, March 10, 2020 in the Piazzoni Murals Room at the de Young Museum. The meeting was called to order at 3:10 p.m. by Diane B. Wilsey, Chair Emerita. There were no comments from the public. The minutes of the January 14, 2020 meeting of the Board of Trustees, having been delivered in advance to all trustees, were unanimously approved. Report of the President – Jason Moment, President Mr. Moment welcomed Trustees, and introduced Marc Cruciger, Chair of the Fine Arts Museums Foundation Acquisitions Committee, to present the Committee’s report. Report of the Acquisitions Committee – Marc P. Cruciger, M.D., Chair Dr. Cruciger presented the report of the Acquisitions Committee (see Appendix I – Acquisitions Committee Report). On motion, duly seconded the report of the Committee was approved, gifts and purchases were accepted by FAMSF and first and second step deaccessions were approved by FAMSF. Report of the Director of Museums Mr. Moment called upon Director Campbell for his report on Museum programs. With the onset of COVID-19, Mr. Campbell described steps that FAMSF is planning to have non-essential staff work from home and increased safety protocols that are being implemented for visitors and front line staff. Docent tours and group tours are temporarily suspended and the de Youngsters Studio is closed. There are currently no plans to close the museums. He updated Trustees on critical infrastructure work at the museums. In the de Young’s Fern Court, exterior frames and columns which had corroded have been repainted. More serious corrosion had been discovered in mfamsfbt2019.03.10 Fine Arts Museums of San Francisco Board of Trustees March 10, 2020 the de Young Tower structure. Swinerton is contracted to perform a mock-up of how the remediation work can be accomplished. Consultants are advising the museum on engineering-related concerns and are performing independent testing and inspection of the remediation work. As masonry repair continues at the Legion of Honor, the restoration of the frieze is nearly complete. Mr. Campbell proceeded to report on exhibition attendance and recent press attention related to current exhibitions, including James Tissot: Fashion & Faith (attendance 92,397) and Soul of a Nation: Art in the Age of Black Power (attendance to date 98,413). On Soul of a Nation Free Saturdays, 19,600 visitors have attended, free of charge. Mr. Campbell provided brief updates on current exhibitions, including Alexandre Singh: A Gothic Tale; Uncanny Valley: Being Human in the Age of AI, and on Frida Kahlo: Appearances Can Be Deceiving, which opens March 21, 2020. Upcoming exhibitions are: Last Supper in Pompeii: From the Table to the Grave, April 18, 202 – August 3o, 2020 at the Legion of Honor Judy Chicago: A Retrospective, May 9 – September 6, 2020 at the de Young Gabrielle Chanel, November 7, 2020- March 21, 2021 Rembrandt: The Rebel and His World, Masterpieces from the Rijksmuseum, October 10, 2020 – January 24, 2021 Mr. Campbell reported on the continuing success of the Fine Arts Museums’ Free Saturday’s program. Saturday attendance at the de Young has increased 52% since October 2019 and attendance at the Legion of Honor has increased 54%. First time visitors have increased by 70%, families by 60% and visitation by people with incomes below $25,000 has increased by 99%. There was no discussion among Trustees. There was no public comment. Report of the Chief Financial Officer (CFO) Mr. Moment called upon CFO, Jason Seifer, to provide a Financial Report on the fiscal year 2019-20 budget year to date and on the City Budget timeline, detailed in Appendix II. There was no discussion among Trustees. There were no comments from the public. Funding Expended Mr. Seifer proposed the following resolution: WHEREAS, The Corporation of the Fine Arts Museums is a 501(c)(3) not-for-profit corporation that exist to support the activities of the Fine Arts Museums of San Francisco; now, therefore, be it RESOLVED, That the Board of Trustees of the Fine Arts Museums of San Francisco does hereby acknowledge with gratitude funding in the amount of $10,340,450 expended by the Corporation of the Fine Arts Museums for operations during the period July 1, 2019 through September 30, 2019. mfamsfbt2019.03.10 Fine Arts Museums of San Francisco Board of Trustees March 10, 2020 Upon motion, duly seconded, there was no discussion among Trustees. There were no comments from the public. Trustees voted unanimously to approve the above resolution as Board Resolution 1894. History of the de Young Presentation Director Campbell presented a history of the de Young museum, leading up to its 125th Anniversary in 2020.
