For an explanation of certain tax consequences under federal law which may result from the ownership of the Series 2014 Bonds, see the discussion under the heading "Tax Matters" herein. Under existing law, the Series 2014 Bonds and the income therefrom will be exempt from all state, county and municipal taxation in the State of Tennessee, except inheritance, transfer and estate taxes, and Tennessee franchise and excise taxes.
