TO BE EXECUTED AS A DEED DEFINITIONS AGREEMENT SECRETARY OF STATE FOR TRANSPORT (1) and WELSH MINISTERS (2) 1 45763.11 THIS DEFINITIONS AGREEMENT is dated 2018 BETWEEN (1) THE SECRETARY OF STATE FOR TRANSPORT whose principal address is Great Minster House, 33 Horseferry Road, London SW1P 4DR (the “Secretary of State”); and (2) WELSH MINISTERS whose principal place of business is Crown Building, Cathays Park, Cardiff CF10 3NQ ("Welsh Ministers)" (including, as appropriate, Affiliates or subsidiaries of Welsh Ministers acting on its behalf), each a “Party” and together the “Parties”. WHEREAS: (A) The Secretary of State and Welsh Ministers propose to enter into a number of agreements (the “Wales & Borders Agreements”) in connection with Welsh Ministers acting as agent for the Secretary of State in respect of certain English services which are specified in a Welsh franchise agreement. (B) The Secretary of State and Welsh Ministers wish to set out in this Agreement, definitions of the terms used in the Wales & Borders Agreements. NOW IT IS AGREED as follows: 1. CONSTRUCTION AND INTERPRETATION In the Wales & Borders Agreements, except to the extent the context otherwise requires: (a) words and expressions defined in the Railways Act have the same meanings when used therein provided that, except to the extent expressly stated, “railway” shall not have the wider meaning attributed to it by Section 81(2) of the Act; (b) words and expressions defined in the Interpretation Act 1978 have the same meanings when used in the Wales & Borders Agreements; -

Passenger train and station operators are required to have complaint handling procedures, approved by the Rail Regulator (before 1 February 2001) or by the Authority (after 1 February 2001), in place from commencement of licensed operations. 2. Operators may propose whatever procedures best suit the needs and expectations of their customers and the requirements of their businesses. However, this guidance document sets out fundamental principles which the Authority will expect to see reflected in any complaint handling procedure submitted to it for approval and the way in which those principles should be incorporated into operators’ procedures. Whilst this guidance document imposes no absolute requirements upon licensed operators, the Strategic Rail Authority will, as far as possible, measure complaint handling procedures proposed by operators against the contents of this guidance. DIRECTIONS AND GUIDANCE to the Strategic Rail Authority ESTABLISHMENT OF THE STRATEGIC RAIL AUTHORITY 1. The Strategic Rail Authority (“the Authority”) has been established under section 201(1) of the Transport Act 2000 (“the Act”) as a body corporate. PURPOSES OF THE STRATEGIC RAIL AUTHORITY 2.1. The Authority is to provide leadership for the rail industry and ensure that the industry works co-operatively towards common goals. This objective should underpin the whole range of the Authority’s activities. The Authority will set priorities for the successful operation and development of the railway. It will work with other industry parties to secure continuing private investment in the railway, and to deploy public funding to best effect. To this end, the Authority has been given a wide range of statutory powers and duties. 2.2. Section 205 of the Act sets out the Authority’s purposes as: • to promote the use of the railway network for the carriage of passengers and goods; • to secure the development of the railway network; and • to contribute to the development of an integrated system of transport for passengers and goods. 2.3. Section 207 of the Act requires the Authority to exercise its functions with a view to furthering its purposes and it must do so in accordance with any strategies that it has formulated with respect to them. In so doing the Authority must act in the way best calculated: • to protect the interests of users of railway services; • to contribute to the achievement of sustainable development; 1 • to promote efficiency and economy on the part of persons providing railway services; • to promote measures designed to facilitate passenger journeys involving more than one operator (including, in particular, arrangements for the issue and use of through tickets); • to impose on operators of railway services the minimum restrictions consistent with the performance of its functions; and • to enable providers of rail services to plan their businesses with a reasonable degree of assurance. -

A Rail Manifesto for London The new covered walkway linking Hackney Central and Hackney Downs stations creates an interchange which provides a better connection and more journey opportunities March 2016 A Rail Manifesto for London Railfuture1 seeks to inform and influence the development of transport policies and practices nationally and locally. We offer candidates for the 2016 London Mayoral and Assembly elections this manifesto2, which represents a distillation of the electorate’s aspirations for a developing railway for London, for delivery during the next four years or to be prepared for delivery during the following period of office. Executive Summary Recognising the importance of all rail-based transport to the economy of London and to its residents, commuters and visitors alike, Railfuture wishes to see holistic and coherent rail services across all of London, integrated with all other public transport, with common fares and conditions. Achieving this is covered by the following 10 policy themes: 1. Services in London the Mayor should take over. The 2007 transfer of some National Rail services to TfL has been a huge success, transforming some of the worst services in London into some of the best performing. Railfuture believes it is right that the Mayor should take over responsibility for more rail services in London, either by transferring service operation to TfL or by TfL specifying service levels to the operator, and that this must benefit all of London. 2. Improved Services. Frequencies play an important role in the success of metro and suburban train services. We believe that the Mayor should set out the minimum standards of service levels across London seven days per week for all rail services. -

Competitive EUROPEAN CONFERENCE OF MINISTERS OF TRANSPORT Tendering of Rail Competitive tendering Services provides a way to introduce Competitive competition to railways whilst preserving an integrated network of services. It has been used for freight Tendering railways in some countries but is particularly attractive for passenger networks when subsidised services make competition of Rail between trains serving the same routes difficult or impossible to organise. Services Governments promote competition in railways to Competitive Tendering reduce costs, not least to the tax payer, and to improve levels of service to customers. Concessions are also designed to bring much needed private capital into the rail industry. The success of competitive tendering in achieving these outcomes depends critically on the way risks are assigned between the government and private train operators. It also depends on the transparency and durability of the regulatory framework established to protect both the public interest and the interests of concession holders, and on the incentives created by franchise agreements. This report examines experience to date from around the world in competitively tendering rail services. It seeks to draw lessons for effective design of concessions and regulation from both of the successful and less successful cases examined. The work RailServices is based on detailed examinations by leading experts of the experience of passenger rail concessions in the United Kingdom, Australia, Germany, Sweden and the Netherlands. In common with its Constituent Authorites, Transport for the North has undertaken a contingency planning exercise, based on existing business continuity arrangements, to address the challenges posed both by the virus itself, and the steps that might be taken to help control the outbreak. At the time of writing: • The Rail North Partnership, with TfN input, is working very closely with the two main northern train operating companies to continue to run services and mitigate against the impact of Coronavirus – passenger numbers have fallen significantly already as people choose not to travel; • TfN has moved to remote working (on 17 March) in line with Government guidance issued on the 16 March; and • TfN meetings such as the Board meeting on 29 April will be kept under review and moved to consultative conference calls if necessary The Oakervee Review was released on 11 February and on the same day Government announced the decision to complete HS2 in full. As part of the announcement, Government stated its intention to develop an Integrated Rail Plan for the Midlands and the North. -

It will also present some cross-modal risk comparisons. 1:45 pm “The Expansion of Intercity Bus Service in the United States and the Changing Dynamics of Bus/Rail Competition” - Joseph P. Schwieterman, Director Chaddick Institute for Metropolitan Development, and Professor, School for Public Service, De Paul University Schwieterman will discuss the recent revival of intercity bus service in the U.S. and how this is changing the competitive mix of services that are available. He will draw upon his analysis to show how the amount of service has grown since 2008 and illustrate the growing investments in express services between cities separated by 100 - 350 miles. -

The document and associated information can be found on the Department for Transport's archive. The then Secretary of State for Transport, Alistair Darling, announced a review of the railways in January 2004; this was followed by a report of the Transport Select Committee in April; and the Government’s conclusions and response to the Committee was published in a White Paper in July. The Secretary of State had ruled out renationalising the railways before the review took place and after consideration, he decided against radically changing the structure to a system of common ownership of the track and train. The White Paper identified weaknesses in the existing system for managing the railways and proposed changing the structure by: • Abolishing the Strategic Rail Authority (SRA) and moving its strategic functions and financial obligations to the Department for Transport; • Giving responsibility for operating the network and for its performance to Network Rail; • Reducing the number of passenger franchises and aligning them more closely with Network Rail's regional structure; • Increasing the role of the Scottish Executive, the Welsh Assembly and the London Mayor, in determining passenger services and where appropriate, infrastructure; and • Giving the Office of Rail Regulation (ORR) responsibility for safety, performance and cost. A number of these changes – notably the closure of the SRA, the transfer of safety regulation, and proposals relating to devolved decision-making – were legislated for in the Railways Act 2005. -

This document describes our Penalty Fares Scheme for the purposes of rule 3.2 b. 1.2 We have decided to introduce a Penalty Fares Scheme because the previous operator of the railway passenger services comprised of the Thameslink Great Northern franchise, First Capital Connect and Southern Railways, operated a Penalty Fares Scheme in such franchise area and the experience has proved that it is an efficient means to deter ticketless travel. In addition, once some Southeastern routes and stations are integrated into the TSGN franchise from 14 December 2014 and once the entire current Southern franchise is integrated into the TSGN franchise on 26th July 2015, it is important that there is consistency across all franchise areas (as Southeastern and Southern both also operate a Penalty Fares Scheme); so as to avoid causing confusion for our passengers. This scheme will now include all stations under schemes previously operated by Govia Thameslink Railway Limited and Southern Railway Limited.
