4. The County Union being the constituent body for the Cheshire Area duly appointed by the Rugby Football Union. shaH act as 5uch constituent body. The expression "the Cheshire Area" has 5uch meaning as on request may be assigned to it by the Committec of the Rugby Football Union. MEMBERSHIP 5. There shall be eligible for Membership of the County Union: (i) Rugby Football Clubs, illcluding school clubs. in the Cheshire Arca (hereinafter referred to as "clubs"). (ii) The Liverpool and District Rugby Union Referees' Society. the Manchester and District Rugby Union Referees' Society and any other Society of Rugby Union Football referees approved by the Committee of the County Union (hereinafter referred to as "societies"). (iii) Individuals. 39 Provided that: (a) No club. society or individual shall bc 'eligiblc for rncmbership which or who (unlcss prcviously reinstated) has becn expelled rrom ; membership of. being a player or official of a club or society. 15 under suspension by the Commiuce of the County Union (hereinafter referred to as the "Committee"). or the Rugby Football Union. or has committed any act of professionalism as specified in the Rules for the time bein~ as to Professionalism of the Rugby Football Umon. (b) Every candidate for e1ection must be proposed and seconded by or on behalf of two Members entitled to vote by notice in writing given to the Hon. Secretary. Elections shall be by the Committee. and upon demand of any member of the Committee present elections shall be by ballot. HONORARY LIFE MEMBERS 6. Honorary Life Members may be elected at any General Meettng upon the recommendation of the Committee provided that notice of intention to propose them has been included in the Agenda sent with the notice convening the meeting. PRIVILEGES 7. Officers. Members of the Committee. Life Members and ail Individual Members shan be entitled to free ground admission to ail County matches. the Final of the Cheshire Cup. the Final of the Cheshire· Plate. the Final of the Colts Shield and County Trial matches played in the Cheshire area except the final of the County Championship and other matches under the auspices of the Rugby Football Union such as English triais or other County Finals. Entry to County Championship matches

40 shall be by the production of a ticket voucher and to the Finals of the County Competitions by the production of the County Membership Cardo

OFFICERS 8. The Officers of the County Union shall be a President. Past Presidents. Senior Vice· President. Vice­ Presidents (ofwhom there shall be not more than four). the Rugby Football Union Counry Representative. Honorary Treasurer. an Assistant Honorary Treasurer. an Homyary Secretary. an Assistant Honorary Secretar)<. an Honorary Match Secretary (hereinafter referred to as ·'Hon. Treasurer", "Assistant Hon. Treasurer". ·'Hon. Secretary", "Assistant Hon. Secretary" and "Hon. Match Secretary" respectively). 9. The Officers (except President) and other members of the Committee for the lime being in office shaH retire al the close of the Anoual General Meeting in every year and the Meeting shall elect Officers and Members of the Committee for the succeeding year. Retiring Officers and Members of the Committee shall be eligible for re-election. Election shall be decided by a majonty of thase voting. 10. No President shall be eligible to serve in that office for more than two yeaTS. Il. No member other than a retiring Officer shall be eligible for election as an Officer unless. by notice in wnting to the Hon. The CommiUee shall consist of the Officers. such of the PaslPresidents as shall have auended not less than half of the regularly convened meetings of the Committee during the preceding year ended April 30th. or have given explanations satisfactory to the Commiuee of the inability sa to have auended. one representative from each club other Ihan a schoolboy club affiliated to the Cheshire Rugby Football Union. and one representative. who is a member of a Cheshire club. from ·each of the Referees Societies plus two representatives from the schools (one from the East and 44 one from the West). The provisions as to the Chainnanship of a general meeting shall apply to meetings of the Committee. In the case of an equahty of votes, the Chainnan shall have a second or castmg vote. 28. Each entitled affiliated club must submit, in writing, under the hand of the appointing club Presiàent, Chainnan or Secretary ,to the Hon. Secretary of the County Union, the name of its representative to serve as a member of the Committee dunng the ensuing ~ear not later than the commencement of the Annual General Meeting. Substitutes will be entitled to attend meetings of the Committee provided that the name of the Substitute to serve as the member of the Committee be submitted in writinll under the hand ofthe appointing Club President, Cha.nnan or Secretary to the Hon. Secretary of the County Union notless than seven d.ys before the date of the meeting at which the Substitute intends to be present. In the event of a Club or Society representative being unable to continue as a member of the Committee during a particular year, the club concemed should submit, in writing, under the hand of the appointing club President, Chainnan or Secretary to the Hon. Secretary ofthe County Union, the name ofits new representative at least fourteen days before a meeting of the Committee. 29. The Committee shall have the power to co-opt further members, but such co-opted members shall not be entitled to vote. 30. The affairs of the County Union including the control of the property and funds, shall be managed and controlled by the Committee, which shall have the power to delegate such matters as it may detennine. 31. The quorum for meetings of the Committee shall be lifteen persons entitled to vote. 32. All acts done by any meeting of the Committee or of a sub-committee, or by any person acting as a 45 member of the Committee or of a sub-committee shall, notwithstanding it be afterwards discovered that there was sorne defect in the appointment of any person acting as aforesaid. or that the Committee orsub--committee or any of them were disqualified, or had vacated office, be as valid as if every such person had been duly appointed, and was qualified and had continued to be, a member.s aforesaid,

EMERGENCY SUB-COMMITIEE, consisting of the Officers of the County, who Shall deal with ail complaints against Clubs and aU matters of urgency. FINANCE SUB-COMMITIEE, co'nsisting of the President, Senior Vice-President, Hon. Tre.surer, the Assistant Hon. Treasurer, Hon; Secrewy, the Assistant Hon. Secretary and one nommated representative o()f each of the following Sub­ COmmittees: Under 21. Colts, Schools, Minis. Cup and Individual Members. The Finance Sub­ Committee shall control ail income and expenditure. 46 It may borrow monies from any clearing bank or other recognised lending institution and may determine who may sign and endorse cheques. lt shall investigate and advise u!?"n applications frOm clubs for loans and from time to tune review and report to the Committee upon invested funds. ISLE OF MAN SUB-COMMITfEE, consisting of one member from each club on the Island. The Sub-Committee shall elect annually, with the aPl'roval of the Committee, a Chairman, Secretary ana Treasurer. (If no Secretary or Treasurer is elected from the members of the Sub-Committee, a Secretary or Treasurer cao be co-opted, without vote, on to the Sub-Committee). MATCH AND GROUND SUB-COMMITfEE, consisting of the Hon. Treasurer tHon. Secretary. the Assistant Hon. The Youth Sub­ Committee shall be responsible for looking after the interests of players under the age of21 years and shall aim to develop opportunities for learning and playing the game for an who wish to do 50. The Youth Sub-Committee shall advise the County Committee on ail Youth matters.

SCHOOLBOYS' SUB-COMMITTEE, consisting of a Chainnan, Secretary and Treasurer. elecled by the Schoolboys' Sub-Committee with the approval of the Committee, a representative of the County Education Authority, SIX members elected by the Committee and six scboolmaslers. The six schoolmasters and six members elected by the Committee should, as far as is practieable, be drawn from ail areas of the County. COUNTY B SUB-COMMITfEE consisting of a Chairman. Secretary and Treasurer elected by the Committee. Il shaH be responsible for the selection of teams to represent the CauDty B XV and to make travelling and hotet arrangements for the team subject to aoy direction of the Committee as to finance. COACHING SUB-COMMITfEE consisting of a Chairman and Secretary and six members. lt shall advise the Caunty Committee on ail coaching needs of ail affiiliated Clubs and Schools within the jurisdiction of the CauDty Committee. 35. Each Sub-Committee shall. in the case of an equality of votes. have a second or casting vote. 36. Each sub-Committee other than the Selection Sub-Committee shan keep minutes of its proceedings with the Dames of members present at its meetings: the minutes shall be signed by the Chairman of the meeting or the Chainnan of the next meeting of that sub-Commmittee. 37. Each sub-Committee other than the Selection Committee shall. notwithstanding anything contained in the bye-Iaws. be on ail matters subject to Bny instructions of the Committee. but subject thereto shaH have power to act without reference to the Committee. 49 38. Each Sub-Committee shall submit its report to the Full Committee at each meeting, and shall hand the minutes in writing to the Hon. Secretary, as soon as possible after a meeting. DlSCIPLINARY POWERS 39. The Committee shall have the power to hold inquiries and to inftict appropriate punishment on aDy club, player, official or member of a club for infringement of any Bye-Law, Law of the Game or regulation relating to amateurism, or for any conduct. wliich in the opinIon of the Committee, is prejudiciallo the intereslS of the County Union or "f thegarne. 40. The powers under the Laws of the Garne and the Rules as to Professionalism of the Rugby FOOlball Union which the Committee of the Rugby FOOlball Union shall ftom time 10 time delegate to the CoUDty Union as a constituent body under tbe Rules of tbe Rugby Football Union shall be exercised on bebalf of the COunty Union by the Committee. 41. Each member club must elect a Disciplinary Suh-Committee to deal with indiscipline within the club. CLUB ACCOUNTS 42. On or before Ist October each year a properly audited Balance Sheet together with a Statement of AccounlS showing Income and Expenditure for tbe previous season shall be sent by each club in membership with the County Union, schoo& and colleges excepted, to the Secretary of the County Union for examination thereby and also (if required) to the Seeretary of the Rugby Football Union. In cases where a club's gross annual income exceeds a sum to be determined annually by the Committee of the Rugby Football Union, its auditor shall be a Chartered Aooountant. ALTERATION TO BYE-LAWS 43. No bye-Iaw shall be altered, rescinded or added to e.cepting by a General Meeting, and then only witb

50 the consent of at least two-tliirds of those voting. Notice of any proposed alteration 10 the bye-Iaws, and of any other motIon to be submitted to a General Meeting except a motion relating to matters specifically provided by the bye-Iaws to be transacted at an Annual GeneraI Meeting, together with the names of proposer and seconder, shall be given in writing to the Hon. Secretary before April 30th preceding the meeting.

PRESS 44. No member shall furnish information of County Union proceedings to or for the Press excepting with the written approvaI of the Hon. Secretary and the Chairman of the Sub-Committee concemed or of the President ofthe County Union.

ACCOUNTS AND AUDIT 45. At every Annual General Meeting a'Chartered Accountant shan be appointed auditor, to hold office until the next succeeding Annual General Meeting. The retiring auditor shall be eligible for re-appointment. 46: The Accounts shall be made up to 30th April in each year and signed by the Honorary Treasurer. They shall be audited by the Accountant appointed by the previous A.G.M. A printed copy of the signed Balance Sheet, together with the Auditor's Certificate, shall be sent to each club and each member with the notice callin!! the A.G.M. and the Balance Sheet shall be submltted to such meeting for its approval.

COPIES OF BYE-LA WS 47. A copy of the bye-Iaws forthe time being in force shall be sent annually to each member. who or which shan be bound thereto. 51 INTERPRETATION OF BYE-LAWS 48. Any difference of opinion which may arise as to the interpretation of any of the bye-laws shall be decided by the Committee, unless it occur at a General Meeting woen the decision shall be made by the Chairman thereof. Any such decision shall be recorded in the Minutes, and shall be accepted as the true meaning of the bye-laws, until otherwlse interpreted at a General Meetmg, due notice having been given.

REGULATIONS OF TIIE COMMITfEE GOVERNING CLUBS, MATCHES AND PLA YERS UNDER TIIE JURISDICTION OF TIIE CHESHIRE RUGBY FOOTBALL UNION 1. Clubs shall send to the Hon. Secretary of the County Union the names and addresses of their Representatives on the County Committee, their Hon. Secretary and Hon. Treasurer not later than the Annual GeneraiMeeting of the County Union. 2. If a matc~ is delayed for an unavoidable reason so as to preclude the chance of ils bein~ played according to the tune agreed upon by the captams, the referee then has absolute power to decide tlie length of time of the match prior to the match starting. 3. The referee shall have power to terminate the match should he think fit. 4. Il shall be illegal for any club knowingly to play any player who has previously been a member of anotlier club which he has left without paying his subscription. . 5. All County representative sides shall only arrange tours under the laws and bye-laws of the RFU. Application for any such tour shall be submitted for County approval not later than six months before the commencement date of the tour. The balance sheet of all such tours must be sent to the County Secretary within one month of the end of the tour. 52 STANDING ORDERS OF THE COMMITTEE GOVERNING ITS MEETINGS (to apply mutatis mutandis to General Meetings) 1. Every notice of motion shall be made in writing to the Hon. Seeretary of the County Union to be inc1uded in the Agenda of the next meeting, 5uch notice to be signed by at least two members. The Motions shaH be taken in the order in which they appear on the Agenda paper unless a majority of the Committee decide otherwise. and no motion will he put to the vote unless it is both moved and seconded. 2. Ali correspondence or business of importance which May have arisen too late for inclusion in the Agenda paper shall be produced previous to any motion on the Agenda paper being put, and the Committee may decide by a majority to take any 5uch business before proceeding with the Agenda paper. 3. The Chainnan shaH have power to prevent any member. except the mover, speaking more than once on any one motion or question unless In explanation. The rnqver shaH in ail cases be entitled to speak once in making his motion, and once by way of reply. 4. Whenever an amendment is moved on an original proposition and seconded, no second amendment shaH be moved until the original amendment is disposed of. If an amendment be carried, the motion as amendment shaU take the place of the original motion, and shaH become the motion on which a second or further amendment may be moved. Only one amendment shaU be submitted for discussion at a time. No reply is aUowed to the moyer of any amendment to a motion. 53 5. Ail resolutions shall be put to the meeting and decided by a show of hands or by ballot at the di,cretion ofthe Chairman. 6. The Chairman shall have power to allow any member to rise and speak to a point of order at any point ofadebate. 7. A deelaration by the Cbainnan as to the result of a vote shall be conclusive. 8. Il is not intended to apply the standing orders to matters which may arise for discussion apart trom the Agenda paper. and the Chairrnan shaU have power to enforce ail or part of them only at his diseretion. 9. Ali questions arising on the construction of the above standing orders shall he determined by the Chairman of the meeting for the time being and his decision shall be final.

54 RULES OF mE CHESHIRE CUP AND PLATE COMPETITIONS 1. The Competitions shall be called "The Cheshire Cup" and "The Cheshire Plate" with the name of the CUTTent sponsor included. 2. The Competitions will be organised by the Competitions Sub-Committee of the Cheshire Rugby Football Union Committee. Ali questions affecting the qualifications of players and the interpretation of these rules shall be refeTTed to the Sub-Committee. The written decision of the Sub-Committee shall be binding and final subject to the appeal provisions herein. No protest or appeal will be permltted unless the Club making the protest or appeal does 50 in writing within 48 hours of the termination of the match or within 48 hours of the decision of the Sub-Committee to the Sub­ Committee Secretary. Upon receipt of the written notice or appeal or protest the Competition Sub­ Committee Secretar~ shaH convene a hearing of at least three OfliceTS of the County (who shall not be membeTS of Competition Sub-Commlttee) for the purpose of hearing the aypeal or protest. The hearing shall take place within 2 days of the receipt of the written notice of appeal or protest and ail interested Clubs or individuals sban be notified by the Secretary in writing of the time, date and place of the hearing. The Club or individual shall be entitled to attend and/or be represented and submit such representations (whether written or oral) in support of the appeal or protest. The decision of the membeTS of the appeal hearing will be given on the date of the hearing and shall be confirmed in writing with reasons to the Club or individual within 7 days of the date of the hearing. Any appeal from the appeal Committee's decision shall be to the Rugby Football Union in accordance with the provisions of the Laws and Regulations of the Rugby Football Union. 55 3. Eligibility of Playe", (i) A Club in a COmpetition match may only play or select as a replacement, players who are fully paid up members ofthat Club on the date of the game. (ii) A Club may only play or select as replacements in a Competition match tWQ playe", who are Cully raid up membe", of that Club on the date 0 the garne. (iii) A player who has played for one Club in the COmpetition may not play for another Club in' the Competition during the current Competition. Penalty - Any, infringement of these eligibility Regulations wtll result in the disqualification from the Competition for that season, ofthe player and club involved. 6. (a) In the event of a preliminary round being necessary this shall be drawn from. (i) New entrants to the competition. (b) Clubs will be oeeded at the discretion of the Competition's Sub-Committee and will be notiffed accordingly. 7. The draw for the Cup Competition and the Plate' Competition shaU be made by the Competitions Sub­ Committee and the matches played on the dates determined by that Sub-Committee. Clubs in matches up to but excluding the quarter final ties can play a Cup match on any day prior to the apJlOinted date provided (1) that their oP{'Onents agree and (2) the consent in writing of the Competltion's Sub-Committee is obtained. 57 The first drawn Club in each tie (other than Final) shall have a choice of ground. The Final will be played on a ground decided by the Competitions Sub-Committee. 8. The duration of each Tie will be one hour and IWenty minutes, unless the referee considers that the match cannot be completed in accordance with the laws of the R.F.U. in which case the tie will he replayed on the same ground. 9. Drawn Matches If after 40 minutes each way the scores are still level, the team that has scored the most tries shall go forward into the next round. If this does not produce a result, the team that has scored the most goals from tries goes forward into the next round. If this still does not produce a result then: (a) ln ail matches up to but not including the Quarter Final the visiting team shall go forward to the next round. (b) ln the Quarter-Final, Semi-Final and Final Matches, there shall be an immediate period of extra time of 10 minutes each way, with a ~n~:~~~hee i~!:;a:h~~ t~: ~:~~dtth~o!~~~ tries in the whole game inc1uding extra time shall go through to the next round. If there is still no result the team that has scored the most goals from tries in the whole game shall go through to the next round. If there ·is still no result then in the Quarter and Semi Final the away team shall go through to the next round. . (c) ln the Final the ~ame will continue in \0 minute periods. wlth one minute intervals. The team scoring tirst shall be the winner. 58 10. AIl entry .proceeds, that being Gate, Stand, programmes and car park shaU be shared equally between the two Clubs concemed. The gate money from the Final Tie, after deduction of expenses, shall go to the benefit of County Funds. The Members of the Home Club, inc1uding Ladies, must pay for admission to the Grounds, Stands and Enclosures, etc. 1 \. AU Ties will be refereed by a member of an R.F.U. recognised Referees' Society. The touch-judges for the final and semi-finals, and, whenever possible, ail other Cup and Plate games, shall be members of said Referees Society. In matches where both touch-judges are Society reterees, the touch-judges shall report incidents of fouI play and misconduct under Law 26 to the referee for the match. 12. In the event of a clash of colours between competing Clubs, the Home team or the team named first ln the draw must change ilS coloues. 13. 14. The results of competition matches shaH be notified to the Cup CompetItion Secretary or the Plate Competition Secretary by lOam on the Monday following the match.
