NAME OF CONSTITUTION 1. The name shall be "CHESHIRE RUGBY FOOTBALL UNION" hereinafter called "the County Union." 2. The County Union shall be in Mernbership with the Rugby Football Union. 3. The object of the County Union shall be the lJ~;:;~~:'tb~fI~uragement and extension of Rugby

4. The County Union being the constituent body for the Cheshire Area duly appointed by the Rugby Football Union, shaH act as such constituent body. The expression "the Cheshire Area" has such meaning as on request rnay be assigned to it by the Committee of the Rugby Football Union. MEMBERSHIP 5. There shall be eligible for Mernbership of the County Union: (i) Rugby Football Clubs, including school clubs, in the Cheshire Area (hereinafter referred to as "clubs"). (ii) The Liverpool and District Referees' Society. the Manchester and District Rugby Union Referees' Society and any other SocIety of Rugby Union Football referees approved by the Committee of the County Union (hereinafter referred to as "societies"). OFFICERS 8. The Officers of the County Union shall 'be a President, Past Presidents, Senior Vice-President, Vice­ Presidents (of whom there shall be not more than four), the Rugby Football Union County Representative, Honorary Treasurer. an Assistant Honorat)' Treasurer, an Honorary Secretary, an Assistant Honorary Secretary. an Honorary Match Secretary (hereinafter referred to as UHon. Treasurer", "Assistant Hon. Treasurer", "Hon. Secretary", "Assistant Hon. Secretary" and "Hon. Match Secretary" respectively). 9. The Officers (except President) and other members of the Committee for the time being in office shaH retire al the close of the Anoual General Meeting in every year and the Meeting shall elect Officers and Members of the Committee for the succeeding year. Retiring Officers and Members of the Committee shall be eligible for re-election. Election shall be decided by a ma jonty of those voting. 10. No President shall be eligible to serve in that office for more than two yeaTS. 11. No member other than a retiring Officer shall be eligible for election as an Officer unless. by notice in wnting to the Hon. Casual vacancies or ,vacancies not filled al an Annual General Meeting may be filled by tbe Committee unless it has been expressly resolved by a General Meeting not to fill such vacancies.

39 R.F.U. REPRESENTATIVE 13. The representative of the County Union on the Cornrnittee of the Rugby Football Union shall be elected before Ist April each year in accordance with the Rugby Football UOIon Bye·Laws, and the Hon. Secretary shall make the necessary arrangements.

ENTRANCE FEES AND SUBSCRIPTIONS 14. Annual Subscriptions, which shall fall due on Septernber Ist each year. shall be: (i) ln the case of each club (other than a school club). D!HlO. payable by Bankers' Order 10 Ihe Hon. Treasurer on September tst cach year. (ii) In the case of each school club no·oo, plus such amount as may be needed to cover ilS subscription to the Rugby Football Scho"I, Union. (iii) In the case of individuals other than Hon. Life Mernbers, {6-(X). (iv) In the case of individuals elected as Lire Members other than Hon. Life Members. one subscription of iSo·m. (v) In the case of the Referees' Societies, {2·IX). 15. Any member whose entrance fee or annual subscription shall not have been paid by Septernber 30th in any year rnay be liable to suspension by the Counly Union until the entrance fee and subscriptlOn shaH have becn paid. During suspension a member shall not be entitled to exercise aoy of the rights of a member. 16. Any member not having resigned from the County Union by notice in writing to the Hon. Secretary. to be received by him not later than Septernber ISI ih "oy year. shall be liable for the subscription due on the said September Is1. 40 GENERAL MEETINGS 17. An Annual General Meeting of Members, of which ten clear days' notice shall be given to persons entitled to attend, shall be held not later than tbe third Saturday in July each year for the conduct of business authorised by tlie bye-Iaws. 18. The Hon. Secretary shall convene a Special General Meeting when directed by the Committee or upon receiving a requisition to that effect stating clearly tlie resolution or resolutions to be propOsed anô signed by or on behalf of not Icss than four members being clubs. The Special General Meeting shall be held within twenty-one clear days of receipt of such requisition, and at least ten clear day,;' notice of such meeting shall be given to persans ent.lled to attend. 19. There shall be. subject to Bye-Law 26, entitled to attend and vote at general meetings. the officers and members of the Committee. one duly appointed representative of each member club. three duly appointed schoolboy representatives nominated by the Schoolboys' Sub-Committee and one representative of the individual members elected immediately prior to the general meeting at which he is to act. For the purpose of attending and voting at Annual General Meetings. the name of a representative of a club or of a schoolboy representative shall be given by notice in writing under the hand of the appointing 41 President, Chainnan or Secrelary to the Hon. Secretary of the County Union not Iater than the commencement of the general meeting which such represenlalive shaU be attending. The President or in case of his absence, the Vice-President who shall of those present have been longest in office, shan be Chairman at aU General Meetings. The quorum for a General Meeting shall be lifteen persons enlitled to vole. 25. The accidentai omission to give notice to, or the non-receipl of notice by any member, shan nol invalidate the proceedings at any general meeting.

COMMITIEE 27. The Commitlee shan consist of Ihe Officers. such of the Past Presidents as shan have attended not less than half of the regularly convened meetings of the Commitlee during the preceding year ended April 30th, or have given explanations satisfaClory to Ihe Committee of the inability so to have attended, one representalive from each club other Ihan a schoolboy club affiliated to the Cheshire Rugby Footban Union. and one representative, who is a member of a Cheshire club, from each of the Referees' Socielies plus Iwo representalives from the schools (one from the Easl and 42 one from the West). The provisions as to the Chairmanship of a generaI meeting shall apply to meetings of the Committee. In the case of an e'luallty of votes, the Chairman shaIl have a second or castmg vote. 28. Each entitled affiliated club must submit, in writing, under the hand of the appointing club President, Chairman or Secretary, to the Hon. Secretary ofthe Counry Union, the name ofits representative to serve as a member of the Committee dunng the ensuing year not later than the commencement of the Anoual General Meeting. Substitutes will be entitled to attend meetings of the Committee provided that the name of the Substitute to serve as the member of the Committee be submitted in writinl! under the hand of the appointing Club President, Chalrman or Secretary to the Hon. Secretory of the County Union not le.. than seven days before the date of the meeting at which the Substitute intends to be present. In the event of a Club or Society representative being unabte to continue as a member of the Committee durinl\ a particular year, the club concemed should submlt, in writing, under the band of the appointing club President, Chairman or Secretory to the Hon. Secretary ofthe Counry Union, the name ofits new representative at least fourteen days before a meeting of the Committee. 29. The Committee shall have the power to co-opt further members, but such co-opted members shall not be entitled to vote. 30. The affairs of the Counry Union including the control of the property and funds, shall be managed and controlled by the Committee, which shall have the power to delegate such matters as it may determine. 31. The quorum for meetings of the Committee shall be lifteen persons entitled to vote. 32. All acts done by any meeting of the Committee or of a sub-committee, or by any person acting as a 43 member of the Committee or of a sub-committee shall. notwithstanding it be afterwards discovered that there was some defect in the al'JXlintment of any persan acting as aforesaid. or that the Committee orsub-committee or any of them were disquaIified. or had vacated office, be as valid as if every such persan had been duly appointed, and was qualified and had continued to be, a member as aforesaid.

This Committee shaU deaI with ail complaints against players on the field. 46 DISCIPLINARY SUB-COMMITIEE (West) (As per Disciplinary Committee (East) above.) CUP AND PLATE SUB-COMMITIEE, con­ sisting of a Chairman, Secretary and four members. Il shall be responsible for organising and running of the Cup and Plate competitions. UNDER 21 SUB-COMMITIEE consisting of a Chairman, Secretary and Treasurer elected by the Sub-Committee with the approval of the Committee and six members. Il shall be responsible for the selection of teams to represent the County Under 21 XV and to make travellinll and hotel arrangements subject to any directions of the Committee as to finance. COUNTY B SUB-COMMITIEE consisting of a Chairman, Secretary and Treasurer elected by the Committee. Il shall be responsible for the selection of teams to represent the COUDty B XV and to make. travelling ana hotel arrangements for the team subject to aoy direction of the Committee as to finance. COACHING SUB-COMMITIEE consisting of a Chairman and Secretary and six members. Il shall advise the CoUDty Committee on ail coaching needs of ail affiiliated Clubs and Schools within the iurisdiction of the County Committee. 35. Each Sub-Committee shall, in the case of an equality of votes. have a se~nd or casting vote. 36. Each sub-Committee other than the Selection Sub-Committee shall keep minutes of ilS proceedings with the names of members present at ilS meetmgs: the minutes shall be signed by the Chainnan of the meeting or the Chairman of the next meelÏl!g of that sub-Commmittee. 37. Each sub-Committee other than the Selection Committee shall, notwithstanding anything contained in the bye-Iaws, be on ail matters subiect to any instructions of the Committee, but subiect thereto shall have power to ael without reference to the Committee. 47 38. Each Sub-Committee shall submit its report to the Full Committee at each meeting, and shall hand the minutes in writing to the Hon. Secretary. as soon as possible after a meeting. OISCIPLINARY POWERS 39. The Committee shall have the power to hold inquiries and to inflict appropriate punishment on aoy club, player, official or member of a club for infringement of any Bye-Law, Law of the Garne or regulation relatins to amateurism. or for aoy conduct, wllich in the 0rimon of the Committee, is prejudicial to the interests 0 the County Union or of the game. 40. The powers under the Laws ofthe Game and the Rules as to Professionalism of the Rugby Football Union which the Committee of the Rugby Football Union shall from time to time delegate to the County Union as a constituent body under the Rules of the Rugby Football Union shall be exercised on behalf of the County Union by the Committee. CLUB ACCOUNTS 41. On or before !st October each year a properly audited Balance Sheet together with a Statement of Accounts showing Income and Expenditure for the previous season shall be sent by each club in membership with the County Union. schools and colleges excel'ted, to the Secretary of the County Union for examinatlon thereby and also (if required) to the Secretary of the Rugby Football Union. In cases where a club's $ross aonual incorne exceeds a sum to be determmed annually by the Committee of the Rugby Football Union, its auditor shall be a Chartered Accountant. ALTERATION TO BYE-LAWS 42. No bye-Iaw shall be altered, rescinded or added to excepting by a General Meeting, and then only with 48 the consent of at least two-thirds of those voting. Notice of any proposed alteration to the bye-Iaws, and of any other mollon to be submitted to a General Meeting except a motion relating to matters sl1"cifica\ly provided by tlie bye-Iaws to be transacted at an Annual General Meeting, together with the names of proposer and seconder~ shaH be given in writing to the Hon. Secretary before April 30th preceding the meeting.

PRESS 43. No member shall fumish information of Counly Union proceedings to or for the Press excepting with the written approval of the Hon. Secretary and the Chairman of the Sub-Committee concemed or of the ; President of the County Union.

ACCOUNTS AND AUDIT 44. At every Annual General Meeting a Chartered Accountant shall be appointed auditor, to hold office until the next succeeding Anoual General Meeting. The retiring auditor shaH he eligible for re-appointment. 45. The Accounts shall be made up to 30th April in each year and signed by the Honorary Treasurer. They shall be audited by the Accountant appointed by the previous A.G.M. A printed copy of the signed Balance Sheet, together with the Auditor's Certificate. shall be sent to each club and each member with the notice calling the AGM and the Balance Sheet shall be submltted to 5uch meeting for ilS approval.

COPIES OF BYE-LA WS 46. A copy of the bye-Iaw. for the time being in force shall be sent annually to each member. who or which shall be bound lhereto.

49 INTERPRETATION OF BYE-LAWS 47. Any difference of opinion which may arise as la Ihe inlerprelalion of any of Ihe bye-Iaws shaU be decided by the Committee, unless il accur al a General Meeling when the decision shall be made by the Chairman tlrereof. AlI Ties will be refereed bl' a member of either the Liverpool or Manchester Referees' Society. The touch-judges for the 6naI and semi-finals, and, when­ ever possible, ail other Cup and Plate games sball be members of either the Liverpool or Manchester Referees' Society. In matches wbere both touch-judges are Society referees, the touch-judges shall report incidents of foui play and misconduct under Law 26(3) to the referee for the match. 11. In the event of a clash of colours between competingOubs, the Home team mustchange itscolours. 12. AU questions affecting the qualifications of players and the interpretation of these mies shall be rererred to the County Commmittee. No protest or appeal of any kind will be va6d unless the Club making tbe protest or appeal does 50 within forty-eigbt hours of the termination of the Match to the County Secretary.
