RUGBY FOOTBALL UNION LTD CALLING NOTICE NOTICE IS HEREBY GIVEN that the Annual General Meeting of Dorset & Wilts. RFU Limited will be held at the Salisbury Rugby Football Club on Wednesday, 24 July 2019, at 7:30 p.m. AGENDA 1. To note attendance and any apologies 2. To note (with or without amendments) the minutes of the previous AGM 3. To receive and approve reports from the General Secretary and on behalf of the D&W Committee about the affairs of the Constituent Body since the previous AGM 4. To note the financial statement for the previous year1 and receive the Treasurer’s Report with a draft financial statement for the current financial year 5. To elect the Officers for the coming year, being the President, the Secretary; the Treasurer and the Immediate Past President 6. To elect Members of the Committee for the ensuing year, including: - 4 representatives from each of the 2 Counties, Plus, to confirm the appointment of following - Chair of Governance Sub-committee - Joint Chairs of Club Development Sub-committee - Chair of Community Rugby Sub-committee - Chair of Woman’s & Girls Rugby Sub-committee - Chair of Representative Rugby Sub-committee 7. To elect any new Vice-Presidents and/or Life Members 8 To consider a resolution dis-applying the provisions of the Co-operative and Community Benefit Societies Act, 2014, relating to the obligation to appoint Auditors 9. To consider any other motion or business that has been submitted in writing to General Secretary by 30 April, duly proposed by one Member and seconded by another Member 10. To hear any other relevant matter for the consideration of the Committee during the ensuing year (details of which must have been submitted in writing to General Secretary not less than 48 hours before the time for which the AGM has been convened) but on which no voting shall be allowed 11. Following incorporation of Dorset & Wilts. RFU Ltd as a registered society under the Co-operative and Community Benefit Societies Act, 2014, the AGM has to be conducted in accordance with the Constitution, which means that: - (a) Nominations for the election of Officers and other Committee members (which must have the consent of the nominee) have to be sent in writing so as to reach Hon. General Secretary by 30 April; (b) Proposals for additions or alterations to the Constitution (which must be proposed by one Member2 and seconded by another Member) have to be sent in writing so as to reach Hon. General Secretary by 30 April; (c) Under the Regulations duly passed since the 2007 AGM, details of any other relevant matter for the consideration of the Committee during the ensuing year must be submitted in writing to Hon. General Secretary beforehand and not less than 48 hours before the time for which the AGM has been convened. 2. The nominations made are set out on the next page, together with explanatory notes. 3. The provisions of the Co-operative and Community Benefit Societies Act, 2014 oblige us to appoint qualified auditors (which would represent an inordinate expense for us) each year; but the Act also allows for this requirement to be dispensed with in the following circumstances: - (a) Where the assets and turnover of the organisation are below certain levels3; (b) Where the Constitution so allows (which ours does) and; (c) Where the appropriate Resolution is passed at the AGM (provided that less than 20% of votes at the AGM are cast against the resolution and that less than 10% of the membership votes against the resolution. 2 Being: a duly elected Officer or Committee member; the RFU Representative; each affiliated Club 3 Currently set at: assets of less than £2.8m; and turnover of less than £5.6m for the year 4 Nominations for Election at AGM 2019 The Officers who, by reason of their Explanatory Note – Under Rule 12.1 of D&W’s Constitution office, are automatically on every the Officers of the Constituent Body shall be: - committee or sub-committee President Stuart Murrow [Chippenham] Hon. Club Representatives, Alistair Morrison [Trowbridge] Donna Fielder [Chippenham] Dave Dove [Salisbury] Dave Wookey [Amesbury] * Explanatory Note – The D&W Committee has the power to co-opt, so those candidates who are not elected under Rule 13 may still be co-opted, subject to Rule 11.2 plus, the following: - RFU Representative [elected separately last Ron Jones [Westbury; Trowbridge] year for a three-year term of office] Deputy President Michael Moysey [Wimborne] Chairman of Governance Dave Harris [Dorchester] Chairs of Club Development Alan Ottaway [Independent] and Jon Monaghan [Weymouth & Portland] Council The two roles listed below are to be co-opted on to the Council on the 6th August 2019 Club Representative for North Wiltshire Claire Legg [Supermarine] Safeguarding Manager Julie Boddington [Bournemouth] Management Board Chair – T.B.A [as per D&WRFU Standing Orders 1.5 November 2018] The three roles listed below are to be co-opted on to the Management Board on the 20th August 2019, subject to the approval of the D&W RFU Council on the 6th August 2019 Chair of Representative Rugby Richard Rees {Warminster] Chair of Community Rugby Chris Jones [Devizes] Chair of Woman’s & Girls Rugby Brett Bader [Independent] 5 Foreword The Annual General Meeting is not just for the election of officers and county representatives for the next season but is also when we report formally to our membership about the activities that Dorset & Wilts. RFU Ltd has undertaken, as the local governing body of the game and as a Constituent Body (“CB”) of the RFU, during the past season. Most of those activities are carried out by various committees and sub-committees, which have produced great achievements yet again this season. I will let their reports speak for themselves. Firstly, I would like to thank all the volunteers who have worked so hard to make Dorset & Wilts a success this year. Last year was a difficult time for the community game with major cuts to the support staff at Twickenham. This coming year is a time to look forward and to accept new challenges for our volunteers at club and county level, in which we all must embrace the community spirit. We all know that there will be very little funding available to both the county and the clubs in the coming years. Therefore, clubs and the CB will need to work closer with Chris (Burton – RDO) and his four CRC’s (Frank Butler – Sam Cload – Neil Bibby – Stephen Barber), to share best practices and resources to ensure that the community game remains a potent force within sport. In these positive times of Diversity and Inclusion I am pleased to report that three additional ladies will be joining the D&W Council being the total number up to five. This figure still needs to grow both within the clubs and the CB to meet published guidelines. Gerald Burden Gen. Sec. RFU Council Member Dear All, can I firstly thank all the Clubs I have visited during the past season it has been a pleasure to meet all of you. I thank you for your honesty you have expressed during our visits. The reports you give us are very valuable towards the running of D&W and to the RFU. This has been my ninth year as your RFU Council Member. It has been a year of not so normal running and some large changes. The changes have affected various sections of the Rugby Community in a big way. The loss of Alan Low has been a great loss with the remaining RDO Chris having to travel a lot further to meet with clubs in the north of the CB has had the effect in Chris not being able to meet as many clubs as he would like. It has been made easier by the way the CRC’s have move around the counties helping out where they can. The Payment Of Players will have some far-reaching effects on Rugby Clubs both through the RFU and Inland Revenue.
