(collectively “Pearle”). For the reasons that follow, the motion to dismiss will be denied. 1. Background In deciding Romm’s motion, the court has considered both the first amended complaint and its exhibits, taking all facts alleged to be true. See Hollander v. Brown, 457 F.3d 688, 690 (7th Cir. 2006). The court has also reviewed the debtor’s petition and schedules, along with the district court’s docket and papers filed in the related action styled Pearle Vision, Inc., et al. v.
