Annexure 01 - Eligibility criteria & Manner of submission of offer and its enclosures

The Fire Fighting Consultants / firm should be registered liscence agency with Directorate of Maharashtra Fire Service or who are registered with Indian Railways / Central PWD / State PWD / M.C.G.M. / other Government Department or Undertaking’s Chief Fire Officer having obtained license before last 3 years i.e. year 2013-14. Attested copy of certificate of registered needs to be submitted Along with above Consultants / Architectural firm should submit; • Details of similar type of work completed and similar type of work in hand with government / public body / private institution in last five years (FY 2010-2011, FY 2011 -2012, FY 2012 -2013, FY 2013-2014 & FY 2014-2015). • Details of technical, administrative personnel on the rolls of the Consultant / Firm • If the Consultant / Firm is an individual or proprietary firm it the shall be signed in full by the individual along with his full name and address along with attested photocopy of registration of the firm. • copy of Joint Venture (if applicable). If the Consultant / Firm is a partnership firm, it shall be signed by all the partners of the firm or by a partner holding power of attorney for the firm for signing the Consultant in which case original or certified copy of the power of attorney shall accompany the Consultant. A certified copy of the Partnership Deed and current address of the partners of the firm shall also accompany this document. If the Consultant / Firm is a Private Limited firm, the Consultant shall be signed by the Power of Attorney holder of the firm. Original or Certified copy of the power of attorney along with the certified copy of the Articles of Memorandum of Private Limited firm shall accompany this document .

Manner of submission of tender/offer and its enclosures:

The tender offer shall be submitted in two sealed separate envelopes, which shall be put together in one common sealed envelope. Each envelope should be sealed and superscibed on top as ‘Envelope No (1) or (2) A & 2B or common as the case may be it should bear name of Consultant/s submitting it. Name of work, date and signature of consultant/s.

The enclosures in the said envelopes shall be as follows and in the same order. Common Envelope 1) Envelope No-1 2) Envelope No -2 2 A – set of conceptual Designs (One option) 2B – Annexure 5,6 (in separate enveloper)

6 Along with above Consultants / Architectural should submit; • Details of similar type of work completed and similar type of work in hand with government / public body / private institution in last five years (FY 2010-2011, FY 2011 -2012, FY 2012 -2013, FY 2013-2014 & FY 2014-2015). • Details of technical, administrative personnel on the rolls of the Consultant / Firm • If the Consultant / Firm is an individual or proprietary firm it the shall be signed in full by the individual along with his full name and address along with attested photocopy of registration of the firm. • copy of Joint Venture (if applicable).

2) Envelope No.2 : The second envelope cleared marked as" Envelope No.2", Name of Work, Consultant Notice No. & Name and address of the Consultant / Firm shall contain only the main Consultant including the common set of deviations/ stipulations issued by the TMC, Thane after the Pre-Consultant conference, if any, duly filled and signed by the Consultant / Firm on each page. A Consultant submitted without this would be considered as invalid. Envelope 2 A will contain set of conceptual design / drawing The Consultant / Firm should work out his block estimated cost based on the conceptual design prepared by him/ them. The details are available in Annexure 05. The Consultant / Firm should filled in all the details as required in Annexure 05. Quote his original basic offer in percentage (in figures) at appropriate place of the Annexure 05. He should not quote this offer any where directly or indirectly in Envelope Number 1. The Contractor shall quote for the work as per details given in the main Consultant and also based on the detailed set of deviations issued/ additional stipulations made by the TMC Thane as informed to him by a letter from City Engineer TMC, Thane, after the pre Consultant conference, if happened. Envelope 2 B will be separate containing details of Annexure 05 & 06 duly filled in & signed. 1.4 Submission of Consultant: The two sealed envelope No.1 and No.2 A & 2B shall be again put together in one common cover and sealed. This sealed cover containing Consultant shall be marked with the Name of Work, Consultant Notice No.& Name and Address of Consultant / Firm. The full name and address of the Consultant / Firm and name of the Authorised agent delivering the sealed cover containing Consultant shall be written in the bottom left hand corner. Consultant s offered or received after the date and time is over will either not be accepted and if inadvertently accepted will not be opened and shall be returned to the Consultant / Firm unopened. The Fire Fightening Consultant / firms are requested to submit their proposals at citizen's Felicitation center (C.F.C.), Thane Municipal Corporation, Main Admin Building, Ground floor, Chandanwadi, Panchpakhadi, Thane (W) on or before upto dt. 29/08/2015, 16:00 hrs. The firms will be intimated about presentation and any further developments in this regards on official website of corporation.

7 hour. The tender form fee of Rs.667 /- (Rs. Six Hundred Sixty Seven Only) is to be submitted as per e-tendering procedure.

1.6 Opening of Consultant’s offer & documents: On the date specified in the Consultant notice following procedure will be adopted for opening of the offer. The firm's who’s concept / theme is principally accepted by the corporation will have to carry out various detailed assignments as decided by corporation in Terms of reference (T.O.R.) along with scope of work. The firms are requested to go through the detailed Terms of Reference, scope of work etc. Envelope No.1: First of all, Envelope Number 1 of all Consultant / Firm will be opened to verify its contents as per requirement. If the various documents contained in this envelope do not meet the requirements of the TMC Thane a note will be recorded accordingly by the Consultant opening authority and the said Consultant / Firm's Envelope Number 2 may not be considered for further action and the same may be recorded. Envelope 2: This envelope shall be opened after opening of Envelope Number 1. The submitted conceptual design by various Consultant / Firm will be scrutinized by expert committee members on various critions as decided by TMC. Depending on the merit of the conceptual design, the estimated block cost of various components & the percentage quoted against each components the expert committee members will decide on final selection of design. 1.6.1 Acceptance of Consultant : 1.6.2 The successful Consultant / Firm will be required to produce to the satisfaction of the Specified concerned authority, a valid and concurrent license issued in his favour under provision of the Contract labour. (Regulation and Abolition) Act 1970 before starting the work On failure to do so, the acceptance of the Consultant is liable to be withdrawn. 1.6.3 The Consultant / Firm whose Consultant is accepted will have to given on undertaking in writing to the effect that he/they will pay the labourers engaged on the work, the wages as per Minimum Wages Act 1948, applied to the zone in which the work lies or any other prevalent Act. 1.6.4 The Contractor shall comply with the provision of the Payment of Wages Act, 1936, Minimum Wages Act, 1948, Employees Liability Act, 1979, and modification thereof or any law relating there to, and rules made there under from time to time. 1.6.5 The Consultant / Firm whose Consultant is accepted is required to note that no foreign exchange will be released by the TMC Thane. 1.6.6 The Consultant will have to sign the original copy of the Consultant papers and the drawings according to which the work is to be carried out. The Consultant / Firm shall also have to give a declaration to the effect that he has fully studied the site, plants, specifications, local conditions and availability of labour and materials and that he has quoted his rate with the considerations to all these factors.

Annexure 02 – General Conditions of offer.

1.0 General Provisions :- 1.1 Definitions :- Unless the context otherwise requires, the following terms whenever used in this Agreement have the following meanings.

a) “Applicable Law” means the laws any other instruments having the force of law in (as they may be issued and in force from time to time) b) Agreement means the agreement signed by the parties to which these General Conditions of Agreement are attached together with all documents listed in Clause 1 of such signed agreement. c) Effective Date means the date on which this agreement comes into force. d) G C means these General Conditions of Agreement e) Government means the Government of India, Government of Maharashtra f) Local Currency means Indian Rupees g) “Party” means the Client or the Consultants, as the case may be, and Parties means both of them h) “Services” means the work to be performed by the Consultants pursuant to this offer for the purposes of the project as described in Appendix A hereto i) “Client”, “Corporation”, “TMC” means Thane Municipal Corporation, Thane. A body incorporated under the BPMC Act 1949 j) “Third Party” means any person or entity other than the Government the Client the Consultants or a sub consultant. 1.2 Law Governing Agreement :- This Agreement its meaning and interpretation and the relation between the parties shall be government by the Applicable Law of India and Maharashtra State 1.3 Language :- The documents & an agreement has to be executed In English, which shall be the binding and controlling language for all matters relating to the meaning or interpretation of this project. 1.4 Headings:- The heading shall not limit alter or affect the meaning of this document. 1.5 Notices: 1.5.1 Any notice request or consent required or permitted to be given or made pursuant to this document shall be in writing. Any such notice, request or consent shall be deemed to have been given or made when delivered in person to an authorized representative of the party to whom the communication is addressed or when sent by registered mail telex, telegram or facsimile to such party at the address specified below Client : Thane Municipal Corporation, Administrative Building, 3rd Floor, Dr. Almeida Road, Chandanwadi, Panchpakhadi, Thane (West) 400 002 Consultants : ______

1.5.2 A party may change its address for notice hereunder by giving the notice of such changes to other party.

1.6 Location : The Services shall be performed within the limits of Thane Municipal Corporation, Thane or outside whichever if found necessary.

1.7 Authorized Representatives : Any action required or permitted to be taken and document required or permitted to be executed under this project by the Client or the Consultant may be taken or executed by the officials, authorized by TMC and the consultants.

1.8 Taxes and Duties: The remuneration of consultants shall be inclusive of all taxes and duties including service tax and the structural engineer's fees shall be deemed to be included in the consultants fees for civil work.

2.0 Entire Agreement : This agreement contains all covenants stipulations and provision by the parties. No agent or representative of either party has authority to make and the parties shall not be bound by or be liable for, any statement representation, promise or agreement not set forth herein.

2.1 Modification : Modification of the terms and conditions of this agreement including any modification of the scope of the Services, may only be made by written agreement between the parties. However, each party shall give due consideration to any proposals for modification made by the other Party.

ANNEXURE 03:- OBLIGATIONS OF THE CONSULTANTS

3.1 General:

3.1.1. Standard of Performance:- The Consultants shall perform the services and carry out their obligations hereunder with all due diligence, efficiency and economy, in accordance with generally accepted professional techniques and practices and shall employ appropriate advanced technology. The Consultants shall always act, in respect of any matter relating to this Agreement or to the services as faithful advisers to the Client and give their opinion within the frame work or relevant national and if required international standard code of practices, provisions, and shall at all times support and safeguard the Client's legitimate interests in any dealings with third Parties.

3.1.2 Responsibility of consultants: The consultants shall be fully responsible for the soundness / correctness of the services given by them. The consultants shall perform their services and carry out their obligations hereunder with all due diligence care, care, efficiency in accordance with national and international codes, professional practices etc.

3.1.3. Client’s interests: - The Consultant shall protect the interest of client against any damage or loss arising on account of neglect of care and diligence or neglect of professional duty while providing the services as per the agreement. 3.1.4 Law Governing Services: - The Consultants shall perform the Services in accordance with the Applicable Law and shall take all practicable steps to insure that any sub-consultants, as well as the Personnel and agents of the Consultants and any sub-consultants, comply with the Applicable Law. The Client shall advise the Consultant in writing of relevant local customs and the Consultants shall, after such notifications, respect such customs. 3.1.5 Confidentiality: - The Consultants, their sub-consultants and the Personnel of either of them shall not, either during the term or within Five (5) years after the expiration of this Agreement, disclose any proprietary or confidential information relating to the Project, the Services, this Agreement or the Client’s business or operations without the prior written consent of the Client. 3.1.6 Liability of the Consultants: - Subject to additional provisions, if any, set forth in the Agreement, the Consultant’s liability under this Agreement shall be as provided by the Applicable Law. 3.1.7 Reporting Obligations: - The Consultant shall submit to the Client the reports and documents specified in annexure 4 hereto, in the form, in the numbers and within the time periods set forth in the said annexure 4.

11 3.1.8 Documents prepared by the Consultants to be the Property of the Client: All plans, drawings, specifications, designs, reports and other documents prepared by the Consultants in performing the Services shall become and remain the property of the Client, and the Consultants shall, not later than upon termination or expiration of this agreement, deliver all such documents to the Client, together with a detailed inventory thereof. The Consultants may retain a copy of such documents.

4.0 OBLIGATIONS OF THE CLIENT 4.1 Assistance and Exemptions :- Client shall use its best efforts to ensure that the Client shall provide the Consultants, Sub consultants and personnel with all requisite facilities pursuant to applicable law as shall be necessary to enable the consultants, sub consultants or Personnel to perform the Services.

4.2 Change in the Applicable Law :- If after the date of this agreement, there is any change in the applicable Law with respect to taxes and duties which increases or decreases the cost or reimbursable expenses otherwise payable to the Consultants under this agreement shall be increased or decreased accordingly by agreement between the party hereto.

4.3 Payment :- In consideration of the Services performed by the Consultants under this Agreement, the Client shall make to the Consultants such payments and in such manner as is provided by annexure 5 of this document.

4.4 Currency of Payment. All payments shall be made in Indian Rupees only.

5.0 FAIRNESS AND GOOD FALTH :

5.1 Good Faith : The Parties undertake to act in good faith with respect to each other's rights under this Agreement and to adopt all reasonable measures to ensure the realization of the objectives of this documents.

ANNEXURE 04 – SCOPE OF SERVICES

1. GENERAL 1.1 The Project: Providing Fire Fightening Consultancy Services for Dharmaveer Anand Dighe Jiddha School Building in Ward No. 08 of Vartak Nagar Ward Committee Area. 1.2 Description: This is a School Building For Handicapped Students. The building is a Stilt + 2 floors comprising Classrooms, Hall, Toy Room. 1.3 The present assignment is for Detailed Designing and Bid Process Management for providing Fire Safety Arrangements to the Building and Surroundings.

2. OBJECTIVES The objective of this consultancy is a) To undertake the detailed planning, Design of External and Internal Fire Fighting & Fire Evacuation System as per CFO NOC and current CFO norms. b) To install Fire Safety Arrangements for the said Project ensuring: i. Safety of the visitors and property ii. Prevention of the occurrence of the fire through the control of fire risks iii. Establishing procedures that will maximize the probability of controlling and extinguishing a fire in the safest and most efficient manner iv. Certification / Validation of Executed Work at the end of contract

3. BROAD SCOPE OF SERVICES

3.1 It is proposed to take up the assignment in following stages: Stage I : Detailed Designing and Preparation of DPR Stage II : Preparation of Bid Documents and Bid Process Management Stage III : Extended Services during Construction Phase

3.2 On issue of Work Order to commence the work, the Consultant shall submit Detailed Quality Assurance Plan (QAP) for all the activities to be performed as per these Terms of Reference and additional activities as identified by the Consultant. The quality assurance plans, design and documentation activities should be presented as separate sections. The Quality Standards shall be well defined and should be easy to verify. It shall be imperative that the QAP is approved by TMC before Consultants start the field work.

3.3 The broad scope of activities to be undertaken in different stages shall be as follows: Stage I: Detailed Designingof the scheme In the First stage of the assignment, the consultant shall undertake Detailed Designing of project and preparation of the Detailed Project Report through following activities: Activity 2.1: Study of all Basic Architectural & RCC Drawings and CFO NOC of the Project :

13 2.1.1. The Consultant shall carefully study all the provided data along with the FIRE NOC already obtained for this Building. 2.1.2. The Consultant shall also arrange visits to the On-going site to understand the current situation of the Site.

2.1.3. The consultant shall also collect all the relevant data from Thane Fire Brigade regarding existing arrangement in the surroundings available.

Activity 2.2: Assessment for probable Risks of fire hazards in the study area: 2.2.1. The consultant shall undertake detailed analysis of study area with respect to all the relevant parameters for fire risk assessment. 2.2.2. The consultant shall discuss the issue with Local fire authority and the client 2.2.3. The consultant shall prepare fire risk assessment report based on the data and submit the same for approval of the Local fire authority. Activity 2.3 : Preparation of Fire Risk Management Plan 2.3.1 Based on the approved Risk Assessment Report, the consultant shall work out option analysis for necessary fire fighting arrangements required for the area. 2.3.2 The consultant shall discuss the option analysis of suitable systems with the Fire authority and shall recommend best suited option. 2.3.3 On approval of the suitable option, the consultant shall prepare General Arrangement Drawings of the proposed arrangement alongwith preliminary designs and get the same approved from the authority. In the process, the consultant shall be responsible for clarifying/ complying various instructions/ requirements of local fire authority. Activity 2.4 : Detailed Designing of the proposal On approval of General Arrangement Drawing, the Consultant shall undertake detailed Designing of the proposal through following (but not limited to) activities: 2.4.1 The consultant shall prepare Detailed Working Drawings of the proposed fire fighting system. The drawings shall be Floor wise or in the format desired by the approving authority. 2.4.2 The Thane Municipal Corporation shall provide the structural details of the infrastructure. The arrangements for installing the fire system shall be designed considering the structural restrictions. 2.4.3 Detailed Working Drawings: Detailed working drawings (Good for Construction) for each and every project component shall be prepared by the consultant. The drawings shall include all the necessary details as per the statutory requirements and as per the requirements of approving authority. 2.4.4 Preparation of Installation methodology: The Consultant shall derive the construction methodology considering the following: i. The speed and ease of installation, ii. Various design constraints, iii. Practical difficulties in the installation due to various physical constraints considering Foundation already laid iv. Availability of space, v. Financial viability The Consultant shall recommend best suited construction methodology shall be submitted to authority for approval. Activity 2.5 : Preparation of detailed Cost Estimates for the projects: 2.5.1 Based on the finalized General Arrangement drawings and working drawings (GFC) the consultant shall undertake preparation of detailed estimates.

14 2.5.2 The quantities of the item of works shall be taken out in details. The consultant shall substantiate the BOQ with descriptive drawings, notes etc. as desired by Thane Municipal Corporation for verification of the BOQ 2.5.3 The Rate list shall be got approved from the Thane Municipal Corporation. 2.5.4 Based on the approved rate list, the consultant shall prepare the detailed cost estimates of the project. Stage III: Preparation of Bid Documents and Bid Process Management Activity 3.1: Preparation of Draft Tender Documents: 3.1.1. On approval of the detailed estimates from the authority, the Consultant shall undertake preparation of draft tender documents for the works. 3.1.2. The draft tender documents shall be based on Maharashtra State PWD B-1/ PWD C contract form as approved by the Authority or as Recommended by CFO. The consultant shall take due care for assigning/ drafting specifications for the item of works. 3.1.3. Various specific details viz. provision of secured advances/ Performance securities/ security deposits, time limit for completion of work etc. shall be got approved from the Thane Municipal Corporation. 3.1.4. The Draft Tender Papers shall be checked for typing errors/ mistakes/ omissions etc. and be corrected accordingly. 3.1.5. The Draft tender papers shall be thoroughly checked by the contracts and legal expert of the consultant. The contracts and legal expert shall certify the correctness and appropriateness on the Draft Tender Documents. 3.1.6. The consultant shall submit the required number of copies in hard and soft format to Thane Municipal Corporation. The Thane Municipal Corporation shall review the Draft Tender Documents and may suggest modifications in them if required. The Consultant shall be responsible for prompt review of modifications suggested and incorporation on the same in Draft Tender Papers. Activity 3.2: Assistance during the Tender Procedure: 3.2.1. The Thane Municipal Corporation shall call the tenders based on the Final Tender Documents submitted by the Consultant as per the e-Tendering procedure of TMC. 3.2.2. The consultant shall arrange and attend the pre-bid conference. The consultant shall prepare the draft replies to various queries/ suggestions offered by the prospective bidders in the pre-bid meeting. The consultant shall review the tender documents in view of the queries raised by bidders. If any addendum / corrigendum are required to be published, the consultant shall prepare the same. The clarifications to the queries/ addendums/ corrigendum shall form Common Set of Deviations. 3.2.3. On receipt of tenders, the consultant shall scrutinize the technical proposals of the bidders for fulfillment of pre-qualification criteria. The report regarding pre-qualification of the contractors shall be submitted to TMC. On acceptance of the report by TMC, the consultant shall undertake detailed evaluation of the Technical Proposal of the pre- qualifying contractors. The contractors shall be shortlisted based on the evaluated Technical Scores and recommended for approval of TMC. 3.2.4. On approval of shortlisted contractors by TMC, the financial bids shall be opened. On opening the financial bids of the qualified contractors, the consultant shall undertake detailed evaluation of the offer based on combined Technical and Financial Scores. 3.2.5. The consultant shall then undertake detailed evaluation of financial offer of the contractor scoring highest in combined technical and financial evaluation. Detailed justifications regarding the financial offer shall be obtained from the contractor. The consultant shall independently verify the justification submitted by the contractor and shall submit explicit report regarding justification of the offer/ margin for negotiations. 3.2.6. The offer shall be negotiated with the contractor if necessary with assistance of the consultant and final decision shall be taken by the Thane Municipal Corporation. Stage IV: Project Management Consultancy Services

15 The Consultant shall be responsible for providing following services during construction period: 3.2.7. The Consultant shall be responsible for carrying out detailed re-designs of the project components as may become necessary due to unforeseen site conditions/ constraints coming across at the time of construction. 3.2.8. The Consultant shall also pay periodic visits (Minimum one visit per week and if required, additional as requested by the TMC) to the sites for necessary guidance during execution.

4. DELIVERABLES The Consultant shall deliver the following deliverables (the “Deliverables”) during the course of this Consultancy. The Deliverables shall be so drafted that they could be given to the prospective bidders for guidance in preparation of their bids. Three hard copies and two soft copies in CDs/ flash drives of all the final reports, designs and drawings, etc. shall be submitted to the Authority. For draft reports only one hard copy and one soft copy in CD/flash drives shall be submitted to the Authority. The size of drawings shall be as per the requirements and maximum A-1 The Consultant shall submit to the client the reports and documents in bound volumes (and not in spiral binding form) after completion of each stage of work. ANNEXURE 05 – TIME PERIODS AND FEES PAYABLE

1.1 The total duration for preparation of the Draft DPR and Bid documents shall be 1 month, excluding the time taken by the Authority in providing the requisite documents or in conveying its comments on the Draft DPR.

1.2 The duration for Bid process management shall be approximately two months.

1.3 During the Construction phase, the Consultant shall have to provide intermittent services until the end of construction phase. 1.4 10% (ten per cent) of the Agreement Value has been earmarked as Final Payment to be made on completion of the installation work or after two years of Bid process management and issue of work order to contractor, whichever is earlier.

2. MEETINGS

The Authority may review with the Consultant, any or all of the documents and advice forming part of the Consultancy, in meetings and conferences which will be held in at the Authority’s office at Thane, or New Delhi. Further, the Consultant may be required to attend meetings and conferences with pre-qualified Bidders or the Selected Bidder. The expenses towards attending such meetings during the period of Consultancy, including travel costs shall be borne by the consultant.

This Agreement made at Thane on the day of between the Thane Municipal Corporation of City of Thane a body incorporated under the Bombay Provincial Municipal Corporations Act 1949 represented by having it’s registered office at Dr. Almeida Road, Panchpakhadi, Thane (West) – 400 602 (herein after called “the client” which expression shall mean and include its successor or succession and permitted assignees) of the one part and M/s. having their Regd. 1) Preparation of alternative conceptualization plans based on the requirement of the corporation. 2) Submission of Municipal drawings for the approval of the planning Authorites, liasoning and getting approval to the said drawings. Handing over the approved drawings and permission to the concerned department upto completion of work. 3) Preparation of construction drawings along with structural design and details, getting approval to same from appropriate authorities, if any and releasing the same for construction. 4) Preparation of Block & Detailed estimate at conceptualization stage and detailed item wise estimate subsequent to the finalization of the option, as per the District Schedule Of Rates for and any other relevant schedules or with rate analysis, as the case may be. Submission of cost estimation in the prescribed format along with quantification sheets to the concerned department. Carrying out the compliances for the points raised by estimation cell or concerned department of the Corporation. 5) Preparation of tender document along with the Bill of qualities and submitting the same to the concerned Department. Evaluation of the offers received within the stipulated time limit with specific technical and financial observations and recommendation. 6) Carrying out revised drawings or revisions and accordingly getting permission to the said revision from appropriate authority if required and Preparation of subsequent revised estimate as per revised drawings concept. Submission of construction schedule to the contractor and concerned department. Monitoring the progress of the work as per the construction schedule and bringing to the notice of any deviation in the progress along with remedial measures. 7) Preparation of Extra item estimation, if any in the prescribed format along with the revised estimate. Explaining the specific reasons for incorporation of the extra item with its technical and financial implications. 8) Verification of the standard and quality of material at site, verification of the test results of material and work along with specific recommendation or rejection.

In consideration of the payments to be made by the Client to the Consultant as mentioned in Annexure 04, 05 & 06 the consultant hereby agrees with the Client to perform the Services in conformity with the provisions of the Agreement. The Client hereby agrees to pay the Consultant in consideration of the performance of the services such amounts as may become payable under the provisions of the Agreement at the times and in the manner proscribed in the CONSULTANCY agreement.
