Sealed Quotations are here by invited on behalf of the Head, ICAR-IISWC, RC, Vasad in two bid system (Technical & Financial) from interested firms for providing “Job Work Rate contract for providing Sweeping and Cleaning job purely on contract basis at ICAR-IISWC, RC, Vasad” at ICAR-IISWC, RC, Vasad, (Gujarat) for a period of one year which may be further extended one/more year subject to mutual agreement and satisfactory performance of the vender.

1. The terms and conditions of the contract are those contained in the general conditions of contract applicable to the contracts placed by the ICAR-IISWC as detailed in the tender forms and its schedules. Please submit your rates in the tenders form if you are in a position to furnish the requisite services in accordance with the requirements stated in the scope of work.

2. Each bidder should submit only one bid for this tender. . The tender bid should be sent by Registered /Speed post with in the scheduled date and time. Institute will not be responsible for postal delay. Tender bid shall not be accepted by –hand. 3. The firm to whom contract will be finally awarded shall not transfer or sub-let the contract to other firm.

4. An earnest money of Rs.9,000/- (Rupees Nine Thousand) only must be deposited in the form of demand draft in favor of “Head, ICAR –IISWC, research Centre, Vasad” payable at Vasad and a scanned copy of the same submitted along with Technical Bid. The EMD of unsuccessful bidder shall be returned on receipt of written request. In case the successful bidder does not accept the offer, the EMD shall be forfeited. No interest on EMD shall be paid by the Institute.

5. Conditional bids shall not be considered. No overwriting or cutting is permitted in the tender documents. Such bids will be out rightly rejected.

6. The firms are being permitted to give tenders in consideration of the stipulations on his part that after submitting his Tenders, he will not resile from his offer or modify the terms and conditions thereof. If the Tenderer fails to observe and comply with the foregoing stipulations the amount of EMD will be forfeited. In the event of the offer made by the tenderer not being accepted, the amount of EMD will be refunded to him after he has applied for the same in the manner prescribed by the ICAR-IISWC.

7. Annexure/supporting document of the tender form should be uploaded with online bids. In the event of the space provided on the schedule form being insufficient for the required purposes, additional pages may be added. Each additional page must be numbered consecutively and be signed in full by the tenderer with proper seal of the firm. In such cases reference to the additional pages must be made in the tender form. If any modification of the schedule is considered necessary it should be communicated by means of a separate letter along with the tenders. 8. Tenders are liable to be ignored if complete information as required is not given therein or if the particulars asked for in the schedules to the tenders are not fully filled in. Individual signing the tenders or other documents connected with the contract may specify whether he signs it in the capacity of (i) a sole proprietor of the firm of constituted attorney of such sole proprietor, or (ii) a partner of the firm if it be partnership in which case he must have authority to refer to arbitration dispute concerning the

business of the partnership whether by virtue of the partnership agreement or power of attorney or (iii) constituted attorney of the firm if it is a company. 9. If a tenderer does not accept the offer, after issue of letter of award by ICAR-IISWC within 15 (fifteen) days, the offer made shall be deemed to be withdrawn without any notice & earnest money shall be forfeited.

10. In case of partnership firms, where no authority has been given to any partner to execute the contract/ agreement concerning the business of the partnership, the tenders and all other related document must be signed by every partner of the firm. A person signing the tender form or any other documents forming part of the contract on behalf of another shall be deemed to warranty that he has authority to bind such other and if, on enquiry it appears that the persons so signing had no authority to do so, the ICAR-IISWC shall without prejudice to other civil and criminal remedies cancel the contract and hold the signatory liable for all costs and damages. Each page of the tenders and the schedules to the tenders and annexure(s), if any, should be signed by the tenderer. The Tenderer may also affix seal of firm and signature of authorized signatory in all tender/supporting documents.

11. The rates quoted by each firm for job/service contract in tenders be given both in words and figure failing which the same is liable to be rejected. Tenders will be opened by the authorized officers. Bidders have two options to participate in tendering process at the time of opening of Bids. Bidders can come at the place of opening of bids as done in the conventional tender process or he cannot visualize the process online without physically being present at ICAR-IISWC. The name and address of the representative who would be attending the opening of the tenders on firm’s behalf should be indicated in tender document. Name and address of permanent representative of the tenderer, if any, may also be indicated.

12. Performance Security Deposit of 6% of the job contract money is to be deposited by the successful bidder to whom contract is awarded. The Performance Security Deposit is to be deposited only after receiving a communication from the ICAR-IISWC. In the event of non-deposition of the same, the earnest money will be forfeited and contract shall be cancelled. The performance security shall be returned to the firm after completion of contract period (including extendable period, if any) + 60 days and no interest on Performance Security shall be paid by the ICAR - IISWC.

13. The firm shall abide by all the laws of land including labour laws, payment of minimum wages to the deployed manpower, deposition of their EPF/ESI contribution with firm’s share, Income Tax, GST or any other extra taxes levied by Govt., welfare measure of its employees and all other obligation that is being instructed in such cases and are not essentially enumerated and defined herein. Any such bounded duty shall be the exclusive responsibility of the service provider and it shall not involve ICAR- IISWC in anyway whatsoever. Compliance of these provisions shall be ensured at the times of making monthly payments. Non-adherence of above shall liable the contract terminable with forfeiture of Performance Security besides other penalty as decided by the Head, ICAR-IISWC. The outstanding dues against such liabilities shall be adjusted from the outstanding monthly bill and performance security and the firm shall be bound to make overpayment, if any to the Institute. 14. Firm have to quote the consolidated monthly charges chargeable by the firm for providing services on job contract as per scope of work at both locations in the prescribed financial bid format (BOQ). Monthly charges quoted by the firm shall be the main criteria for selecting the firm. No change/revision whatsoever in monthly charges once quoted shall be accepted during the tenure of contract including extended period of contract under any circumstances. In case of more than one successful lowest bidders (L -1), the criteria for selection shall be the highest turnover during the last 03 three years put together. In case more than one bid having the same total turn-over, then the selection criteria shall be the maximum experience in government department 15. GST or any other tax applicable or made applicable after awarding the contract in respect of this contract shall be payable by contractor and ICAR-IISWC will not entertain any claim whatsoever in this respect. However, the income tax or any other tax which is as per the rules of the Govt. of shall be deducted at source from monthly bills of the successful tenderer, as per rules/ instructions made applicable from time to time by government. 16. In accordance with O.M. No. 29(1)/2014-PPD dated 28.01.2014 of Department of Expenditure, Ministry of Finance, bids quoting “Nil‟ consideration/service charges shall be treated as unresponsive and will not be considered. 6

17. The firm shall make the monthly wages to the deployed manpower for the above job contact before 7th of every month through NEFT/RTGS and raise the monthly bill for the job along with a copy of NEFT/RTGS through which wages are deposited into the bank account of deployed manpower, copy of Electronic Challan Receipt of EPF and ESI contribution deposited by the firm in respect of each deployed manpower as well as copy of GST challan etc. deposited by the firm to the concerned authorities. The payment against monthly bill shall be released only after satisfying above condition. 18. Head, ICAR-IISWC,RC, Vasad reserves the right to reduce or terminate the period of contract or to extend its duration in the interest of the Institute, for any justifiable reasons and it is not mandatory to be communicated to the tenderer 19. Decision of the Head, ICAR-IISWC, RC, Vasad shall be final for any aspect of the contract and binding to all parties. Disputes arising, if any, on the contract will be settled at his level by mutual consultation and in case of failure in settlement dispute shall be referred to the sole arbitrator to be appointed by the Head, ICAR-IISWC. The decision of the sole arbitrator so appointed shall be final and binding on the parties. Arbitration proceeding shall be governed by the Arbitration & Conciliation Act, 1996 as amended from time to time. 20. Acceptance of offer of successful bidder by the Institute will be communicated by fax/speed/registered post or any other form of communication. 21. Institute does not pledge itself to accept the lowest or any other tenders and also reserve to itself the right of accepting the tenders whole or in part keeping in view valid reasons. Conditional tenders will not be accepted. 22. Head, ICAR-IISWC reserves the right to modify any of the terms and conditions of the contract as mentioned in this tender document, at its discretion, in the interest of the job work/public interest. 23. Successful Bidder/tenderer will have to enter into a detailed contract agreement with ICAR-IISWC on non-judicial stamp paper of Rs. 100/- (One hundred only) duly notarized for work as per the specimen attached with the tender document. 24. LIQUIDATED DAMAGES CLAUSE a. An amount of Rs. 500/- per day will be levied as liquidated damages for delay of work after fixed time period of the job. Such deficiency shall be reported by the Institute to the Supervisor and in case it is not attended within one hour time, the clause of Liquidity Damage shall be invoked b. Any misconduct/misbehavior on the part of the manpower deployed by the agency will not be tolerated and such persons will have to be replaced immediately. 25. The following document/vouchers are required to be uploaded with the Technical Bid in following manner:- i. Scanned copy of Earnest Money Deposit (EMD) ii. Scanned copies of Income Tax Registration (PAN Card), GST Registration Certificates. iii. Scanned copies of EPF and ESI Registration Certificate(s) issued by the appropriate authority. iv. Scanned copy of valid License under the Contract Labour (Registration & Abolition) Act, 1970. v. Scanned copy of valid registration certificate issued by NSIC/MSME, if applicable for exemption of EMD. vi. Scanned copies of proofs of minimum last three year's continuous experience of the firm in the field of providing such services in Central Govt. establishments/ autonomous bodies/corporations / reputed public or private organizations, with details in enclosed tabular form in chronological order and Scanned copies of the satisfactory services where the tenderer is providing the services for each of the last three or more financial years. vii. Scanned copy of Audited Balance Sheet of the firm for last 3 (three) financial years 2016-17, 2017- 18 & 2018-19) prepared by the Chartered Accountant. viii. Scanned copy of bank account details. ix. Scanned copy of an authority letter for seeking reference from the bidder’s bankers, if required. x. Scanned copy of certificate indicating that there is no criminal legal suit pending or contemplated against it. xi. An Undertaking as per attached Format duly attested by Notary on a non-judicial stamp paper of value of Rs.100/- (Rupees One Hundred Only) duly notarized regarding their non-blacklisting by any of the Govt. Departments, Public Sector Undertakings and/or by Central Vigilance Commission during the last three years as per Annexure-V.

26. The firm shall submit the hard copy (original document) of only Demand Draft of EMD (Sl.No.25.i) and Undertaking (25.xi) to the Institute in a sealed cover envelope superscribing “Documents providing Sweeping and Cleaning job purely on contract basis” by speed/registered post on or before the last date and time of submission of tender bid failing which the bidding shall be treated and unresponsive and rejected

Annexure-III

Job Work Rate contract for providing Sweeping and Cleaning job purely on contract basis at ICAR-IISWC, RC, Vasad

General Terms & Conditions

Besides the terms & conditions mentioned in Annexure-II, the contract shall be further governed with the following terms & conditions:-

1. The manpower deployed by the firm staff shall follow strict attendance and alternative arrangements are to be made by the agency whenever anyone of staff/supervisor is to goes on leave under intimation to this office.

2. Changing of Staff/Supervisor should be intimated to authorized officer of the Institute.

3. The Head, ICAR-IISWC, Vasad reserves the right to reject any or all tenders in whole or in part without assigning reasons therefore. The decision of Head, ICAR-IISWC, Vasad shall be final and binding on the Contractor/Agency in respect of clause covered under the contract.

4. The manpower deployed by the firm for above work shall also maintain secrecy and discipline in the premises of Institute.

5. The manpower deployed by the firm for above should be capable in all respect for doing various farm operations, etc..

6. The firm shall keep a complaint register with his supervisor, and it shall be open to verification by the authorized officer of ICAR-IISWC for the purpose. All complaints should be immediately attended to by the Agency.

7. The contract is terminable with one month notice by the Institute and three months’ notice by the firm.

8. The contractor or his workers shall not misuse the premises allotted to them for any purpose other than for which the contract is awarded.

9. The Institute shall not be responsible for any loss of life and material whatsoever while performing the job work by the firm/its deployed manpower.

10. The agency shall deploy good and reliable manpower with robust health of age group of 21 to 50 years. In case any of the personnel so provided is not found suitable by the ICAR- IISWC, the Institute shall have the right to ask for his replacement without giving any reason thereof and the agency shall on receipt of a written communication will have to replace such persons immediately.

11. Employment of child labour may lead to the termination of the Contract.

12. The manpower so deployed by the agency under this Job Contract will not be the employee of the Institute and there will be no employer-employee relationship between the Institute and the manpower so engaged by the contractor in the aforesaid services.

13. The firm can visit/inspect the site covered under the contract to assess the exact manpower required to be deployed for service of the area covered under contract. However, the firm shall indicate only the lump-sum amount in respect of all the services covered under this contract and that rates should not be proposed on the basis of manpower to be deployed under the contract. No request for alteration in the rates once quoted will be permitted during contract period including extended period of contract.

14. The rates to be quoted should include cost of each and every item including transportation cost, manpower cost and taxes etc. The Institute shall not bear any extra charge on any account whatsoever i.e. EPF and ESI contribution, Uniform, Liveries, OTA, Bonus etc. 15. The contractor will discharge all his legal obligations in respect of the workers/supervisors to be employed/ deployed by him for the execution of the work in respect of their wages and service conditions and shall also comply with all the rules and regulations and provisions of law in force that may be applicable to them from time to time. The contractor shall indemnify and keep indemnified the ICAR-IISWC from any claims, loss or damages that may be caused to it on account of any failure to comply with the obligations under various laws. In case of any dispute, the decision of the Head, ICAR-IISWC shall be final and binding on the contractor. 16. Income Tax/TDS will be deducted from the payments due for the work done as per rule.

17. The firm shall inform about the change of Supervisor/manpower at every occasion.

18. The contract is subject to the condition that the firm shall comply with all the laws and acts of Central Govt., State Govt. relating to the contract applicable from time to time.

19. Risk Clause: ICAR-IISWC, RC, Vasad reserves the right to discontinue the Job Contract at any time, if the services are found unsatisfactory by giving a show-cause to be replied within a week and also has the right to award the contract to any other agency at the risk and cost of current agency and excess expenditure incurred on account of this can be recovered from Security Deposit or pending bills or by rising a separate claim. 20. The rates to be quoted should include cost of items used for various farm operations. 21. The selected shall make the wages to the manpower so engaged by the firm for aforesaid contract according to the wages fixed by the state/central Govt. whichever is higher. As and when wages are revised by the Govt., the firm shall be liable for enhanced payment of wages to the manpower including the arrears. The Institute shall not pay any enhanced wages to the contractor over and above the rate quoted and approved by the Institute during the period of the contract. The firm may keep this in mind while quoting the rates. 22. Any loss, theft or damage to the life and/or property of the employees of the ICAR-IISWC Hqrs and/or property of the ICAR-IISWC shall be compensated by the contractor/agency if the cause of such loss, theft or damage is on account of default, negligence and/or lapse of the personnel deployed by the contractor/agency. 23. In case of breach of any terms and conditions attached to this contract, the security deposit of the contracting agency will be liable to be forfeited by the ICAR-IISWC besides annulment of the contract. 24. The terms and conditions as stipulated in the tender documents and enclosed herewith, shall be part of the agreement. 25. Decision of the Head, ICAR-IISWC, RC, Vasad shall be final for any aspect of the contract and binding to all parties. Disputes arising, if any, on the contract will be settled at his level by mutual consultation and in case of failure in settlement dispute shall be referred to the sole arbitrator to be appointed by the Head, ICAR-IISWC, RC, Vasad. The decision of the sole arbitrator so appointed shall be final and binding on the parties. Arbitration proceeding shall be governed by the Arbitration & Conciliation Act, 1996 as amended from time to time.

26. Those disputes which are not resolved as per above Para shall be resolved within the jurisdiction of Vasad court. The Head, Institute reserves the right to reject any or all Tenders in whole or in part without assigning any reasons therefore. The decision of Head, Institute shall be final and binding on the contractor/agency in respect of any clause covered under the Contract.

DRAFT SPECIMEN AGREEMENT

This agreement is made at …………… (place) …………….. on (month/year) …………… day of between ICAR-Indian Institute of Soil & Water Conservation (hereinafter called IISWC) through ……………… (Designation of the competent authority in IISWC) ……………… which term shall include its successors, assignees etc. on the first part and …………………. (name & address of the firm) (hereinafter called the firm) which term shall include its authorized representatives, successor, assignees etc. on the other part.

Whereas the IISWC has decided to assign the contract for providing “Job Work Rate contract for providing Sweeping and Cleaning job purely on contract basis at ICAR-IISWC, RC, Vasad” at ICAR- IISWC, RC, Vasad, Anand to the firm on the terms and conditions hereinafter contained.

NOW IT IS HEREBY AGREED by and between the parties hereto as follows:-

1. This agreement shall come into force w.e.f. …………..(date)…………… and will remain in force for a period for one year or the period of contract if extended on mutual consent but can be terminated by IISWC by giving one calendar months’ notice in writing of its intention to terminate the agreement.

The firm shall be responsible for providing “Job Work Rate contract for providing Sweeping and Cleaning job purely on contract basis at ICAR-IISWC, RC, Vasad ” at both locations(Inst. Main office and farm office) as per scope of work of tender document. 2. The firm shall provide full particulars of the manpower deployed by it for the job contract to the Institute and shall be responsible to get their character and antecedents verified from the concerned police authorities.

3. All manpower deployed by the firm for the job contract shall at all times and for all purposes be deemed to be employees of the firm and the IISWC shall have no liability on this account in any manner. 4. That the Firm shall ensure that the manpower deployed by the firm for the job contract are of good character, well behaved and otherwise competent and qualified to perform the work for which they are deployed. 5. The IISWC shall have the right to ask for the removal from its premises any manpower deployed by the firm if considered to be incompetent, disorderly or any other reason and such manpower shall not again be deployed without the consent of the IISWC. 6. Wages to be paid to the contractual manpower will be as per Minimum Wages prescribed by Central Govt. /Govt. of Gujarat, whichever is higher for the job work.

7. The firm shall make the monthly wages to the deployed manpower for the above job contact before 7th of every month through NEFT/RTGS and raise the monthly bill for the job alongwith a copy of NEFT/RTGS through which wages are deposited into the bank account of deployed manpower, copy of Electronic Challan Receipt of EPF and ESI contribution deposited by the firm in respect of each deployed manpower as well as copy of GST challan etc. deposited by the firm to the concerned authorities. The payment against monthly bill shall be released only after satisfying above condition.

8. The arrears of minimum wages as and when due on issue of orders of revision of minimum wages by the appropriate authority shall be deposited by the firm in the bank account of concerned manpower through NEFT/RTGS and submit documentary proof along with next monthly bill.

9. The deduction of income tax/TDS from the bills of the agency will be made at source as per rates applicable from time to time.

10. In case of dispute between the parties, the matter shall be referred to the sole arbitrator appointed by the Head, ICAR-IISWC. The decision of the sole arbitrator shall be final and binding in any respect of any dispute between the parties. Arbitration proceeding shall be governed by the Arbitration & Conciliation Act, 1996 as amended from time to time.

11. That the firm shall ensure the successful implementation of the terms and conditions of the agreement by proper control and supervision of the work.

12. That in case the firm fails to perform any of the terms and conditions of this agreement or commits any breach of the contract, Head, ICAR-IISWC shall have all right to terminate the contract.

13. That the firm agrees to discharge all their legal obligations in respect of their workers, in respect of their wages and services conditions and shall also comply with all the rules and regulations and provisions of law in force that may be applicable to them from time to time, viz. obligations under Contract Labour (Regulation & Abolition) Act. 1970, Employees Compensation Act, EPF & ESI Acts etc. Firm agrees to indemnify and keep indemnified the IISWC on account of any failure to comply with the obligations under various laws or damage to IISWC due to acts/omissions of Firm. 14. It is also agreed that under no circumstances, the manpower of the firm shall be treated, regarded or considered or deemed to be the employees of the IISWC and the firm alone shall be responsible for their remuneration, wages and other benefits etc. Firm shall indemnify and keep indemnified the IISWC against any claim that it may have to meet towards the employees/workmen of the firm. 15. Firm's employees/workmen shall have no claim to absorption/ regularization in IISWC.

16. The contract is subject to the conditions that the firm shall comply with all the laws and bye-laws of Central Govt./ State Govt. as applicable relating to this contract. 17. In case of any loss or damage to the property of the Institute which is attributable to the firm, the full damages will be recovered from the firm as decided by Institute.

18. The firm shall not transfer contract/its right or sub-let contract to anyone else.

19. The firm shall devote its full attention in service to ensure highest quality in all aspects and discharge its obligations under the contract with trust, diligence and honesty.

20. Compensation to the workers in case of any accident, loss of life during discharge of their duties shall be the responsibility of the firm and not on the part of IISWC in any manner.

22. The firm shall provide a coordinator for immediate interaction with the organization.

23. The firm also undertake that all the terms and conditions as stipulated in the tender documents and enclosed herewith, shall be automatically a part of the agreement.

24. The monthly charges quoted by the Bidder, shall remain firm/unchanged during the entire contract/extended period and it shall not be increased at any stage.

25. LIQUIDATED DAMAGES CLAUSE: i. An amount of Rs. 500/- per day will be levied as liquidated damages for delay of work after fixed time period of the job. Such deficiency shall be reported by the Institute to the Supervisor and in case it is not attended within one hour time, the clause of Liquidity Damage shall be invoked ii. Any misconduct/misbehavior on the part of the manpower deployed by the agency will not be tolerated and such persons will have to be replaced immediately.

Notwithstanding anything above, the Head, ICAR-IISWC,RC, Vasad reserves the right to reject any or all tenders in whole or in part without assigning reasons therefore. The decision of Head, ICAR- IISWC, RC, Vasad shall be final and binding on the contractor/agency in respect of any clause covered under the Contract.
