In this momentous year we have largely completed our merger activities, driven customer satisfaction and market share to all-time highs in virtually all of our markets, made our shops more interactive and exciting while becoming ever more competitive with pure-play retailers, launched a new joint venture in the US, launched a new UK mobile network, and embarked on an ambitious property plan in the UK and Ireland. We also had our biggest ever trading day on Black Friday last year. We are far from done, though. We have very ambitious plans this year which include making every one of the former Dixons stores one of the new 3-in-1 shops, introducing a lively and interactive new e-Commerce platform to Carphone Warehouse, opening Europe’s most modern distribution centre in Sweden, introducing same-day delivery, rolling out c.150 new stores in the US with Sprint, delivering our honeyBee platform to major global clients, launching our new home services division with a mandate to become a true emergency service for customers across the UK, and continuing to drive market share, price competitiveness and customer satisfaction everywhere. It is likely to be busy. I am truly grateful to all of my colleagues – right across the world – for their hard work and dedication. I am also very proud to be able to say that I work alongside such a creative and dedicated group of men and women. -

22 January 2018 Embargoed until 7.00am Appointment of new Group CEO Dixons Carphone plc announces the appointment of Alex Baldock as Group Chief Executive from April 2018, to succeed Sebastian James who has informed the board of his decision to step down around the end of the financial year after six years in the role. Sebastian will be joining Walgreens Boots Alliance later this year. Alex Baldock is currently Group Chief Executive of Shop Direct plc, the UK’s second largest pure-play online retailer, a position which he has held since 2012. Board of Directors Walgreen Co. 108 Wilmot Road Deerfield, IL 60015 Dear Mr. Skinner: In light of yesterday’s abrupt change to the leadership of the proposed Walgreens Boots Alliance, we call for the postponement of the special meeting set for December 29 and the disclosure of the full succession plan to replace CEO Greg Wasson. The announcement of CEO Wasson’s pending departure has further exacerbated the conflicts of interest present at Walgreen Co. Specifically, it raises the question of who is the true acquirer in a deal where Stefano Pessina is set to run Walgreen while also receiving a handsome premium for his share of Alliance Boots GmbH —without Walgreen shareholders having had a vote so far. We therefore also ask that you provide outside shareholders with an independent vote on whether to issue the shares necessary to complete the Alliance Boots transaction. Without any further clarity or investor protections, yesterday’s dramatic development only reinforces our view that the full acquisition of Alliance Boots is unnecessary, risky and overvalued and should be opposed by shareholders. The CtW Investment Group works with union-sponsored pension funds in order to enhance long- term shareholder value through active ownership. These funds have over $250 billion in assets under management and are substantial Walgreen shareholders. Yesterday’s announcement is a game-changer impacting the core premises on which this merger was proposed. Although Walgreen shareholders are paying a premium to acquire Alliance Boots, it seems now more than ever the case that Alliance Boots’ owners and management will be the dominant forces in the combined company. -
