W I T N E S S E T H: Whereas/, Marriott is the operator of the luxury hotel known as Cairo Marriott Hotel and Omar Khayyam Casino located at Saraya El Gezirah Street, Zamalek, Cairo - Egypt. Hereunder, the Member would like to join the “Health Club” located within the Hotel premises comprised of health, fitness, and recreation facilities. The Member will use the Health Club facilities for a fee as provided Herein. Now, therefore, in consideration of the mutual covenants and agreements and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Marriott and the Member agree as follows: 1 Marriott does hereby grant the Member the non-exclusive, nontransferable right to use the equipment and the Facilities located within the Health Club at such times and subject to such rules and regulations as may be determined by Marriott from time to time in its sole discretion. 2 This contract is for a single/couple/family Membership with total fees of L.E.___________. The Membership will activate only upon the payment of the total, non-refundable fee. In the absence of full payment, this Agreement shall terminate and the Member shall forfeit the fee. The families, if there are children, there will an extra fee according to the children’s age. 3 Each Member shall be issued a Club Membership Identification Card. Such Identification Card shall be Surrendered upon termination of the Membership. 4 Each subsequent year, from the Effective Date, the Member is obligated to pay only the Annual fee. Marriott reserves the right to withhold the Member’s privileges until the outstanding annual subscription fees are paid in full with applicable taxes. 5 The Member shall not transfer his/her membership rights under this Agreement. 6 The Member agrees to maintain active membership by paying an Annual Fee due each year consecutively from the execu- tion date of this Agreement 7 The Member agrees to use the Health Club facilities; in particular, the exercise and fitness equipment’s, Saunas, steam rooms and pool, at his/her own risk and responsibility. Accordingly, the Member assumes full. 8 Responsibility for obtaining proper medical clearance and does not rely on Marriott, the Hotel, or its employees in any way in this regard. 9 Marriott represents that its personnel have no expertise in diagnosing, examining or treating medical conditions of any kind or in determining the effect of any specific exercise on said medical condition. 10 The Member fully understands and agrees that, in participating in one or more of the fitness programs, or using the facil- ities maintained by Marriott in the Health Club, there is the possibility of accidental or other physical injury. The Member agrees to assume the risk of such injury and further agrees to release, indemnify and defend, and covenants not to sue, Marriott, its officers, shareholders and its affiliates from any and all liability whatsoever as a result of use by the Mem- ber or its permitted guests of the facilities and instructions offered by Marriott. The Member shall use the facilities and equipment in the Health Club at his/her own risk. Marriott shall not be liable for any damages arising from personal injury sustained by the Member in, on or about the Hotel or the Health Club. 6 HEALTH CLUB 11 Marriott assumes no responsibility for the loss of, or damage to, any personal property belonging to the Member while on the Hotel premises. 12 The Member acknowledges that the Health Club Membership Rules and Regulation are an integral part of this Agree- ment and the Member shall follow all the Rules and Regulations, attached hereto as Exhibit “A”. The Member agrees to be responsible for ensuring that his / her family members and guests (if applicable) also comply with the Membership Rules. Marriott expressly reserves the right to change the rules, regulations and hours of operation. In addition, Marriott expressly reserves the right to add to, eliminate, alter or offer at additional cost any program, equipment, activity, class, service, feature or fixture when deemed necessary or desirable if in Marriott’s sole judgment, it is in the best interest of the members of the Health Club. 13 The Member is not permitted to bring in food, beverages, and alcohol from outside to the Health Club and/or Hotel. The Hotel is the sole designated caterer for all events taking place at the Hotel. 14 The Member acknowledges, understands and agrees that the Hotel is a luxury hotel of the highest class, catering to the finest clientele, and therefore the Member agrees at all times to conduct himself/herself in the manner to consistently conform with the image and quality of the Hotel, and to observe the highest standards of cleanliness to the satisfaction of Marriott. 15 Failure and/or refusal to comply with the rules and regulations, as well as any other rules and regulations imposed and established by Marriott from time to time, or failure to comply with the provisions of this Agreement, shall be grounds for termination of membership upon a prior one month notice. 16 If, in the sole opinion of Marriott, the violation by the Member or a guest of the Member is detrimental to the general membership and the guests of the Hotel, then membership can be revoked without refund. In addition, the Member can be barred from entering the Hotel. 17 The gym is available to both male and female members who are 16 years of age and above. 18 The Member may terminate membership at anytime by giving a thirty (30) days written notice to the Health Club officer. All fees paid are non-refundable. 19 All rights and remedies of Marriott under this Agreement shall be cumulative and none shall be exclusive of any other rights and remedies allowed by law. This contract shall be governed by the laws of the Arab Republic of Egypt. 20 Notwithstanding anything contained herein to the contrary, Marriott may terminate this Agreement upon thirty (30) days prior written notice without cause or penalty whatsoever during the initial term or any extension term of this Agreement.     THE STRATEGIC URBAN DEVELOPMENT MASTER PLAN STUDY FOR A SUSTAINABLE DEVELOPMENT OF THE GREATER CAIRO REGION IN THE ARAB REPUBLIC OF EGYPT Final Report (Volume 2) 2.5.2 Characteristics of Specific Land Use Categories (1) Commercial area Commercial areas in GCR can be classified into three basic types: (i) the CBD; (ii) the sub-center which includes the mixed use for commercial/business and residential use; and (iii) major shopping malls such the large size commercial facilities in relatively new urban areas. The CBD is located in downtown areas, where there are mixed-use buildings that were established long ago and partly accommodate shops and stores. The major sub-centers in the main agglomeration are Shobra, Abasia, Zamalek, Heliopolis, Nasr city, Maadi in Cairo governorate and Mohandeseen, Dokki, Giza in Giza governorate. The recent trend following the mid-1990’s can been seen in the construction of shopping malls which are commercial complexes comprising a movie theater, restaurants, retail shops, and sufficient parking space or a parking building attached. These suburban shopping malls are mainly located in Nasr city, Heliopolis city, Maadi, Shobra, and Giza.
