TO BE EXECUTED AS A DEED DEFINITIONS AGREEMENT SECRETARY OF STATE FOR TRANSPORT (1) and WELSH MINISTERS (2) 1 45763.11 THIS DEFINITIONS AGREEMENT is dated 2018 BETWEEN (1) THE SECRETARY OF STATE FOR TRANSPORT whose principal address is Great Minster House, 33 Horseferry Road, London SW1P 4DR (the “Secretary of State”); and (2) WELSH MINISTERS whose principal place of business is Crown Building, Cathays Park, Cardiff CF10 3NQ ("Welsh Ministers)" (including, as appropriate, Affiliates or subsidiaries of Welsh Ministers acting on its behalf), each a “Party” and together the “Parties”. WHEREAS: (A) The Secretary of State and Welsh Ministers propose to enter into a number of agreements (the “Wales & Borders Agreements”) in connection with Welsh Ministers acting as agent for the Secretary of State in respect of certain English services which are specified in a Welsh franchise agreement. (B) The Secretary of State and Welsh Ministers wish to set out in this Agreement, definitions of the terms used in the Wales & Borders Agreements. NOW IT IS AGREED as follows: 1. CONSTRUCTION AND INTERPRETATION In the Wales & Borders Agreements, except to the extent the context otherwise requires: (a) words and expressions defined in the Railways Act have the same meanings when used therein provided that, except to the extent expressly stated, “railway” shall not have the wider meaning attributed to it by Section 81(2) of the Act; (b) words and expressions defined in the Interpretation Act 1978 have the same meanings when used in the Wales & Borders Agreements; -

A Technical Response to the Report “The Future of Island Line – Options Report” By Mark Brinton MIET March 2016 Page 1 1. Executive Summary This Report should be read in conjunction with Chris Garnett’s Report “The Future of Island Line – Options Report”. I have set out to discuss the issues raised in the Garnett Report mainly from an engineering and technical point of view. My reports contains a detailed analysis of the various technical claims made the supporters of conversion of Island Line to a tramway and casts significant doubts as to the cost benefits claimed for the conversion of the existing railway into a tramway and the use of tram vehicles. I have also questioned the safety and legal aspects of the proposed method of operation of this tramway. I have also sought to address a number of myths and rumours surrounding some of the technical issues relating to Island Line. Unfortunately some of these have found their way into Christopher Garnett’s report and could be considered to be affecting its conclusions. The last part of my report describes a possible alternative to a tramway which should cost less to implement and reduce day-to-day operational costs whilst securing the operation of Island Line within the National Rail Network. 2. Introduction This document has been produced as a considered technical response to the statements and proposals put forward in the report “The Future of Island Line – Options Report” prepared by Christopher Garnett for the Isle of Wight Council in January 2016 [the Garnett Report]. As the author of this Report, I am a practicing railway engineer, with over forty years of experience mainly in traction and rolling stock engineering. -

Competitive EUROPEAN CONFERENCE OF MINISTERS OF TRANSPORT Tendering of Rail Competitive tendering Services provides a way to introduce Competitive competition to railways whilst preserving an integrated network of services. It has been used for freight Tendering railways in some countries but is particularly attractive for passenger networks when subsidised services make competition of Rail between trains serving the same routes difficult or impossible to organise. Services Governments promote competition in railways to Competitive Tendering reduce costs, not least to the tax payer, and to improve levels of service to customers. Concessions are also designed to bring much needed private capital into the rail industry. The success of competitive tendering in achieving these outcomes depends critically on the way risks are assigned between the government and private train operators. It also depends on the transparency and durability of the regulatory framework established to protect both the public interest and the interests of concession holders, and on the incentives created by franchise agreements. This report examines experience to date from around the world in competitively tendering rail services. It seeks to draw lessons for effective design of concessions and regulation from both of the successful and less successful cases examined. The work RailServices is based on detailed examinations by leading experts of the experience of passenger rail concessions in the United Kingdom, Australia, Germany, Sweden and the Netherlands. In common with its Constituent Authorites, Transport for the North has undertaken a contingency planning exercise, based on existing business continuity arrangements, to address the challenges posed both by the virus itself, and the steps that might be taken to help control the outbreak. At the time of writing: • The Rail North Partnership, with TfN input, is working very closely with the two main northern train operating companies to continue to run services and mitigate against the impact of Coronavirus – passenger numbers have fallen significantly already as people choose not to travel; • TfN has moved to remote working (on 17 March) in line with Government guidance issued on the 16 March; and • TfN meetings such as the Board meeting on 29 April will be kept under review and moved to consultative conference calls if necessary The Oakervee Review was released on 11 February and on the same day Government announced the decision to complete HS2 in full. As part of the announcement, Government stated its intention to develop an Integrated Rail Plan for the Midlands and the North. -

Schwieterman, Director Chaddick Institute for Metropolitan Development, and Professor, School for Public Service, De Paul University Schwieterman will discuss the recent revival of intercity bus service in the U.S. and how this is changing the competitive mix of services that are available. He will draw upon his analysis to show how the amount of service has grown since 2008 and illustrate the growing investments in express services between cities separated by 100 - 350 miles. -

Following privatisation in 1993, British Rail was divided into two main parts: one part being the national rail infrastructure (track, signalling, bridges, tunnels, stations and depots) and the second being the operating companies whose trains run on that network. The infrastructure is owned by Network Rail which is regulated by the Office of Rail and Road (ORR). -

INTRODUCTION 1.1 Context This submission constitutes the London Borough of Hounslow’s response to an invitation to provide initial comments on the Crossrail project’s proposal for a new corridor for Crossrail 1: Corridor 6 – Norbiton, via Old Oak Common, Acton, Chiswick, Richmond and Kingston. The submission considers the proposal in terms of service and amenity for the borough’s residents and businesses, and within the context of the Council’s published policies. In addition to the two options that constitute the Corridor 6 proposals, this submission provides two further options for Crossrail’s consideration. While the Council must record its disappointment that an effective period of less than two weeks was offered for preparation of this submission, the Council also wishes to record its appreciation for the assistance given by the Crossrail consultation team during the preparation of the submission. 1.2 Council Policies The London Borough of Hounslow Unitary Development Plan’s objectives relating to transport and land use development are summarised below: • To promote sustainable transport modes (walking, cycling, public and waterborne transport) which improves access for all members of the community and enhances public transport provision in London as a whole, while reducing car traffic and the demand for road space. • To encourage a pattern of land use, and provision of transport which minimises harm to the environment and reduces the need to travel, especially by car, whilst maximising development opportunities in the Borough. -

Island Line Replacement Review Executive Summary September 2001 1 Introduction Remit The SRA commissioned a review to advise on options to continue provision of passenger services on the existing Island Line route between Ryde Pier Head and Shanklin, beyond the existing Stagecoach franchise period which has now been extended to 27 September 2003. The brief required the scoping of two scenarios, ‘heavy rail’ and ‘light rail’, in terms of feasibility of options and the works and equipment investment required, with an assessment of the costs and scale of any passenger revenue benefits likely to arise from each option. The main outputs required from this study include a strategic review of the existing infrastructure and rolling stock asset condition, the future peak capacity requirements, and potential infrastructure and rolling stock specifications and costs for both ‘heavy rail’ and ‘light rail’ scenarios, that would most effectively serve the potential demands for the Island Line existing corridor, including a high level feasibility and cost / benefit analysis comparison of ‘heavy’ versus ‘light’ rail options over 10, 20 & 30 year horizons. The review aims to identify and assess potentially appropriate Development Options to facilitate development of passenger services along the existing Ryde – Shanklin route. Various resource levels and investment schemes for train services, rolling stock options: new electric stock, diesel stock, and light rail, compared with further LUL cascade, and infrastructure e.g. restoring a passing facility at Brading, were considered. We have carried out a separate study, for the Isle of Wight Council, which considers options for route extension south of Shanklin to Ventnor, and via the IoW Steam Railway through Smallbrook to Newport and on to Cowes. -
