In addition, in view of the misleading and wrong information disclosed by Linx on October 2, 2020 through a notice of material fact, which information served as basis for the recommendation made by Linx’s board of directors to its shareholders, and to avoid that the TOTVS Proposal be submitted to the Linx's shareholders at the same general shareholders’ meeting, as an alternative to the proposal of STNE Participações S.A. (“STNE”), TOTVS, hereby provides the following clarifications. The stock market in Brazil is experiencing new developments, and an increase in the number of publicly- held companies with diffused control, such as Linx and TOTVS, has recently led to the first offers and more or less hostile proposals to acquire control of publicly-held companies. The Brazilian Securities and Exchange Commission (Comissão de Valores Mobiliários, the “CVM”) and B3 has made sure that the stock market develops on a regular basis, and in full compliance with the principles of corporate law, as it will certainly also do in the case of the dispute over the control of Linx S.A.
