XLRI was established in 1949, soon after India gained Independence, and for over seven decades has consistently striven to uphold its mission – to help shape business leaders who are competent yet upholding high personal values and societal concern. The industrial township of Jamshedpur is indeed fortunate to have such a progressive management school that of f ers much more than management-centric education programs. XLRI has always placed high importance on its students adopting ethical conduct, cultivating a values-driven culture, and shaping an integral character formation of its students. To the Class of 2021: It is rare that we come across multiple large challenges in a short period - a life-threatening pandemic, climate weirding as a consequence of climate change and economic downturn. As aspiring business leaders of tomorrow, these unprecedented challenges of f er valuable learnings as we have all suddenly moved into a scenario where the managerial acronym VUCA (short for volatility, uncertainty, complexity, and ambiguity) has acquired totally dif f erent meanings. This new VUCA world challenges you to build your resilience quotient, take care of your own health and those of your loved ones and friends and also beckons you to support to the extent possible all the marginalized people who live life on a day-to-day basis. In these trying times I wish each of you all the very best in all your future endeavors and urge you to remember “these times shall also pass,” and we shall overcome these challenges as a business school, as a nation, and as a global family. In December 2020 Sandeep has been appointed CEO of the Bata Shoe Organization. Sandeep joined Bata in 2017, as the CEO of Bata India Ltd. with the main task of transforming the footwear giant into a modern and contemporary brand for generations to come. During his tenure, Bata India has seen a significant upswing in brand equity, sales and profits. Sandeep's strategy to force reappraisal of the Iconic Brand with new look stores, contemporary new designs and cut-through insight driven advertising has being positively noticed by consumers across the country. Prior to taking over the charge at Bata India Ltd, Sandeep was the Chief Commercial Officer at Vodafone, leading the Marketing and Services function for the telecom giant in India and responsible for some of the most iconic marketing campaigns in India. Before Vodafone, he held CMO and General Manager roles at Yum! Brands (the owners of KFC, Pizza Hut & Taco Bell) in India and the UK. He was involved in the rapid growth of KFC & PH as well as the launch of Taco Bell in India! He joined Hindustan Unilever from XLRI and worked there for almost 2 decades in several marketing & strategy roles across India and at the global headquarters at the UK. Sandeep is an engineer from IIT-Delhi and finished his PGDBM from XLRI in 1993 as the gold medalist of the batch. While IIT gave him the analytical skills, he believes XLRI was responsible for sparking the interest in Leadership & Marketing making him a life-long student of consumer behavior and insight! Sandeep is married to Anuranjita Kumar, another alumni of XLRI from the 1994 batch who runs a startup Women In Technology (WIT.in) focusing on diversity & inclusion. Prior to that she spent over 2 decades as head of HR with Citibank & RBS. And companies will advance all sorts of theories and interpretations to present its case, as this Report presents a fact check of progress in law related to appointment and continuance of persons over 75 years of age as Non-Executive Director in a listed company. • SEBI LODR requires that every listed company appointing or having any Non-Executive Director (NED) on its Board who is 75 years or above, must obtain approval of shareholders by way of special resolution for continuing or appointing such directors on the Board. Such approval is required to be taken either before the concerned director turns75-years- old or by 31st March 2019, whichever is later. • SES in this Report, has analyzed status of compliance of the above Regulations by NSE 500 companies as on 31st March 2019 reckoned as ‘Sample Companies’. SES observed that 228 companies (out of 500) had 431 Non-Executive directors on their Boards, who attained age of 75 years or above or would do so by the end of their existing term, therefore, requiring special resolution by shareholders. Out of top 500 companies in NSE, 272 companies had no NED on board who was above 75 years of age.
