Notice to Prospective Bidders The California Science Center (Science Center) is replacing its electrical transformer from the Los Angeles Department of Water and Power (LADWP). This IFB is soliciting bids from general contractors for construction of a concrete pad, enclosure and conduit to support a new 3 4.5 kv electrical transformer and switchgear. The actual transformer equipment, vault and stub-outs will be provided by LADWP AND ARE NOT A PART OF THIS BID.

You are invited to review and respond to this solicitation entitled IFB CSC 17-350 Construction Services for Concrete Pad, Enclosure and Installation of Conduit . All work associated with this contract must be completed not later than March 30, 2018.

In submitting your bid, you must comply with all instructions herein. Note that all agreements entered into with the State of California will include by reference General Terms and Conditions (GTC) and Contractor Certification Clauses (CCC). The State’s GTC’s and CCC’s are not negotiable and the State will not accept alternate GTC and CCC language from a prospective contractor. Any bid submitted with alternate language will be considered a counter proposal and immediately rejected. The State’s GTC’s and CCC’s may be viewed and downloaded at Internet site:

Costs incurred for developing bids and in anticipation of award of the agreement are entirely the responsibility of the bidder and shall not be charged to the State of California.

An individual who is authorized to bind the bidder contractually shall sign the Bid/Bidder Certification Sheet (Attachment 1). The signature should indicate the title or position that the individual holds in the firm. An unsigned bid may be rejected.

I. PURPOSE AND OVERVIEW OF SERVICES

The California Science Center (CSC) is replacing the electrical transformer servicing its facilities. The purpose of this Invitation for Bid (IFB) is to elicit bids from qualified Bidders to construct a concrete pad and enclosure and install conduit from a transformer to the facility at the California Science Center, per specifications provided by the Los Angeles Department of Water and Power (LADWP) in Exhibit F, page 50.

The transformer equipment, vault and stub-outs will be provided by DWP AND ARE NOT A PART OF THIS BID. Contractor will coordinate with LADWP to sequence work in a way that minimizes open trenches, ensures LADWP inspections are timely, etc. Material lay-down and stock-pile areas will be reviewed at the mandatory project pre-bid conference and walk-through.

The Contract shall commence upon approval of the Department of General Services (DGS); Contractor shall complete the conduit and the industrial station by March 30, 2018. Contractor shall coordinate with LADWP so the Contractor and LADWP can perform their respective portions of the project in conjunction with each other.

II. BIDDER’S MINIMUM QUALIFICATIONS

1) The Bidder needs to have held a valid California General Contractor license continually for a minimum of the past five years. Bidder must provide a copy of their California General Contractor license and proof that the bidder has had it for the past five years. Three references for services completed must be within the last three years, and to the types of services described in this IFB.

2) The Bidder must provide a certificate of Insurance providing proof of insurance to the Science Center with their bidding package. Bidder should review the Insurance Requirements included in this bid and ensure they can meet these requirements before submitting their bid. Once the contract has been awarded, the State’s Office of Risk and Insurance Management (ORIM) will review the winning bidder’s insurance certificate and/or proof of self-insurance documentation before execution of the Agreement. The winning bidder will have ten (10) business days to correct and comply with all insurance requirements after the certificate of insurance is reviewed by ORIM. Refer to Additional Provisions, Exhibit E for the applicable specific insurance requirements and coverage limits.

3) Bidders submitting a bid are required to submit their bid by the due date and time, accompanied by one of the following forms of bidder’s security: cash, cashier’s check, a certified check, or a bidder’s bond executed by an admitted surety insurer and made payable to the California Science Center. The security must be in an amount equal to 10 percent (%) of the amount bid. A bid will not be considered unless one of the forms of the bidder’s security is enclosed with the bid package.

4) The Bidder must complete and submit to the awarding agency the Payee Data Record (STD 204), to determine if the Contractor is subject to state income tax withholding pursuant to California Revenue and Taxation Code Sections 18662 and 26131. This form can be found on the Internet at www.osp.dgs.ca.gov under the heading FORMS. No payment shall be made unless a completed STD 204 has been returned to the awarding agency.

5) Notice: The winning bidder (Contractor) must enter into a contractual agreement in the form of a Standard Agreement STD 213 (see sample in Exhibit A, page 35).

6) Note: The winning bidder (Contractor) must provide the California Science Center a Payment Bond equal to 100% of the total amount of the contract within ten (10) business days of the contract award. Payment Bond must be provided before the commencement of any work. Bonds must be issued by a California- admitted surety. (CCP § 995.311.) Bonding company must execute two (2) copies of the payment bond and complete STD 807 form. Form will be provided to winning bidder (Contractor) upon award.

7) This IFB contains the instructions governing the requirements for a bid, and the format for bid information to be submitted, and the material to be included therein, follows. This IFB also addresses the requirements that Bidder’s must meet to be eligible for consideration.

B. Mandatory Pre-Bid Conference/Walk-through

1) A mandatory pre-bid conference is scheduled on Friday, August 14, 2017 at 10:00 a.m. Please sign-in at the California Science Center Administrative Offices – East (one-story building located north of the Science Center’s main entrance), 700 Exposition Park Drive, Los Angeles, California 90037. Enter Exposition Park off Figueroa at the 39th Street entrance and identify yourself as a prospective bidder at the parking kiosk.

2) Vendors will be afforded the opportunity to meet with the California Science Center’s personnel to discuss the content of the IFB and the State procurement process. In the event a potential prime contractor is unable to attend the mandatory pre-bid conference, an authorized representative may attend on their behalf. The representative may only sign-in for one (1) company. Subcontractors may not represent a potential prime contractor at the pre-bid conference. NOTE: Contractors will be asked to sign the official sign-in sheet. Any Contractor who arrives more than 10 minutes late to the mandatory pre-bid conference and walkthrough will not be allowed to submit a bid.

3) To meet and carry out compliance with the nondiscrimination requirements of the Americans with Disabilities Act (ADA), contractors who need assistance due to a physical impairment will be provided with reasonable accommodation by the awarding agency upon request for the pre-bid conference. The Contractor must contact Sarah Torres at (213) 744-7681 no later than the third working day prior to the scheduled date and time of the pre-bid conference to arrange for a reasonable accommodation.

C. Submission of Bid 1) All bids must be submitted under sealed cover and sent to the California Science Center by dates and times shown in Section III, Bid Requirements and Information, Item A. Key Action Dates. The sealed cover must be plainly marked with the IFB number and title, must show your firm name and address, and must be marked with "SEALED BID - DO NOT OPEN", as shown in the following example:

5) Bids must be submitted for the performance of all the services described herein. Any deviation from the work specifications will not be considered and will cause a bid to be rejected.

6) A bid may be rejected if it is conditional or incomplete, or if it contains any alterations of form or other irregularities of any kind. The State may reject any or all bids and may waive an immaterial deviation in a bid. The State's waiver of an immaterial deviation shall in no way modify the IFB document or excuse the bidder from full compliance with all requirements if awarded the agreement.

7) Costs incurred for developing bids and in anticipation of award of the agreement are entirely the responsibility of the bidder and shall not be charged or reimbursed by the State of California.

8) An individual who is authorized to bind the bidder contractually shall sign the Bid/Bidder Certification Sheet (Attachment 1). The signature should indicate the title or position that the individual holds in the firm. An unsigned bid may be rejected.

9) A bidder may modify a bid after its submission by withdrawing its original bid and resubmitting a new bid prior to the bid submission deadline. Bidder modifications offered in any other manner, oral or written, will not be considered.

10) A bidder may withdraw its bid by submitting a written withdrawal request to the State, signed by the bidder or an authorized agent. A bidder may thereafter submit a new bid prior to the bid submission deadline. Bids may not be withdrawn without cause subsequent to bid submission deadline.

11) The awarding agency may modify the IFB prior to the date fixed for submission of bids by the issuance of an addendum to all parties who have been furnished an IFB for bidding purposes.

12) The awarding agency reserves the right to reject all bids. The agency is not required to award an agreement.

17) No oral understanding or agreement shall be binding on either party.

D. Evaluation and Selection 1) At the time of bid opening, each bid will be checked for the presence or absence of required information in conformance with the submission requirements of this IFB. 2) The required cost schedules will be checked for mathematical accuracy. Bids that contain false or misleading statements, or which provide references, which do not support an attribute or condition claimed by the bidder, may be rejected. 3) Award if made, will be to the lowest responsive responsible bidder.

E. Disposition of Bids 1) Upon bid opening, all documents submitted in response to this IFB will become the property of the State of California, and will be regarded as public records under the California Public Records Act (Government Code Section 6250 et seq.) and subject to review by the public.

2) Bid packages may be returned only at the bidder's expense, unless such expense is waived by the awarding agency.

F. Agreement Execution and Performance

1) The effective date of this contract is either the start date or the Approval date by the Department of General Services, whichever is later. No work shall commence until the effective date.

2) Contractor shall complete the conduit and the industrial station by March 30th, 2018. Should the Contractor fail to commence work at the agreed upon time, the awarding agency, upon five (5) days written notice to the Contractor, reserves the right to terminate the agreement. In addition, the Contractor shall be liable to the State for the difference between Contractor's bid price and the actual cost of performing work by the second lowest bidder or by another contractor.

3) All performance under the agreement shall be completed on or before the termination date of the agreement.

IV. PREFERENCE PROGRAMS

A. Small Business (SB) or Microbusiness (MB) Preference – Optional

Under Government Code 14835, California certified small and micro-businesses responding to the Department’s solicitations may receive a 5 percent preference calculation applied to their bid if they are not the low bidder. Application of the SB calculation preference positions the SB/MB firm in a manner enabling them to compete more directly with non-small business firms giving them greater opportunity for bid award.

If bidder is claiming the 5% certified Small Business or micro business preference, or is committing to subcontract 25% or more of their net bid price to one or more Certified Small Businesses or microbusinesses, complete Attachment 7 (Bidder Declaration GSPD-05-105) and attach a copy of the certification.

Small business or micro business bidders or proposers using the non-small business preference shall be granted a preference consisting of five percent of the lowest cost, not to exceed $50,000.

B. Disabled Veteran Business Enterprise (DVBE) – Optional

Note: There is NO DVBE participation requirement.

This solicitation does not require a minimum amount of DVBE participation. However, you are strongly encouraged to either become certified, if eligible, or to subcontract a portion of the work to a certified DVBE. If a prime bidder is a certified DVBE or commits to subcontracting with DVBE(s), it may be eligible to receive a bid preference provided that the DVBE provides a commercially useful function as defined in California Code of Regulations, Title 2, Section 1896.61(l). For evaluation purposes only, the State shall apply an incentive to bids that propose California certified DVBE participation as identified on Attachment 7, titled Bidder Declaration GSPD- 05-105 and confirmed by the State. The incentive amount varies in conjunction with the percentage of DVBE participation offered. C. Declaration Forms All bidders must complete the Bidder Declaration GSPD-05-105 and include it with the bid response. When completing the declaration, bidders must identify all subcontractors proposed for participation in the contract. Bidders awarded a

contract are contractually obligated to use the subcontractors for the corresponding work identified unless the State agrees to a substitution and it is incorporated by amendment to the contract.

Bidders who have been certified by California as a DVBE (or who are bidding rental equipment and have obtained the participation of subcontractors certified by California as a DVBE) must also submit a completed form(s) STD. 843 (Disabled Veteran Business Enterprise Declaration). All disabled veteran owners and disabled veteran managers of the DVBE(s) must sign the form(s). A California certified SB, MB or DVBE business must be deemed to perform a Commercially Useful Function (CUF) by meeting ALL of the following CUF requirements for Contract/Purchase Order (PO) award consideration:

1. Is responsible for the execution of a distinct element of the work of the contract. 2. Carries out its obligation by actually performing, managing, or supervising the work involved. 3. Performs work that is normal for its business services and functions. 4. Is responsible, with respect to products, inventories, materials, and supplies required for the contract, for negotiating price, determining quality and quantity, ordering, installing (if applicable) and making payment. 5. Is not further subcontracting a portion of the work that is greater than that expected to be subcontracted by normal industry practices.

STATE OF CALIFORNIA STANDARD CALIFORNIA NONDISCRIMINATION CONSTRUCTION CONTRACT SPECIFICATIONS (GOVERNMENT CODE, SECTION 12990) STD. 18 (REV. 1/95)

These specifications are applicable to all state contractors and subcontractors having a construction contract or subcontract of $5,000 or more. 1. As used in the specifications: a. "Administrator" means Administrator, Office of Compliance Programs, California Department of Fair Employment and Housing (DFEH), or any person to whom the Administrator delegates authority; b. In order for the nonworking training hours of apprentices and trainees to be counted, such apprentices and trainees must be employed by the contractor during the training period, and the contractor must have made a commitment to employ the apprentices and trainees at the completion of their training, subject to the availability of employment opportunities. Trainees must be trained pursuant to training programs approved by the U.S. Department of Labor or the California Department of Industrial Relations. 6. The contractor shall take specific actions to implement its nondiscrimination program. The evaluation of the contractor’s compliance with these specifications shall be based upon its effort to achieve maximum results from its actions. The contractor must be able to demonstrate fully its efforts under Steps a. through e. below: a. Ensure and maintain a working environment free of harassment, intimidation, and coercion at all sites, and at all facilities at which the contractor’s employees are assigned to work. Records shall at least include for each employee the name, address, telephone numbers, construction trade, union affiliation if any, employee identification number when assigned, social security number, race, sex, status, (e.g., mechanic, apprentice trainee, helper or laborer), dates of changes in status, hours worked per week in the indicated trade, rate of pay, and locations at which the work was performed. Records shall be maintained in any easily understandable and retrievable form; however, to the degree that existing records satisfy this requirement, contractors shall not be required to maintain separate records.

EXHIBIT A SCOPE OF WORK Background The California Science Center (Science Center) is located in Exposition Park and includes several facilities that feature award winning exhibits and fun interactive educational exhibits and programs focused on science, technology, engineering and math. The Science Center operates a Center for Science Learning which offers professional development programs to improve math and science skills of teachers and other educators. The Science Center School is a K-5 science, math and technology focused neighborhood charter school in partnership with the Los Angeles Unified School District. The Science Center also includes an IMAX Theater which features science related films and documentaries. IMAX has the same schedule as the Science Center. The Science Center Samuel Oschin Pavilion is the temporary home for the Space Shuttle Endeavour until the Air and Space Center is completed and will be Endeavour’s permanent home. The Science Center has over 500 employees and volunteers and offices are located in the Phase II Ecosystems Building. The Science Center averages over 2 million guests annually and hosts over one hundred Events throughout the year that are sponsored by the Science Center or by a private party.

Description of Work A General Contractor is needed to provide labor and materials to construct a concrete pad and enclosure; and trench and install conduit to connect a new transformer (provided by the Los Angeles Department of Water and Power, aka LADWP) with two existing vaults per specifications provided by LADWP. Contractor shall coordinate with LADWP so the Contractor and LADWP can perform their respective portions of the project in conjunction with each other. Drawings are provided by the Science Center on a separate document found on Cal eProcure https://caleprocure.ca.gov/pages/Events- BS3/event-search.aspx and listed in Exhibit F.

General Contractor will be responsible for the following: Provide an enclosure such as temporary fencing at all times around the construction zone with a clean green windscreen that is aesthetically presentable; Contractor will replace the windscreen if it gets any graffiti or tears or any sort of visible damage that is not aesthetically presentable to the CSC Project Manager. The demolition and removal of any planting and hardscape. Construction of the transformer and switchgear enclosure per drawings EA1, EA2, EA3, A1.41, A1.42, (listed in Exhibit F and available at https://caleprocure.ca.gov/pages/Events-BS3/event-search.aspx) —including but not limited to concrete slab, concrete block walls, metal doors (specifications attached),

Drawings S2.0 and EA1 indicate a 6” x 6” WF6x25 steel beam frame insert—see note 6 on LADWP drawing EA1. Science Center will provide these calculations. CMU block wall does not require stucco or other finish. Trenching and installation of conduits from existing vault to the transformer and from transformer to another existing vault per drawing 15P0415 (listed in Exhibit F and found at https://caleprocure.ca.gov/pages/Events-BS3/event-search.aspx )—including but not limited to primary and secondary conduits, and all other components of the drawings. Trenching to be covered by steel plate or similar as needed. Please also see report listed in Exhibit F (and found at https://caleprocure.ca.gov/pages/Events-BS3/event-search.aspx ) showing the results of ground-penetrating radar survey; also see as-built utility plan, and as-built vault plan. This information is meant to serve as a guide only, and is not a guarantee of actual conditions. Please see annotated photograph of potential conduit path, showing conceptual plan for routing conduit from vault to transformer. Contractor will need to make final determination on routing. Radar survey did not detect storm drain line west of new enclosure area, but contractor must verify and relocate line, if needed. No catch basin is required. Repair and restoration of road, sidewalk and other hardscape conditions to match existing. Coordination of schedule, inspections, stub-out work in the street and other locations, and all other components of the work with LADWP engineers and installers. Coordination of work with California Science Center to minimize interruptions to service, blocking of roads, etc. Contractor is responsible for supplying all materials needed to complete the scope of work. Contractor shall take all reasonable steps to protect trees along the roadway by installing protection that limits equipment and trenching to the areas outside the canopy line.

No permits are required for this job. NO DEPUTY INSPECTIONS ARE REQUIRED FOR THIS JOB. All inspections will be performed by LADWP or Science Center staff. This project is categorically exempt from California Environmental Quality Act (CEQA). This project is also deemed as Public Works and as such, prevailing wage must be applied to your cost sheet/bid.

Additional Information: Contractor will provide dumpster(s) for scraps and debris generated during the project and shall be responsible for costs of hauling and disposal in compliance with applicable laws and regulations. The contractor is responsible for supplying all materials needed to complete the scope of work. Materials will be stocked in the areas directed by CSC. Contractor will provide an End of Day broom clean condition in working areas. Contractor to maintain insurance requirements on file with CSC. Payment terms are Total NET 45 days after completion.

LADWP will be responsible for the following: LADWP to provide and install the electrical transformer and switchgear, and will run and connect cabling from vault to transformer. LADWP will perform inspections as necessary.

California Science Center will be responsible for the following: Provide power from an emergency panel located in the holding area just to the north of the enclosure; provide a J-box on the north wall of the new enclosure with the required 208-240 volts circuit. California Science Center staff will install branch conduit and wire, in addition to devices referenced in notes 14-15 on drawing EA2. Provide calculations for a 6” x 6” WF6 x 25 steel beam frame insert—see note 6 on LADWP drawing EA1 and Englekirk drawing S2.0.

Commencement of Contract The Contract shall commence upon approval of the Department of General Services (DGS). Contractor shall complete the conduit and the industrial station by March 30th, 2018. The California Science Center is a department of the State of California. Contractor’s scope of work, tasks and deliverables are identified under items 1-7. Project specifications are on the referenced drawings found at https://caleprocure.ca.gov/pages/Events-BS3/event-search.aspx.

Work Hours Installation and working hours generally are Monday through Friday 6 AM – 5 PM. The Science Center recognizes that it may be appropriate to conduct some work at night to minimize the impact to the Science Center and/or other Park residents or users, and agrees to coordinate with contractor to provide appropriate access. Any work that interrupts service or the normal operation of the Science Center or Exposition Park operations and/or events must be scheduled during off hours. All work to be completed not later than March 30th, 2018.

Work Location Work location—All of the work takes place outside the Science Center building, but includes roads and sidewalks that are shared by Park residents and users, and will require close coordination with the Science Center and others to minimize impact. Lay- down, staging, and storage areas are proximate to the construction site and will be reviewed at the mandatory pre-bid conference and walk-through.

Work Coordination Contractor will hold a weekly coordination meeting with Science Center staff and others; Contractor will produce and distribute meeting minutes, which shall include an updated schedule of progress and budget update, RFI and submittal logs.

Point of Contact Contractor shall assign one construction manager to the project for the duration; construction manager or superintendent shall be on site during all work hours. Construction manager and superintendent shall both attend weekly coordination meetings.

CONDITIONS OF CONTRACTUAL AGREEMENT A. Once the Vendor is awarded the contract, the Contractor staff working at the site will have to provide verification of a criminal history clearance (fingerprint and background checks) from the State of California, Department of Justice prior to

performing services. The related charges for the fingerprinting and background checks will be absorbed by the vendor.

B. As stated previously, the winning Contractor must provide proper documents of completed Tuberculosis (TB) skin test (Mantoux) for staff assigned to this project. Education Code Section 49406 and Board Rule 1950 of the Los Angeles Unified School District require each employee to prove freedom from active TB every four years. A TB skin test is mandatory unless potential contractor staff is previously tested positive. A chest x-ray is then required. The related charges for the TB skin test will be absorbed by the vendor.

C. Contractor will be responsible for sending us a letter prior to performing any work, confirming that all employees assigned to this job site are in compliance with the above two requirements.

LICENSES AND PERMITS Licenses and permits required shall be provided by the contractor and he/she shall abide by any and all Federal, State, and city laws or rules affecting the work. Contractor is required to have a General Contractor’s License to perform the work. Contractor shall maintain all required protection for property, employees, and the public and insurance in connection with same, for all of which he/she shall bear the necessary expense.

SUPERINTENDENT The contractor shall give his/her personal supervision to the work, or employ a competent representative satisfactory to the State of California, who shall at all times be present at the site of work while work is in progress, with authority to act for him/her. Whenever the contractor is not present on any part of the work where it may be desired to give directions or orders, they will be given by an authorized employee of the State of California; such orders shall be received and obeyed by the contractor’s representative who may have charge of the particular work in reference to which the orders are given.

CONTRACTOR’S RESPONSIBILITY During the performance of this contract, the contractor shall have the charge, care and sole responsibility of the work and shall bear the risk of injury or damage to any part thereof by the action of the elements or any other causes whether arising from execution or non-execution of the work.

GUARANTEE Regardless of kind or quantity, all materials and workmanship to be furnished and performed under this contract shall be fully guaranteed against defects for a period of

one (1) year, unless otherwise specified, after date of completion and acceptance of the contract.

WITHDRAWAL OR ADDITION TO AGREEMENT In the event that the Science Center shall withdraw or add any services, this would require an amendment to the contract.

ACCIDENT PREVENTION Precaution shall be exercised at all times for the protection of persons (including employees) and property. These shall include, but not be limited to, the installation of adequate safety guards and protective devices for all equipment and machinery, whether used in the performance of work or permanently installed as part of the work. The contractor shall comply with all applicable laws relating to safety precautions, including the safety regulations of the Division of Industrial Safety, Department of Industrial Relations, of the State.

EMPLOYMENT OF UNDOCUMENTED ALIENS “No State agency or department, as defined in PCC § 10335.7, that is subject to this code, shall award a public works contract to a bidder or contractor, nor shall a bidder or contractor be eligible to bid for or receive a public works contract, who has, in the preceding five (5) years, been convicted of violating a State or Federal law regarding the employment of undocumented aliens PCC § 6101.”

PREVAILING WAGES You are required to comply with prevailing wage rates. Copies of the prevailing rate of per diem wages are on file at the California Science Center and shall be made available to any interested party on request. LC § 1773.2. BUDGET DETAIL AND PAYMENT PROVISIONS 1. Invoicing and Payment

A. For services satisfactorily rendered, and upon completion of this project, the State agrees to compensate the Contractor upon receipt and approval of the final invoice, in accordance with the rates specified herein (Attachment 2), which are attached hereto and made a part of this Agreement. B. 2. Budget Contingency Clause A. It is mutually agreed that if the Budget Act of the current year and/or any subsequent years covered under this Agreement does not appropriate sufficient funds for the program; this Agreement shall be of no further force and effect. In this event, the State shall have no liability to pay any funds whatsoever to the Contractor or to furnish any other considerations under this Agreement and Contractor shall not be obligated to perform any provisions of this Agreement. B. If funding for any fiscal year is reduced or deleted by the Budget Act for purposes of this program, the State shall have the option to either cancel this Agreement with no liability occurring to the State, or offer an agreement amendment to Contractor to reflect the reduced amount. 3. Prompt Payment Clause

Payment will be made in accordance with, and within the time specified in, Government Code Chapter 4.5, commencing with Section 927.

SPECIAL TERMS AND CONDITIONS

1. The State reserves the right to terminate this agreement subject to 30 days written notice to the Contractor. Contractor may submit a written request to terminate this agreement only if the State should substantially fail to perform its responsibilities as provided here. However, the agreement can be immediately terminated for cause. The term “for cause” shall mean that the Contractor fails to meet the terms, conditions, and/or responsibilities of the contract. In this instance, the contract termination shall be effective as of the date indicated on the State’s notification to the Contractor. This agreement may be suspended or cancelled without notice, at the option of the Contractor, if the Contractor or State’s premises or equipment are destroyed by fire or other catastrophe, or so substantially damaged that it is impractical to continue service, or in the event the Contractor is unable to render service as a result of any action by any governmental authority.

2. The Contractor shall provide a written notice to the California Science Center at least thirty (30) calendar days prior to any changes in the Contractor’s current legal name. Upon receipt of required documentation, an amendment will be processed in accordance with the terms of this Agreement.

3. The California Science Center reserves the right to bar any Contractor’s employee from the work site.

EXHIBIT E

ADDITIONAL PROVISIONS

1. General Provisions Applying to All Policies

a. Coverage Term – Coverage needs to be in force for the complete term of the contract. If insurance expires during the term of the contract, a new certificate must be received by the State at least ten (10) days prior to the expiration of this insurance. Any new insurance must still comply with the original terms of the contract. b. Policy Cancellation or Termination & Notice of Non-Renewal – Insurance policies shall contain a provision stating coverage will not be cancelled without 30 days prior written notice to the State. In the event Contractor fails to keep in effect at all times the specified insurance coverage, the State may, in addition to any other remedies it may have, terminate this Contract upon the occurrence of such event, subject to the provisions of this Contract. c. Deductible – Contractor is responsible for any deductible or self-insured retention contained within their insurance program. d. Primary Clause – Any required insurance contained in this contract shall be primary, and not excess or contributory, to any other insurance carried by the State. e. Insurance Carrier Required Rating – All insurance companies must carry a rating acceptable to the Office of Risk and Insurance Management. If the Contractor is self-insured for a portion or all of its insurance, review of financial information including a letter of credit may be required. f. Endorsements – Any required endorsements requested by the State must be physically attached to all requested certificates of insurance and not substituted by referring to such coverage on the certificate of insurance. g. Inadequate Insurance – Inadequate or lack of insurance does not negate the contractor’s obligations under the contract. h. Use of Subcontractors - In the case of Contractor’s utilization of subcontractors to complete the contracted scope of work, contractor shall include all subcontractors as insured’s under Contractor’s insurance or supply evidence of subcontractor’s insurance to The State equal to policies, coverages, and limits required of Contractor.

Insurance Requirements

a. Commercial General Liability – Contractor shall maintain general liability on an occurrence form with limits not less than $1,000,000 per occurrence for bodily injury and property damage liability combined with a $2,000,000 annual policy aggregate. The policy shall include coverage for liabilities arising out of premises, operations, independent contractors, products, completed operations, personal & advertising injury, and liability assumed under an insured contract. This insurance shall apply separately to each insured against whom claim is made or suit is brought subject to the Contractor’s limit of liability. The policy must include: The State of California, its officers, agents, employees and servants as additional insureds, but only with respect to work performed under the contract. This endorsement must be supplied under form acceptable to the Office of Risk and Insurance Management. In the case of Contractor’s utilization of subcontractors to complete the contracted scope of work, contractor shall include all subcontractors as insured’s under Contractor’s insurance or supply evidence of insurance to The State equal to policies, coverages and limits required of Contractor. b. Automobile Liability – Contractor shall maintain motor vehicle liability with limits not less than $1,000,000 combined single limit per accident. Such insurance shall cover liability arising out of a motor vehicle including owned, hired and non-owned motor vehicles. c. Workers Compensation and Employers Liability – Contractor shall maintain statutory worker’s compensation and employer’s liability coverage for all its employees who will be engaged in the performance of the Contract. Employer’s liability limits of $1,000,000 are required. d. During the term of this contract, Contractor shall maintain in force, at its own expense, Builder's Risk / Installation Floater covering contractor's labor, materials and equipment to be used for completion of the work performed under this contract against all risks of direct physical loss, excluding earthquake and flood, for an amount equal to the full amount of the contract improvements. The policy shall include as loss payee, and additional insured or additional named insured the State of California, California Science Center. *The insurer waives any right of recovery the insurer may have against the State because of payments the insurer makes for injury or damage arising out of the work done under contract with the State. *Waiver of Subrogation or Right to Recover endorsement must be attached to certificate.
