(the “Company”) and has submitted a shareholder proposal (the “Proposal”) to the Company. I have been asked by the Proponent to respond to the supplemental letter dated February 23, 2021 ("Company Letter") sent to the Securities and Exchange Commission by Gina Rebollar. A copy of this response letter is being emailed concurrently to Gina Rebollar. Response of Proponent The Supplemental Letter could be Exhibit A in a demonstration of the need for the Company to undertake the assessment requested, or as a minimum, why shareholders should be given the opportunity to vote in favor of the Proposal. In its Supplemental Letter, the Company has gone out of its way, once again, to minimize the degree that issues of racial police brutality are within its sphere of influence. It seems that the Company's best and worst argument for exclusion of the Proposal is that the Company is simply too large to be subject to shareholder deliberation on these issues. The Supplemental Letter reiterates and even perseverates on the idea that the Company recognizes the devastating effects of racism, intolerance and violence, while fervently resisting an investor initiative asking the Company to assess an element of that racial violence on which it may have significant influence.
