3 I. TITLE, STATUS, OFFICIAL SEAT, AIMS, ORGANISATION

Art. 1 Title, constitution and official seat

The Union has the title of European Gymnastics. Following the decision of the 2019 UEG General Assembly in Sofia, the new name of the UEG is EUROPEAN GYMNASTICS from 01.04.2020 on. All articles in these Statutes where the name UEG or European Union of Gymnastics appears have been adapted accordingly and the new edition of the Statutes (2020 Edition) will come into force on 01.04.2020 and published on the UEG Networks. It is exclusively composed of National Federations. A National Federation of a country not belonging to the European Continent but being geographically near can be admitted as a Member Federation of European Gymnastics, provided that the conditions according to the FIG Statutes are observed.

As a Continental Union it is affiliated to the FIG whose Statutes are recognised but shall retain its entire autonomy within the limits of those Statutes. In the event of FIG Statutes are modified by its Congress those of European Gymnastics shall be adapted accordingly at the time of the next Congress. The Statutes of European Gymnastics shall be congruent and not in conflict with those of the FIG as shall its development activities.

European Gymnastics is a non-profit association according to Swiss Law. Its official seat is in Lausanne, . It cannot be transferred to another country unless this is decided by at least three quarters of all affiliated Federations. The organisation is regulated by the laws of that country and is controlled by the provisions of these Statutes adopted by the General Assembly of the Union.

Art. 2 Aims

European Gymnastics unites the Federations of the European Continent in which gymnastics is practised according to Art. 6. It represents and defends the interests of gymnastics in and of its Member Federations.

The aims of European Gymnastics are among others: - the promotion, development and support of gymnastics on the whole European Continent and in all affiliated countries according to Art. 6;

- the support of exemplary initiatives undertaken by Member Federations;

- the co-operation with international institutions and organisations in particular the FIG;

- the planning, organisation and realisation of events;

- the fight against all forms of doping, violation of human rights and any kind of discrimination and violence, abuse and harassment associated to sport.

4 Art. 3 Bodies of European Gymnastics

The bodies of European Gymnastics are: a) The General Assembly (GA) b) The Executive Committee (EC) c) The President’s Board (PB) d) The Technical Committees (TC) e) The Control Authority (CA) f) The Medical Commission (MC)

The bodies mentioned under b) to f) are referred to as "Authorities of European Gymnastics”.

Elected members of the Authorities of European Gymnastics must not accept any position or function which can be in contradiction with their function as an elected member or presents conflicts of interests with European Gymnastics.

The FIG Code of Ethics - in particular Articles 1 and 2 - must under all circumstances be respected at all times by all members of the Authorities of European Gymnastics.

Employees of European Gymnastics are not authorised to be elected to a body of European Gymnastics and FIG. In case an employee of European Gymnastics chooses to run for an elected position in European Gymnastics or the FIG they can only enter the election procedure with the precondition of signing beforehand a legally binding document which stipulates that in case of getting elected they resign from the employment of European Gymnastics with immediate effect.

Art. 4 Neutrality and Discrimination

European Gymnastics does not permit any kind of discrimination amongst its members. In amongst themselves, or within their own activities, Federations and their members must conform to the requirements of mutual understanding with a spirit of friendship, solidarity and fair-play and respect the Code of Ethics of the FIG.

Art. 5 Financial viability

The financial viability of European Gymnastics is a guarantee of its engagements. Elected members are not personally liable for the debts and other obligations of European Gymnastics when accomplishing their mandate.

II. MEMBERSHIP

Art. 6 Admission

6.1 Only a Member Federation of the FIG can become a Member Federation of European Gymnastics.

Only one Member Federation per country is admitted. It represents all gymnastics disciplines in its country.

It has to be recognised by the National Authority of Physical Education and Sport (National Olympic Committee, National Committee of Sports, National Association of Sports Federations, and Governmental Authorities).

6.2 Federations, which practice one or more of the following recognised gymnastics disciplines, can be admitted as Member Federation of European Gymnastics:

- Men’s - Women’s Artistic Gymnastics - Rhythmic Gymnastics - Trampoline Gymnastics - Aerobic Gymnastics - Acrobatic Gymnastics - Gymnastics for All - TeamGym.

Other sports activities close to gymnastics can be admitted following a decision taken by the General Assembly of European Gymnastics.

6.3 A national gymnastics Federation wishing to become a member of European Gymnastics has to submit a written application to the Secretariat of European Gymnastics. The following documents must be enclosed and written in one of the official languages of European Gymnastics:

- one copy of the Statutes which must respect the dispositions of the European Gymnastics/FIG/IOC Statutes - a certification of recognition signed by a competent authority (see Art. 6.1) - a detailed report on the structures and the activities of the applicant Federation.

6.4 The General Assembly decides on admission which requires a two thirds majority of the votes cast. The admissions come into effect at the close of the General Assembly.

6.5 A Federation applying for membership may be supported by its representatives at the General Assembly. These representatives have to leave the room during the consideration of the application and the voting. If the application is accepted, the delegates of the Federation concerned may take part in the proceedings of the General Assembly but without voting rights.

6.6 All national Federations newly admitted as members during the FIG General Assembly taking place between two European Gymnastics General Assemblies can be provisionally admitted following a decision of the EC/European Gymnastics. The definitive membership will be voted on during the next General Assembly of European Gymnastics.

6 A national Federation which has been provisionally admitted as member is entitled to participate in all European Gymnastics events, but without any rights at the Congress which will vote on the definitive membership.

All Federations, even those that have been provisionally admitted as Member Federation of European Gymnastics following their admission as FIG Member Federation, have to pay the annual membership fee. 6.7 Every admission for membership (even a provisional one) requires an undertaking to comply with the Statutes, the Regulations and the decisions of the bodies of European Gymnastics, and the payment of all fees.

Art. 7 Resignation

A Member Federation wishing to resign its membership has to inform the Secretariat of European Gymnastics by registered mail. The resignation will be confirmed by the EC/European Gymnastics under the condition that all financial obligations of this federation towards European Gymnastics have been fulfilled.

After confirmation by the EC/European Gymnastics, the Secretariat of European Gymnastics will inform all European Gymnastics Member Federations as well as the FIG.

Art. 8 Suspension and Expulsion

A Member Federation may be suspended or expelled for any of the following reasons by the proposal of the EC/European Gymnastics or at the direction and in accordance with the Statutes of the FIG: a) serious breach of the Statutes or Regulations of European Gymnastics; b) serious prejudice (action or acts) against European Gymnastics or a Member Federation; c) failure to honour its agreements and fulfil its financial or contractual obligations to European Gymnastics or a Member Federation in relation to an activity of European Gymnastics; d) involvement in illegal activities, in particular the violation of anti-doping policies and rules.

The EC/European Gymnastics may take any necessary action to suspend or expel a Member Federation for non-payment of fees or breach of other obligations. This decision will take immediate effect but must be confirmed by a two-third majority of the next General Assembly.

In case of suspension, the Federation loses all its rights for the General Assembly and the European Gymnastics events or activities.

If a European Gymnastics Member Federation is suspended by the FIG, it loses immediately all rights for the European Gymnastics General Assembly and Events. The EC/European Gymnastics will be informed as soon as the Secretariat of European Gymnastics has been informed by the FIG about this suspension.

If the European Gymnastics Member Federation suspended by the FIG has been re-admitted, it recovers immediately all its rights for the European Gymnastics General Assembly and events.

Art. 9 Right to be heard

Any suspended or expelled Member Federation has to be immediately informed to that effect in writing.

It may submit and present its defence to the Appeal Authority of the Gymnastics Ethics Foundation within 30 days of the date of the official communication about its suspension or expulsion.

Art. 10 Readmission of a suspended or expelled Federation

10.1 A readmission has to comply with the requirements of Art. 6 and the decisions of the EC/European Gymnastics.

10.2 A Federation having been suspended or expelled for financial reasons can only be readmitted after payment of the amount due.

As soon as the Federation concerned has regularised its situation, the lifting of the suspension / expulsion is within the competence of the Executive Committee. The European Gymnastics Member Federations and the FIG will be officially informed.

10.3 A Federation having been suspended or expelled for other reasons than financial ones can only be readmitted on decision of the Executive Committee. The European Gymnastics Member Federations and the FIG will be officially informed.

III. CONGRESS, GENERAL ASSEMBLY, ELECTIONS

Art. 11 Frequency and composition

The Congress is organised every two years, in the last quarter of the odd years; the dates are fixed by the EC/European Gymnastics. It is allocated by the preceding General Assembly.

If circumstances make it impossible for the General Assembly to allocate the next Congress, the General Assembly will be asked to entrust the Executive Committee with the allotment of this Congress.

The Congress includes the meetings of the President’s Board, the Executive Committee, the Technical Committees, the Control Authority, of possible Commissions and Workgroups as well as the General Assembly.

8 The General Assembly is the general meeting of the delegates of the Member Federations and of the European Gymnastics Executive Committee. It is the highest regulating, and supreme, authority of European Gymnastics.

During the Congress, other meetings can be organised, as a colloquium or a symposium, a conference with the presidents of the Federations, a conference with the responsible technicians of the Federations, etc.

Art. 12 Organisation of the Congress

The dates and the place as well as all necessary information have to be communicated in writing to the Member Federations, the members of the Authorities of European Gymnastics and to the honorary members no later than 6 months before the Congress. The invitation will be sent by E- Mail.

Art. 13 Notification of the Agenda, Reports and Proposals

The following documents have to be sent, at least six weeks prior to the opening of Congress, to the Member Federations and the members of the Authorities of European Gymnastics.

- agenda - report of the President of European Gymnastics - reports of the Technical Committees and of the Medical Commission - the annual accounts and the balance - the financial report of the Control Authority - the budgets - the proposals of the Executive Committee - the proposals of the Member Federations - the candidatures for membership, elections and bids for hosting the next Congress.

Art. 14 Cancellation of a Congress

In case of cancellation, for any reason and at any time (in particular in case of force majeure), no reimbursement whatsoever can be requested from European Gymnastics.

Art. 15 Quorum of the General Assembly

For valid deliberations, the General Assembly must be composed of at least 40% of the Member Federations. Only Member Federations having settled all financial obligations towards European Gymnastics are entitled to vote.

9 Art. 16 Presentation and treatment of proposals and candidatures

16.1 All proposals, including a revision of the Statutes, candidatures for the elections and for membership, as well as bids for hosting the next Congress and any comments concerning the General Assembly, have to be addressed to the Secretariat of European Gymnastics five months before the beginning of the Assembly.

16.2 Validation is date of receipt at the Secretariat of European Gymnastics.

16.3 The proposals can be submitted by e-mail but must be confirmed by an official letter of the Federation concerned bearing the official stamp of the Federation and signed by the President and the Secretary General thereof.

16.4 The Executive Committee may, in agreement with the Member Federations concerned, formulate into a single proposal the proposals relating to the same subject and having the same objective. The delegates will be advised about such modifications.

16.5 All proposals which are on the agenda must be voted on, unless they are withdrawn.

16.6 At the beginning of the General Assembly, the delegates can examine the proposals presented after the above-mentioned deadline (Art. 16.1); however, only proposals received until 24 hours before the opening of the first day of the General Assembly at the very latest and which do not concern the Statutes can be examined, if the delegates approve by an absolute majority. Proposals submitted at the Congress venue must be sent by e-mail to the General Director of European Gymnastics ([email protected]); the document must be ready to be presented to the Delegates in case they approve to examine them.

Candidatures for elections can’t be accepted after the above-mentioned deadline (Art. 16.1) except if not enough candidatures have been received for a Committee/Commission. Should this case arise, the Secretariat of European Gymnastics will immediately contact all Member Federations asking for additional candidatures; the deadline indicated in this official communication is final.

Art. 17 Agenda of the General Assembly

The agenda of the General Assembly comprises, in particular, the following items: a) verification of credentials b) formation and confirmation of a voting office c) approval of the minutes of the previous General Assembly d) approval of the reports of the President, the TC Presidents, the Control Authority and the Medical Commission e) granting the Authorities of European Gymnastics release f) admission, resignation, suspension and expulsion of Member Federations g) confirming the amount of the annual membership fee and of the admission fee

10 h) approval of the budgets/forecasts i) examination of and voting on the proposals of the EC and the Member Federations j) elections k) attribution of the next Congress l) appointment of honorary members.

Art. 18 Presiding the General Assembly

The General Assembly is presided over by the President of European Gymnastics, or in his absence by one of the Vice-presidents designated by the Executive Committee. In the event of this provision not being operable, one of the EC members, designated by the EC, shall preside.

Art. 19 Composition and voting

19.1 The General Assembly is the supreme authority of European Gymnastics. It is formed by the delegates of the Member Federations and the members of the European Gymnastics Executive Committee; the members of the Technical Committees and of the Medical Commission are not obliged to be present at the General Assembly.

19.2 Each Member Federation is entitled to one vote which shall be cast by one of its accredited representatives.

19.3 The Federations are entitled to participate with up to 3 delegates maximum (including a translator if needed). The members of the Technical Committees are added to these three delegates. The Federations appoint an official head of delegation. Only duly accredited delegates have the right to occupy the places reserved for their NF. Delegates must be member of the Federation they represent. In case of doubt, the EC/European Gymnastics can request a document with probative value to be presented. It is not allowed that a federation is represented by a person who is not member of that federation.

19.4 Additional delegates (maximum 3) may attend as guests and will receive a “Guest” accreditation. Separate seating for the Guests will be provided in the back of the meeting room.

19.5 Members of the authorities of European Gymnastics may represent their federation only with the agreement of the General Assembly by a simple majority. The members of the Control Authority are not allowed to represent their federation. The elected tellers are not allowed to vote for the federation they are member of.

19.6 No later than two months prior to the commencement of the General Assembly, the Member Federations must send to the Secretariat of European Gymnastics the names of the delegates who will represent them and who are authorised to vote on their behalf. Any subsequent substitute must produce an authorisation from his federation.

11 Any persons authorised by the Executive Committee or its President may attend the General Assembly.

19.7 The voting office at the General Assembly will be composed of the Control Authority and up to 3 delegates proposed by the Executive Committee and confirmed by the General Assembly. The President or one of the members of the CA will act as chair.

Art. 20 Candidatures for the Authorities of European Gymnastics - Choice and eligibility

20.1 Candidatures for the different posts of European Gymnastics have to be submitted to the Secretariat no later than five months before the opening of the General Assembly on the agenda of which this item appears. Late candidatures are only accepted in case of an insufficient number for the vacancies and this only with the approval of the EC (see also Art. 16.6). The deadline fixed for submitting these late candidatures is final.

The candidates must be proposed by the federation to whom they belong and, of which they have nationality (citizenship).

Candidates for the Presidency of European Gymnastics must present with their candidature a quadrennial plan of the activities they intend to realise during the four subsequent years. Once having accepted the position of European Gymnastics President, an elected candidate has to resign from their position as President or Secretary General of a Federation with immediate effect.

All candidatures must include a brief curriculum vitae, a copy of the passport as well as the declaration (see Art. 22) duly signed confirming that the national federation will assume all costs involved in attending the official meetings of European Gymnastics if its candidate/s is/are elected. If one of the above-mentioned documents is missing, the candidature will not be accepted. The candidatures can be sent by e-mail within the fixed deadline.

In order to preserve continuity and to ensure experienced leadership, candidates for the office of President must have been members of the Executive Committee for at least the last four years. Candidates for the office of Technical President must have been members of the respective Committee for at least four years.

If no candidature is received within the deadline mentioned in Article 16.1 and 20.1 for the office of President or Technical President which corresponds to the requirements in above paragraph, the position concerned will be open for all candidates fulfilling only the requirements for eligibility listed in Articles 20.1, 2nd paragraph and Art. 21.1. The Secretariat of European Gymnastics will immediately contact all Member Federations asking for additional candidatures which have to be submitted to the Secretariat of European Gymnastics within the fixed deadline.

12 Any person that is subject of a sanction cannot be a candidate for election. The candidature of a person that is subsequently sanctioned at the time of the Congress will not be taken into consideration.

Each candidate for the EC (the PB being an integral part of the EC), the TC, the CA and the Medical Commission may present his/her candidature for no more than a maximum of two posts and for one of the bodies only.

The Executive Committee may not include more than one member belonging to the same federation. This limitation is not valid for the Presidents of the Technical Committees. Each Technical Committee as well as the CA and the Medical Commission may not include more than one member belonging to the same federation.

20.2 If during its mandate a post on the Executive Committee becomes vacant, the position will be taken by the next person in precedence following the election of Executive members at the last General Assembly. If more than one person has an equal vote than an election shall take place limited to those candidates at the next non-electoral General Assembly. No new nominations will be sought unless no reserve candidates exist following the Congress vote. The person is elected until the next elections. The Member Federation shall assume full responsibility for the elected person.

20.3 If during the mandate the post of President becomes vacant within a Technical Committee, the vice-president will replace him/her until the next General Assembly. The vice-president will be replaced by a TC member.

If within two years following the elections the post of member becomes vacant within a Technical Committee, the first reserve from the elections shall be appointed until the end of the cycle. If two or more candidates had the same number of votes, the EC has to proceed to an election, which is limited to these candidates.

If the post of member becomes vacant in the last two years of the mandate, the EC can decide if the vacancy will be replaced or not. The Member Federation shall assume full responsibility for the elected person.

If during the mandate the post of President becomes vacant within the Medical Commission, the members chose among themselves a new President until the end of the cycle.

If during the mandate the post of member becomes vacant within the Medical Commission, the first reserve from the elections shall be appointed until the end of the cycle. If two or more candidates had the same number of votes, the EC has to proceed to an election, which is limited to these candidates. However, the EC can decide if the vacancy will be replaced or not.

13 20.4 In case of an election to a FIG Authority during his/her mandate to European Gymnastics, the newly elected member will terminate his/her European Gymnastics function on December 31st following the elections.

Art. 21 Requirements for eligibility

21.1 With the exception of the TC-GfA candidates, all candidates for the Technical Committees are required to hold a current FIG Brevet for their speciality (Cat. 1 or Cat. 2) or the current European Gymnastics TeamGym Judges’ Brevet.

The candidates to the TC-GfA must have participated in at least one World Gymnaestrada or one Eurogym or Golden Age Gym Festival. Furthermore, they must have knowledge and expertise of GfA on a national and international level.

21.2 All candidates for the Medical Commission must be qualified medical doctors and in possession of the official FIG licence.

21.3 All candidates for the Control Authority must be experienced specialists in the provinces of finances and management of a federation.

21.4 The maximum number of terms of office for the same mandate of the elected members is limited to three complete terms of office.

Afterwards, a member may be a candidate for another function (e. g. an EC member may be a candidate for the function of Vice-president or President).

These rules came into effect with the 2009 General Assembly, respectively the term of office 2010-2013 for all Authorities of European Gymnastics. The term of office 2006 - 2009 and all terms of office in the relevant mandate prior to that aforementioned period are not to be taken into account for the maximum number of three full terms of office.

21.5 In exceptional cases, the candidature for a 4th (max.) term of office for the same function may be submitted, provided the General Assembly accepts it (prior to the elections) by simple majority.

Art. 22 Engagement of the Member Federations

The letter of nomination of a candidate must include: a) The agreement of the Member Federations to bear all expenses according to the Financial Regulations of European Gymnastics to undertake the mandate of the elected candidate (including the costs for an interpreter if required). b) The Member Federations must provide all facilities to the candidate in order to participate in the meetings during the period of his/her mandate. As the mandate is personal, the federation cannot replace this member.

Art. 23 Structure of Authorities and Election procedure

23.1 The Authorities of European Gymnastics are elected for four years and shall comprise:

The President’s Board - the President and 3 Vice-presidents The Executive Committee - the President’s Board, 7 elected members, the Technical presidents The Technical Committees - the Technical presidents, 6 elected members The Control Authority - the President and 2 elected members The Medical Commission - the President and 5 elected members

23.2 The elections take place during the first Ordinary General Assembly organised in the year after the summer Olympic Games.

23.3 The election of the President will take place first. If the President in office is a candidate, he will vacate the chair during the election and it will be assumed by one of the Vice-presidents, who is not candidate for the Presidency and who is appointed by the EC. If all Vice-presidents are candidates for the Presidency, the EC will appoint one of the EC members for the chair.

23.4 Following the President’s election, the incumbent President resumes the chair and presides over the election of:

- the three Vice-presidents - the seven members of the EC - the Presidents of the Technical Committees - the President of the Control Authority - the two members of the Control Authority - the President of the Medical Commission

The following majorities are required for these elections:

- first ballot: absolute majority - following ballots: simple majority.

23.5 Voting for election is by secret ballot. Each Member Federation has a single vote.

23.6 Even though the members of the new Executive Committee have not yet officially assumed their function (this will only be on January 1st following the elections), they will elect the members of each Technical Committee and of the Medical Commission. The members of the Technical Committees and of the Medical Commission will be elected by a simple majority (first and second ballot).

23.7 All elected members take up their post on January 1st following the elections.

23.8 The EC may establish other posts or work groups, temporary or permanent.

Art. 24 Voting, decisions and coming into effect

24.1 A simple majority of the valid votes is required for all topics on the agenda, except when the Statutes specify otherwise. If votes are equal, the proposal is rejected.

24.2 Except for the elections, all voting taking place shall be open by showing the voting cards. At the request of a Head of delegation a secret ballot may take place. This requires a majority of the General Assembly of 20%. (A secret ballot can be done by an electronic system.)

24.3 Decisions taken at the General Assembly are recorded and come into force at the end of the General Assembly, except in case of a contrary motion to be decided by the General Assembly.

Art. 25 Minutes of the General Assembly

After verification by the Control Authority, the minutes are distributed to the Member Federations and the members of the Authorities of European Gymnastics.

IV. EXTRAORDINARY GENERAL ASSEMBLY

Art. 26 Convocation

The requirements for convening an Extraordinary General Assembly are: a) at the request of the Executive Committee; b) at the written request, sent to the Secretariat of European Gymnastics, of one third of the eligible Member Federations (adjusted to the nearest whole number), completed with a seal or stamp of the federation as well as signed by the authorised persons; c) the federations requesting the organisation of an EGA must sign a contract with European Gymnastics stipulating that they will meet all organisation costs before the EGA can be confirmed; they also have to announce the host city. d) only items on the agenda can be discussed; e) the date of the EGA as well as the invitation will be sent to the Member Federations no later than forty-five days before the EGA.

The EC must organise an extraordinary General Assembly within the six months following the receipt of the request.

16 V. RIGHTS AND OBLIGATIONS OF THE AUTHORITIES

If any elected member of the Authorities of European Gymnastics is absent during three consecutive or four non-consecutive meetings within the mandate of four years, the Executive Committee will decide if he/she shall cease to be a member.

The President, a Vice-president, the General Director of European Gymnastics or a member nominated by the EC/European Gymnastics engage European Gymnastics validly by their double signature.

Art. 27 The President

27.1 The President assumes the general management of European Gymnastics. He chairs the meetings of the Congress, of the Executive Committee and of the President’s Board.

27.2 The President takes all appropriate measures in order to ensure the smooth running of the affairs of European Gymnastics. His decisions are, however, subject to approval by the PB and the EC or by the General Assembly.

27.3 The President is the representative of European Gymnastics in all circumstances, including legal matters, in the role of plaintiff or defendant.

27.4 In case of necessity, he can delegate his powers or decide on the attribution of special tasks to the vice-presidents or to members of the EC.

27.5 The President presents a written report to the General Assembly.

27.6 If the President resigns or can no longer assume his functions for any reason, he will be replaced by the first Vice-president until the end of the legislative period or until the election of a new President at the next General Assembly.

27.7 The President takes with the General Director all decisions regarding the staff of European Gymnastics, subject to the approval of certain decisions by the PB.

Art. 28 The Vice-presidents

28.1 The Vice-presidents assist the President and can be charged with specific tasks.

28.2 Their order of precedence depends on the number of votes obtained during their election.

28.3 In order to accomplish their mandates, the Vice-presidents can be assisted by members of the EC.

17 Art. 29 The President’s Board

29.1 Under the authority and responsibility of the EC, the President’s Board is charged with the management of the current affairs of European Gymnastics.

29.2 The votes of the PB are taken by a simple majority. In case of a tie, the President has a casting vote.

29.3 The PB presents proposals to the EC for approval. Decisions taken in case of urgency can be executed immediately. The EC has to be informed.

29.4 The PB appoints the General Director. The immediate superior of the General Director is the President of European Gymnastics. The General Director has no right to vote.

29.5 At the President's convocation, the President’s Board will meet whenever it is necessary for the correct running of the affairs of European Gymnastics. In case of necessity other persons can be invited by the President.

Art. 30 The Executive Committee

30.1 The EC is the executive authority of European Gymnastics and is responsible for the control and execution of all decisions.

30.2 The decisions of the EC are taken by a simple majority. In case of a tie, the President has a casting vote.

30.3 The EC decides on the structure and administration of the organisation.

30.4 In the absence of Regulations, it takes appropriate measures until the next General Assembly.

30.5 The EC is required to take decisions in the range of administration, finance, marketing and communication and to make all proposals in the interest of European Gymnastics, excluding those proposals which are within the province of the General Assembly.

30.6 At the President's convocation, the EC will meet whenever it is necessary for the correct running of the affairs of European Gymnastics.

30.7 The EC approves the agenda of the General Assembly and examines the proposals submitted by the Member Federations.

30.8 The EC approves the Technical Regulations, the Code of Points TeamGym as well as different Rules and Regulations.

30.9 The EC decides on the allotment of the events of European Gymnastics, except of the European Gymnastics Congress which has to be attributed by the General Assembly.

30.10 Each Federation has only two votes if it is represented in the EC by more than two members due to the election of TC Presidents. Entitlement to vote shall be based on the order of precedence, President, Vice-president, EC Member, TC President. At the beginning of the cycle the Federations having more than two members represented in the EC will nominate by letter addressed to European Gymnastics the TC-Presidents who will hold the mandate.

30.11 Commissions / work groups, permanent or temporary, can be appointed by the EC to assist its members in the accomplishment of their functions. They will be chaired by a member of the EC following a decision of the EC. The EC can also entrust special tasks to persons not belonging to European Gymnastics.

Art. 31 The Technical Committees

The Technical Committees must observe the Code of Points of the FIG and European Gymnastics as well as Regulations of FIG and European Gymnastics.

31.1 The MTC, WTC, TC-RG, TC-TRA, TC-AER, TC-ACRO, TC-GfA and TC-TeamGym are composed of seven members:

a) one President b) one vice-president c) one secretary d) four members

31.2 At the invitation of its TC-President, each Technical Committee will meet in order to deal with the specific tasks of its discipline. The EC decides each year the number of TC meetings. Exceptions for specific reasons have to be decided by the PB on request of the TC.

31.3 The Technical Committee can deliberate only if the majority of members are present. In the event that the President and the Vice-president of the TC are absent, the TC cannot validly deliberate.

31.4 The tasks of the Technical Committees are:

a) to take care of the technical organisation and to control the perfect running of European Championships or other events, which are officially recognised by the EC;

b) to make projects and organise courses and training camps for gymnasts and coaches;

c) review and update the TeamGym Code of Points as well as undertake the qualification of judges (for TeamGym only)

d) present a written report to the General Assembly, written by its President;

e) assume any tasks given by the EC for the respective discipline.

31.5 Allocation of tasks within the Technical Committees The Technical Committees deal with tasks and activities which are specific to their discipline and allocate the tasks to their members. Each TC appoints a vice-president and a secretary from among their members.

31.6 Competences The Technical Committees are subordinate to the EC. Their decisions (technical or general matters) are subject to the approval of the EC. The Technical Committees are authorised to present proposals to the EC who may transmit them to the General Assembly.

31.7 Official missions Members of the Technical Committees may be entrusted with special tasks which are in the interest of European Gymnastics and which have been ordered by their Presidents and approved by the President of European Gymnastics.

Art. 32 The Control Authority

32.1 The Control Authority shall comprise experienced specialists in the provinces of finances and management of a federation. The Members of the Control Authority must be independent and must not have any link to the EC members or the persons in charge of the Management of European Gymnastics.

32.2 The tasks of the Control Authority are as follows:

a) to verify if the accounts are drawn up according to the legal and statutory dispositions;

b) to present a written report to the General Assembly;

c) if necessary, give information to the General Assembly based on the presented report;

d) to present a detailed written annual report to the EC;

e) to notify the EC in case of violation of the law, of the Statutes or the Regulations of European Gymnastics, so that the EC can take the necessary steps to correct this situation;

f) to inform the General Assembly in the event of a serious breach in the absence of any reaction of the EC;

g) to act as scrutineers at the General Assembly (not including the elections of the President and/or members of the Control Authority if they are candidates to their succession);

h) to verify the minutes of the General Assembly;

i) to supervise the elections and establish related reports;

j) to ensure the respect of the Statutes;

k) to accomplish special tasks entrusted to the Control Authority by the EC.

32.3 Once a year, the President of the Control Authority is invited to participate in a meeting of the Executive Committee (without voting right). The costs will be assumed by European Gymnastics.

Art. 33 The Medical Commission

The Medical Commission is composed of 1 President and no more than 5 members.

Art. 34 Invitations, Quorum, minutes and decisions

34.1 The dates, places and agendas for all meetings have to be communicated to the respective members at least one month in advance, except in cases of urgency to be defined by the respective President.

34.2 Unless determined otherwise the decisions are only valid if the majority of the respective organ of European Gymnastics are present. The decisions take immediate effect.

34.3 The minutes of the PB and EC meetings are drawn up in English. They have to be sent to the members of the EC and the President of the CA within thirty days following the meeting. The minutes of the TC are drawn up in English. They have to be sent to the members of the EC and the respective TC within thirty days following the meeting.

34.4 If, within 30 days after dispatch, no remarks have been received in the Secretariat of European Gymnastics with regard to these minutes, the minutes are considered as adopted.

34.5 A decision is also possible by e-mail but is only valid if it was given in conformity with e- voting regulation of European Gymnastics.

34.6 The decisions of the EC will be published on the Website of European Gymnastics.

21 VI. FINANCES

Art. 35 Financial year

The financial year of European Gymnastics starts on the 1st January and expires on the 31st December of the same year.

Art. 36 Contribution of the Member Federations

The contributions to be paid by the federations to European Gymnastics in Euros are the following: a) an admission fee for new federations, to be paid with the first annual membership fee; b) an annual membership fee, which has to be paid by March 31st. The annual membership fee has to be paid by all Member Federations, even those which, within the course of the year, resign from membership or have been admitted provisionally; c) participation in the events is subject to the payment, within the fixed deadlines, of the participation fees; d) the amounts for sanctions in case of late entries, participation without judges at the championships etc. are stipulated in the Technical Regulations of European Gymnastics; e) a security deposit when submitting a bid for organising an event for European Gymnastics, which will be reimbursed if the bid is not accepted.

Art. 37 Admission and membership fees of the Member Federations

37.1 The amount of the admission fee to be paid by each new Member Federation shall be confirmed by the General Assembly upon the proposal of the EC.

37.2 The amount of the annual membership fee to be paid by each Member Federation for the financial year shall be confirmed by the General Assembly upon the proposal of the EC.

Art. 38 Financial responsibility of the Member Federations

If a federation fails to fulfil its financial obligations to European Gymnastics or to any other federation in relation to activities of European Gymnastics it may be suspended or excluded upon proposal of the EC.

This decision will take immediate effect but must be confirmed by a two-third majority of the next General Assembly (Art. 8).

22 Art. 39 Financial responsibility of European Gymnastics

The financial responsibility with regard to the payment of an indemnity and for the refunding of expenses in respect of meetings of the Authorities of European Gymnastics, courses and training camps, including the EC, PB, Technical Presidents and Members of Committees, Commissions and Working Groups, are detailed in the Financial Regulations of European Gymnastics.

VII. LEGAL AND OFFICIAL PROVISIONS

Art. 40 Sanctions

The Member Federations are bound to observe the Statutes, Regulations, Contracts and Prescriptions of European Gymnastics and can be sanctioned in the case of any failure to comply with them or with the decisions taken by the competent bodies.

Art. 41 Decisions of the Executive Committee

The EC will determine the appropriate sanctions or disciplinary measures.

Art. 42 Right to be heard

No sanction can be taken without the EC having first informed the interested party/parties and given them time to respond. The response may be verbal or in writing. A request to be heard must be made within 30 days of being notified of the sanction of the EC.

Art. 43 Litigations

43.1 In case of litigation between European Gymnastics and a Member Federation, the parties concerned try to find an amicable solution.

43.2 For each dispute or appeal involving the EC or the President’s Board, the parties concerned have to be convened. They are, however, not obliged to be present but must send a written report to the Secretariat.

43.3 If no agreement is reached, the litigation may be submitted to the Appeal Authority of the Gymnastics Ethics Foundation. If the Appeal Authority of the GEF is not in a position to handle the litigation it is directly submitted to the Court of Arbitration for Sport in Lausanne. Its decision is binding.

43.4 In the case of controversy among the members concerning problems outside the province of European Gymnastics, the EC can act in a mediatory or conciliatory manner, if the parties concerned so wish.

23 43.5 Members of the EC or of a Technical Committee can be neither present at a meeting nor take part in the decisions if the body concerned is dealing with a controversial matter in which his/her national federation is involved.

Art. 44 Official languages

44.1 The official languages of European Gymnastics are French and English. The working language is English.

44.2 The Statutes and Regulations of European Gymnastics will be translated in English and French. The English text is legally valid in the event of different interpretations.

44.3 At the General Assemblies, the interpreters will provide translation into English, French, German and Russian of the deliberations of European Gymnastics. In case of a litigation, the version of the speaker will be decisive. The documentation for the Congress will be provided in the official languages of European Gymnastics.

44.4 A speaker who speaks in another language and who is not able to translate his own words, has to have this done at his own expense by a translator. In case of divergence, the English translation shall prevail.

44.5 With regard to all other correspondence, the original text written in one of the official languages of European Gymnastics is legally valid in the event of different interpretations.

Art. 45 Official Correspondence

Each Member Federation has to inform European Gymnastics of its official address and e-mail address as well as of all changes regarding the responsible persons within their federation.

Art. 46 Statutes of the Member Federations

Every Member Federation has to send to European Gymnastics any modification of its Statutes.

Art. 47 Copyright

Any reproduction or distribution of documents, instructional material or other material belonging to European Gymnastics is prohibited without the authority of European Gymnastics.

24 VIII. REVISION OF THE STATUTES AND THE REGULATIONS

Art. 48 Competent bodies. Quorum

48.1 Only the General Assembly can modify the Statutes. Regulations can be modified by the EC.

48.2 To debate validly upon a modification of the Statutes, at least half of the Member Federations with the right to vote has to be present at the General Assembly.

Art. 49 Revision of the Statutes

49.1 The EC and the Member Federations can propose modifications to the Statutes.

49.2 The proposals of the Member Federations have to be received by the Secretariat of European Gymnastics no later than 5 months before the beginning of the General Assembly.

49.3 All proposals have to be explained. The new article has to be written in the form proposed by the initiators.

49.4 The EC can make a counterproposal.

49.5 All proposed modifications, those received from the Member Federations as well as those of the Executive Committee, will be published in the Congress documentation which will be distributed at least six weeks prior to the opening of the Congress.

Art. 50 Majority for a modification of the Statutes

In order to be adopted, the proposed modifications of the Statutes require a two-thirds majority of the delegates present with the right to vote.

IX. HONORARY TITLES AND DISTINCTIONS

Art. 51 Honorary Presidents, Honorary Vice-presidents and Honorary Members, Awards

51.1 The Award shall be in accordance with the regulations relating to Honorary Members and Medals.

51.2 The General Assembly, acting upon the recommendation of the EC, may elevate a former President of European Gymnastics to the rank of Honorary President and may confer the title of Honorary Vice-president or Honorary Member to persons who have rendered outstanding services to European Gymnastics.

25 51.3 The Honorary President, Honorary Vice-president and the Honorary members are entitled to free admittance to the events of European Gymnastics and to take part in official receptions. All resulting costs are at their charge.

51.4 The Honorary President, Honorary Vice-presidents and Honorary members can participate in the Congress of European Gymnastics, but do not have a vote at the General Assembly. All resulting costs are at their charge.

51.5 Awards for special merits can be granted by the EC, on behalf of European Gymnastics.

X. DISSOLUTION OF EUROPEAN GYMNASTICS

Art. 52 Dissolution

52.1 The dissolution of European Gymnastics can only be decided by an Extraordinary General Assembly, convened to that effect and having only this point on the agenda.

52.2 European Gymnastics can only be dissolved if a four-fifths majority of all Member Federations so decide.

Art. 53 Financial situation

53.1 In the case of dissolution, all financial obligations have to be met.

53.2 Any remaining property has to be transferred to the International Federation of Gymnastics (FIG). The FIG is charged to pursue the aims of European Gymnastics in Europe. The creation of a foundation may also be considered.

XI. FINAL PROVISIONS

Art. 54 Unforeseen Cases

All cases not foreseen by these Statutes are resolved analogous to the FIG Statutes or by the EC/European Gymnastics, subject to ratification by the General Assembly which follows the date of their resolution.

Art. 55 Observance of the Statutes and Regulations

Each activity of the bodies and the committees is subject to the strict observance of these Statutes and of the Regulations of European Gymnastics.

26 Art. 56 Autonomy

In accordance with these Statutes, the Member Federations maintain their total autonomy and independence of action.

Art. 57 Approval of the Statutes

The present Statutes were approved by the General Assembly of November15th/16th, 2019. They cancel and replace the foregoing Statutes in the name of European Union of Gymnastics (UEG).

They come into effect on April 1st, 2020.

Procedures to respect during elections

General Points The elections of all members of the Authorities of European Gymnastics are organised every four years during the European Gymnastics Congress that takes place in the year after the summer Olympic Games.

Only Federations having settled their financial obligations towards European Gymnastics and that have not been sanctioned by the FIG/European Gymnastics are entitled to present candidates/participate in the elections.

For valid deliberations, the General Assembly must be composed of at least 40% of the Federations affiliated to European Gymnastics.

Voting for election is by secret ballot. Each Member Federation has a single vote.

The elections will be carried out in the following order : - President - 3 Vice-presidents - 7 EC Members - 8 TC Presidents - President of the Control Authority - 2 members of the Control Authority - President of the Medical Commission

Election of the members of the Technical Committees and of the Medical Commission The members of the Technical Committees and of the Medical Commission are elected by the newly elected Executive Committee. Before beginning the elections of the members of the Technical Committees, each TC President can take the floor to explain briefly which candidates he would like to have as members in his TC.

31 The election of the members of the Technical Committees and of the Medical Commission is done by simple majority.

If the first ballot does not allow to decide between the candidates, the name/s of the candidate/s having obtained the lowest number of votes will be deleted from the list so that only the number of candidates to be elected remains on the list. The candidate/s having obtained the highest number of votes in the second ballot is/are elected.

Election of the Vice-presidents and Secretaries of the Technical Committee The Technical Committees can nominate their Vice-president and Secretary independently of the number of votes obtained during the elections.

The nomination will be done during the first meeting of each Technical Committee following the electoral congress.
