ATTENTION TO PLANHOLDERS OF RECORD the following questions and answers pertain to the project referenced above.

Q23. Attachment D, 00 41 00 - Final Price Proposal Form, Item 12 states "Supplemental Staff and other Specified General Conditions Work (lump sum). We are then to provide a monthly price x 18mo = SGC Amount. Please clarify what Supplemental Staff is Required.

A23. Please refer to Addendum No 3, Attachment C, RFPP 7.02 B

Q24. Project Closeout 01770-3, Typical Public Works Project Timeline dated 9/9/2014 notes a 3 year completed ops coverage prior to the Port issuing Certificate of Contractor Completion to Contractor - note 2 is referenced. Note 2 states Port of Seattle Certificate of Contract Completion will be issued after the 3 year completed operations insurance coverage period. The Completed operations period is from substantial completion date plus 3 years. Will the owner provide this completed Operations insurance coverage?

A24. Please refer to Attachment J, Document 00 80 00 SC-11.04 B 1 (a).

Q25. Attachment D, 00 41 00 - Final Price Proposal Form, Item 12 states "Supplemental Staff and other Specified General Conditions Work (lump sum). We are then to provide a monthly price x 18mo = SGC Amount. Attachment F has only 2 items listed for specified General Conditions which are Subcontract Advertising, Bidding and Awarding along with Reproduction of Drawings and Specifications for Advertising and Bidding Effort. Should these two items be in the form of a Lump Sum or on a unit cost per month?

A25. This is a lump sum price for the Supplemental Staff and other Specified General Conditions Work entered as the monthly cost and then multiplied by the 60 months.

Q26. Attachment F page 4 indicates the Bonds and Insurance - GC/CM are included in the GC/CM Fee. Is it the Port Authority's intent that the Bonds and insurance for The

A26. Please refer to Attachment J, Document 00 70 01, G-08.12 G 4

Q27. Attachment F, page 1 has a list of 20 items in gray (accounting, smart boards, computers, office furniture, vehicles, badging, etc.) that are to be included in the hourly rates the contractor shall provide. Attachment C, paragraph 7.02.B states the monthly rate for key individuals will be the fully burdened annual salary divided by 12. Please clarify the correct method for calculating the rates listed on Attachment D price proposal form item 1 through 11.

A27. The items mentioned in the question that are part of Attachment F, Page 1 are costs associated with the preconstruction phase (see the headings of the attachment and appropriate “x” in the cells). Please refer to Addendum No 3, Attachment C, RFPP 7.02 B for clarification on the method of calculating personnel rates.

Q28. Attachment F, page 1 does not list GC/CM Fee for preconstruction. Will the contractor receive the preconstruction fee on the Specified General Conditions Costs? Are the preconstruction cost part of the MACC when submitted?

A28. The GC/CM fee does not apply to the preconstruction phase. Please refer to Addendum No 3, RFP 3.4 for clarification of Preconstruction compensation.

Q29. Attachment F page 1 has Subcontractor Advertising, Bidding and Awarding as a Specified General Conditions Cost for Pre-Construction Phase. Also on line 4 the preconstruction services shall include Development of Subcontract Plan and Procurement of ECCM for preconstruction Services. But Attachment A, Paragraph B.E states "Early Subcontract Bidding and Selection. It is the Port’s intent that the GC/CM will bid all (or most) subcontract or supplier bid packages and complete maximum allowable subcontract cost (MASC) negotiations with the EC/CM and MC/CM before the Port and GC/CM reach an agreement on the Maximum Allowable Construction Cost (MACC) for the GC/CM Contract. All costs and risks associated with bidding of any bid packages (whether early or not) or selection of subcontractors (whether early or not) shall be the responsibility of the GC/CM and are not reimbursable Preconstruction Services. If the GC/CM has included the costs of such subcontract bidding and selection in the Fixed Amount for Specified General Conditions, and if (and only if) the Port and GC/CM execute a GC/CM Contract, the GC/CM will be compensated for the costs of such subcontract bidding and selection as part of the incremental payment of the Fixed Amount for Specified General Conditions through the Progress Payment process in the GC/CM Contract. Notwithstanding the foregoing". Is it the intent that the contractor will spend the money during the preconstruction phase to award ECCM and most of the bid packages, but will not be able to be paid for this until after a Construction phase contract is awarded?

A29. Please refer to Addendum No 3, Attachment G, Section III B 6 for clarification on compensation concerning EC/CM and MC/CM. Please refer to Attachment A, B E.

Q30. The attachment F has a column for Specified General Conditions for Construction phase listed on page 2,3 and 4. Since this is the construction phase, is it safe to assume all costs and rates for the listed items will be negotiated for the construction phase and are not rates used during the Preconstruction phase?

A30. Correct, in that these are for construction not preconstruction and the specified general conditions are fixed price for construction. Please refer to Addendum No 3, Attachment C, RFPP 7.02 B.

Q31. Attachment F, page 2 has "Subcontract Advertising, Bidding and Awarding" listed as a specified general conditions cost. Will all subcontracting advertising and Bidding be done After signing a Construction phase contract as indicated here or as a preconstruction phase cost as noted on page 1?

A31. Please refer to Attachment A, B E

Q32. Attachment A paragraph L states "PRECONSTRUCTION SERVICES SCOPE OF WORK The GC/CM will work collaboratively and proactively with the Port and Designers to complete the Construction Document phase and development of the Work in a manner which supports the Port’s efforts to keep costs within the Port’s budget. The GC/CM shall provide Construction Management (CM) services throughout the Project, from the Preconstruction period through Construction, and shall closely coordinate such work with the Designers and the Port. While the services listed below are not restricted to Preconstruction, during Preconstruction the GC/CM is expected to provide the following CM services, including but not limited to". Attachment C, Paragraph RFPP 7.02.B states "The Finalist will include the monthly rate for the Key Individuals (excluding the Corporate Executive) identified in the Evaluation Criteria. The monthly rate shall be their fully burdened annual salary divided by 12. This rate is then multiplied by the estimated contract duration (in months), as established by Port of Seattle, to determine the amount. This amount is part of the Specified General Conditions Work Subtotal. The actual duration will be determined during MACC negotiations, and final specified general conditions amount will be calculated using the provided monthly rates". Is it safe to assume that the rates provided with the initial proposal are for preconstruction only and are not the same rates used to calculate the General conditions for Construction?

A32. Please refer to Addendum No 3, Attachment C, RFPP 7.02 B

Q33. Attachment D, line item 8 is for a cost estimator. Please clarify if this blended rate is intended to be for only one person that would be assigned to the project for the full 18 months?

A33. This rate if intended to be for one person and any additional estimators that the GCCM requires should be included with the Supplemental Staff.

Q34. Attachment D, line Item 8 is for a cost estimator. Will the preconstruction contractor be permitted to have multiple estimators work on the project and be permitted to bill the multiple estimators at the same rate? Or is it the owners request that only one estimator will be permitted to work on the project and that would be the one who's resume is included with the initial proposal?

A34. This rate if intended to be for one person and any additional estimators that the GCCM requires should be included with the Supplemental Staff.

Q35. Paragraph III.A Compensation states that the preconstruction Services will be a Not-to- exceed sum . Is it the owners intention that this value will be negotiated after the price proposal is submitted and the preferred proposer is selected? If no, please clarify what value will be inserted and when and how will this value be calculated. Is it the value of

MC-0320161/ WP # U00490 Page 3 of 7 line 13 of the price proposal which includes the fee for construction? Is it the value of line 2 through 12 (Specified General Conditions Cost)?

A35. Please refer to Addendum No 3, RFP 3.4 for clarification of Preconstruction compensation.

Q36. Paragraph III.B indicates that the port will pay the BC/CM in accorcance with the hour labor rates included in attachment B. Will this be the same rates as listed on the initial price proposal line 2-12?

A36. Not necessarily, please refer to Addendum No 3, RFP 3.4 for clarification of Preconstruction compensation and Addendum No 3, Attachment C, RFPP 7.02 B for clarification for the rates on the price proposal form.

Q37. Paragraph III.B indicates that the contractor will ot be permitted to bill supervision hours beyond 40 hours per week. Will Multiple estimators be permitted to bill against the estimator rate listed in schedule B in a single week?

A37. If required to bill more than 40 hours per week, the GCCM would be utilizing multiple estimators and this would be reflected in either the preconstruction rates or the SGCs for construction.

Q38. The Project Definition Document table of contents notes that there is a section 8.0 Enabling Project Cost Estimate. Paragraph 3.3 also references the estimate in section 8. Is this document available to the bidding contractors to help understand the "Baseline Starting Point" and expected WBS and work effort metioned in 2.1.5 of the RFP which states: "The Port’s cost-estimating consultant will provide thorough cost analysis throughout the project. The consultant will meet and collaborate with the GC/CM’s cost estimator to develop common estimating definitions, conventions and presentation formats. The Port is interested in applying a “Continuous Target Value” approach. The team de-emphasizes phased estimates and reconciliation by reviewing cost implications of the on-going design on a regular and frequent basis."

A38. Please refer to page 91 of the Project Definition Document.

Q39. The Final Price Proposal Form included in Addendum 2 shows a 60 month duration for the “Project Manager for Design” and a 60 month duration for the “Project Manager for Construction”. It could be assumed that the Port requires both positions for the full duration of construction. Please confirm that the “Project Manager for Design” will only be required through the design phase and that the “Project Manager for Construction” will be required for the 60 month period through construction. If this is the case, please verify that the proposed “Project Manager for Design” and the “Project Manager for Construction” can be the same person to promote overall continuity from pre- construction through construction.

A39. Please refer to Addendum No 3.

Q40. The Final Price Proposal Form included in Addendum 2 shows a 60 month duration for the Construction Design Coordinator position. Please confirm that this position is only required during the pre-construction phase and is not required through construction.

A41. The Disputes Resolution Board will be established during the Preconstruction period to be put into use during Construction.

Q42. Site Security is defined on the Summary Matrix of Cost Allocation as being part of Specified General Conditions. The plan for site security will not be vetted until the phasing and available laydown space at the time of construction is worked through as a team during pre-construction. Please consider reallocating Site Security to NSS as a better cost value option for the Port. The GC/CM would still be responsible for the plan and management of the NSS Site Security as part of the SGC’s.

A42. Please refer to Addendum No 3.

Q43. GC/CM Commissioning Support Staff is defined on the Summary Matrix of Cost Allocation as being part of Specified General Conditions. Please consider reallocating this item to Negotiated Support Services so that an accurate budget can be determined during pre-construction once a clearer definition of the plan can be ascertained to insure proper time allocation and support. The roles and responsibilities of other team members, development of the commissioning plan, phasing, and ORAT involvement we suggest should be vetted prior to defining this cost.

A43. Refer to Addendum No 3.

Q44. The approach for Supplemental Staff for construction may be significantly varied between proposers and may not support the overall need of the project. For instance if the phasing and schedule constraints of the project require a significant amount of work to be performed on a night shift, insuring the GC/CM has properly included this supervision as well as QC, safety, etc. would be something better defined prior to establishing the GMP. Suggest that the Port consider line item monthly rates for each supplemental staff position so that an “apples to apples” comparison across all bidders can be achieved and ultimately provide the best value to the project. Positions to be considered: Project Engineer, Assistant Superintendent, Assistant Project Engineer/Office/Field Engineer/General Superintendent/Field Commissioning Manager/Office Commissioning Manger.

A44. Please refer to Addendum No 3, Attachment C, RFPP 7.02 B

Q45. Please provide the Builder’s Risk insurance coverage policy so that the need for a Difference in Coverage Policy may be evaluated.

A45. This policy will be developed during the Preconstruction period.

Q46. Please revise section G-04.10C Disposal of Waste Material to remove the statement that “All waste material shall become the property of the Contractor”. The contractor does not take Ownership of the waste that is removed for the Port, but are responsible for the lawful managing and disposal.

A46. No.

Q47. 1. According to Attachment F – Summary Matrix of Cost Allocation, Specified General Conditions include costs for site security, logistics implementation, erosion control, pollution prevention and waste management. It is our understanding that the Specified

MC-0320161/ WP # U00490 Page 5 of 7 General Conditions cost should be included with the Final Price Proposal. However; this early in the project it will be very difficult for the GC/CM to establish a cost that can be guaranteed. Would the POS consider moving costs like these to MACC or NSS costs?

2. Page 20 of the RFP document, Section 10 – List of Reference Documents, item number one is Project Delivery Document. Is this meant to be Project Definition Document? If not, can you please provide the Project Delivery Document?

3. Page 18 of the RFP document, item 7.2 sates the monthly rate shall be the “…fully burdened annual salary divided by 12.” However, Attachment F – Summary Matrix of Cost Allocation makes reference to several other cost items being included in the “hourly rate” (i.e.: computers, office supplies, deliveries, badging). A) Is the monthly rate referenced in paragraph 7.2 the same as the hourly rate referenced in the Attachment F? B) Should the rate used in the Final Price Proposal Form include the costs described in Attachment F or only as described in paragraph 7.2 of the RFP?

4. Page three of the RFP, section 1 – Definitions and Acronyms list several positions under the Key Team Member section. However, several of these positions (i.e.: sustainability, scheduler, BIM, QA/QC) have been deleted on the Final Price proposal form Attachment D. Please coordinate or explain if these should be in the Supplemental Staff and other Specified General Work (lump sum).

5. Will a new Geotechnical report (drilling and report) be required and performed/managed by CM/GC.

6. SWPPP: The proposed project requires, a Storm Water Pollution Prevention Plan (SWPPP) . Would the Project fall under the Port Permit? During construction to minimize sedimentation and contamination of storm water runoff generated by the project we would implement Best Management Practices to prevent sedimentation runoff water and to keep construction pollutants from coming into contact with storm water. Where would this runoff be directed.

7. Security Plan: Will a Contractor submittal as a written Security Plan be required to include handling of Security Sensitive information and including badging?.

8. Offsite Storage and Laydown: Will Port provide alternate space outside the AOA for storage, laydown of materials and equipment staging?

9. Will a temporary TSA OSR room be in the scope of enabling work, prior to completing the new Bridge Level OSR room.

10. Will a temporary Concessions storage rooms be in the scope of enabling work, prior to completing the new lower level Concessions storage rooms.

11. Will the TI Architectural Drawings for coordination and construction buildout for Sit Down Food & Beverage, Anchor Retail and VIP (Airline Lounges) be available prior to 100% CD set?

12. Please confirm that the Port of Seattle will be responsible for any hazardous material removal (like asbestos).

13. We assume that the Port of Seattle is committed to sharing the health and safety of workers as it relates to COVID. Please confirm that the Port is up for discussing and

14. It is assumed that per Section G-10.10 it is the intent of the Port of Seattle to have Liquidated Damages (LDs), in both the SC 10.10, and in the Agreement, be the sole remedy for delay. In SC 10.10 the Milestone LDs amounts are not stated. We assume that this is intended to be infilled by both parties, and does not mean that the Contractor is subject to actual damages (GC 10.10 (d)).

15. Would the Port allow for increase in the notice periods (from 24hrs) to allow a reasonable time to gather required information? (see, for example, GC Paragraphs G- 02.05 B., G-04.01 A., G-04.14 A. and G-05.02 E.).

Q48. Please clarify whether the role identified as Section 5.3.1.4.6 “Person(s) responsible for cost estimates, controls, and budgeting” is intended to be during preconstruction or construction. The description seems like that of a lead project estimator, a primary role during preconstruction. However, the proposal form seems to treat this role like it is a full time position during construction, and we typically would not have an estimator on site during construction.
