You are aware of the fact that the Board of Trustees, at their meeting on May 15-17, adopted the proposed changes in the Bylavs and Regulations governing the functions of the Treasurer and Secretary of the Board of Trustees as snbnitted by the President upon the authorization and direction of the Boa..."li at their meet- . 1ng on March 7.

The purpose of this letter is to confirm the agreements wliich we reached in our conference on Saturday, May 20, 1950, with regard to your title, duties, and aalary under the new organization. Your title is to be "Lend Coordinator and Fiscal Consultant." Your duties are to be the following:

(1) Supervision and operation of the car pool. The pool will be operated in the same manner in Yhich it has been operated by my office during the current year, except on a much broader basis, sinoo there will be many more cars in the pool than there are at the present time. The pool has been very successful this year, and we are convinced that, with careful, efficient, and skillful management, it will continue to ba successful. As requests come in, you will assign the cars in accordance with the memorandum Yhich has been worked out by a committee and· approved by me. I gave you a copy of this memorandum during our conference on Saturday, and I am sending you another copy herewith. You will keep the records and make monthly reports as to the financial operation of the pool, including the number of miles traveled by each pool car, the cost of operation (broken dow into supplies and maintenance), and the profit made each month.

You understand, I am sure, that in the operation of a car pool all new cars are bought from the profit derived from operating the cars. He have a distinct advantage over commercial car pools in this arrangement, since we ere able to buy our gasoline, oil, end parts tax free. ~lhen new cars are to be purchased, authorization for their purchase will be made by the President upon your written recommendation, which must include the reasons for the necessity of the purchase. Mr. Forest Hall, who has operated the pool this yeex, will be of invaluable assistance to you in getting started on this phase of your work.

(2) Service on the Public Exercises Committee. You were recommended for this position by the Committee on Committees and approved by the faculty for the next Committee yeex; therefore, you will continm this duty.

(3) Service as fiscal consultant. This phase of your work will consist in furnishing to the officials of the University any in­ formation you are able to furnish with regard to the fiscal opera­ tion of the University. Because of your long period of service, we believe that you can render valuable service in this capacity.

(4) Land records work. This is an assignment on which you can also be of great assistance to the University. I have discussed the matter ,,;1th you in detail on seversl occasions and have also discussed it with other people. I feel, and the Boexd feels, that we should have more detailed information on our lands than we now have. Therefore, you are to locate and make maps of the lands; bring together the deeds, where deeds exist; make recommendations for correcting any defects found in the deeds; and bring together information concerning the leases on the lands, length of time they are to run, to whom the lands are leased, and the form of the leases. You are to find the source of University ownership of the lands, that is, whether they were acquired by purchase, grm t, or gift. You are to be responsible for the leasing and control of the three inactive farms, and you are to prepare information to be used by the Attorney General in drafting legislation concerning the use and sale of the grant lands and the state farms if the President and the Board decide that such legislation is necessary.

The work with the lands as outlined necessarily means that there will be seversl months of office >lOrk before any traveling is done, parti­ culexly for inspection of lands. I am sure it will not be necessary to do any trsveling this summer. In fact, I do not see any necessity for any trsveling, except perhaps for a few trips to Cheyenne, until the summer of 1951. Your time should be spent in organizing your procedures and collecting basic information.

Your salary for 1950-51 will be the amount which was set up in the budget for your former position as Comptroller and Secretary of the Board of Trustees.

Just as you >lere leaVing my office on Saturday, you mentioned the question of keeping your car. I have given considersble thought to this matter, and since you ""ill not be doing any traveling :t1lis summer and since you will be operating the cex pool from which you may secure a car should you need to make a trip, I do not believe you should have a car especially assigned to you. Therefore, your car should be turned in to the pool by the first of June.

the length of tilne she works end for whatever vacation she is en­ titled to receive. At the time of her resignation we will confer on a plan to provide future secretarial help for you. Since there is some money set up in the budget for the Public Exercises Committee, perhaps a part of your secretary's salary can be pdd from that budget, with the remainder being charged to the car pool or some other fund. I am sure we can arrive at a satisfactory arrangement.

For the present your office will be the one recently ocCupied by Bowes and Hart, end if you wish you may move your present desk and chair to that office. You will be expected to sign the diplomas this year as Secretary of the Board and to call the next meeting of the Board. Following the preparation of the minutes of the May 15-17 meeting of the Board, you will be expected to turn over to the President's office all minute books and other materials and equipment Wich go with the office of Secretary of the Board, in­ cluding the card index for the minutes.

When the Board adopted the Bylaws and Regulations set up in the Developmental Study, the President was given po;ler to put them into effect wenever he thought the time was appropriate. There­ fore, we will proceed as f'ollows: you will be expected to relinquislJ your position as Comptroller and Secretary of the Board at the close of' duties on May 31, at l4lich tilne you will turn in all keys in your possession except the key to the outside door of the·building. Of' course you will receive a key f'or your new of'f'ice.

You are to take the month of June for a vacation under the salary rate set up in the budget for you for 1949-50. Since you are en­ titled to more than one month of vacation, you may also take the month of' July if you wish, beginning your duties as Land Coordinator and Fiscal Consultent on August 1. :Your salary under the new budget will begin on July 1. The arrangement I have outlined is necessary in order to avoid setting up a budget for your new office for the month of June in the fiscal year 1949-50.

As we agreed in our conference, we will work out a statement to give to the papers concerning your shift in positions. This can be worked out together and llU agreement CllU be reached on lIhat should be said. I believe this statement should be released f'ollowing the next meeting of' the Board.

I am pleased to accept these changes and my ney status as Land Coordinator and Fiscal Consultant as outlined in our conference Thursday afternoon including services on the Public Exercises Oonnnittee and supervision and operation of: the car pool.

President Simpson informed me, in the executive session of: the Board, that there yould be no change in my salary nor in the other emoluments presently enjoyed including my of:fice, room 204. I em of: the opinion, hoYever, that the interests of: the University can best be served if I turn this office over to the President as he needs a place for the Vice-President. I can be quite yell located in room 301, but it 1<111 be necessary for me to take most of the furniture and equipment nov used by myself: and my secretary. I Yill, hOYBVer, leave in room 204 the rugs, draperies, ditto machine, (it•s a good one) and one or more ney 4-drayer filing cases; also the check signer, if I can get out f:rom under.

I remind myself: of the man wo has a bull by the tail and can't let go. To make a change in this position certain things must be done.

I must be checked out by the state examiner -- as I I<8S checked in - - pref:erably at 5:00 P.M., June 30. I Yill of: course relin­ quish all authority other than the oustodianship of cash and securi­ ties the minute the business manager is appointed.

The state examiner 1<111 count the cash, cash items and check the contents of: the safety deposit box, containing bonds and other securities at the First National Bank of Laramie, and turn these properties over to. the business manager.

Then - this bank must be notified that after that date I am not to be admitted to the safety deposit box. The bank must be notified that aftar a certain date my name is not good on University checks. As checks take some time in clearing, the date I mention here is the date appearing on the check.

The state treasurer must be notified -- I am still selling him bonds for ~Iyoming Hall, and he makes the checks out to me personally. Record ofMinutes of Board of Trustees M,

The state auditor must be notified that I can no longer approve bills for payment.

The surety bonding company must be told.

These notifications can not be made by the business manager, but must be made by yourself or an of the Board.

I request that the combination of the money safe be changed.

My name plate in the check signer must be destroyed, but not until the new plate for the business manager has been received.

I BIll Military Property Custodian for the R.O.T.C. I have a bond with the Army for $151,716.22, the value of the several hundred firearms, motor vehicles, unifol"lll.'l and many other items. There is no deputy authorized to sign my name, nor his own. I sign papers almost daily. Col. Craig can not sign. I don't know how to get out from under this one but undoubtedly Col. Craig can arrange it.

I can get along without a new budget until July 1.

I do not ,Jish to take a vacation at this time. There is too much to be done. I must get the $70,047.17 from the Community Facilities Service of Denver for the library and the infirmary plans immediately or we will lose it.

I wish then to make the annual state farms inspection trip with Dean Hill and Director Quayle, and Forest Hall if you wish. We are late this year now.

Next I wish to get the car pool functioning by July 1, if possible.

I shall then go to work on the grant lands, first in the state land office for many days, later hunting 'em up around the state, particularly the oil and gas lands to make sure they con­ form to the leases. You will recall I picked up $1,600 a year from the Gillette farm.

As fiscal consultant I shall be pleased to help you,theoBoard or the business manager. I can see right now that I can be of service in getting out the new bond issue for the War Memorial Field House and Stadium.

I shall turn over to you the minute books of the Board and the card index. I recommend that a competent person be employed to make a new card index from the beginning down to the present date.

VII. PRoomss REPORT 00 SKI AREA AND ICE HOCKEY ARm!

For the information of the Trustees, the President "1''''04''-6 $~ ~'''O''T presents herewith the following progress report, prepared by Athletic Director G. J. Jacoby, with regard to the pro- posed up-to-date ski area and modern ice hockey arena for the University of Wyoming:

SId. Area The present Snowy Range Ski Area, owned and operated by the Snowy Range Ski Club, was SKI A.... ~ "- originally financed by individuals and busi- ness firms in this region through the medium of promissory notes at different Values. At the present time we are working with the Ski Club in an effort to get definite commitments on notes held, so that the ownership III"-y be legally transferred from the Snowy Range Ski Club to the University of vryoming. At the present time it appears ·that it will take approximately $1,500.00 to purchase the pre- sent ski area interests from the Snowy Range Ski Club. In addition to this sum of money, it will take approximately $10,000.00 spread over a three-year period to get the ski area in first-class condition. These figures are approximations and will be revised in the final report.

Ice Hockey We have been working with a number of firms ~ on the construction of a snitable ice hockey I.e. l-\o~K."1 AR...... arena. As of today, we have a report and pre- liminary estimates from only one firm. Plans from other construction fabricators are being dra,m, but the latest information I have from these firms indicate that it will be approxi- mately thirty days before these plans can be forwarded to us for final action.

President Humphrey then sulmlitted a comprehensive report of the

University Bookstore \/hich showed the sound financial condition of this

enterprise.

The State Examiner's report covering his audit of the business

offices for the period July 1, 1948 to June 30, 1949 was then presented

to the Board, and the letter of transmittal and connnents were read in

their entirety. The financial and statistical statements in support of f'RE6.t !\"'b

these statements and a part of the report have been printed and included R~"'o"''''£.''"D''T'O''''''

in the 58th Annual Report of the President of the Board of Trustees "'''~RO< E"D

covering this period. This printed report was mailed to the Trustees

last fall. After discussion, Mr. ,Tatenpaugh moved that the following

reconnnendations made by the examiner be approved and put into effect

as soon as it is possible to do so. This motion was seconded by

Mr. Sullivan and carried.

1. We believe continuing serious consideration should be given to the appointment of an internal auditor. It is our understanding that the creation of this position has been approved by the Board of Trustees•. The size and scope of the University organi­ zation and operations is such as, in our opinion, to merit the appointment as a necessary measure in strengthening internal control.

2. We urge that the work of completing and maintaining plant re­ cords be expedited in all ways practicable. Buildings, equip­ ment, and other plant assets comprise the major portion of all university assets and the importance of their proper control cannot, in our opinion, be over-estimated.

3. It is hoped continued study will be given to the various fund groups - Revolving Funds, Deposit Liabilities, Auxiliary Enterprises, etc., - with a view to account consolidation, re-elassification, and transfer \/here justified. Good work has already been done in this respect, and some duplication in the reporting of income and expenditures has beenelimi­ nated.

I especially thank you personally because without your recom­ mendations, I yould have neither the position nor the salary. The position makes it possible for me to continue to serve the Univer­ sity to my full capacity, and the salary will help me to maintain a normal standard of living and to put aside some reserve f'unds against the time wen fortune is less favorable. I hope always to render the service which will make you proud of your action in asking me to join your official family.

Of course, I still expect that the salary will be subject to adjustment each year to fit the University's financial situation and my ability to earn it.
