NOTICE TO BIDDERS: INVITATION TO BID ON SURPLUS PROPERTY

BID #17-07

Notice is hereby given that the Board of County Commissioners of Holmes County, FL, will accept sealed bids until 3:00 p.m. (local time) July 17th, 2017 for Sale of Surplus Property (Dental Equipment From Holmes County Health Department Dental Building). Copies of bid provisions, bid forms, bit items and specifications may be obtained from the Holmes County Board of County Commissioners at 107 E. Virginia Ave, Bonifay, FL 32425, (850)547-1119, or they may be downloaded from our website at http://www.holmescountyfl.org.

At 3:00 p.m. (local time), July 17th, 2017 the bids will be opened and read aloud. All bids must be in sealed envelopes reflecting on the outside thereof the bidder’s name and “Bid on Sale of Surplus Property to be opened at 3:00 p.m., July 17th, 2017”. The Board of County Commissioners will consider all bids properly submitted to 107 E. Virginia Ave., Bonifay, FL, 32425. Bids received after the time set forth herein will be rejected. All interested parties are strongly invited to bid and participate.

There is no obligation on the part of the County to award the bid to the highest bidder, and the County reserves the right to waive any irregularity or technicality in bids received. Holmes County shall be the sole judge of the bid that is in its best interest and its decision shall be final. Further, the County may re-advertise with either the identical or revised specifications, if it is deemed in the best interest of the County.

It is the intent and purpose of the County that this Invitation to Bid promotes competitive bidding and disposes of surplus property in a manner most advantageous to the County. It shall be the bidder’s responsibility to advise the County if any language, requirements, etc. or any combination thereof, inadvertently restricts or limits the Invitation to Bid or if the Invitation to Bid is faulty for some other reason. Such notification must be submitted in writing and must be received by the County, at 107 E. Virginia Ave., Bonifay, FL 32425, not later than 3:00 p.m. (local time) at least seven (7) days prior to the Bid closing date.

Any bidder failing to mark the outside of envelope as set forth herein may not be entitled to have their bid considered.

SURPLUS PROPERTY SALE BID #17-07

INVITATION TO BID

The Board of County commissioners of Holmes County, Florida, invites you and/or your company to submit a bid in response to this invitation to bid. All terms and conditions below are a part of this invitation and no bid will be accepted unless all terms and conditions have either been satisfied or otherwise waived by the Board of County Commissioners.

The bid shall be awarded to the most responsible and responsive bidder, who presents a bid that is in the best interest of Holmes County. All responses hereto shall become the property of Holmes County and may be subject to public records request. The County will not reimburse any bidder for any cost(s) associated with the preparation and submittal of any bid.

BID OVERVIEW

The Holmes County Board of County Commissioners has agreed to sell the Dental Equipment currently residing in the Holmes County Health Department’s Dental Clinic Building located at 1177, US-90, Bonifay, FL 32425 as surplus. The decision to declare these items included in this Bid summary, surplus was made on April 25th, 2017 during the Holmes County Board of Commissioners’ Regular Session at 6:00 PM due to the fact that the Holmes County Health Department Dental Clinic is now closed. All proceeds obtained through the sale of these items will be designated to the Holmes County Health Department.

INSTRUCTION TO BIDDERS

1. All bids to be considered must be in the possession of the Holmes County Office prior to the deadline for receiving bids set forth in the Notice to Bidders.

Page 5 2. Bids may be submitted to 107 E. Virginia Ave, Bonifay, FL, 32425, prior to Bid Opening. All bids must be in a sealed envelope, clearly marked with the bid package # and the time and date for receipt of bids indicated on the outside of the envelope.

3. Regardless of the method of delivery, each bidder shall be responsible for his or her bid being delivered on time. The County assumes no responsibility for late bids due to faulty delivery.

4. Bids may be withdrawn at any time up to the time for receipt of bids.

5. Bids offered or received after the deadline for bids shall automatically be rejected and returned unopened to the bidder.

6. A bidder may not withdraw his or her bid after the bid opening without forfeiting his or her bid deposit.

7. Each response to bid shall be accompanied by a bid bond/deposit in the form of a cashier’s check, certified check, money order or bid bond in the amount of 10% of the bid.

8. Bid deposit checks or bonds are to be made payable to Holmes County, Florida.

9. The successful bidder’s bid deposit shall be held by the County and shall be subject to forfeiture if the successful bidder fails to complete purchase of the property. The face amount of the bid deposit shall be applied toward monies due the County at closing in accordance with the terms and conditions contained in the agreement for sale and purchase signed by the parties.

10. The bid deposit shall be forfeited should the successful bidder fail and/or refuse to close on the sale by fully purchasing the property from Holmes County by paying the remaining amounts owed pursuant to the bid, within fifteen (15) days after award of the bid. 11. Any unsuccessful bidder(s) shall have his or her bid deposit returned promptly after the Board of County Commissioners’ award of the bid.

12. All bids must be submitted on the bid form provided by the County and must be signed by an authorized representative of the person or firm placing the bid.

13. The bid form shall be returned intact and completed. Bidder may attach any other necessary information to his or her bid.

14. Bid awards may not be assigned without the consent of the Board of County Commissioners. Any assignment approved shall be subject to the terms and conditions of this Invitation for Bids.

16. The County reserves the right to award the bid to the bidder that the County deems to have the best responsive price and terms for each individual item listed herein. A bidder may bid on ANY or ALL items contained herein and the County may award the property to the bidder(s) as is in the best interest of the County. For example, a bidder may bid on multiple items, but may be only awarded a single item based on being outbid.

17. Any subsequent award between the County and the successful bidder shall be governed by the laws of Florida. The Court of competent jurisdiction for this Agreement shall be the Circuit Court for Holmes County, Florida.

GENERAL TERMS & CONDITIONS

1. PURCHASE PRICE- There is no minimum bid, however, the County reserves the right to reject all bids on any specific property or structures if the County determines the offer is not acceptable. The bid deposit shall be applied toward payment of the purchase price at closing in accordance with the terms and conditions contained in the agreement for sale purchase.

2. OTHER TERMS & CONDITIONS- Bidder/Buyer agrees to purchase the property following award of bid. This purchase shall include the following items:

A. The property will be conveyed “WHERE IS/AS IS” and no representations or warranties are made concerning title, zoning, tax consequences, physical or environmental conditions, structure integrity, operating history, governmental approvals, or governmental regulations.

B. The County is not obligated to remove any existing impediments or encumbrances to title, which may be discovered unless otherwise agreed prior to closing.

C. The Buyer will be responsible for removal, and any and all costs associated therewith, of all items successfully bid on. Said removal must be finished by August 31st, 2017 at 4:00 PM (CST). It should be recognized by Bidders/Buyers that some items that are being advertised will likely need heavy equipment and/or significant manpower to move and the cost and responsibility of such removal should be considered as part of this bid and shall be the complete responsibility of the Bidder. No return of monies will occur should the Bidder not remove purchased items as set forth herein. Further, any structures or personal property not removed on the date and time set forth herein, shall be waived and shall remain the property of the County without any reimbursement of funds to the Bidder.

3. FORMAL APPROVAL- Approval of the bid by the Holmes County Board of County Commissioners shall be required prior to conveyance of the property consistent with the terms and conditions contained herein, unless otherwise modified by the Board of County Commissioners. The County reserves the right to reject bids deemed to be below what the County determines as acceptable offers.

4. BILL OF SALE- The County/Seller will convey to the successful bidder/buyer, at the request of the bidder/buyer, the awarded property by a Bill of Sale executed by the authorized representative of the Board of County Commissioners.

5. CONDITION OF PROPERTY- Except as set forth in the herein, it is understood and agreed that seller disclaims all warranties or representations of any kind or character, express or related to title, tax consequences, physical or environmental conditions, condition of the items, availability of regulations or any other matter or thing relating to or affecting advertised structures and property. Buyer represents that it is a knowledgeable buyer of this property and that it is relying solely on its own expertise and that of its consultants, and that buyer has conducted inspections and investigations of the property, including, but not limited to, the physical conditions of the property, and will rely upon them, and upon closing, will assume the risk of all adverse matters, including but not limited to, adverse physical conditions, which may not have been revealed by buyer’s inspections and investigations. Seller sells and conveys to buyer and buyer accepts the property “AS IS, WHERE IS” with all faults and there are no oral agreements, warranties or representations collateral to or affecting the property to buyer by seller or any third party.

6. RIGHT TO INSPECT PROPERTY- Prior to bidding, buyer, and its agents and consultants, have the right to enter upon property and undertake at buyer’s expense, any physical inspections and other investigations of the property, that buyers considers necessary or desirable to review and evaluate the physical characteristics of the property. Said

Page 9 inspection may occur by arranging a time and date with Cassandra Pollard-Smith at 850.547.1119.

7. FINAL CLOSING- Closing will be at 107 E. Virginia Ave., Bonifay, FL, 32425. The closing will occur at a time to be scheduled by the County, approximately 10-15 days following the acceptance of the bid by the Board of County Commissioners. The Bidder shall have until August 31st, 2017 to remove the purchased items from the real property pursuant to the terms and conditions as further set forth herein.

8. Optional Pre-Bid Meeting : The County will hold a pre-bid meeting at 107 E. Virginia Avenue on Friday, July 14th, 2017 @ 1:00 PM (CST) to discuss the Bid with potential Bidders. Said Meeting is “optional”. However, Bidders are encouraged to attend as questions regarding the bid may be addressed with more specificity than as stated herein.

9. Hold Harmless and Indemnification: The Bidder agrees, insofar as it legally may, to indemnify and hold harmless the Board of County Commissioners of Holmes County, its agents, officers and employees from and against all loss, costs, expenses, including attorney’s fees, claims, suits and judgments, whatsoever in connection with injury to or death of any person or persons or loss of or damage to property resulting from any and all operations performed by the Bidder, its officers, employees and agents pursuant to this Invitation to Bid, its award, or any subsequent contract. ANTI-COLLUSION AGREEMENT

ANTI-COLLUSION STATEMENT: The below signed bidder has not divulged to, discussed or compared his bid with other bidders and has not colluded with any other bidder or parties to bid whatever.
