Notice of Traditional Music & Song Association of Scotland AGM 2014

The venue is close to the Railway Station, and right beside the Bus Station and the Rose St car park.

As per the agenda on this notice, election and re-election of directors will take place at the AGM. Information on the election process is included on the following sheet.

If you are attending the AGM, please ensure that you bring your membership card or a note of your membership number with you. In the event of a vote it may be necessary to verify that you are entitled to vote.

If you are unable to attend and wish to provide a proxy vote, please complete and sign the relevant section on the page overleaf and ensure that your proxy brings this with them to the AGM.

9. Motion to amend the Memorandum and Articles of Association of the TMSA (as per the ‘missing’ regulation issue which was raised the 2013 AGM)

8. Expulsion from Membership

The right to expel members is retained. The procedure for expulsion is outlined in point 15 in the Rules and Regulations. Grounds for expulsion can include a criminal conviction which by its nature could harm the TMSA, bringing the TMSA into disrepute, or failing to adhere to and support the aims of the TMSA.

10. Motion to add to the Rules and Regulations of the TMSA

15. Procedure for Expulsion from Membership

a) A member being considered for expulsion from the TMSA will be written to by the Board, outlining the reason(s) for this action being taken. The member has the right to reply within 28 days either in writing or at a pre-arranged meeting with a minimum of three members of the Board or their representatives.

b) The Board will then make a decision which will be given to the member in writing. The member will have the right to appeal that decision within 28 days.

c) Any appeal submitted will be considered by three different Board members or their representatives, as far as is practical, and they will make a decision which will be final.

d) If payment is made by Standing Order, the expelled member will be responsible for cancelling that Order. The TMSA cannot be held responsible if this action is not taken.

11. A.O.C.B Election of Directors This year, there are 5 places available on the Board of Directors. Nominees for election must have been TMSA members for at least one year (since November 2014). We can receive nominations, in the style suggested below, by post or email, no later than Monday 8 December 2014 to the National Office postal or email addresses, or in person at the AGM.

In the event of more nominations than there are vacancies, there will be an election by elimination on the day of the AGM, and proposers will speak in support of their nominee.

1 Welcome Convener, Fiona Campbell, opened the AGM and welcomed everyone.

2 Apologies Margaret Mackinnon, Barbara Dickson, John Wyllie, Iain & Norma Russell, Sangstream, Kate Frame, Jean Fleetwood, Susan Kirkwood, Shirley Watt, Dave Francis, Joyce Murison, Mary Henderson, Kate Taylor, Susan Streater, Clare Button.

3 Minutes of Changed date in item heading from 2010 to 2011. Proposed by Allan AGM on Taylor, seconded by Jim Taylor. Minutes approved. 6/12/12 4 Convener’s Fiona Campbell reported that it is still possible that we will get funding Report for a Sessions programme in 2014. Unfortunately the TMSA Young Trad Tour did not go ahead in 2012, as funding had not been made available to us early enough to plan it. A very successful tour has taken place in 2013. We continue to support the Citty Finlayson Scots Singer of the Year Award and produce the Events Calendar. We continue to look at Creative Scotland for funding.

5 Treasurer’s Presented by Kay Thomson who reported that we had had a good Report year, and we are financially sound. Proposed by Dougie MacKenzie and seconded by Mary Affleck.

6 Elections to Alison Mackinnon was re-elected to the Board - nominated by Dougie the Board MacKenzie, seconded by Kay Thomson. Alistair Ogilvy was elected to the Board - nominated by Alison Mackinnon, seconded by Fiona Campbell.

7 Auditors Bill Hay & Co were approved as Auditors - proposed by Kay Thomson, seconded by Gavin Waddell.

8 Honorary Professor Dr Iain Russell was proposed by Alison Mackinnon for his Membership outstanding contribution to and support of traditional music. Patrick Newman was proposed by Scott Gardiner for his services especially to Kirriemuir Festival, which he has been involved in since it began, serving in all capacities. Both nominations carried unanimously. Patrick Newman was presented with his certificate by Fiona Campbell.

9 Motion to The following amendment to the Rules & Regulations of the TMSA Amend the was discussed as part of our ongoing review of the TMSA governance Rules & documents: Regulations Rule & Regulation: 15. Expulsion from Membership procedure The member that is being considered for expulsion, will be written to by the Board, outlining the reasons why they are being considered for expulsion from the TMSA membership. The member then has the right to reply within 28 days. The Board would then make a decision which is final. If the member is not in arrears with their membership payments, they will be refunded the relevant sum of the remaining months of membership. The expelled member will be responsible for stopping any standing order they may have set up to pay their membership and the TMSA will not be responsible if this action is not undertaken. It was suggested by Trish Santer that the member should have the right of appeal and the other following changes were suggested: The Board would then make a decision which will be intimated to the member in writing. The member will be given the right to appeal within 14 days. The appeal will be considered by (who???) and a final decision will be intimated to the member. Hugh Hoffman also raised the question of the grounds on which a member could be considered by the Board for expulsion. A discussion followed where some grounds were raised eg embezzlement; bringing the TMSA into disrepute; no longer agreeing with the aims and objectives of the TMSA. It was agreed that the grounds for expulsion would be further discussed by the Board and put to the membership for agreement. It was agreed that not all possible grounds for expulsion could be listed, but examples should be given. This should then be brought to the AGM in 2014 as an amendment to the Memorandum and Articles of Association along with the final wording for the Rules & Regulations.

10 Discussion Fiona Campbell gave a brief outline of our plans for the future, and around thanked those members who had previously taken the time to Forward Plans respond to our paper. Further copies were handed out and including 50th completed, and when compiled will be further discussed by the Board Anniversary and National Committee. 2016 11 AOCB As a member of the Auchtermuchty Festival Society committee, Gavin Waddell thanked the TMSA for their help over the many years they ran the Traditional Music Weekend at Auchtermuchty Festival.

A vote of thanks to the Board was proposed by Jim Taylor.
