DIRECTOR PROFILES

John Oppermann, FCCA, MBA, CIFD John is resident in Ireland and has been involved in the sector for over 25 years in London and Dublin. He has extensive experience with investment funds domiciled in various locations across a variety of asset classes and investment strategies. John is a Fellow of the Chartered Association of Certified Accountants, holds an MBA from the Michael Smurfit Graduate School of Business and has received the accreditation of Certified Investment Fund Director. He previously acted as General Manager of Olympia Capital Ireland Limited, which was purchased by the CACEIS Group. John established Capita’s registrar operation in Ireland and was Country Manager. He was a member of the senior management team at Mellon and held a number of senior management positions with The Prudential Group.

Damian Keane, B Comm, FCA, MBA, CIFD Damian is resident in Ireland and has been involved in the financial services industry for over 25 years. His experience covers the global Investment Funds sector in the areas of Investment Fund Banking, Administration and Custody. Damian is a Fellow of the Institute of Chartered Accountants in Ireland, holds an MBA from the Michael Smurfit Graduate School of Business and a B.Comm Degree from University College Dublin. He has received the accreditation of Certified Investment Fund Director. Damian served as a Board Director and CFO for over 16 years with Fortis Prime Fund Solutions (previously MeesPierson). He has also served as a non-executive director of a licensed which provided banking services and financing to Funds. Previously Damian worked with Ernst & Young in Dublin, Prague and Budapest.

OUR SERVICES

We offer independent directorial and governance services to Alternative Investment Funds (AIF’s), Traditional Investment Funds, Management Companies (e.g. AIFMs, MANCos) and Special Purpose Vehicles (SPVs) in all the recognised Fund jurisdictions. All Panel directors are available to act as independent non-executive directors, to both onshore and offshore entities for established and start up managers. For start up’s in particular, we believe that directors should be engaged at an early stage of the process as they can contribute significantly to the success of the venture. Certified Investment Fund Director (CIFD) The CIFD is an accreditation from the Institute of Banking School of Professional . This specialist programme was developed to address Investment Fund governance in the context of the distinctive characteristics of Investment Funds, incorporating their key risk aspects and oversight.

INDEPENDENCE

All Panel Directors are independent of any investment manager, service provider or law firm. We do not believe that a director is independent if the director or their firm receive remuneration for other services provided to the Fund. Any potential conflicts of interest that might compromise independence are identified and eliminated.

EXPERIENCE

It is not uncommon for to undertake due diligence on the Fund board. Panel Directors are experienced professionals with extensive industry knowledge and are open to any due diligence. They fully understand the needs of investors and fund managers, thereby ensuring that they can contribute and add significant value to the governance of the investment vehicle.

COMMITMENT TO GOVERNANCE

There is a marked increased focus on effective governance within the Funds industry. Investors are demanding more transparency and an independent board of directors which is objective and fully focused on protecting interests. Directors must have relevant industry experience with a clear understanding of the unique features of the Funds which they represent.

LIMITED NUMBER OF DIRECTORSHIPS

We limit the number of client relationships to ensure that each Director can devote appropriate and adequate time to undertake their role. By limiting the number of relationships we can ensure that we have the capacity to fully address in a timely manner any issues that may arise.

There are unique features to investment funds which require an independent fund director to have significant experience and knowledge of the investment funds sector. Investment funds are typically fund promoter products, are regulated and operated on an outsourced model. The objective of fund governance is the protection of investors’ interests and it is imperative that transparency, objectivity and accountability are to the fore. Independence is critical to effective Fund governance.
