To the notifying party Subject: Case M.9152 – BC Partners / United Group Commission decision pursuant to Article 6(1)(b) of Council Regulation No 139/20041 and Article 57 of the Agreement on the European Economic Area2 Dear Sir, (1) On 16 November 2018, the European Commission received notification of a proposed concentration pursuant to Article 4 of the Merger Regulation by which BC European Capital X ("BCEC X"), ultimately controlled by BC Partners LLP ("BC Partners", United Kingdom), acquires within the meaning of Article 3(1)(b) of the Merger Regulation sole control of United Group BV ("United Group", the Netherlands), by way of purchase of shares (the "Transaction").i BC Partners is referred to as the "Notifying Party". BC Partners and United Group are collectively referred to as "Parties". 1. THE PARTIES (2) BC Partners is a private equity firm, specialising in buyouts and acquisitions financing in Europe and the United States. -

BC Partners-Owned United Group Makes Strategic Investment in Greece’s Forthnet Third large-scale acquisition and eleventh in total under BC Partners’ ownership Expands United Group platform’s presence into Greece and cements its position as the leading telecoms and media operator in South Eastern Europe Amsterdam and London, 29 May 2020: United Group, the leading telecoms and media operator in South Eastern Europe, has agreed to acquire the debt and a significant minority interest in Forthnet S.A., a prominent telecoms and pay-TV provider in Greece. The transaction will see United Group acquire all of the company’s loan obligations, the convertible debt and an initial 36% of the company’s shares following the successful conclusion of negotiations between National Bank of Greece, Alpha Bank, Piraeus Bank and Attica Bank (the “Sellers”) and United Group (the “Purchaser”). Further details of the transaction were not disclosed and it is subject to customary regulatory approvals. This investment marks the third large-scale transaction since BC Partners acquired United Group in March 2019, following the acquisitions of Croatia’s Tele2 and Bulgaria’s Vivacom in 2019, which altogether increase United Group’s size to €1.7 billion of pro-forma revenues. The firm’s entry into the Greek market is another milestone in its European growth strategy, and it further cements its position as the industry leader operating in eight countries across the region. Forthnet is a leading provider of home entertainment and communications services in Greece, with nearly 1,000 employees, providing services to nearly 700,000 subscribers and over 40,000 companies. -

MONTENEGRO 2019 HUMAN RIGHTS REPORT EXECUTIVE SUMMARY Montenegro is a mixed parliamentary and presidential republic with a multiparty political system. Voters choose both the president and the unicameral parliament through popular elections. The president nominates, and the parliament approves, the prime minister. An observation mission of the Office for Democratic Institutions and Human Rights of the Organization for Security and Cooperation in Europe (OSCE/ODIHR) stated the 2016 parliamentary elections were conducted in a competitive environment and that fundamental freedoms were generally respected. The opposition coalition did not accept the election results and began a continuing boycott of parliament, although all but two parties have since returned. In April 2018 Milo Djukanovic, president of the Democratic Party of Socialists (DPS), was elected president, winning approximately 54 percent of the vote in the first round for his second term as president. He had already served six terms as prime minister. Observers from the OSCE/ODIHR, the European Parliament, and the Council of Europe’s Parliamentary Assembly noted the election proceeded in an orderly manner but had a few minor irregularities that did not affect the outcome. Despite opposition protests, elections were generally considered free and fair. The National Police Force, which includes Border Police, is responsible for maintaining internal security. They are organized under the Ministry of Interior and report to the police director and, through him, to the prime minister. Civilian authorities maintained effective control over the security forces. Significant human rights issues included: unsolved attacks on journalists and pressure on the press including violence or threats of violence; corruption; trafficking in persons; and crimes involving violence against lesbian, gay, bisexual, transgender, and intersex (LGBTI) persons. -

Review Copy Only - Not for Redistribution Sauro Gelichi - Universita Ca' Foscari Venice - 10/26/2017 Imperial Spheres and the Adriatic Although often mentioned in textbooks about the Carolingian and Byzantine empires, the Treaty of Aachen has not received much close attention. This volume attempts not just to fill the gap, but to view the episode through both micro- and macro-lenses. Introductory chapters review the state of relations between Byzan- tium and the Frankish realm in the eighth and early ninth centuries, crises facing Byzantine emperors much closer to home, and the relevance of the Bulgarian problem to affairs on the Adriatic. Dalmatia’s coastal towns and the populations of the interior receive extensive attention, including the region’s ecclesiastical history and cultural affiliations. So do the local politics of Dalmatia, Venice and the Carolingian marches, and their interaction with the Byzantino-Frankish con- frontation. The dynamics of the Franks’ relations with the Avars are analysed and, here too, the three-way play among the two empires and ‘in-between’ parties is a theme. Archaeological indications of the Franks’ presence are collated with what the literary sources reveal about local elites’ aspirations. The economic dimen- sion to the Byzantino-Frankish competition for Venice is fully explored, a special feature of the volume being archaeological evidence for a resurgence of trade between the Upper Adriatic and the Eastern Mediterranean from the second half of the eighth century onwards. Mladen Ančić is Professor of History at the Universities of Zadar and Zagreb. He has published on the Hungarian-Croatian kingdom and Bosnia in the fourteenth century, the medieval city of Jajce, and historiography and nationalism. -

Serbia in 2001 Under the Spotlight
1 Human Rights in Transition – Serbia 2001 Introduction The situation of human rights in Serbia was largely influenced by the foregoing circumstances. Although the severe repression characteristic especially of the last two years of Milosevic’s rule was gone, there were no conditions in place for dealing with the problems accumulated during the previous decade. All the mechanisms necessary to ensure the exercise of human rights - from the judiciary to the police, remained unchanged. However, the major concern of citizens is the mere existential survival and personal security. Furthermore, the general atmosphere in the society was just as xenophobic and intolerant as before. The identity crisis of the Serb people and of all minorities living in Serbia continued. If anything, it deepened and the relationship between the state and its citizens became seriously jeopardized by the problem of Serbia’s undefined borders. The crisis was manifest with regard to certain minorities such as Vlachs who were believed to have been successfully assimilated. This false belief was partly due to the fact that neighbouring Romania had been in a far worse situation than Yugoslavia during the past fifty years. In considerably changed situation in Romania and Serbia Vlachs are now undergoing the process of self identification though still unclear whether they would choose to call themselves Vlachs or Romanians-Vlachs. Considering that the international factor has become the main generator of change in Serbia, the Helsinki Committee for Human Rights in Serbia believes that an accurate picture of the situation in Serbia is absolutely necessary. It is essential to establish the differences between Belgrade and the rest of Serbia, taking into account its internal diversities. -
