1. Corporation Limited (BPCL) is a vertically integrated Energy Company (PSU), having Fortune 500 Maharatna Status and recently awarded STAR PSU status by GOI is engaged in Refining of Crude Oils , Manufacturing and Marketing of diverse range of Hydrocarbon based Petroleum Products through various stocking points, Depots, Installations, LPG Bottling Plants, Lube Oil Blending Plants, Lube Depot etc; across the domestic markets. BPCL has strong presence with PAN based storage locations, distribution and having robust marketing network with over 15000 plus Fuel Stations, 4500 plus LPG distributors and 750 plus authorized lubricants distributors. BPCL has an annual turnover of more than INR 2.5 trillion. 2. BPCL is 4th largest in India in terms of volumes and its brand “MAK Lubricants” is a flagship and one of the fastest growing brands of lubricants for numerous automotive and industrial application based lubricating oils and is being extensively marketed across the length and breadth of the country i.e. in the domestic markets. It is more than a 15 years now, since the MAK Lubricants branded products are marketed in various international markets in SAARC Countries in Asia and many markets like Gulf Cooperation Countries (GCC) & East African nations like Burundi, Rwanda & Congo through merchant exports. 3. MAK Lubricants range of products exceeds 500 plus grades and brands ranging across 14 broad families of application based lubricating oils covering both automotive and industrial applications based lubricating oils which meets latest international specs covering numerous pack sizes ranging from 20 ML pouches to 210 Liters Barrels. The MAK Lubricants branded products i.e. Lubricating Oils & Greases are blended and manufactured using Group II & Group III base oils, which are manufactured at our state- of-the-art Lube Oil Base Stock (LOBS) plants located at Mumbai, Kolkata and Chennai.

4. MAK Lubricants has aspirations to spread its international markets starting with ASEAN Countries i.e. Myanmar, Thailand, Vietnam, Philippines, Singapore etc. 5. In order to quickly adapt to the new international markets, the supply chain and logistics plan demands that we explore the feasibility of localized procuring the MAK Lubricants branded products through the contractual arrangements with the technologically most advanced partners engaged in “Toll Blending & Repacking of Lubricants” arrangements in

the strategically located international markets of Bangladesh to begin with. 6. There is no EMD or Security Deposit for submission of the documents. BPCL is looking for more participation & competition from the prospective “Toll Blenders & Repackers” from the international markets in “Bangladesh”. 9. Kindly note that we deal only on principal-to-principal basis with the parties who are registered on our approved Mailing List and not through any intermediary. 10. All data received either from you or your trade and bank references would be treated private and confidential and would be used only for the purpose of registration on BPCL's Mailing List(s). 11. Based on the data/ information submitted, BPCL would shortlist parties who prima facia meet the registration requirement. Such Counterparties would be required to submit documentary evidence (Financial Statements, PO order copies etc). Hence the counterparty should also be in a position to produce further information as and when required by BPCL, to satisfy its requirements. 12. Counterparties with credential competence, requisite experience and financial soundness

and having facilities to procure, store the Raw Material, Packaging Material required in the process of manufacturing lubricating oils i.e. Blending & filling of lubricating oils shall be registered. BPCL’s decision on any matter regarding registration of Counterparties shall be final and binding. 13. BPCL at its discretion reserves the right to verify/ re-verify the information submitted and inspect the Counterparty facilities directly or through the competent agencies to confirm the credibility of the data submitted and having the desired capabilities. 14. However, mere submission of an application by a party does not guarantee registration on BPCL’s mailing list and/or receipt of tender enquiry at a later date. Limited tenders will be floated to the registered Counterparties, who are competent to meet BPCL’s requirement. 15. Subsequent to this Registration/ Enlistment, BPCL is likely to invite online bids from the registered Counterparties as and when required. All standard contract terms and conditions will be given in the main tenders. 16. BPCL reserves the right to accept or reject any or all the applications at their sole discretion without assigning any reason whatsoever thereof including but not limited to on account of incomplete information, past performance with the other companies etc. If BPCL is unable to evaluate any application for want of information, such offer may not be considered. BPCL’s decision on any matter shall be Final & any Counterparty shall not enter into correspondence with BPCL unless asked for. BPCL may call for additional documents if required. 1. Every Page and attachment of EOI being submitted must have signature and seal be affixed by the designated / competent authority of the prospective party participating in the process.

2. All documents being submitted (including attachments) should be properly numbers and indexed for ease of identification and to facilitate proper evaluation.

3. The counterparties are required to submit documents / information as per the EOI requirements and should also be in a position to produce further information as and when is being requested to (or) is required by BPCL.

4. The short listed parties may be requested to make a detailed presentation to ascertain and gather additional required information, if any, is desired.

5. Non-Disclosure Agreement and Intellectual Property Rights Agreements may be asked to be signed by BPCL to the counterparties participating in the process of tender, post evaluation of the EOI, as per the procedures and guidelines of the tender enquiries.

The above process of enlisting of the vendors / counterparties shall follow with the Vendor Registration Processes. These registered vendors / counterparties would be invited to participate in the tendering process which shall include Techno Commercial Bidding Process and contracting procedures based on competitive bidding. However, applying the above EOI for enlisting process do not guarantee as registration of vendor. BPCL reserves all the rights for listing of EOI and shall be dependent on the eligibility criteria and submission of documents / information to BPCL. The future scope of work is as given below -

SCOPE OF WORK

MAK Lubricants, a strategic business unit of Bharat Petroleum Corporation Limited, engaged in refining & marketing of petroleum products having presence in domestic and international markets, aspires to engage into an arrangement with the strong and competent partner having its base in Bangladesh and is engaged in Blending Lubricating Oils and has facilities to repack the lubricants in various packages required to market the product in the market place.

Accordingly, MAK Lubricants team invites an expression of interest (EOI) from professional firms having established competencies and experience in sourcing of Base Oils, Additives & Raw Materials, Packaging Material and has adequate storage facilities of finished products and having regulatory and compliance frame work in Bangladesh & ASEAN Countries and help BPCL manufacture the products as per the specifications provided by BPCL in encrypted format of communication.

BPCL also would like to explore the sourcing of finished lubricants on turnkey basis and as per the specifications provided through a Toll Blending arrangements and transportation of the products to the nearby ports for exports to ASEAN Countries.

The key objectives are –

1. To enter into Contractual Agreement with an arrangement to source or to manufacture lubricating Oils & greases as per the specifications being provided by BPCL.

2. To enter into an arrangement to transport the finished products i.e. lubricating oils and greases to the nearby ports for exports to ASEAN Countries.

Note – All the statutory and regulatory laws & bylaws of the land responsible for the jurisdiction and/or to the competent authorities and legal bodies needs to be adhered to strictly with complete compliance without any obligations to BPCL.

1. Sourcing of products & Toll Blending and filling / repacking activity for manufacturing Lubricating Oils & Greases –

 To procure & store the Base Oils, Additives, Raw material required for blending Lubricating Oils and Greases.

 To procure & storage of Packaging Material required to repack the lubricating oils for marketing purpose.

 To arrange for the storage of the finished products & transportation to the nearby customers / markets and / or to the ports for exports.

 To adhere to all the rules, regulations and laws of the land and to ensure strict compliance of the regulatory bodies as is being enforced or entrusted upon by the competent policy making bodies or regulatory bodies and competent authorities. This includes, direct & indirect taxes by the central government, state government, local bodies, municipalities, panchayats, regulatory bodies etc.

3. To enter into an arrangement to transport the finished products i.e. lubricating oils and greases to the nearby ports for exports to ASEAN Countries.

 To arrange for the transportation of the goods to the nearby customers of MAK Lubricants and Distributorships.

 To arrange for the transportation of the finished products to the nearby ports to facilitate exports to the ASEAN Countries.

 To fulfil all the statutory and legal requirements and complete documentation as per the export laws and trade practices.

 To fulfil all legal, statutory and regulatory requirements, without any obligations on BPCL.
