WILEY ONLINE ENHANCED LICENSE FOR CONSORTIUM CUSTOMERS

This License (the "License" and/or "Agreement") sets forth the terms and conditions under which Wiley Subscription Services, Inc. ("Wiley"), a Delaware corporation, will provide the California Digital Library (CDL), 415 20th Street, 4th Floor, Oakland, CA 94612-2901, on behalf of the Regents of the University of California (the "Licensee"), with access to the Electronic Products and Services subscribed to by the Licensee via Wiley lnterScience.

A. DEFINITIONS The following terms shall be deemed to have the meaning as set forth below:

1. Wiley InterScience - The online service (or any successor thereto) available from Wiley or its affiliates on the Worldwide Web including all products, services and features offered via the service. Certain products and services under this License may be delivered from other platfon11S as noted in the Appendices. The terms and conditions hereof are equally applicable to those products and services.

2. Licensee - The Institution named above, which has been authorized to sign this License whose campuses are listed in Appendix A, shall provide access to Wiley lnterScience via its Secure Network for its Authorized Users as defined in this Agreement. and is responsible for the payments specified in the attached Appendices and for the implementation of the License. "Secure Network" as used herein means the network which provides access to Wiley lnterScience for Authorized Users via the University of California (UC) campus' Internet Protocol (IP) addresses, and includes Authorized Users dialing into such Secure Network from outside such designated terminals.

The term "Licensee" shall be deemed be the California Digital Library on behalf of the Regents of the University of California. Campuses for the University of California are listed in Appendix A.

Appendix A will include inforn1ation on IP addresses for the Secure Network which are covered by this License.

3. Authorized Users - Those persons who are authorized by the Licensee to have access to Wiley lnterScience. Authorized Users must be current bona fide faculty members, students, researchers, staff members, librarians, executives or employees of the Licensee. or contractors engaged by the Licensee, provided such contractors have been informed of, and agree to abide by, the Terms and Conditions of Use set forth herein and they access Wiley lnterScience via the Licensee's Secure Network. Walk-in Users from the general public or business invitees may also be permitted by the Licensee to access Wiley InterScience from designated terminals with a Licensee-controlled IP address. These designated terminals shall be physically located in libraries or similar physical premises directly controlled by the Licensee.

4. Intellectual Property Rights - These rights include, without limitation, patents, trademarks, trade names, design rights. copyright (including rights in computer software), database rights, rights in know-how and other intellectual property rights, in each case whether registered or unregistered, which may subsist anywhere in the world.

5. Electronic Products - All products, services and content available in Wiley lnterScience shall be deemed included within the definition of Electronic Products. Details specific to the type of electronic products or services licensed hereunder as well as pricing and the Licensee's access rights are provided in the appropriate Appendix. These products and services are defined as follows:

(a) Licensed Electronic Products - The electronic (online) editions of Wiley journals and other publications and the content therein, including but not limited to major reference works, Current Protocols laboratory manuals and databases which the Licensee has licensed hereunder as specified herein and in the appropriate Appendices.

(b) Licensed Electronic Services - The electronic features and services in Wiley lnterScience available to the Licensee and its Authorized Users, as follows.

1. Early View - publishes peer reviewed, fully citable articles on line as soon as they are ready, before the release of the compiled journal issue.

2. Saved Title Alerts - allows Authorized Users to request and receive via e­ mail the tables of contents from any of the journals available online in Wiley InterScience and to receive notification of articles newly published which match specified search criteria.

3. Roaming Access - enables Authorized Users access to licensed content from outside the IP address range of the Licensee. Authorized Users must sign up initially for this service from within their institution's Secure Network and renew every 90 days.

B. ACCESS PRIVILEGES

1. Wiley grants to the Licensee and its Authorized Users, during the Tenn as defined below, a non-exclusive, non-transferable right and perpetual license to access, via Wiley InterScience, the full text and other material such as datasets published online in Wiley InterScience for the Licensed Electronic Products as listed m the Appendices attached hereto as may be amended from time to time.

2. In addition, Authorized Users will have unlimited access to all available tables of contents, article abstracts, chapter summaries and associated websites for all Electronic Products on Wiley InterScience.

2 3. The number of the Authorized Users who may simultaneously access Wiley InterScience is unlimited.

4. The Licensee acknowledges that the Electronic Products and Wiley InterScience and the Intellectual Property Rights contained therein are protected by law. All rights not specifically licensed herein to the Licensee are expressly reserved by Wiley.

C. TERMS AND CONDITIONS OF USE

1. The rights and restrictions governing access to Wiley InterScience and the Electronic Products by the Licensee and its Authorized Users arc outlined in the Terms and Conditions of Use below.

a. Authorized Users may download, search, retrieve, display and view, copy and save to hard disk or diskette and store or print out single copies of individual articles, chapters or entries in the Licensed Electronic Products for the Authorized User's own personal use, scholarly, educational or scientific research or internal business use. Authorized Users may also transmit such material to a third-party colleague in hard copy or electronically, for personal use or scholarly, educational, or scientific research or professional use but in no case for re-sale, systematic redistribution, or for any other use. In addition, Authorized Users have the right to use, with appropriate credit, figures, tables and brief excerpts from individual articles, chapters or other entries from the Licensed Electronic Products in the Authorized User's own scientific, scholarly and educational works such as books and articles.

b. All Authorized Users have the option to create a My Profile Page which will allow them to create data files and links to articles, chapters and entries of interest in the Licensed Electronic Products, and search criteria which may be reused by them. In order to do so, the Authorized User will have to select and register a user name and password which the Authorized User must keep confidential and not disclose to or share with anyone else.

c. The Licensee and its Authorized Users may create links to Wiley InterScience from their Online Public Access Catalog (OPAC) records, library catalogs, link resolvers. locally hosted databases or library web pages, provided those links are operated by the Licensee on a Secure Network, do not result in access to licensed content by anyone other than Authorized Users and are not used in connection with any paid or commercial service or for any other commercial use whatsoever.

d. Authorized Users who are members of the Licensee's faculty or staff may download and print out multiple copies of material from Licensed Electronic Products for the purpose of making a multi-source collection of information for classroom use (course-pack) or a virtual learning environment, to be distributed to students at the Licensee's institution free of charge or at a cost-based fee. Material from Licensed Electronic Products may also be stored in electronic format in secure electronic data files for access by Authorized Users who are students at the Licensee's institution, as part of their course work, so long as reasonable access control methods are employed such as user name and password.

Participating Libraries may use the electronic form of any Content as a source for Inter-Library Loan ("ILL"), whereby Authorized Users may transmit to a third party in hard copy or electronically, minimal, insubstantial amounts of the Licensed Materials, such as one journal article or book chapter, for personal use or scholarly, educational, or scientific research or professional use, but in no case for Commercial Use, or for any other purposes prohibited by this Agreement. Participating Libraries shall not honor such requests from for-profit companies or from individuals directly. ILL through secure electronic transmission, as demonstrated by the ARIEL and Prospero systems, is permitted. Files transmitted in that manner must carry copyright and all other applicable Intellectual Property Rights notices. Licensee and Participating Libraries agree to fulfill ILL requests in compliance with § 108 of the United States Copyright Act (17 USC §I 08) and clause 3 of the Guidelines for the Provision of Subsection 108(g)(2) prepared by the National Commission on New Technological Uses of Copyrighted Works. This right shall apply to traditional ILL functions and shall not apply to the extent it is used with centralized ordering facilities, such as document delivery services or for any other commercial or systematic distribution.

2. Except as provided in Paragraph C(l) above, Authorized Users may not copy, distribute, transmit or otherwise reproduce, sell, or resell material from the Electronic Products; store such material in any form or medium in a retrieval system; or transmit such material, directly or indirectly, for use in any paid service such as document delivery or list serve, or for use by any information brokerage or for systematic distribution, whether or not for commercial or non-profit use, or for a fee or free of charge.

4. The Licensee and its Authorized Users may not remove, obscure or modify any copyright or proprietary notices, author attribution or any disclaimer as they appear on Wiley InterScience. Authorized Users may not integrate material from the Electronic Products with other material or otherwise create derivative works in any medium. However, brief quotations for purposes of comment, criticism or similar scholarly purposes are not prohibited herein.

4. Authorized Users may not do anything to restrict or inhibit any other Authorized User's access to or use of Wiley InterScience and the Licensed Electronic Products.

5. If an Authorized User fails to abide by these Terms and Conditions of Use or other terms of this License, Wiley reserves the right in its sole discretion to suspend or terminate such Authorized User's access to Wiley InterScience and the Licensed Electronic Products, in addition to any other available remedies. Except in the case of a material breach which Wiley deems dangerous to the integrity and security of Wiley InterScience, or for a breach which, if not immediately remedied, is likely in Wiley's opinion to continue to cause damage, Wiley shall give prior written notice to the Licensee of its intention to terminate such Authorized User's access and shall allow the Licensee and/or the Authorized User 30 days after receipt of such notice to cure the breach or agree to abide by the terms and conditions of this License.

6. Authors affiliated with Licensee shall have the specific deposit rights that follow the policies and practices described in Appendix N and at the Wiley Interscience site at: http://www3 .interscience. wiley .com/aboutus/open _access_options.html #AuthorRights _In stitutiona!Repositories

4 D. FEES AND CHARGES

1. License Fees and other charges for online access to the Licensed Electronic Products by the Licensee and its Authorized Users, and other services provided by Wiley InterScicnce, are specified in Appendices

2. The Licensee is responsible for any charges associated with accessing Wiley InterScience and the Licensed Electronic Products, including, but not limited to, any computer equipment, telephone or Internet connections and access software.

3. The Licensee is responsible for ensuring that any thi rd party authorized by the Licensee to make payments on its behalf shall promptly pay Wiley the full amounts due under this License. The Consortium is responsible for ensuring compliance by the Member Institutions.

4. Wiley shall annually send the Licensee an Invoice Agreement Letter. Upon the Licensee's signature on the Invoice Agreement Letter and payment of fees set forth therein, this License shall apply, or shall renew for the period set forth in the Invoice Agreement Letter.· Except as specifically set forth in the Invoice Agreement Letter, the terms and conditions of this Agreement (including updated Appendices) shall continue to apply.

E. MUTUAL OBLIGATIONS

1. Wiley will:

a. make reasonable efforts to ensure uninterrupted online access to and continuous availability of the Licensed Electronic Products to Authorized Users in accordance with this License, and to restore access to such Licensed Electronic Products as promptly as possible in the event of an interruption or suspension of the Wiley InterScience service which is not attributable to any third-party service provider over which Wiley has no control (e.g., an Internet or telecommunications service provider);

b. provide aggregate usage statistics to the Licensee which are compliant with COUNTER Codes of Practice or conform to the then-prevailing industry standard (except as otherwise specified in the attached Appendices) about the use of the Licensed Electronic Products by the Licensee's Authorized Users, consistent with applicable p:-ivacy laws and confidentiality requirements.

c. use reasonable efforts to ensure that the online content is equivalent to Wiley print journals and is available prior to or no later than the print equivalent.

d. use reasonable efforts to cooperate with the Licensee,which is responsible for compliance with the Americans with Disabilities Act (ADA).

e. cooperate with the Licensee to provide the capability to link directly from records in the Licensee's bibliographic computing systems, including library web pages, to articles available in the Licensed Electronic Products through Wiley InterScience when possible.

5 2. The Licensee will:

a. take all reasonable measures to inform Authorized Users of the Terms and Conditions of Use governing access to Wiley InterScience and to emphasize to such Authorized Users the need to comply with whatever restrictions on access, use, reproduction and n-ansmission are included therein;

b. make access available to Authorized Users only through the Licensee's Secure Network and from valid IP addresses or other secure authentication methods as described in the appropriate Appendix; undertake reasonable measures within its control to prevent access to and improper use of the Licensed Electronic Products and Wiley JnterScience by unauthorized persons; and take responsibility for terminating any unauthorized access of which it has actual notice or knowledge;

c. provide Wiley with information about the Licensee's IP addresses which can be used by Wiley to authenticate Authorized Users. The Licensee represents that all such IP addresses shall be limited to the Licensee's Secure Network, and shall be listed in Appendix A as updated from time to time;

d. promptly notify Wiley of any copyright infringement or unauthorized usage of the Electronic Products which comes to the Licensee's attention; and cooperate fully with Wiley in the investigation of such infringement or unauthorized use and in any action which Wiley takes to enforce its copyright and other Intellectual Property Rights, at Wiley's expense. Notwithstanding the above, the Licensee shall not be responsible for such unauthorized use which is without the express or implied consent of the Licensee, provided that the Licensee has taken reasonable steps to prevent such misuse and, upon learning of it, uses all reasonable efforts to ensure that such activity ceases, and notifies Wiley promptly of any such breach or infringement.

F. PRIVACY AND DATA PROTECTION POLICY

Wiley recognizes the importance of protecting the information it collects in the operation of Wiley InterScience and will act in compliance with the Privacy Policy posted at http://www.wiley.com/WileyCDA/Section/id-301465.html.

G. TERM AND TERMINATION

1. The Term of this License shall commence on January 1, 2010 and end on December 31 , 2012.

2. Wiley shall have the right to request the Licensee to terminate access to Wiley InterScience by an Authorized User who breaches Wiley's Terms and Conditions of Use or infringes the copyright or other Intellectual Property Rights in the Electronic Products or Wiley InterScience.

3. Either party may terminate this License if the other party materially breaches its obligations under this License and fai ls to cure such material breach. provided that the non-breaching party shall give written notice of its intention to terminate and shall allow the breaching party 60 days after receipt of such notice to remedy the breach.

6 4. Notwithstanding subparagraph G.3 above, either party's failure to perform any term or condition of this Agreement as a result of conditions beyond its control such as, but not limited to, war, strikes, fires, floods, governmental restrictions, acts of terrorism, public health emergencies, power failures, or damage to or destruction of any network facilities or servers, shall not be deemed a breach of this Agreement.

5. The Licensee reasonably believes that funds can be obtained sufficient to pay all monies due during the term of this Agreement and hereby covenants that it will do all things lawfully within its power to obtain, maintain, and properly request and pursue funds from which payments for this transaction may be made, including making provisions for such payments to the extent necessary in each budget submitted for the purpose of obtaining funding, using its bona fide best efforts to have such portion of the budget approved and exhausting all available administrative review and appeals in the event such portion of the budget is not approved. It is the Licensee's intent to make payments for the full term of this transaction. The Licensee represents that the use of the materials under this transaction are essential to its proper, efficient and economic operation. In the event no funds or insufficient funds are appropriated and budgeted and are not otherwise legally available by any means whatsoever in any calendar year during the term for payments due under this transaction, the Licensee will immediately notify Licensor of such occurrence and this transaction shall terminate on the last day of the Calendar year during the tenn for which appropriations were received without penalty of expense to the Licensee of any kind whatsoever. If at the beginning of a calendar year during the term the Licensor has not received payment in full, the Licensor will require the Licensee to confirm in writing that full payment is forthcoming as a prerequisite for providing the licensed services, and the Licensee will be held liable for the full amount. The Licensor and Licensee will agree whether to renegotiate the terms of the current agreement or whether to terminate the current agreement and negotiate a new agreement, taking into account what funds shall have been appropriated and budgeted or otherwise available. Jn the event of such termination the Licensee shall maintain its perpetual right to materials licensed under the contract period for which it has fully paid according to the terms of the Appendices. In the event that Licensee exercises this option, no fees paid to Wiley wi ll be refunded.

H. WARRANTY AND DISCLAIMERS BY WILEY

I. Wiley represents and warrants that it has the right and authority to make Wiley lnterScience available to the Licensee and its Authorized Users pursuant to the terms and conditions of this License and that, to the best of Wiley's knowledge, Wiley InterScience and the Electronic Products do not infringe upon any copyright, patent, trade secret or other proprietary right of any third party.

2. Wiley InterScience may provide Authorized Users with links to third-party websites. Where such links exist, Wiley disclaims all responsibility and liability for the content of such third-party websites. Authorized Users assume sole responsibility for the accessing of third-party websites and the use of any content on such websites.

3. Except for the warranties provided by Wiley in paragraph H. l above,

a. WILEY INTERSCIENCE AND THE ELECTRONIC PRODUCTS AND ALL MATERIALS CONTAINED THEREIN ARE PROVIDED ON AN "AS IS" BASIS. WITHOUT WARRANTIES OF AJ\TY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE,

7 OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE:

b. THE USE OF THE ELECTRONIC PRODUCTS, WILEY INTERSCIENCE AND ALL MATERIALS IS AT THE AOTHORIZED USER'S OWN RISK;

c. ACCESS TO WILEY INTERSCIENCE AND THE ELECTRONIC PRODUCTS MAY BE INTERRUPTED AND MAY NOT BE ERROR FREE; AND

d. NEITHER WILEY NOR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DELIVERING WILEY INTERSCIENCE, THE ELECTRONIC PRODUCTS, OR THE MATERIALS CONTAINED IN WILEY INTERSCIENCE, SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING OUT OF THE AUTHORIZED USER'S USE OF OR INABILITY TO USE WILEY INTERSCIENCE, THE ELECTRONIC PRODUCTS AND ALL MATERIALS CONTAINED THEREIN.

4. Wiley shal1 indemnify and hold the Licensee harmless from and against any damages, costs and fees (including reasonable attorney's fees) resulting from any judgment against the Licensee arising out of the claim of a third party that Wiley's license of the Licensed Electronic Products or the Licensee's use thereof constitutes an infringement of any copyright, patent, trade secret or other proprietary right of any such third party. This indemnity shall not apply if the claim involves content which has been modified or used in a manner not permitted under this Agreement or if the Licensee has failed to comply with other material terms of this Agreement. NO LIMITATION OF LIABILITY SET FORTH ELSEWHERE IN THIS AGREEMENT IS APPLICABLE TO THIS INDEMNIFICATION.

The Licensee shall give prompt notice of an infringement claim to Wiley, shall provide such cooperation and assistance to Wiley as is reasonably necessary to defend the claim, and shall all ow Wiley to have the sole control of the defense, provided, however, that the Licensee retains the right to participate in the defense at its own expense.

I. CONFIDENTIALITY PROVISIONS

1. While negotiating this Agreement and during the Term thereafter. Wiley may provide the Licensee with certain information which may be oral or written (including information in electronic format), which is deemed confidential. For the purposes of this Agreement, Confidential Information is defined to include, but is not limited to. the terms and condi tions of this Agreement that have been negotiated, such as financial terms, the substance of all negotiations relating thereto, all information pertaining to Wiley InterScience which is proprietary to Wiley, and any other material which has either been marked "confidential" by Wiley or which, by the nature of the circumstances surrounding the disclosure. would be understood to be confidential by a reasonable party.

2. Confidential Information shall be used by the Licensee solely for the purposes of negotiating and implementing this Agreement. The Licensee agrees to take reasonable care to protect the Confidential Information from disclosure to third parties and to limit disclosure of the Confidential Information to those employees or contractors of the

8 Licensee including affiliates of the Licensee who have a need to know m connection with this Agreement, and who have been made aware of, and agree to abide by, these restnctions. Licensee must provide requested mformation in conformity to the California Public Records Act.

J. GENERAL PROVISIONS

1. Wiley may assign this Agreement to its successors. subsidiaries or assigns. This Agreement may not be assigned by the Licensee except with the prior written consent of Wiley.

2. In the event of a material breach of the terms and conditions of this Agreement by either party, the non-breaching party shall be entitled, in addition to any other remedies available pursuant to this Agreement or at law. to equitable, including injunctive, relief.

3. Any notice, request, statement or other communication to be g1ven hereunder to any party shall be in writing addressed to the party as fo llows:

or mailed or delivered to such other address as each party may designate by norice given in like manner, and any such notice, request, statement or other communication, shall be deemed to have been given when received, except that if mailed by registered or certified mail, return receipt requested. or delivered by overnight courier service. it shall be deemed to have been given when mai led as aforesaid or when delivered.

4. This Agreement constitutes the complete understanding of the parties and supersede all prior understandings between the parties with respect to the subject matter of this Agreement. o modificat10n, amendment. or waiver of any provisions shall be valld unless in writing and executed by the parties. Any waiver in one or more instances by either of the parties of any breach by the other of any terms or provisions contained in this Agreement shall not be considered a waiver of any succeeding or preceding breach. In the event that any clause of this Agreement 1s determined to be void or unenforceable, the remainder of the Agreement shall survive.

5. All Appendices attached or to be attached to this Agreement are incorporated herein and shall be governed by the terms and conditions of this Agreement unless otherwise specified in such Appendix. In the event of any conflict between the terms of an Appendix or any Invoice Agreement Letter as defined in Paragraph D.4. above and the terms of this Agreement, the terms of the Appendix or Invoice Agreement Letter shall govern.

Open Access Option In the event that Wiley offers an open access option to its authors, Wiley agrees to: (a) Annually review the number of open access articles published in the Licensed Electronic Products under the open access option. For each Licensed Electronic Product in which such articles are published, Wiley will share with Licensee the following information: (i) the number of articles published under the open access option by University of California authors, listed by Licensed Electronic Product and by campus (ii) the number of articles published under the open access option by all authors, listed by Licensed Electronic Product. (b) Enter into good faith discussions with Licensee concerning open access business models and how these may influence future business models, including the potential impact on institutional subscription pricing.

7. Notice of the Use of Digital Rights Management Technology In the event that Licensor utilizes any type of digital rights management technolo!:,ry to control the access or the usage of Licensed Product, Licensor agrees to notify Licensee of the name, contact information and any technical specifications for the digital rights management technology utilized, the name, contact information and any technical specifications for the digital rights management technology utilized.

8. Notice of the Use of Digital Watern1arking Technology lf Licensor utilizes any type of digical watermarking technology for any element of the Licensed Product, Licensor agrees that watermarks will not be visible to the human eye and will not degrade image quality. These watermarks shall not contain user-related information such as account number or IP address. If digital watermarking technology is used, Licensor agrees to notify Licensee, in advance, of the name, contact information, and any technical specifications for the technology used.

9. Data Mining The Licensee has the right to index, search, and data mine the digital copy, including provision of graphic interfaces to the texts based on such processes, as long as it does not impede Wiley's servers or service in any way. All such processes are solely for the internal teaching, learning, and research purposes of the Licensee and only for Authorized Users. By providing such access Wiley grants to the Licensee a nonexclusive, royalty-free, license to use such material in accordance with the restrictions on use specified in Paragraph C of the Licensee Agreement, which shall survive any termination of the Agreement.

10. The UC Berkeley Library has entered into a partnership with Lawrence Berkeley Lab to manage content acquisition and provide seamless access to both constituencies, over 50% of whom are UC Berkeley faculty, as well. Wiley will work with Licensee to incorporate Lawrence Berkeley Lab as part of Berkeley campus into the CDL license beginning in 2011.

The Shared Access Wiley-Blackwell Custom Collection is defined herein as the complete collection of Wiley journals to which the Licensee has access and will pay the negotiated institutional online only subscription fees to obtain on1ine access.

A. Archiving Rights

1. Archival Access: During the term of this License, Wi ley will provide the Licensee with access to current electronic files of the journals in the Shared Access Wiley-Blackwell Custom Collection and retrospective content, generally back to 1997, depending on the start date of online publishing by Wiley, as well as tables of content, abstracts, full text and illustrations and any additional electronic journal content not included in the print versions of the journals, but not materials included in Backfiles.

2. Perpetual Access: Upon termination of this License, Wiley will provide the Licensee with perpetual access to current electronic files of the journals in the Collection and retrospective content, generally back to 1997, depending on the start date of online publishing by Wiley, as well as tables of content, abstracts, full text and illustrations and any additional electronic journal content not included in the print versions of the journals, but not materials included in Backfiles where Wiley has the rights to deliver this, except where Licensee has licensed Backfile content. Wiley, in its discretion, will either continue online access to the same material on Wiley's server or provide an archival copy in the electronic medium selected by Wiley. at a reasonable cost-based fee.

By providing such access Wiley grants to the Licensee a nonexclusive, royalty-free, license to use such material in accordance with the restrictions on use specified in Paragraph C of the Agreement, which restrictions shall survive any termination of the Agreement.

Wiley has designated Portico as a post-cancellation access provider of licensed material. If the licensed material is no longer available via Wiley InterScience, the Licensee may access the material on Portico's server as long as: a. Wiley continues to designate Portico as a post-cancellation provider; b. The licensed material is available on Portico; c. Wiley maintains copyright over the licensed material; d. Portico's procedures for providing access are followed.

3. Print Journal Archival Copies: Wiley w111 provide to UC a single print journal archival copy of Wiley InterScience titles selected by CDL, as they are published, shipped to a single ship-to address at no additional cost beyond the Base Value of the Agreement. a. CDL will notify Wiley of the titles to be shipped by November 15 of each year. The print will be delivered to a UC regional storage facility of non-circulating volumes. b. The purpose of the print archive is to provide a back-up source should any published content be missing from the online version, unsatisfactory in resolution or quality (particularly images), or unavailable to authorized user(s). The print archive provides a "safety net" for the shared collection as UC libraries undergo a print-to-digital transition, and satisfies faculty requests to store print until the digital version is considered the "copy of record" (including all content such as editorial boards, meeting announcements, and other administrative material).

15 c. This requirement does not apply if W1 1ey ceases to produce paper editions of Wiley InterScience journal titles.

d. The provision of the print archive is limi ted to the three-year term of the license. Wiley will be under no obligation to continue this practice after the tennination of this agreement period.

e. The CDL and Wiley agree that should both parties decide that the electronic version of the journals is a stable and reliable •·copy of record," Wiley will no longer be obligated to provide print copies of Wiley lnterScience journals for the archive.

f. CDL will make reasonable efforts to notify Wiley of anomalies or quality issues in Wiley InterScience journals that come to its attention and/or prompt use of the print archive of the licensed materials.

4. Backup/Archival Copv: Upon request, CDL may receive during the term of the agreement from Wiley the entire set of materials licensed under this agreement and create one (1) copy to be maintained as a backup or archival copy or as required to exercise CDL 's perpetual rights, as stated above. Conditions and terms of use will be exercised pursuant to the terms of the agreement and subsequent amendments.

B. Pricing

• If the average aggregate Wiley journal price increase for a calendar year is less than the Price Increase Cap, the lower percentage will be applied. The following three titles are included in

16 the Licensee's Shared Access Wiley-Blackwell Custom Collection as a convenience to the Licensee if it holds subscriptions: Econometrica, Quantitative Economics, and Theoretical Economics. However, these journals are not subject to the price increase cap and they may be cancelled in a subsequent year because they are not governed by the Agreement.

C. Additional terms related to pricing include:

I. Print Subscription Pricing: 2010: The Licensee can purchase pnnt subscriptions to Licensed Electronic Journals which the Licensee subscribes to via a Shared Access Wiley-Blackwell Custom Collection at a deeply discounted rate o- ist price. This does not app~ (a) Titles new to Wiley InterScience unless added lo the Licensee's Shared Access Wilcy­ Black.'\vell Custom Collection. (b) Titles not subscribed to by the Licensee, unless added to the Licensee's Shared Access W1Jcy­ Blackwcll Custom Collection. ( c) Titles not available via Wiley InterSciencc. 2. Publisher Acquisitions: Should Wiley acquire in whole or substantial part the title list or other assets of another publisher with whom Licensee has an existing contract, the terms of that existing contract shall be honored through the expiration of its then-current term unless otherwise mutually agreed to in writing by both \Viley and Licensee. Upon expiration, Wiley and the Licensee will enter into good faith negotiations to arrive at mutually acceptable terms for online access to the affected materials. Notwithstanding the foregoing, Wiley shall honor all perpetual and other surviving rights of Licensee provided under contract with the previous publisher.

3. Adding Currentlv Subscribed Titles : Cost to add new electronic titles to - Wiley will make best efforts to notify Licensee of all acquisitions for the coming year by November 15th of the year prior. If licensee 11as already paid prev10us publisher for the coming year for an acqmred title, it will be incorporated into the license and there will be no fu1ther charge for that year.

This does not apply to: a) titles newly published by Wiley, in which case Wiley will add new titles only upon written authorizarion by CDL after a formal approval process by all ten campuses. or b) titles excluded from Standard Collections listed in Appendix B (e), in which case only subscribing campuses will have access.

Adding New and Unsubscribed Titles: Cost to add new electronic titles to Wiley TnterSc1ence where UC does not hold a current print subscription: a) New journals (launched after l st July of each year), or unsubscribed journals. i.e .. journals to which Licensee does not hold any current subscriptions can be added lo the Licensed Titles at a cosl of the Online Only List Price (m the year of addition) times a multiplier: • veterinary medicme, optometry, v1t1culrure/enology, food science, oceanoorn h titles • agriculture. criminology. environmental science. natural resources. ~hannacy, public health, dentistry titles • ..__all other title::. b) Adding FTE-priced journals: The Content Fee may additionally include, for select titles, pricing calculated based on the Licensee's number of FTE's. For this purpose FTEs arc defined as ful1-time equivalent students and academic faculty.

5. Ceased or Sold Titles: Wiley may, from rime to time, cease publication of individual journals in which case lhe journal(s) will be removed from the Licensee's Shared Access Wiley-Blackwell Custom Collection, and the fees associated with the JOUmal(s) will no longer be factored into the Shared Access Wiley-Blad..-well Custom Collection Fee. Wiley will use its best efforts to ensure that Licensee's archival and perpetual rights are honored for al l ceased or transferred titles.

6. The best available early payment terms will be extended to CDL each year of the license.

7. Cam uses will be able to individually add non-journal content at the consortium discoun­ nd the annual pncc cap stated in this contract will apply.

18 8. CDL will be able to add non-journal content at the consortium discom nd the annual price cap stated in this contract will apply. CDL reserves the right to negotiate pncing on all non- joumal content.

9. Both parties will cooperate to set up procedures that will ease the reporting of added and deleted titles.

l 0. Electronic Journal Subscription Maintenance and Swapping: The Licensee may substitute new and transferred titles for subscribed ·oumals in the Shared Access Wilcy- Blackwell Custom Collection without penalty ,

- These changes will be reflected in amendments to this Appendix. Swappmg will be accepted at the title level or for duplicate subscriptions. Swapping will only be accepted on a calendar year basis and Wiley must be notified of any changes in writing no later than January 31st of the subscription year.

Except as provided above, the Licensee must maintain all online subscriptions in the Shared Access Wiley-Blackwell Custom Collection as set forth in the attached list (Appendix B(c)l).

We have no single copyright agreement form for authors and use different versions depending on the journal and the wishes of the society for whom we publish. For some journals, authors sign an Exclusive License Agreement, while for other journals authors sign a Copyright Transfer Agreement. ln most cases authors may post the submitted version of their article to a website/repository after publication, although in some disciplines (e.g. Social Sciences and Humanities) we permit posting of the submitted version at any time. not limited to after publication.

Some research funding bodies require deposit/posting of accepted articles, i.e. articles that have been peer-reviewed and accepted for publication but not yet copy-edited, typeset, or otherwise enhanced as part of the publication process. Separate arrangements exist to meet these requirements (see below).

Authors who wish for their final published article to be made openly accessible may be able to do so using our OnlineOpen option. This ensures that :he article appears as open access on our digital publishing platform, it is posted to PubMed Central. and it can be reused for non-commercial purposes. ln all other cases, Wiley-Blackwell restricts posting of the final published version in order to ensure the integrity of the version of record and as a result of our considerable investment in the journal and the article.
