INTRODUCTION The Internet' has grown at an explosive rate over the past several years2 and is now more accessible than ever as it becomes a common and t J.D. candidate, May, 2001; William Mitchell College of Law; B.A., psychology, 1998, University of Michigan. 1. The Internet is "an international network of interconnected computers that enables millions of people to communicate with one another in 'cyberspace' and to access vast amounts of information from around the world." Reno v. American Civil Liberties Union, 521 U.S. 844, 844 (1997). The Internet provides a variety of communication and information retrieval methods including electronic mail ("e-mail"), "newsgroups," "chatrooms," and the "World Wide Web." See id. at 851. Together these tools constitute what is known to Internet users as "cyberspace" since it is "located in no particular geographical location but available to anyone, anywhere in the world with access to the Internet." The Internet originated in universities, national laboratories, and the military, and prior to 1995 was hidden from the public view. Consequently, there is a "seemingly limitless target market" for those who publish information or conduct business over the Internet.4 The phenomenal growth of the Internet as a global medium has posed new challenges for law' as legal issues arise as to the rights of Web site publishers and consumers of the products and services that Web sites offer. " In fact, "the law has difficulty catching up with the rapid growth and changes in the world of online commerce. Now, the Internet has moved from the academic and research fields to become a part of many people's daily lives. See Gail L. Internet use continues to grow-the number of computers connected to the Internet doubles every 18 months, the number of users and e-mail addresses doubles every 12 months and the number of Web sites doubles every 3 months. "The best known category of communication over the Internet is the World Wide Web, which allows users to search for and retrieve information stored in remote computers .... " Reno, 521 U.S. at 852. The Web consists of elaborate documents, known as Web "pages" or Web "sites," stored in different computers all over the world. See id. Each Web site has its own address by which users can easily locate the site by typing it in the available space. See id. The people who post information on Web sites are known as Web site "publishers." See id. at 853. Any person with a computer connected to the Internet can publish information, and today those publishers include government agencies, educational institutions, commercial entities, advocacy groups, as well as individuals. See id. 7. Serge G. Avakian, Global Unfair Competition in the Online Commerce, 46 UCLA L. REV. 905, 905 (1999). Since the world of online commerce is rapidly changing, there are a number of challenges for the law. See id. For instance, due to the Internet's global reach, a party conducting business over the Internet displays its trademark around the world. See id. However, while the party's use of that trademark may be lawful in its country of origin, it is unclear if its use in other countries infringes on the trademark of other parties who may have the same or similar trademark in those nations. See id. "While trademark law is territorial in application the Internet does not recognize such territorial boundaries." Id. For courts and legislators who are struggling to address Internet legal issues, the primary difficulty they are faced with is finding the right analogy to apply when adapting traditional legal doctrines to the Internet. See Fresen, supra note 2, at 65. http://open.mitchellhamline.edu/wmlr/vol26/iss4/9 2 2000] Davidson: Click and Commit:CLICK What AND Terms COMMIT are Users Bound to When They Enter W1173 privately regulate the use of Web sites on the part of Web site publishers.8 This regulation has taken the form of creating legal and contractual terms for Web sites to impose obligations and limitations on the user's rights.9 As a result, many Internet Web sites have contractual terms lurking in the background that may be binding on unsuspecting Web site users. A. Examples of Online Contracts There are many forms of Web agreements, each designed to protect different aspects of Web site development and use. '° These agreements include content provider agreements, Web site development and service agreements, forum and chat room access agreements, advertising and linking agreements, and Internet user/Web access agreements. This Comment focuses on one narrow form of these agreements: Web site user agreements. Most Web site publishers have terms and conditions governing the rights of the users of their sites.12 These terms and conditions usually include rules for use of content,'3 warranty disclaimers, 4 indemnity 8.     PRESUMED ASSENT: THE JUDICIAL ACCEPTANCE OF CLICKWRAP By Nathan J.Davis Electronic standard form contracting has become increasingly com- mon as computers and the internet have taken on an important role in commerce and in the distribution of products and services.' Despite the prevalence of these types of agreements, they have been the subject of controversy because of the conventional wisdom that people typically do not take the time to read standard form contracts. 2 Rather than attempting to enter the debate over how theoretically unreasonable these contracts can be, this Note accepts that clickwrap agreements can provide significant benefits and suggests that a review of the cases in which clickwrap terms have been litigated demonstrates that contractors are not vigorously ex- ploiting their ability to extract assent in a way that requires a drastic judi- cial response. This Note submits that although the current analytical framework for adjudicating clickwrap agreements does not include a par- ticularly rigorous assent analysis, it has been adequate for addressing the types of agreements that have been litigated thus far. KIM* Clicking and Cringing Shrinkwrap, clickwrap, and browsewrap licenses have complicated contract law by introducing nontraditionalmethods of contracting to govern the use of software. The retention of the underlying intellectualproperty by the licensor, and the malleable qualities of software, give rise to the ability and the need to set parameters of use. The courts have tended to defer to the ownership rights of licensors by claiming that there is valid contract formation, even in "rolling contract" situations. In this Article, I propose that a consumer's assent to a transactionshould not be transmuted into blanket assent to each individual term of a nonnegotiated contract. Instead, the concept of "assent" should be bifurcated into two parts, actual assent and presumed assent. Actual assent means manifested, express agreement. Presumed assent means that the licensee, by expressly agreeing to the transaction, may also be presumed to have assented to certain terms of the contract. The licensee should not be presumed to have assented to all "not unreasonable" contract terms, however, as is currently the case under the "blanket assent" approach to contracts.

    Click-Through Agreements: Strategies for Avoiding Disputes on Validity of Assent By Christina L. Kunz, Heather Thayer, Maureen F. Del Duca, and Jennifer Debrow1 Introduction Although case law surrounding click-through agreements is still very sparse, it has evolved sufficiently to discern trends and policies in the small number of cases decided so far. These trends and policies can assist transactional lawyers in advising clients on setting up and using electronic form contracts. They also can assist litigators in continuing to argue and settle disputes on click-through agreements. This project is a product of the Working Group on Electronic Contracting Practices, within the Electronic Commerce Subcommittee of the Cyberspace Law Committee of the Business Law Section of the American Bar Association (ABA).2 During 2000-2001, the Working Group studied the process of mutual assent in a narrow set of electronic agreements—“click-through agreements” (also known as “click-wrap agreements”). In these agreements, one party sets up a proposed electronic form agreement to which another party may assent by clicking an icon or a button or by typing in a set of specified words. Click-through agreements are distinct from “click-free agreements” (also known as “browse-wrap agreements”), in which the User does not manifest unambiguous assent to the posted terms.3 The Working Group assembled a set of fifteen Strategies for avoiding disputes on the validity of the mutual assent process, as well as a bibliography of existing United States and Canadian case law and commentary on click-through agreements. It presented the Strategies and the accompanying bibliography at the ABA Annual Meeting in Chicago on August 5, 2001.4 That document, slightly modified based on feedback from that presentation, appears at the end of this Article.

    DRAFT CLICKING AND CRINGING: MAKING SENSE OF CLICKWRAP, BROWSEWRAP AND SHRINKWRAP LICENSES By Nancy Kim Shrinkwrap, clickwrap and browsewrap licenses have complicated contract law by introducing non-traditional methods of contracting to govern the use of intangible property. The retention of ownership by the licensor, and the malleable qualities of software, give rise to the ability and the need to set parameters of use. The courts have tended to defer to the ownership rights of licensors by claiming that there is valid contract formation, even in “rolling contract” situations. Some commentators have argued that existing contract law doctrines – such as unconscionability and good faith -- are capable of addressing digital-era contracting dilemmas. While such arguments have their place in analyzing contract law enforcement, because these doctrines are standard contract defenses, they fail to explain a finding of contract formation. In this Article, I propose a theory for finding contract formation with non-negotiated licenses. A consumer’s assent to a transaction should not be transmuted into blanket assent to each individual term of a non-negotiated contract. Instead, the concept of “assent” should be bifurcated into two parts, actual assent and presumed assent. Actual assent means express agreement, not simply to the transaction, but to each of the individual material terms. Presumed assent means express or implied agreement to the transaction and the contract generally, but does not include agreement to all the individual contract terms. Whether the licensee’s assent to a given term may be presumed depends upon the operative effect of the term. The licensee may be presumed to have assented to provisions governing the “scope of license” or the “terms of use” (as further defined) to the software or a website because such terms establish the conditions upon which the licensor has agreed to make the intellectual property available.
