The bidder shall be responsible for checking for any update as might arise prior to the start of the auction. 22) The bidder shall be bidding on the basis of the commercial terms and conditions as mentioned. 23) The bidder understands the right of bidding for this auction is reserved in case of observed irregularities which can affect the bidding process, the bidder will be disabled. SRAPL shall have final authority in this matter. 24) The bidder has received and accepted the terms and conditions given in the catalogue, issued upon signing this agreement. 25) It is mutually understood and agreed that the laws of the Union of India shall govern this agreement, without reference to its conflicts of law provisions. The court of Pune shall have exclusive jurisdiction relating to any proceedings arising out of this agreement. 26) Auctioneer reserves the right to extend the timing of e auction and can even re auction unsold lots on the same day. PARTICIPATION To participate in e-Auction it is mandatory to submit Demand Draft/ Pay Order of requisite amount of any Nationalized FEE : Bank drawn in favour of “Ajinkyatara Sahakari Sakhar Karkhana Ltd ,” payable at “Satara” with the Auctioneer. This participation fee is refundable without any interest. However would be adjusted as part/ full portion of Earnest Money Deposit in cases where the Bidder’s bid is accepted by the Seller & Auctioneer and they become the Purchaser. PURCHASER : The successful Bidder whose bid would be accepted by the Seller and the Auctioneer in writing for particular lot of ‘e- Auction Catalogue’ becomes the Purchaser and all Terms & Conditions applicable to the Purchaser mentioned would be binding on him. 6. STATUTORY The Purchaser would be required to pay all Taxes, Levies & Duties including TCS as applicable at the time of making balance payment. EARNEST PAYMENTS : MONEY DEPOSIT (EMD): A) The purchaser is required to make payment of EMD as below: BALANCE PAYMENT : Having made payment of Earnest Money Deposit amount, the Purchaser is required to calculate balance amount to be paid to theSeller. Such amount is arrived at by deducting EMD from basic value of the lot/s and applying correctly VAT% & TCS% on total valueThe Purchaser is required to make balance payment by Demand Draft / Pay Order drawn in favour of " Ajinkyatara Sahakari Sakhar Karkhana Ltd,” payable at “Satara within Fifteen working days from the date of intimation (Excluding this day) to the Ajinkyatara Sahakari Sakhar Karkhana Ltd., towards acceptance of his bid/s for the corresponding lots. If the Purchaser fails to make balance payment within stipulated/ extended date, thePurchaser would be required to make payment of penalty at the rate of 18% (Eighteen Percent only) per annum on the said amount for the entire period of delay. B) Participation fee of the wining purchaser will be converted in to EMD for part or full Amount as the case may be. C) EMD Amount payable as Explained at above points should be deposited by the purchaser within 5 (FIVE ) days from the date of intimation (Excluding this day) by the Auctioneers. If the Purchaser fails to make balance payment within stipulated/ extended date, the Purchaser would be required to make payment of penalty at the rate of 18% (Eighteen Percent only) per annum on the said amount for the entire period of DELAY The Purchaser shall be responsible for any damages that may be caused to the premises of the Seller in taking or removing the lot or lots bought by him. The Seller may, at its option arrange to make good such damages and the Purchaser shall be liable to pay for the same on demand. 7. CONDITION OF The lot/s will be sold “as and where they lie”. The whole of the lot or lots shall be taken from the site of accumulation with all faults and E-AUCTION errors in MATERIAL : descriptions or otherwise. Quantities, qualities, sizes measurements, numbers and weight as stated in the catalogue are approximate and no warrantee or guarantee shall be implied. Auction materials are sold on the assumption that Bidders have inspected the lots and know what they are buying, whether they have first inspected them or not. No complaint will be entertained and no reliance must be placed on any description. B. The quantities indicated in e-Auction catalogue are without any guarantee and may vary. However the Seller will not be responsible for any shortfall in quantity and no complaint for any damage/ losses in this regards will be entertained from the Bidders. Whenever any claim for the payment of sum of money arises out of or under this e-Auction sale against the buyer, the Seller shall without prejudice to anyIn the event of the Auctioneer or the Supervising Authority of the Seller being of opinion that Bidders are forming ring/ cartel and fair prices are not being realized for goods offered in Auction, the auctioneer may stop the sale with the consent of the Auction Committee. The Seller reserves the right of withdrawing from the sale any lot or lots advertised in the catalogues prior to the acceptance of any bid for such lot/ lots at an e-Auction without assigning any reasons.

C. In special cases when the supervising authority of the Seller proposes to Auction any particular item or items of Auction material by weight or number and not on lot basis, it will be displayed on the screen. The bids in such cases shall be calculated on the actual weight or numbers delivered. This however doesnot apply to sale in lots as stated in para (a) above. The quantities mentioned in the sale catalogues are only tentative and may vary & no claim will beentertained in this respect. 8 RISK : The goods shall remain in every respect at the risk of the Purchaser from the date of acceptance of his bid. The Seller shall not be liable/ responsible for thesafe custody and/ or preservation thereof from the date of acceptance till the date of final removal. Re-sale will not be recognized and sale orders and delivery challans shall be made in the name of the actual Purchaser only. other remedy, be entitled to deduct such sum of money from the proceeds of resale under this contract or from any sum due or which at any time thereafter may become due to the Purchaser under this or any other contract with the Seller and if sufficient amount is not due to Purchaser to cover the full amount recoverable from him, the Purchaser shall pay to the Seller on demand the balance remaining dues. Dismantling will be permitted under supervision of Seller. Loading will be done by the Purchaser’s Labour, However, if the weighment facility is available and provided by the Seller the weighment of the purchased lot/s will be made on the seller’s weighbridge in the presence of Scrap Delivery Committee of the respective Unit/ Depot/ Division/ Workshop of the seller. In such cases the Purchaser has to pay the weighment charges to the Seller Unit. Weighment will have to be arranged by the Purchaser as directed by the Seller at his cost and weighing scales are required to be approved and made valid by Weights and Measurement Department. All disputes and differences arising out of or in any way touching or concerning this sale whatsoever shall be referred to the sole arbitration of the Managing Director, Ajinkyatara Sahakari Sakhar Karkhana Ltd , (Seller) whose decision will be final and binding. No picking, sorting, cutting or breaking up of goods/ material sold will be permitted. In special circumstances with a view to facilitate easy loading, the supervising authority or his representative may at hi`s discretion give permission against request in writing. Such permission however will be accorded on the direct understanding that the delivery order of such lots must be obtained for the full quantity before packing, sorting, cutting or breaking. Weighment will have to be arranged by the Purchaser as directed by the Seller at his cost and weighing scales are required to be approved and made valid by Weights and Measurement Department.
