PROSPECTUS ITV PLC (incorporated with limited liability under the laws of England and Wales with registered number 04967001) €600,000,000 2.125 per cent. Notes due 21 September 2022 ITV plc ("ITV" or the "Issuer") is issuing €600,000,000 2.125 per cent. Notes due 21 September 2022 (the "Notes"). The issue price of the Notes is 99.135 per cent. of their principal amount. Unless previously redeemed or cancelled, the Notes will be redeemed at their principal amount on 21 September 2022. The Notes are subject to early redemption (i) in whole but not in part, at the option of the Issuer at any time at the Relevant Early Redemption Amount (as defined below), (ii) in whole but not in part, at the option of the Issuer at any time in the event of certain changes affecting taxes of the United Kingdom ("UK") at their principal amount together with accrued interest and (iii) at the option of Noteholders if a Put Event (as defined below) shall occur at their principal amount together with accrued interest. See "Terms and Conditions of the Notes—Redemption and Purchase". The Notes will bear interest from 21 September 2015 at the rate of 2.125 per cent. per annum payable annually in arrear on 21 September in each year commencing on 21 September 2016. Such rate will be subject to change in the case of a Step Up Rating Change or Step Down Rating Change (both as defined below) as further described in Condition 4 (Interest). Payments on the Notes will be made in euro without deduction for or on account of taxes imposed or levied by the UK to the extent described under "Terms and Conditions of the Notes—Taxation". -

Medicine, the Market and the Mass Media It is sixty years since the end of the Second World War, but historians have only just begun to explore thoroughly the postwar history of health and its interwar antecedents. Most research and literature has focused on health services and the arrival of the NHS; where public health is concerned many historical surveys ignore the recent past and base their investigations on the nineteenth-century public health legacy. This collection opens up the postwar history of public health to sustained research- based, historical scrutiny. Medicine, the Market and the Mass Media examines the development of a new view of ‘the health of the public’ and the influences that shaped it in the postwar years. The book looks at the dual legacy of social medicine through health services and health promotion, and analyses the role of the mass media along with the connections between public health and industry. These essays take a broad perspective examining developments in Western Europe, and the relationships between Europe and the USA. Virginia Berridge is Professor of History and head of the Centre for History in Public Health at the London School of Hygiene and Tropical Medicine, University of London. She has published books and articles on health and society in the twentieth century. Kelly Loughlin is a lecturer in History at the London School of Hygiene and Tropical Medicine and the main focus of her research is the history of health and medical communications in the UK. Routledge Studies in the Social History of Medicine Edited by Joseph Melling, University of Exeter, and Anne Borsay, University of Wales at Swansea. -

What has been the biggest changes in society? All of us will remember 2020 as the year our lives were turned upside down by Covid-19. It’s hard to overestimate the impact that had on not just our physical health and our daily lives, but also on our mental health, with rates of depression doubling during the first six months of lockdown. The Black Lives Matter movement also stands out, shining a light on the systemic issues facing Black people and people of colour around the world. And of course, climate change is ever-present. 2020 showed that we can all mobilise to change. What impact have these issues had on ITV and its Social Purpose? I think it shows that purpose-driven business is more important than ever before. -

REVIEW OF OPERATIONS OVERVIEW Turnover from continuing operations was £964.6 million (2001 restated: £1,040.1 million).The decline is primarily due to a reduction of £35.7 million in advertising revenues. Operating costs are under tight control. A stringent review last year identified £45.0 million in annual savings in the second full year, including Carlton’s share of savings in ITV. Delivery is well ahead of target with savings of £54.2 million achieved by end-September. Net interest charges were £12.0 million (2001: £35.6 million).The fall is attributable to lower effective interest rates and lower net interest bearing balances. Amounts written off investments were £8.2 million (2001: nil). Profit on continuing operations before taxation was £32.3 million (2001: loss of £39.6 million). ITV has extended its rights to show Bond movies on TV. BROADCASTING Turnover was £799.5 million (2001: £830.1 million) and profits were £67.4 million (2001: £83.3 million). Carlton’s television advertising revenues recovered to show an increase of 2 per cent in the second half of the year, compared to the same period last year. After a difficult first six months, year-on-year growth resumed in May. -

British Sky Broadcasting Group plc (BSkyB) is a holding company for subsidiaries whose principal activities relate to television broadcasting and retailing in the UK and Ireland. BSkyB operates the direct-to-home satellite platform and other digital subscriber line networks and mobile networks. BSkyB also distributes a number of its channels on a wholesale basis to cable (and other) operators who act as retailers to its UK and Irish customers. 2. News Corporation (News Corp) holds 39.14% of the shares in BSkyB (through its subsidiary News UK Nominees Limited). Of the thirteen directors on the Board of BSkyB, three are also directors of News Corp. 3. ITV plc (ITV) was formed in 2004 by the merger of Carlton Communications plc and Granada plc and it is active in a number of sectors primarily related to television production and broadcasting. ITV’s in-house content arm (Granada Productions, renamed ITV Productions) principally produces a range of light entertainment and drama TV programming with mainstream audience appeal in the UK. 4. ITV distributes its own third party content via a wide range of wholly owned free to air television channels broadcast on a range of platforms, and sells advertising on behalf of all 15 Channel 3 regional licencees in the UK, 11 of which it controls. ITV also holds a controlling 75 per cent share in GMTV, (which holds the national Channel 3 licence for breakfast television); a 40% stake in the news provider Independent Television News (ITN) and interests in two of the six digital terrestrial television multiplex platforms. -
