The concept of separating materials into their constituent parts may not seem relevant or important to them. But we live in a world where we are constantly mixing and separating materials to our liking or to fi t a need. When the question of “How do I make A and B from AB” comes up, what do you do? For example, separating an egg can be done by gently moving the yolk back and forth in its shell halves over a bowl to catch the whites. There are also tools that allow you to crack your egg over a sieve that lets the whites strain through holes too small for the intact yolk. This is a simple separation but necessary to achieve certain culinary products (meringue, crème anglaise). In the wider world, materials are constantly being mixed and separated to develop specifi c products: • Crude oil is separated into various grades, which then serve as the basis for automobile gasoline, aviation fuel, or the raw materials for plastics and chemicals. Those raw materials are then converted into their fi nal products by blending them with other elements • Pharmaceutical ingredients are highly purifi ed by various separation techniques and then blended together with an extraordinary degree of homogeneity to ensure patient safety and precise dosages • Packaged foods undergo intense product development to integrate a series of separate parts into the most appealing texture, fl avor, smell, and look In bioscience research, electrophoresis is a core separation technique for studying nucleic acids and proteins. -

HERSHEY FOODS CORPORATION MANAGEMENT’S DISCUSSION AND ANALYSIS Hershey Foods Corporation, its wholly-owned subsidiaries and entities in which it has a controlling financial interest (the “Company”) are engaged in the manufacture, distribution and sale of confectionery and grocery products. The Company was organized under the laws of the State of Delaware on October 24, 1927, as a successor to a business founded in 1894 by Milton S. Hershey. OVERVIEW The Company concluded a strong year in 2003. Operating results were consistent with management’s strategies, which provide for profitable growth in sales by focusing on key brands, such as Hershey’s, Reese’s and Hershey’s Kisses, among others; gross margin expansion through enhanced price realization, improved sales mix and supply chain efficiencies; and increases in earnings per share through increased operating profits and share repurchases. These strategies have been successful in improving profitability and have enabled expanded marketing support. Marketing support, which includes promotional allowances that reduce net sales, combined with advertising and consumer promotions expense, increased approximately 200 basis points, as a percentage of gross sales before allowances during the three-year period ended December 31, 2003. The increase was focused on promotional allowances to the Company’s customers, which market research has shown are effective in supporting profitable growth. The Company’s advertising strategy has been focused on key brands and new products which, along with more efficient agency contracts, has resulted in reduced spending. Results show that these marketing strategies have been successful in achieving performance goals and gaining market share. Strategies providing for profitable sales growth, gross margin expansion and earnings growth, along with a disciplined approach toward capital investment, have resulted in increased economic returns for the Company. -

Brach's Candy to Be Sold to Farley's & Sathers Candy Company Inc
News Release Barry Callebaut completes strategic review of U.S. subsidiary: Brach’s Candy to be sold to Farley’s & Sathers Candy Company Inc. • Barry Callebaut AG decides to divest its U.S. sugar-candy subsidiary Brach’s in order to focus exclusively on the chocolate business • New owner, Farley’s & Sathers, is a leading non-chocolate candy maker Zurich, Switzerland / Round Lake, Minnesota, U.S.A., September 17, 2007 – Barry Callebaut AG, the world’s leading manufacturer of high-quality cocoa and chocolate products, today announced its intention to sell its U.S. consumer confectionery business Brach’s to Farley’s & Sathers Candy Company Inc. The sale will include all of the business and all assets of Brach’s and its affiliates, including three factories in Chattanooga (Tennessee, U.S.A.), Winona (Minnesota, U.S.A.) and Vernell (Mexico). The two parties expect the transaction to close latest by end of November 2007. They agreed not to disclose any financial details of the transaction. Brach’s, headquartered in Dallas (Texas, U.S.A.), has annual gross sales of about USD 270 million, with sugar candy accounting for around 75% and chocolate products making up around 25%. In Barry Callebaut’s annual report for fiscal year 2006/07, which closed on August 31, 2007, Brach’s will be classified as discontinued business. The Group’s figures for fiscal year 2005/06 will be restated accordingly. Farley’s & Sathers manufactures and distributes quality confections and snacks to all classes of trade in the United States. As a portfolio company of Catterton Partners, Farley’s & Sathers has developed its business both through internal growth and through the acquisition of confectionery brands, including the Heide business from Hershey and the Trolli business from Wrigley. -
