(the “Company”) will be held on 17 June 2021 at 9:00 a.m. to be conducted virtually, through the link https://www.allianceglobalinc.com/asm2021 that can be accessed through the Company’s website, with the following agenda: 1. Adjournment Stockholders of record as of 19 May 2021 will be entitled to notice of, and to vote at, the Annual Meeting. As provided under the Company’s Amended By-Laws, and to conform with the government’s regulations on physical distancing, the Company will hold the Annual Meeting via remote communication, and allow the stockholders to cast their votes by remote communication or in absentia, or by proxy. To participate in the Annual Meeting, stockholders must register from 9:00 a.m. of 26 May 2021 until 5:00 p.m. of 09 June 2021. The procedure for participation via remote communication and in absentia are contained in the Information Statement. Stockholders who wish to appoint proxies may submit proxy instruments until 5:00 p.m. of 09 June 2021, to the Office of the Corporate Secretary at the 9th Floor, Eastwood Global Plaza, Palm Tree Avenue, Eastwood City CyberPark, Bagumbayan, Quezon City or by email to [email protected]. Validation of proxies shall be held on 14 June 2021. A sample proxy form will be enclosed in the Information Statement for your convenience. QUINTANA Corporate Secretary EXPLANATION OF AGENDA ITEMS 1. Call to Order The Annual Meeting will be formally opened at approximately 9:00 o’clock in the morning. 2. Certification of Notice and Quorum The Corporate Secretary will certify that the written notice for the meeting was duly sent to stockholders of record, including the date of publication and the newspapers where the notice was published. The Corporate Secretary will also certify that a quorum exists, and the stockholders representing at least a majority of the outstanding capital stock, present in person or by proxy, shall constitute a quorum for the transaction of business. Pursuant to the Company’s Amended By-Laws and Sections 57 and 23 of the Revised Corporation Code which allow voting in absentia by the stockholders, stockholders may register by submitting requirements via email at [email protected] and vote in absentia on the matters for resolution at the meeting. A stockholder who votes in absentia as well as a stockholder participating by remote communication shall be deemed present for purposes of quorum. Please refer to Annex “A” on the Procedures and Requirements for Voting and Participation in the Annual Meeting for complete information on remote participation or voting in absentia, as well as on how to join the livestream for the Annual Meeting. 3. Approval of the Minutes of the Annual Meeting of Stockholders held on 06 August 2020 The minutes of the meeting held on 06 August 2020 are available at the Company’s website, https://www.allianceglobalinc.com/. 4. Report of Management for Year 2020 The performance of the Company in 2020 will be reported. 5. Appointment of Independent Auditors The election of the external auditor for the ensuing year will be endorsed to the stockholders for approval. The external auditor conducts an independent verification of the Company’s financial statements and provides an objective assurance on the accuracy of its financial statements. 6. Ratification of Acts of the Board of Directors, Board Committees, and Officers The actions of the Board and its committees were those taken since the annual stockholders’ meeting on 06 August 2020 until 16 June 2021. These include, among others, the internal procedures for participation in meetings and voting through remote communication or in absentia, the appointment of officers in the corporation, opening and maintenance of bank accounts and other bank transactions, approval and issuance of financial statements, appointment of proxies and nominees, designation of authorized contract signatories and representatives, appointment of attorneys-in-fact, investment and financing activities in the ordinary course of business, other similar activities of the Company, and other matters covered by disclosures to the Securities and Exchange Commission and the Philippine Stock Exchange. The acts of the officers were those taken to implement the resolutions of the Board or its committees or made in the general conduct of business. 7. Election of Directors Nominees for election of seven (7) members of the Board of Directors, including two (2) independent directors, will be submitted for election by the stockholders. Rodriguez* University of the Philippines, College of Business Administration, Diliman, Quezon City 1101, Philippines This paper describes the diversification strategies of 11 major Philippine business groups. First, it reviews the benefits and drawbacks of related and unrelated diversification from the literature. Then, it describes the forms of diversification being pursued by some of the large Philippine business groups. The paper ends with possible explanations for the patterns of diversification observed in these Philippine business groups and identifies directions for future research. Keywords: related diversification, unrelated diversification, Philippine business groups 1 Introduction This paper will describe the recent diversification strategies of 11 business groups in the Philippines. There are various definitions of business groups but in this paper, these are clusters of legally distinct firms with a managerial relationship, usually by virtue of common ownership. The focus on business groups rather than on individual firms has to do with the way that business firms in the Philippines are organized and managed. Businesses that are controlled and managed by essentially the same set of principal owners are often organized as separate corporations, not as separate divisions within the same firm, as is often the case in American corporations like General Electric, Procter and Gamble, or General Motors (Echanis, 2009). Moreover, studies on emerging markets have pointed out that business groups often occupy dominant positions in the business landscape in markets like India, Korea, Indonesia, Thailand, and the Philippines (Khanna & Palepu, 1997; Khanna & Yafeh, 2007).

The paper also assesses the sufficiency of existing rules and regulations and the effectiveness of regulators in protecting minority interest. 1 Introduction Corporate Governance is defined as the system of stewardship and control to guide organizations in fulfilling their long-term economic, moral, legal and social obligations towards their stakeholders.1 On November 10, 2016, the Securities and Exchange Commission (SEC) approved the Code of Corporate Governance for Publicly-Listed Companies (CG Code for PLCs).2 The Code provides a list of the governance responsibilities of the board of directors (BOD), corporate disclosure policies, standards for the selection of external auditor, and duties to stockholders, among others. In this paper, emphasis will be on ownership structure, the positions of Chairman and Chief Executive Officer (CEO) being held by separate individuals, the independence of independent directors, some related party transactions, and how these issues affect the interest of non-controlling stockholders.3 2 Objectives This study has the following objectives: 1. For many decades, the Philippines have applied lower internal taxes to domestically produced distilled spirits than to like or directly competitive and substitutable distilled spirits imported from the European Union (the "EU") and other WTO Members.
