TERMS AND CONDITIONS OF PARTICIPATION FOR THE VBL International Series 2021

The VBL International Series 2021 ("VBL International Series") is an event of Battlefy Inc., Suite 1100, 609 W Hastings Street, Vancouver, British Columbia, V6B 1M8, Canada (“Battlefy”) based on the tournament concept of the Virtual Bundesliga, a competition of DFL Deutsche Fußball Liga e.V., Guiollettstr. 44-46, 60325 Frankfurt, Germany (“DFL”). The VBL International Series is a video game tournament, where players play either the “EA SPORTS FIFA 21 Kickoff and/or Online Friendly mode” (“FIFA”) against one another on Sony PlayStation PS4, or “EA SPORTS FIFA ONLINE 4 Official Match mode on PC”, in a skill-based format. The VBL International Series belongs to the Virtual Bundesliga (“VBL”) and participants can qualify for one of the four regional VBL International Finals. Participation in the VBL International Series is subject to these terms and conditions of participation. 1. COMPETITOR ELIGIBILITY

1. 1.1 Only residents of the following countries are eligible to participate in the VBL International Series: USA, Canada, Mexico, Colombia, Peru, Chile, Argentina, Brazil, Japan, South Korea, India, Indonesia, Thailand, Malaysia, Vietnam, Singapore and China. 2. 1.2 Persons who participate in any other Virtual Bundesliga tournament, such as the VBL Club Championship or the VBL Open are not eligible to take part in the VBL International Series. 3. 1.3 To take part in the VBL International Series, you must be registered the following way: [battlefy.com/VBL]. After Battlefy’s confirmation of registration, the person is an approved competitor of the VBL International Series (“Competitor”). 4. 1.4 Competitors need to own or have access to FIFA 21 on Sony PlayStation PS4, or FIFA ONLINE 4 on PC, and have a valid PSN ID or a valid FIFA ONLINE 4 account within their region. 5. 1.5 The minimum age for participating in the VBL International Series is 16 years. It is recalled that under age persons (depending on the respectively applicable local law) cannot be Competitors unless they are accompanied by their legal guardian when travelling to and participating in the Continental Qualifier and VBL International Final. 6. 1.6 Staff of DFL, ("EA"), Battlefy as well as their subsidiaries, branches, parent companies, representatives, advertising, sales and PR agencies, and also their direct relatives, are not eligible to take part in the VBL International Series.

2. STRUCTURE OF VBL INTERNATIONAL SERIES 2.1 Tournament Operations

● Competitors must finish registering and check-in by tournament start time ● Competitor must check in during the 60 minute check in period before the tournament start time ● Competitor must check in to their match within 10 minutes of their round pairings going online, or they may receive a match loss ● Competitors must begin playing their match within 20 minutes of the round pairings going online or both Competitors may receive a match loss ● Competitors must report their score within 5 minutes of the match finishing or both Competitors may receive a match loss. To see how to report your score, visit https://help.battlefy.com/en/articles/4587443-player-guideCompetitors must report to an admin on Discord if they are dropping from the tournament ● Every game must be recorded using the built-in recording functions on PlayStation 4 to be used in case of a dispute. Footage must be saved until the end of the tournament. ● PS4 - Double Click the Share button at the beginning of the game and again at the end to record the game ● Competitors must also screenshot the final score screen of each individual game showing the 90:00+ play time and both player names visible.

2.2 Gameplay Settings

All players must play with either a Bundesliga or Bundesliga 2 Club.

FIFA 21:

● Competitors will need to add each other as friends on PSN. ● Competitors must play their opponent through the Online Friendlies Mode ● To do this go to Online -> Online Friendlies ● All games will use Online Friendlies settings shown ● Half Length: 6 Minutes ● Controls: Any ● Game Speed: Normal ● Squad Type: 90 Overall ● ● 2 Leg Matches ○ For Leg 1, the Competitor listed on the left on Battlefy should select Leg 1 and invite the other Competitor ○ For Leg 2, the Competitor listed on the right on Battlefy should select Leg 2, set the score from Game 2, and invite the other Competitor ○ Leg 1 and Leg 2 will end after stoppage time. If the aggregate score is tied, then a Golden game will be played. If no goal is scored during regular play, then the Golden Goal game will continue into extra time and if still tied then penalty kicks will decide the winner.

FIFA ONLINE 4:

● Competitors will need to add each other as friends in game ● Competitors must play their opponent through the Arcade Mode: Classic using Fantasy Team ● The FP value of competitors Fantasy Teams must not exceed 161/200 FP ● All players on any given Squad must be from the Bundesliga (Germany), or Bundesliga 2. ● Extra Time / Penalty Kicks match setting must be turned on ● In-game voice communications must be disabled / muted ● Each match is played as a Best of 3 series

2.3 Format

● Day 1 - Swiss Stage ● Competitors will compete in a number of Swiss rounds dependent on number of checked in Competitors ○ 16 or Fewer Competitors: No Swiss Rounds, Move Directly to Knockouts ○ 17 - 32 Competitors: 5 Rounds ○ 33 - 64 Competitors: 6 Rounds ○ 65 - 128 Competitors: 7 Rounds ○ 129 - 256 Competitors: 8 Rounds ○ 256 - 384 Competitors: 9 Rounds ○ 385+ Competitors: 10 Rounds ○ Swiss rounds may be played on Day 2 depending upon scheduling needs and will be communicated on the tournament page and via the official Discord Server. ○ Once a Competitor reaches 2 losses during the Swiss Stage, they will be automatically dropped by a tournament admin prior to the following round. All Competitors are required to check their match score prior to the following round to ensure they are not dropped in cases where they should not be ○ Once Swiss Rounds are over, remaining Competitors with less than 2 losses will be entered into a double elimination bracket to play on Day 2 ○ Rankings after Swiss will be based on the following: ■ Tiebreaker 1: Opponents Match Win % ■ Tiebreaker 2: Head-to-Head ■ Tiebreaker 3: Best-of-1 Tiebreaker match ● Day 2 - Double Elimination Stage ○ In the case that any Swiss Rounds were played on Day 2, there will be a 1-hour break between the end of the Swiss Stage and the start of the Double Elimination Stage ○ Top 8 Competitors will be seeded into the Double Elimination Bracket based upon their ranking from the Swiss Standings. ○ All game play settings are the same as in the Swiss Rounds.

● Qualifying Players ○ The following number of qualifying slots will be available from each Country Qualifier. For Country Qualifiers with competitors from more than 1 country, these slots will be filled first by the top player from each competing country. The remaining slots will be filled with the highest-ranking remaining players. ■ FIFA 21: USA/Canada - 8 ■ FIFA 21: Mexico - 8 ■ FIFA 21: Colombia/Perú/Chile/Argentina - 10 ■ FIFA 21: Brazil - 6 ■ FIFA Online 4: China - 4 ■ FIFA Online 4: Vietnam* - 4 ■ FIFA Online 4: South Korea - 4 ■ FIFA Online 4: Thailand - 4 ■ FIFA 21: Japan/Singapore/India - 10 ■ FIFA 21: Indonesia/Malaysia - 6 ○ Regional Finals: ■ 64 players in total will qualify for the Region Finals. There will be 16 players competing in each of the following Regional Finals. ● FIFA 21: North America (USA/Canada, Mexico) ● FIFA 21: South America (Colombia/Perú/Chile/Argentina, Brazil) ● FIFA Online 4: Asia (China, Vietnam, South Korea, Thailand ● FIFA 21: Asia (Japan/Singapore/India/Indonesia, Malaysia)

2.4 Connection Issues ● If neither Competitor can successfully invite the other, Competitors must contact tournament administrators in discord, within fifteen (15) minutes of that round beginning. Failure to do so will result in both Competitors receiving a loss. ● Competitors are required to take the following actions immediately after contacting tournament administrators; ○ Competitors should swap who invites ○ BOTH Competitors must restart Internet modem ○ BOTH Competitors must restart router (if connected) ○ BOTH Competitors must restart console ● If after twenty (20) minutes from the start of that round beginning, Competitors cannot get connected then tournament administrators will assign a loss to both Competitors and record the incident. ● If connection issues arise between games or during a game and Competitors cannot get reconnected, then they must contact administrators immediately. Competitors must take the steps above and reconnect within 10 minutes or a double loss will be applied and recorded. ● In the event of a disconnect, the game should be resumed with an implied score and the remaining time in the match played out. ● ● If a set of Competitors have repeated connection issues in the same match that is delaying the start of the next round, a double loss may be applied at the discretion of the tournament head admin.

2.5 Communication

○ Competitors communication outside of Battlefy Match Chat or the official Discord Chat channels will be ignored for purposes of administrative decision making (with the exception of competitors in China, who will use a communication platform provided by the partner agency running the event). Admins do not have access to any social channels such as Twitter and messages sent via those channels will not be reviewed as part of administrative decisions. ○ Competitors outside of China should be in the tournament Discord server throughout the event so that they are easily reachable by tournament admins and should set their nickname in Discord to match their registered in-game name on Battlefy ○ Competitors must message their opponent on Battlefy Match Chat to set up their match ○ For competitors in China, the partner agency will provide instructions regarding official match communication channels. 2.6 Disputes · Use the "Report Match Issue" button on the match page in the case of any issue If the opponent is breaking a rule set above, the Competitor must immediately contact an admin. · It is the Competitor’s responsibility to verify that the game settings are correct. · If a game is played beyond the 1st half with incorrect settings before an admin is contacted then the game score will stand. · If a Competitor is found breaking the rules above that the admins deem warrant a game loss, then the opponent will be given a 3-0 win for that game unless they already had more than a 3-goal difference at the time of reporting the issue.

2.7 PRIZING ● Each competitor who takes part in the VBL International Series 2021 by playing a minimum of 1 match in the Swiss Stage of the competition will be entered into a prize draw to win 1 of 50 Bundesliga or Bundesliga 2 Club jerseys. ● Each competitor who qualifies from their Country Qualifier to their respective Regional Final will receive a signed Bundesliga or Bundesliga 2 Club jersey. ● For 1st and 2nd place winners of the respective Country Qualifiers, prize money will be distributed as follows: o 1st Place Winners - $300 USD each o 2nd Place Winners - $100 USD each ● For 1st and 2nd place winners of the respective Regional Finals, prize money will be distributed as follows: o 1st Place Winners - $1,000 USD each o 2nd Place Winners - $500 USD each

3.0 VBL INTERNATIONAL SERIES MATCHES 3.1 The VBL International Series is conducted online with FIFA 21 Online Friendly Mode or offline with FIFA 21 Kickoff Mode for players in USA, Canada, Mexico, Colombia, Peru, Chile, Argentina, Brazil, Japan, Singapore, India, Indonesia, and Malaysia. Players in China, Vietnam, South Korea, and Thailand will compete in FIFA ONLINE 4 on “Official Match” Mode.

The individual games of a match will take place on PlayStation 4 (FIFA 21), or PC (FIFA ONLINE 4).

The VBL International Series for Playstation 4 is played "leveled-off". This means that all FIFA 21 Competitors and (in-game) teams have the same aggregate playing strength of 90. Accordingly, every participant will compete with a virtual, authentic Bundesliga Club team (without having any competitive advantage or disadvantage).

The VBL International Series for FIFA ONLINE 4 is conducted via Arcade Mode: Classic, using Fantasy Team. All players on any given Squad must be from the Bundesliga (Germany), and have a Salary of no higher than 161/200 FP. Using any player from any other league and/or division may result in immediate disqualification. Any Squad with a Salary Rating higher than 161 FP may also result in immediate disqualification. Players are required to provide hard evidence when lodging a dispute, in the form of screenshots (available during the match lobby or in-game), and/or a video (preferred).

4.0 GENERAL RULES

All competitors must play as an authentic Bundesliga Club. The use of non-Bundesliga players or kits is strictly prohibited. Participants must also play using the Bundesliga Official Match Ball from Derbystar in all matches

4.1 After successful registration, Competitors are obliged to participate in the matches and events of the VBL International Series.

4.2 If the Competitor does not check in or does not open the game within 10 minutes of the agreed kickoff-time, Battlefy is entitled to consider the game lost (with a result of 0:3) or to replace competitor by another Competitor. 4.3 Battlefy reserves the right to exclude individual Competitors for a significant reason. A significant reason may, in particular, exist if a Competitor violates the rules of the game and/or the Code of Conduct in Appendix A. This may include, but is not limited to: · using any cheats, hacks or other third party "helper" applications in playing games; · violating anti-doping or anti-betting regulations: · intentionally disconnecting from the internet during any game; · colluding with other Competitors in playing games; or · taking advantage of known exploits in the game (it is the responsibility of Competitors to understand and avoid all current illegal exploits). · Abusive or disorderly behavior, including any use of harassing, negative, or profane language online or offline, will not be tolerated and will also constitute grounds for immediate disqualification.

4.4 Battlefy reserves the right to cancel or re-schedule VBL International Series matches, and to modify the VBL International Series league/tournament structure if, in its reasonable judgment, such changes are necessary to maintain a fair environment for all competitors.

4.5 Battlefy also reserves the right to make such changes if it seems they are necessary to comply with applicable law. Battlefy reserves the right to cancel, suspend and/or modify the tournament, or any part of it, (i) if any fraud, technical failures or any other factor impairs the integrity or proper functioning of the VBL International Series, or (ii) if Battlefy deems such action necessary to comply with applicable law.

5. REMUNERATION AND EXPENSES 5.1 For the avoidance of doubt, it is clarified that Battlefy does not pay any remuneration to the Competitors and does not reimburse any expenses..

5.2 Battlefy is allowed to set up and distribute a winner’s prize for Competitors at its own discretion.

6. GRANT OF RIGHTS 6.1 The taking and publishing of pictures of the VBL International Series tournament, as well as any form of use of such pictures, shall only be permissible with Battlefy prior written consent.

6.2 The Competitor shall grant to Battlefy , in particular, the exclusive, transferable, sublicensable and worldwide right to broadcast, making available to the public, reproduce, distribute, adapt, modify or otherwise exploit any and all content originating from the match days or other events of the VBL International Series (irrespective whether played online or offline), including video/audio content of matches or Competitors, the Competitor's name, likeness and performance as well as other footage produced by or on behalf of Battlefy and/or DFL ("VBL International Series Content"), in all media now known or later created (irrespective whether in return of a fee or free of charge) unlimited in time and to produce and record such content. This shall include Battlefy’s right to use the VBL International Series Content: ● to promote and advertise the VBL International Series, the Virtual Bundesliga, DFL, Bundesliga, Bundesliga 2 and/or any other products of DFL; ● to promote and advertise sponsors of the VBL International Series, the Virtual Bundesliga, DFL, Bundesliga, Bundesliga 2 and/or any other products of DFL; and ● to produce and market merchandising and/or advertising products (e.g. t-shirts, games, trading cards). 6.3 Competitors are entitled to exploit records of their own matches of the VBL International Series as follows: ● exploitation only via own channels, e.g. via Competitor's social media account(s) and/or YouTube channel (no aggregation with other Participants content and no sublicensing to third parties or similar); and ● only for the purpose of advertising Competitor, Battlefy, DFL and/or Bundesliga or Bundesliga 2 Club. For the avoidance of doubt, exploitation of any other content/footage regarding Battlefy, including content of the Final tournaments, (irrespective whether produced by DFL, Battlefy, competitor or any third person) shall be prohibited if and to the extent that such exploitation is not explicitly allowed by Battlefy or DFL in writing (email shall suffice).

7. PERSONAL DATA AND DATA PRIVACY 7.1 For the VBL International Series, EA processes personal data as described in and in accordance with EA’s Privacy and Cookie Policy (privacy.ea.com/de).

7.2 Unless Competitors have given consent to receive marketing messages from Battlefy or DFL through a double opt-in mechanism, personal data of Competitors will be processed by (or on behalf of) Battlefy, only for the purpose of organizing, running and monitoring the VBL International Series, including to publish the VBL International Series Champion’s name within the league table on social media channels of Battlefy and/or DFL in connection with the VBL International Series, and to perform the rights granted to Battlefy under these terms and conditions of participation. In the event that it is necessary for Battlefy to distribute a prize, Battlefy may ask the respective Competitor for additional contact information (e.g. postal address). In the event that a prize is redeemed through retailers or other providers, Battlefy is entitled to share the contact data of the respective Competitor with the respective retailer or provider so that they can contact the respective Competitor.

8. LIABILITY 8.1 Regarding a prize and any other products or services given by Battlefy and its affiliates free of charge, Battlefy shall only be liable for intent and gross negligence.

8.2 In all other cases, Battlefy shall only be liable to cases of intent and gross negligence. In case of slight negligence, however, Battlefy is only liable for the breach of essential contractual obligations. The liability in the event of the slight negligent breach of such an essential contractual obligation is limited to the typical contractual damage, whose occurrence could be expected by Battlefy upon conclusion of the contract on account of the circumstances known at that time. “Essential contractual obligations” as previously stated are those obligations whose fulfillment is essential to enable the proper implementation of the contract and the achievement of its purpose and whose observation you as an end consumer may rely upon.

8.3 The foregoing limitations of liability shall not apply in the case of explicit guarantees by Battlefy, in case of malice and injuries to life, body or health as well as in the case of mandatory statutory regulations.

9. Miscellaneous 9.1 These terms and conditions of participation are subject to Canadian law.

9.2 These terms and conditions of participation set out the entire agreement and understanding between Battlefy and Competitor relating to the subjects addressed herein and supersedes all other agreements, whether verbal or written previously made between Battlefy and Competitor with regards to such subjects. Any amendments or additions to these terms and conditions of participation, including this written form clause, must be in written form to be valid.

9.3 The rights and/or duties arising from these terms and conditions of participation may be transferred or assigned to third parties by the Competitor only with Battlefy’s prior written approval. The Competitor hereby agrees that (a) Battlefy may transfer its rights and duties arising from these terms and conditions of participation in whole (assumption of contract) or in part at any time to any affiliated company and (b) Battlefy may transfer and/or sublicense the rights granted under these terms and conditions of participation to DFL, the Bundesliga Clubs, Bundesliga 2 Clubs and/or any other third party (in particular for the exploitation of the audiovisual rights).

9.4 If any of the provisions of these terms and conditions of participation are unenforceable or invalid for any reason whatsoever, this shall not affect the validity of the remaining provisions.

APPENDIX A: The below Code of Conduct applies to all Competitors in the VBL International Series, unless otherwise specified. Battlefy reserves the right to levy penalties or disqualify any competitor in violation of this Code of Conduct in accordance with the terms and conditions set forth below.

A) Competitor Behavior Generally Competitors must conduct themselves in a reasonable manner, maintaining an appropriate and respectful demeanor to spectators, members of the press, tournament administrators, and to other Competitors. These requirements apply to both offline and online interactions, including social media conduct and activity on live streams. All Competitors are expected to adhere to these standards of sportsmanship. Prohibited conduct includes, but is not limited to: · Violating any applicable law, rule or regulation; · Using any software or program that damages, interferes with or disrupts the VBL International Series or another's computer or property; · Interfering with or disrupting another Competitor's participation in VBL International Series; Harassing, threatening, bullying, engaging in hate speech, repeatedly sending unwanted messages, or making personal attacks or statements about race, gender, sexual orientation, religion, heritage, etc.; · Publishing, posting, uploading or distributing content, or organizing/participating in any activity, group or guild that is inappropriate, abusive, hateful, harassing, profane, defamatory, threatening, obscene, sexually explicit, infringing, privacy-invasive, vulgar, offensive, indecent or unlawful; · Using exploits, cheats, undocumented features, design errors or bugs; · Selling, buying, trading or otherwise transferring or offering to transfer an EA or Battlefy Account, or any EA or Battlefy content associated with an EA or Battlefy Account, including EA virtual currency and other entitlements, either within an EA service or on a third-party website, or in connection with any out-of-game transaction, unless expressly authorized by EA; · Engaging in any other activity that significantly disturbs the peaceful, fair and respectful gaming environment of VBL International Series; · Abusing their position in any way, especially to take advantage of their position for private aims or gains; · Bringing either the VBL International Series (including its referees and administrators), Battlefy, DFL, other competitors, Bundesliga Clubs or Bundesliga 2 Clubs into public disrepute, contempt, scandal or ridicule, or offending the VBL International Series or any group or class thereof; · Making derogatory comments aimed at the VBL International Series, its officials, facilities, systems and or technology publicly, through interviews, statements and or social media channels; and · Promoting, encouraging or taking part in any prohibited activity described above.

B) Collusion Policy and Anti-Betting Collusion is defined as any agreement among two or more Competitors to disadvantage other Competitors in the VBL International Series. Collusion between Competitors is strictly prohibited. Any Competitors determined by Battlefy at any point in the VBL International Series to be engaging in collusion will be removed from the VBL International Series, be forced to return any compensation and/or prizes received during the VBL International Series and may have their FIFA account suspended.

Examples of collusion include, but are not limited to: ● Intentionally losing a match for any reason. ● Playing on behalf of another competitor, including using a secondary account, to aid them in the VBL International Series. ● Any form of match-fixing. ● “Soft play”, defined as a Competitor not giving their best effort in order to allow an opponent to run up the score and gain an advantage. ● Allowing an opponent to score more or less goals than they normally would. Competitors shall be forbidden from taking part in, either directly or indirectly, or otherwise being associated with, betting, gambling, lotteries and similar events or transactions connected with matches of the VBL International Series. They are forbidden from having stakes, either actively or passively, in companies, concerns, organizations, etc. that promote, broker, arrange or conduct such events or transactions. Furthermore, Competitors shall not bet, gamble, or otherwise wager, directly or indirectly, on any matches in which they are involved or participating in, regardless of whether such betting, gambling or wagering is otherwise legal in any jurisdiction.

C) Anti-Doping Doping is strictly prohibited.

Doping shall include use of the prohibited substances ("Prohibited Substance") or prohibited methods ("Prohibited Methods") set forth in the prohibited list ("Prohibited List") as published and revised, from time to time, by the World Anti-Doping Agency (WADA). WADA's determination will be included in the Prohibited List and the classification of substances into categories in the Prohibited List is final and shall not be subject to challenge by a Competitor or other person based on an argument that the substance or method did not have the potential to enhance performance, represent a health risk or violate the spirit of sport.

It is each Competitor's personal duty to ensure that no Prohibited Substance enters his body. Accordingly, it is not necessary that intent, fault, negligence or knowing use on the Competitor's part be demonstrated in order to establish an anti-doping violation. Sufficient proof of an anti-doping rule violation is established by either of the following: the presence of a Prohibited Substance or its metabolites or markers in the Competitor's "A" sample where the Competitor waives analysis of the "B" sample, or where the Competitor's "B" sample is analyzed and such analysis confirms the presence of the Prohibited Substance or its metabolites or markers found in the Competitor's "A" sample. Excepting those substances for which a quantitative threshold is specifically identified in the Prohibited List, the presence of any quantity of a Prohibited Substance or its metabolites or markers in a Competitor's sample shall constitute an anti-doping rule violation.

Competitors are obliged to undergo doping tests if required by Battlefy. In particular, every Competitor designated to undergo a doping test, whether as a result of target testing or the draw by lots, is obliged to provide a urine sample and, if requested, a blood sample and to undergo any medical examination which Battlefy deem necessary. Doping shall also include the following cases:

● Refusing or failing without compelling justification to submit to sample collection as required by the Battlefy or otherwise evading sample collection. ● Tampering or attempted tampering with any part of doping control. ● Possession by a Competitor in-competition of any Prohibited Method or any Prohibited Substance, or possession by a Competitor out of competition of any Prohibited Method or any Prohibited Substance, unless the Competitor establishes that the possession is pursuant to a therapeutic use exemption.

● Possession by a Competitor's support personnel in-competition of any Prohibited Method or any Prohibited Substance, or possession by a Competitor's support personnel out of competition of any Prohibited Method or any Prohibited Substance in connection with a Competitor, unless the Competitor support personnel establishes that the possession is pursuant to a therapeutic use exemption. ● Trafficking or attempted trafficking in any Prohibited Substance or Prohibited Method. ● Administration to any Competitor in-competition of any Prohibited Method or any Prohibited Substance, or administration to any Competitor out of competition of any Prohibited Method or any Prohibited Substance or assisting, encouraging, aiding, abetting, covering up or any other type of complicity involving an anti-doping rule violation or any attempted anti-doping rule violation.

D) Competitor Sponsorship Competitors in the VBL International Series have the ability to acquire ad sponsors. Ad sponsorship is limited, however, to exclude certain categories and industries. If the ad sponsor falls under one of the below categories, then the ad sponsorship may not be displayed by the competitor in conjunction with or during the VBL International Series:

● Gambling/wagering/lottery products or services, including sports betting and daily fantasy sites or similar services; ● Alcohol, tobacco, cigarettes, and/or similar products; ● HFSS products; ● Forex traders or cryptocurrencies; ● Other restricted drugs or drug paraphernalia; ● FIFA Ultimate Team Coin promoting or selling websites or companies; ● Firearms, explosives, or other weapons; ● Pornographic or any sexually explicit materials, contraceptive products or services, or online dating products or services; ● Tattoos or body branding services; ● Political ads or otherwise promoting a political agenda; ● Illegal products or services, or content that otherwise violates any applicable laws in the territories; ● Involving content that is obscene, slanderous, misleading, inaccurate, or discriminatory; ● Pharmaceutical products or services, dietary supplements, or medical devices; ● Products or services that compete with EA’s business (e.g. games, online game sites, or competing esports events); ● Anything that is detrimental to EA’s business (hacking, gold services, account selling, coin selling); ● Anything that is inconsistent with the ESRB, PEGI OFLC USK or applicable rating(s) of the game in the given territory; ● Any competitive platform manufacturer outside of SONY PlayStation, that is to say (i) Microsoft , Xbox One S, Xbox One X, Xbox 360; (ii) Nintendo Wii-U, ; (iii) Windows/Linux Steam, Windows OS; (iv) the following virtual reality platforms: Microsoft Hololens, HTC Vive, and Oculus Rift or Santa Cruz; (v) Valve’s “Steam Box”, Apple TV, Amazon Fire TV, nVidia Shield, Razer; (vi) any other next-gen home video gaming consoles or other devices primarily designed for playing video games in conjunction with a TV display that are released by third parties after the Effective Date hereof, or (vii) Stream Gaming Services. “Competitive Platforms” does not include mobile phones, general purpose tablets, or devices primarily used for video streaming (e.g., ChromeCast, Roku, etc.).

Battlefy reserves the right to update this non-exclusive list of prohibited ad sponsors.

E) Gamertag/PSN ID Competitors will be asked to select a unique name to identify themselves for the VBL International Series. This name can be the same as their PSN ID but is not required to be the same. The name must be unique from other Competitor names and must not be deemed vulgar by Battlefy.

F) Penalties Violation of this Code of Conduct will, at Battlefy 's election, result in (a) penalty(ies) and/or (b) loss of winner status. Battlefy reserves the right to penalize any Competitor in the VBL International Series at any level, at any time. Penalties may include, in no particular order, any or all of the following:

● Warning ● Reprimand ● Forfeiture of single match(es) ● Forfeiture of all matches ● Loss of awards (including prize money paid by Battlefy, if any) ● Disqualification from the VBL International Series Penalties may be combined or given cumulatively.

When deciding upon a penalty, Battlefy will take into account the nature of the infringement, the individual culpability, the severity level of the violation, the number of previous violations and Competitor's subsequent behavior (in particular whether Competitor cured a violation without undue delay). Battlefy may increase the sanction as deemed appropriate if an infringement has been repeated.

Acts amounting to attempt are also punishable. In the case of acts amounting to attempt, the sanction envisaged for the actual infringement may be reduced accordingly. The extent of the mitigation shall be determined adequately. All decisions and rulings of Battlefy relating to the VBL International Series are final and binding.

APPENDIX B: Unless otherwise specified by Battlefy, the below marketing undertakings apply to all Competitors in the VBL International Series.

1. Unless otherwise specified by Battlefy with regard to individual events, Competitor shall wear the official outfit of a Bundesliga or Bundesliga 2 Club's soccer team when participating in the VBL International Series matches and other events, which will be provided by Battlefy. Upon Battlefy 's request, Competitor will accept the integration of patches with logo(s) of the VBL International Series, DFL and/or of sponsors of the VBL International Series on its outfit. 2. Competitor shall display/integrate upon Battlefy's request logo(s) of the VBL International Series and of the sponsors of the VBL International Series in media which is focusing on and/or representing the Competitor (in particular on Competitor's website and Competitor's social media accounts as well as in Competitor's streams via any channels). 3. Competitor shall use the video game consoles, monitors, headsets and/or seats provided by Battlefy and/or the sponsors of the VBL International Series (insofar as such hardware is provided by Battlefy and/or sponsor) within VBL International Series matches and other events.
