BUSINESSUPDATES — LIGHT-ASSETMODELPROJECTS The board (the ‘‘Board’’) of directors (the ‘‘Directors’’) of Central Real Estate Limited (the ‘‘Company’’, together with its subsidiaries, the ‘‘Group’’) is pleased to announce that Zhongyuan Central China City Development Limited* (河南中原建業 城市發展有限公司)(‘‘CCRE Zhongyuan’’), an indirect wholly-owned subsidiary of the Company, entered into management entrustment contracts for real estate projects with the following parties, respectively: Date Party (1) 16 October 2017 Dengzhou Haiyi Properties Limited* (鄧州海義置業有限公司) (‘‘Dengzhou Haiyi’’) (2) 26 October 2017 Henan Dingjiu Properties Limited* (河南鼎九置業有限公司) (‘‘Henan Dingjiu’’) (3) 30 October 2017 Lvcheng Properties Development Limited* (周口綠城 房地產開發有限公司)(‘‘Zhoukou Lvcheng’’) (1) CCRE Zhongyuan (as trustee) entered into a management entrustment contract for a real estate project with a planned gross floor area of approximately 543,000 square meters with Henan Haiyi Properties Limited* (河南海義置業有限公司)(‘‘Henan Haiyi’’) and Dengzhou Taiyang Properties Limited* (鄧州泰陽置業有限公司) (‘‘Dengzhou Taiyang’’) (as guarantors) and Dengzhou Haiyi (as principal) for a period of 48 months (the ‘‘Dengzhou City Dengxiang Road Project Management Entrustment Contract’’). Pursuant to the Dengzhou City Dengxiang Road Project Management Entrustment Contract, CCRE Zhongyuan has been appointed by Dengzhou Haiyi to undertake the development, operation and management of the real estate project under the management entrustment contract on a land parcel covering the west of Dengxiang Road (鄧襄路), east of Qujian Road (區間路), east of Gongye Road (工業路) and south

– 1 – of Nanhuan Road (南環路) in Dengzhou City (鄧州市), Henan Province of the People’s Republic of China (the ‘‘PRC’’) (the ‘‘Dengzhou City Dengxiang Road Project’’), for which CCRE Zhongyuan shall receive a royalty fee and a performance fee in return.

(2) CCRE Zhongyuan (as trustee) entered into a management entrustment contract for a real estate project with a planned gross floor area of approximately 64,000 square meters with Wang Peirong (王培榮), Shi Jushan (石聚山) and Shi Juying (石巨英) (as guarantors) and Henan Dingjiu (as principal) for a period of 30 months (the ‘‘ City Yingtian Road Project Management Entrustment Contract’’). Pursuant to the Shangqiu City Yingtian Road Project Management Entrustment Contract, CCRE Zhongyuan has been appointed by Henan Dingjiu to undertake the development, operation and management of the real estate project under the management entrustment contract on a land parcel covering the south of Yingtian Road (應天路), east of Guide Road (歸德路) as well as the west of Xueyuan Road (學院路) in Shangqiu City (商丘 市), Henan Province of the PRC (the ‘‘Shangqiu City Yingtian Road Project’’), for which CCRE Zhongyuan shall receive a royalty fee and performance fee in return.

(3) CCRE Zhongyuan (as trustee) entered into a management entrustment contract for a real estate project with a planned gross floor area of approximately 250,000 square meters with Li Yuping (李玉平) and Yuan Zhihua (袁志華) (as guarantors) and Zhoukou Lvcheng (as principal) for a period of 30 months (the ‘‘Zhoukou City Kaiyuan Avenue Project Management Entrustment Contract’’). Pursuant to the Zhoukou City Kaiyuan Avenue Project Management Entrustment Contract, CCRE Zhongyuan has been appointed by Zhoukou Lvcheng to undertake the development, operation and management of the real estate project under the management entrustment contract on a land parcel covering the south of Kaiyuan Avenue (開元大道), north of Luo-Fu Railway (漯阜鐵路) and east of the Sixth People’s Hospital (第六人民醫院) in Zhoukou City (周口市), Henan Province of the PRC (the ‘‘Zhoukou City Kaiyuan Avenue Project’’), for which CCRE Zhongyuan shall receive a royalty fee and performance fee in return.

The Dengzhou City Dengxiang Road Project, the Shangqiu City Yingtian Road Project, and the Zhoukou City Kaiyuan Avenue Project, as the 60th to 62nd projects, respectively, under the light-asset strategy of the Group, will constitute further new drivers of growth for the development of the Group.

To the best of the Directors’ knowledge, information and belief having made all reasonable enquiries, Wang Peirong (王培榮), Shi Jushan (石聚山), Shi Juying (石巨英), Li Yuping (李玉平), Yuan Zhihua (袁志華), Henan Haiyi, Dengzhou Taiyang, Dengzhou Haiyi, Henan Dingjiu, Zhoukou Lvcheng and their respective ultimate beneficial owners are independent third parties (as defined under the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the ‘‘Listing Rules’’)).

CCRE Zhongyuan is a limited liability company established in the PRC and an indirect wholly-owned subsidiary of the Company. It is principally engaged in real estate development and sales and real estate investment in Henan Province, the PRC with considerable experience in the development and management of real estate projects.

– 2 – The entering into of the Dengzhou City Dengxiang Road Project Management Entrustment Contract, the Shangqiu City Yingtian Road Project Management Entrustment Contract and the Zhoukou City Kaiyuan Avenue Project Management Entrustment Contract does not constitute a notifiable transaction under Chapter 14 of the Listing Rules. This announcement is published by the Company on a voluntary basis to provide its shareholders and potential investors with updated information in relation to the business development of the Group.
