Time of Ticketing: The Time of Ticketing applies exclusively to tickets booked through aircanada.com/agents, web link or via a Global Distribution System “GDS”. The Time of Ticketing is paid on online tickets weekly via ARCs sales report process. Certain restrictions apply as indicated on the ticketing instructions.

Point of Origin (POO): The country where the journey begins, determined by the first airport code on the ticket.

Air Canada Carriers: Means the flights marketed by Air Canada and operated by Air Canada, Air Canada rouge and under the Air Canada owned-banner “” including those operated by Aviation LP, Inc., Air Georgian and Exploits Valley Air Services Ltd..

Interline carriers: Carriers other than stipulated above under the Air Canada Carriers definition.

Codeshare: Air Canada marketed flights that are operated by a different carrier.

Ticketing Instructions for Time of Ticketing Rates applicable to ALL travel: • Must be plated Air Canada (014). • Tour Code ACUSA must be entered in the tour code box of the ticket when booked in the “GDS”. The incentive must be entered in the commission box at Time of Ticketing on “GDS” bookings. Incentive cannot be claimed retroactively. • Time of Ticketing commissions are paid on online tickets weekly via ARCs sales report process. This is an automatic process and no tour code is required on the ADO (Agency Direct Online; www.aircanada.com). • Published fare rules (for adults and children) apply including for one-way and returns. Sector fares are eligible. • Open Jaw/combination permitted as per fare rules. • Time of Ticketing to be calculated against applicable fare prior to any taxes, applicable fees/charges and surcharges. • Time of Ticketing will be recalled if the ticket is refunded or cancelled. • If a fully unused ticket is exchanged on the GDS, Agency will return the commission of the original ticket, and claim commission on the new base fare. If a ticket is exchanged in the ADO, the new commission percentage can only be claimed on the ADCOL value, not on the total new base fare. For partially used tickets, the original commission applies. • Agency is responsible for collection of fares, taxes, fees/charges and surcharges valid at Time of Ticketing. • Incorrect ticketing or failure to enter Tour Code number will result in a minimum $50 ticketing error fee charge per ticket. • Failure to adhere to ticketing instructions will incur debit memos payable within 30 days of issuance.

Inclusions/Exclusions of Time of Ticketing Rates applicable to ALL travel: • Valid on tickets booked through the Air Canada corporate reward program (issued with a PN#). • Valid on group ticket booking when GR# is entered in endorsement box and the tour code ACUSA is in the tour code box. • Not valid on tickets issued under corporate contracts (issued with a CC#), Star Alliance contract # or corporate contract tour code in the tour code box, including tickets where no corporate discount is applied. • Allowable exception on tickets using 8D02, QY02 or any 8Dxx or any QYxx ticket designators, fare must auto price, debit memos will be issued for manually priced tickets. The valid 8Dxx or QYxx ticket designator must appear on the applicable segments and in the endorsement box after the auto populated message. Tickets must be plated, operated and marketed on AC. Tour Code ACUSA must be entered in the tour code box unless it is being used for the CPA+ or Propel agreement in which case ACUSA needs to be entered in the endorsement box. • Not valid on leisure net contracted fares, IT ticketing is not permitted, ticket booked through frequent flyer programs, industry reduced rates, and all other discount program fares and flight passes. • Time of Ticketing applies to additional collection (fare difference) but does not apply to the change fee. 1

Codeshare and Interline • Codeshare and Interline segments are eligible for commissions, on the following carriers: (5T), (7F), Central Mountain Air (9M), Bearskin (JV) and Air Creebec (YN) if the ticket is plated on 014 and one segment on the ticket is marketed and operated by Air Canada Carriers

• United Airlines (UA) is permitted on U.S. domestic segments provided that the Transborder operating/marketing carrier is AC and that the U.S. domestic segment(s) is marketed AC.

Example: IAH-DFW (UA)// DFW-YYZ(AC)// YYZ-DFW (AC)// DFW-IAH (UA) Since AC operates all Transborder segments and the U.S. domestic segments are operated UA and marketed AC, the itinerary is eligible for commission and the highest incentive applies to the entire ticket.

Codeshare & Interline: • Codeshare and interlining is permitted at either end of itinerary on the Pacific service when POO is USA or CAN • Commission rates are not eligible on Interline or Codeshare tickets on the Pacific service when POO is PAC and SUN • On a round trip ticket, with AC operating one (1) transpacific segment and another carrier operating the other transpacific segment, the commission will only apply to the portion of the trip that includes the eligible AC transpacific leg. See examples below (a), (b (l) and (m). • Itinerary combinations that include Pacific and Atlantic are permitted, the Pacific time of ticketing commission rate will only apply on the portion of the trip that includes the AC transpacific segment. See example below (c) • Itinerary combinations that include Pacific and Sun are permitted, the Pacific time of ticketing commission will apply provided all segments are marketed plated and operated by AC. See example below (d) • No more than two (2) segments can be operated by another carrier in each direction. TERMS & CONDITIONS 1. Conditions (a) Air Canada will undertake a review on as semi-annual basis and if, in Air Canada’s sole discretion, Agency is not meeting a year over year increase, Air Canada may terminate Agency’s participation in the ACCOLADES program upon notice to Agency.

(b) Cash Reward and/or Time of Ticketing is a commission rate (inclusive of any applicable tax) that is applied to the base fare before taxes, any and all applicable fees/charges and surcharges at the time of ticket issuance.

(c) Time of Ticketing incentive cannot be used to solicit or attract business on behalf of a Canadian agency and failure to comply will result in removal from the program and debit memos will be issued.

(d) All calculations are based solely on data contained in Air Canada’s system, which in the event of a dispute will take precedence over data contained in any other records.

(e) All information in and related to this Agreement is confidential. Agency may not disclose the Terms, conditions and existence to third parties without the prior written consent of Air Canada. In the event of a breach or threatened breach by Agency of its confidentiality obligations hereunder, Agency agrees that, as a result, Air Canada will suffer irreparable harm, that monetary damages won't compensate Air Canada for such harm and that Air Canada may seek specific performance and injunctive or other equitable relief (in addition to all other remedies, including monetary damages). Agency's confidentiality obligations hereunder shall survive the expiration or earlier Termination of this Agreement.

(f) Agency and its appointed agents will not employ the practice of split ticketing on itineraries where the customer is searching for a round-trip ticket without the expressed written consent of Air Canada and subject to complying with Air Canada’s display and marketing requirements as well as indemnification requirements, subject to change from time to time at Air Canada’s sole discretion. Without limiting any other obligation of Agency and its appointed agents in this Agreement and in addition to the indemnity obligations of Agency set forth in this Agreement, Agency hereby covenants and agrees to indemnify and save harmless Air Canada, and its Affiliates, from and against all claims from any authority relating to any and all taxes, fees and charges, including penalties and interest, with respect to transactions booked on Agency’s websites, as a result of any form of Agency’s ticketing practices, including without limitation any split ticketing practice. Upon Air Canada’s request, Agency agrees to cooperate at its own costs with Air Canada on any inquiry, audit, assessment or claim by any authority on the basis of Agency’s split ticketing practice. Agency also agrees that in the event it implements split ticketing on its web site(s) that it will ensure that any itineraries where split ticketing is applied in the search results, in booking and in ticketing will be clearly identified to consumers. 4

2. Term and Termination

(a) These terms and conditions constitute the agreement between Air Canada and the Agency with respect to its participation in Air Canada’s ACCOLADES program (“Agreement”). The Agreement will commence on the First Ticketing date: July 1st, 2020 and will end on the Last Ticketing date June 30th, 2021.

3. General

(a) Agency agrees and acknowledges that it is strictly prohibited from using this “Agreement” to solicit or attract business from another agency. Failure to comply may result in termination of this “Agreement” and removal from the ACCOLADES program. (b) Agency agrees and acknowledges to read and apply the Air Canada CRS booking and ticketing policy under the link https://www.aircanada.com/ca/en/ado/drs/agents.html. Failure to comply may result in removal from the “Agreement”. (c) Passenger contact information must be entered in the passenger name record (PNR) as per ARC Industry Agents’ Handbook section 4: Ticketing, Passenger Information page 27. (d) Air Canada only allows ACGlobe cards issued under the name of the Agency to be used for payment based on new ARC statement 21.5.2 which states “absent specific permission from the carrier the agent must not use a credit card which is issued in the name of the agent, or in the name of any agent’s personnel, or in the name of any third party (other than the client), for Transactions issued on ARC Traffic Documents.” A debit memo of $150 will be issued for each violation. (e) Each party agrees that it will not bid on the other party’s keywords listed in Appendix 1 (“Restricted Keywords”) as part of its Internet search engine keyword bidding program during the Term of the Agreement. In addition, each party agrees that it will not bid on variations, misspellings or combinations of Restricted Keywords that are intended or likely to cause confusion in the mind of a reasonable consumer (e.g. deletion of spaces, transposition of letters, word for word translation). Notwithstanding the foregoing, nothing in this Section shall prohibit either party from (a) bidding on and/or purchasing keywords that pertain to geographical destinations; (b) bidding on and/or purchasing keywords that will be used in a generic or descriptive manner; or (c) bidding on and/or purchasing keywords that are unrelated to the other party’s services which happen to be a duplication of a portion of a Restricted Keyword. (f) With respect to all Air Canada inventory, including without limitation, fares and seat availability (collectively "AC Content"), an Agency shall not, without the prior written consent of Air Canada, distribute AC Content to, display AC Content on, advertise AC Content with, or share AC Content in any other manner with any unsecured and/or unrestricted “Business to Consumer” website accessible in Canada or the USA. (g) An Agency shall not distribute AC Content to, display AC Content on, advertise AC Content with, or share AC Content in any other manner with any Metasearch website/platform or mobile application accessible by consumers in Canada or the USA, including, without limitation, Google Flights, GoTravel, Hipmunk, Hopper, Kayak, Qunar, Skyscanner, Travelzoo, Tripadvisor, Wego and/or their respective affiliates, successors and assignees.

(h) This Agreement is specific to Point of Sale USA. (i) This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and to the extent applicable, the federal laws of Canada. (j) Agency will not assign its rights or obligations under this “Agreement” without the prior written consent of Air Canada. Any assignment shall be at no additional cost and charges (including for taxes) to Air Canada.

APPENDIX 1 –Air Canada’s branded- Term Guidelines

It is not permitted to bid on any variations, language variations, combinations, misspellings, geotargeting or any PPC targeting combinations of any Air Canada trademarks, trade names, service marks, corporate names, sponsor links or URLs on any PPC search engines. This provision also encompasses additional platforms integrated within the PPC search engine such as PPC ads shown on a mobile device, tablet and display programs. (I.E Google Adsense)
