1. Having examined the two part tender documents consisting of Part-I pertaining to pre-qualification/Technical bid and Part-II Commercial bid with price quote I/We hereby submit all the necessary documents and relevant information for bidding the above mentioned tender.

-4- 3. We hereby offer to undertake and execute the work of Retreading of tyres as specified in the Schedule hereto at the price quoted herein and will hold it in variant throughout the period of contract. We agree and hereby certify that we shall not vary the same on any condition.

4. Our offer is open at least for 90 days from the date of opening of the price quotation of this tender. It shall be further open for acceptance for a maximum period of 180 days (including all extension) from the date of opening of Part-I- Technical bid.

5. Immediately on receipt of communication of acceptance of the offer by the Tender Accepting Authority, we shall complete all the necessary formalities like Security Deposit, executing the agreement form in stamp paper etc., and execute the work. We hereby expressly agree to indemnify T.C.M.P. F. of all losses on our failure to do so including cost of re tender if any, and additional cost of retreading of tyres in such re tender and in the interregunm.

6. We hereby certify that we have thoroughly studied and understood the tender conditions tender specifications and details of the service required and fully under stand the nature of the retreading required and the quality/specifications of the same, and that our offer to retrade is strictly in accordance with these requirements.

7. We hereby expressly accept our liability and indemnify the TCMPF or its authorized agents for any losses, damages of inconvenience including loss of Sales, Good – will etc. caused by any deviation or non compliance , on our part with the specifications and or supply of goods due to any variations in quality of the goods, deviations from specification departure from schedule of supplies, non supply or late supply or any other breach of the contract.

8. We agree that the decision of the Joint Managing Director, TCMPF Limited shall b final in any dispute regarding the terms and conditions of this tender.

9. We agree to sole arbitration by the Joint Managing Director, Tamil Nadu Co-operative Milk Producers’ Federation Limited.

10. We have expressly stated all other conditions of retreading in the sheet/sheets attached hereto with number from ……to….

11. We hereby agree to pay compensation to the Federation for our Failure/inability in executing the contract either in full or in part or Refuse to pay Security Deposit claimed by the Management.

12. We hereby guarantee the performance of the tyres in terms of kilometers after the re treading of tyres as described below:

Heavy vehicle – Under Precured Method: - Minimum 25000 KM.

Under conventional Method : - Minimum 20000 KM.

Light vehicle - Under precured Method: Minimum 20000 KM.

Under conventional method : Minimum 16000 KM.

Caution:

(i) Non-compliance of the E.M.D. clause entail in summarily rejection of the Tender as per the terms and conditions of the tender (ii) No exemption for security deposit will be given and it is to be paid by Demand Draft Form X VII will not be given for concessional rate of tax.

ANNEX (P-6) 18. Pre qualification Criteria

1) Tenderer should enclose a DD for a sum of Rs. 7000/- towards EMD by

means Bank Draft from any Indian nationalized bank drawn in favour of the

Joint Managing Director, TCMPF Ltd , payable at Chennai.

2) Any Tenderer claiming exemption from the payment of EMD, should enclose

necessary documentary proof for SSI Registration of Tamil Nadu or NSIC

Certificate of Government of , in respect of re treading of Tyres.

3) Tenderer should have atleast One year experience in retreading of Tyres both

for procured method and conventional method.

4) Tenderer should have CST/VAT registration certificate.

5) Should have infrastructure facilities for re-treading different size of Tyres.

6) A team of technical officers of the Federation would visit the premises of the

tenderer after opening of Technical bid to asses the capacity of tenderer in

executing the work. The Committee after assessment would recommend

eligible tenderers and to open their Commercial bids.

TWO PART TENDER FOR RETREADING OF TYRES ANNEXURE TO TENDER SCHEDULE

2. Minimum of 3 Nos. of Tyres has to be taken for retreading in instalments and when required.

3. Tyres after retreading should be delivered within 5 days Rs.20/- per day delay after 5 days delivery of Retreading tyres will be levied.

4. Quality: The retreading should be first quality. If the retreading is of Sub-Standard quality or poor workmanship and prescribed KM have not performed it has to be once again retreaded at Free of cost .

5. Payment will be considered after satisfactory executing of the work.

6. Payment will be made within 30 days (Thirty) from the date of receipt of invoice along with the advance stamped receipt for the value of work done for the Federation.

7. Federation reserves the right to increase or decrease the quantity upto 25% of the requirement mentioned in Sl.No.1 above, on either side.

8. The Tenderers are required to submit the original set of the two part tender (both Part-I Technical Bid and Part II Commercial Bid) duly filled in, and attach necessary documents.

9. This two Part tender documents consists of Part-I – Pre-Qualifying Technical Bid. Part-II – Commercial bid with price – quote schedules in duplicate.

10. The Part-I Pre qualification cum technical bid consisting of pages ……….. and the Part II ……….. commercial bid consisting of pages …………. should be submitted in two different covers duly superscribed as Tender for the Retreading of Tyres Part-I TECHNICAL BID/PART-II COMMERCIAL BID and again put both the sealed Technical bid cover and commercial bid cover in a larger wax sealed cover duly superscribed as Tender for Retreading Tyres and addressed to the Joint Managing Director,/Transport Unit, T.C.M.P. F. Limited, Madhavaram Milk Colony, Chennai-51 either in person or by post so as to reach on or before the time and date specified. Tenders received after the specified date and time shall be summarily rejected. The separate

-14- sealed covers containing Part-I Techical Bid and Part-II Commercial Bid ‘SHOULD BE DISTINCTIVELY SUPERSCRIBED AS PART I TEHCNICAL BID’ and Part-II Commercial Bid” accordingly without fail. 11. The Tenderer is specifically informed that all the pages in both Part I Technical Bid and Part-II Commercial Bid from pages ……………… should be signed at the bottom of each page without any omission by the authorized signatory with name and seal of the firm. 12. SEQUANCE OF TENDER SUBMISSION AND OPENING

Date & Time opening of Part II Tender : will be opened within 60 Commercial bids working days from the date of opening of Part I pre qualifications -Technical bids in respect of those who are found and declared as qualified, eligible and short listed as per technical parameters. The date of commercial bid opening will be informed to the tenderers.

13. The tender forms are not transferable or assignable

14. EMD PAYABLE.

1. All tenders must be accompanied with the prescribed amount of EMD along with tender. 2. EMD payable is Rs. 7.000/- to be drawn by means of Bank Draft only from any Indian Nationalised Bank of Bank approved by drawn in favour of the JOINT MANAGING DIRECTOR, TCMPF LTD, payable at Chennai IT SHALL BE ENCLOSED WITH THE PART – I TECHNICAL BID ONLY No other form of remittance shall be accepted.

15. Any tenderer claiming exemption from the payment of EMD , should produce necessary documentary proof for SSI Registration of Tamil Nadu and or NSIC Certificate of Government of India , in respect of retreading of tyres . No other certificates etc, issued by any other authority or for any other item other than retreading of tyres will be entertained for the above purpose.

16. Tenders not accompanied with demand draft towards the prescribed EMD or therelevant documentary proof for the exemption there on shall be summarily rejected.

Should the tenderer with draw his offer before finalization of the tender, the EMD remitted by the tenderer shall be forfeited in full.

17. ST. REGISTRTION

Tenderers shall furnish photo state copies of valid CST/VAT Registration Certificates along with the tender.

-16- 18. SECURITY DEPOSIT. After evaluation and finalization of pre qualification / technical bid and commercial bids, selected tenderers would be required to sign an agreement with in 15 days and remit Security Deposit of 5% of value of contract, the EMD remitted along with tender will be adjusted from the Security Deposit payable. In the case of successful tenderer, being an SSI Unit, availed exemption from EMD, Security Deposit of 5% ( inclusive of EMD) of the total value of the work should be remitted by means of Bank Draft drawn in favour of the Joint Managing Director, TCMPF Ltd, Chennai.51 payable at Chennai. The Security Deposit will be refunded only after expiry of a period of 6 months from the date of completion of the Contract Satisfactorily complying to the specification of the equipment to take care of the workman ship of the agency.

No exemption will be given for payment of Security Deposit under any circumstances as per TNTT Act and the same should be remitted by Demand Draft, Bank Guarantee will not be accepted.

19. AGREEMENT

The successful tenderer has to execute an agreement on Rs. 40/- stamp paper incorporating the terms and conditions of the contract and the specification within 15 days from the date of intimation of the acceptance of the tender. In case of default of either of the conditions ( i.e) remitting the Security Deposit and execution of the agreement with in the time allowed the EMD paid is likely to be forfeited by the Federation.

20. If the contractor fails to execute the contract satisfactorily at the tendered rate the Security Deposit will be forfeited by the Federation.

21. If for any reason the Federation incur any loss/additional expenditure in connection with the work during the period of contract, the same shall be recovered together with all charges and expenses from the Contractor.

22. The breakages or damages, if any, caused to the property of the Federation the cost will be recovered from the Contractor.

23. No increase in the rate will be allowed during the period of Contract under any circumstances.

24. No interest shall be paid on Earnest Money Deposit / Security Deposit

25. (i) PAYMENT TERMS: NO ADVANCE PAYMENT WILL BE MADE.

(II) The variation in the statutory levies and taxes by State Government / Central Government shall be effected on the end price to the benefit of either the tenderer or the Federation as the case may be.

26. For violation of any of the terms and conditions of the contract, the Federation reserves the right to terminate the contract, with or without notice as applicable. 27. On termination of contract, the Security Deposit is liable to be forfeited and any of the resultant loss beyond Security Deposit will be recovered from the Contractor by legal means apart from forfeited any amount due to the contractor.

28. GUARANTEE. A guarantee certificate shall be furnished for the workmanship and performance of the retreaded tyres towards performance on road for the prescribed distance. If defects are noticed during performance of the minimum kilometers, the work has to be repeated by the Contractor on free of cost.

DISPUTES AND ARBIRATION.

29. In case of disputes arising out of this tender, an arbitrator as mutually acceptable to the tenderer and Federation wil be appointed by the Managing Director, TCMPF Ltd. The arbitrator’s decision shall be final conclusive and binding on both the parties. LEGAL JURISDICTION

30. In case if either party to the tender is aggrieved by the award of

the arbitrator so appointed as per clause 29 or otherwise, they

can appeal to Court. The courts situated in Chennai along shall

have jurisdiction to entertain such disputes.

A team of Technical Officers of the Federation would visit

the premises of the tenderers after opening of the Technical Bids

and before opening of the Commercial Bids to assess the capacity

and tenderer in executing the work.

31. PERIOD OF CONTRACT

The period of contract shall be one year from the date of

acceptance of the tender.
