I. Viva Macau
One typical day in March 2010, Viva Macau's aircraft failed to take off from Narita Airport because it wasn't supplied fuel on time. Two days later, the low-cost carrier had its operation certificate revoked and was disqualified from flying entirely.
● On Friday afternoon, March 26, 2010, Viva Macau staff contacted the Macau state-run supplier when fuel did not arrive at the scheduled time. Amid the usual procedures before departure, they noticed something strange since the process kept stalling for one reason or another. They reported the issue to the Viva Macau head office.
● Reginald Macdonald, CEO of Viva Macau, called the fuel supplier but didn't get the response of prompt delivery he expected. Although Viva Macau had made no outstanding payment to the supplier (the payment for the Narita flight was to be made upfront), McDonald had to cancel the flight due to the fuel problem.
● Soon the Autoridade de Aviação Civil (AACM, English: "Civil Aviation Authority") requested a meeting concerning the cancellation of the flight, which was attended by a senior official of the Macau SAR (Special Administrative Region of the People's Republic of China) government. At the meeting, the government officer asked Viva Macau to submit its passenger lists for the next three months, which was very unusual.
● The fuel supplier resumed service on the 27th, but in half a day, the supply was cut off again, and Viva Macau was forced to cancel its subsequent flights. In the afternoon of the 28th, Macdonald, who was struggling to figure out the cause of the conundrum and trying to come up with countermeasures, learned from local media that Viva Macau was disqualified as a public transport service.
● Air Macau, with which Viva Macau had entered into a sub-concession agreement for the service (i.e., a qualified operator transfers some of its route operations to another company under government permission), notified Viva Macau of the termination of their arrangement. It resulted in Viva Macau's disqualification from the service. Air Macau said AACM requested the cancellation of the sub-concession in an official letter.
● Viva Macau launched its aviation business in Macau with two aircrafts in 2006. The budget airline saw its finances plummet in just a few days when it began pushing for

growth again after overcoming the financial crisis and avian flu. The situation, which was a completely unprecedented event for the Asian market veteran, began to shake the whole life and career of Reg Macdonald.
Macau, a former Portuguese colony, succeeded in setting a new turning point for growth by focusing on MICE (Meetings, incentives, conferences, and exhibitions), travel, and entertainment since it was returned to China.
● For merchants sailing between Portugal and Japan, Macau used to be the optimal location for a transshipment port. As Portuguese merchants began to build their trading posts in Macau and travel regularly, it naturally grew into a trading hub among neighboring countries.
● However, as Portugal began to fall from its position as a maritime empire, prosperous Macau also slowly dwindled. During this downfall, major industries of the territory became fishing and light industries. Then, however, China's growth began encroaching on Macau's competitiveness, threatening the survival of the formerly flourishing trade post. Meanwhile, the adjacent city of Hong Kong was enjoying enormous wealth as a financial hub.
● Stanley Ho, a Hong Kong entrepreneur, founded the Sociedade de Turismo e Diversões de Macau (STDM, English: "Tourism and Entertainment Company of Macau Limited") in Macau in 1962 and was granted a monopoly right to the gambling industry as the sole licensee for casinos. Gambling has long been legal in the city, where the government gave exclusive rights to individuals in order to exert efficient control over the industry. Stanley Ho seized the opportunity and accumulated immense wealth for the next four decades.
● When Hong Kong was transferred to China in 1999, Macau was also returned. Under the slogan of "one country, two systems," China agreed to spare Macau's existing laws and keep the legitimacy of the local government for the next 50 years.
● Edmund Ho, the first prime minister of Macau after the handover to China, took on economic reforms for growth by luring in direct foreign investment and eliminating monopolies. The gambling industry also had to go through these changes. ● In 2002, when the exclusive rights granted to Stanley Ho ended, the Macau SAR government-licensed three companies to operate casinos. While Stanley Ho remained one of the three operators, U.S. casino giants Wynn and Sands Group made inroads into Macau.
● A total of six companies, including three that were licensed by the government directly and another three that had sub-concessions with the original licensees, entered the market; they made a massive investment and brought in fierce competition. The revenue from casinos in Macau grew to an overwhelming level even compared to those of Las Vegas. The government reclaimed land to provide plots for new casinos and hotels while striving to foster related industries such as hospitality and tourism, which naturally led to growth in the aviation sector.
II. Unresolved Issue
Reginald Macdonald, the Viva Macau founder, started the low-cost carrier business by taking over some routes from the exclusive operator Air Macau.
● Reginald Macdonald, a longtime M&A expert in Asia and fluent in Chinese and Japanese, spotted business opportunities amid these policy changes in Macau. He planned to operate a low-cost airline as he saw stable demand for tourism in Macau. Once casinos and luxury hotels were fully established and the MICE industry was activated, Macau, with its geographical advantage neighboring China, would be a major resort city and the top destination for gambling tourism year-round.
● Air Macau held a 25-year monopoly concession of Macau's aviation industry. Although it had an exclusive right to operate destinations in more than 50 countries, Air Macau settled for stable profits from only a few routes. Most of its passengers were those who took the China-Taiwan route, which, at that time, had no direct flights but stopped over in Macau.
● As the number of tourists started to increase in full-scale thanks to changes in government policies and massive investments in the tourism industry, the Macau government allowed sub-concession, as with the casino industry, in the aviation industry by enabling the partial transfer of business rights from Air Macau’s monopoly.

● Reg Macdonald, who founded Viva Macau in partnership with MKW Capital, strived to reduce business risks in the emerging market by bringing together Macau's influential figures, including Edmund Ho's brother William Ho and renowned businessman Ngan In Leng.
● After prolonged negotiations with the Macau government, Viva Macau was able to open new routes within the areas where Air Macau permitted it to operate. ● For the financial sustainability of the aviation industry, the Macau government provided 2.1 billion MOPs to Viva Macau in the form of a loan. The aviation industry began to normalize again at the end of 2009, and Viva Macau continued to make efforts to improve asset utilization and reduce operating costs by expanding non-regular flights to Japan and Korea.

rejected Viva Macau's request for a meeting. As all flights were canceled, thousands of dissatisfied customers swarmed into Viva Macau's offices, demanding refunds.
● Air Macau said it only followed the government's instructions. However, it was illegal to break a legitimate contract between two private companies under the government's demand. Macdonald held a press conference to appeal the unfairness of what happened and pleaded a reversal, but the authorities did not respond.
● In addition to mobilizing personal connections, those who had no solutions from business circles often visited the U.S. Consulate General in Hong Kong, which included Macau in its service territory, and asked for help from the U.S. Congress and the government.
