Billboard Graphical rectangle placed in the middle-top of a website. Size: 750x100 pixels and capacity up to 30 kB .

Brandmark Graphical advert in a pop-up window of any shape. Displayed on the top layer of a website. Can be moved over the area f the window. The „X” mark (close), placed in the upper-right corner, is required. Minimal size of closing button: 14x14 pixels. Limitation of user’s contacts with the ad is required (maximum 3). Capping included in the package. Size: 336x280 pixels and capacity up to 40 kB .

Comet Cursor Advert in the form of graphical element following the mouse cursor. Setting a limit for number of user’s contacts with this ad is required (max. 3). Capping included . Size: 50x50 pixels , capacity: up to 10 kB .

Commercial Break A graphical advert lasting up to 10 seconds . It is shown only with the site header of the website where it’s screened. After 10 seconds it disappears and the remaining part of the site is displayed. The advert must contain the ‘X’ closing Mark placed in the upper-right corner. Limitation of user’s contacts with the ad is required (maximum 3). Capping included in the package. Minimal size of closing mark: 14x14 pixels. Size: up to 950x450 pixels and capacity up to 40 kB .

Double Billboard Graphical rectangle placed in the middle-top of a website. Size: 750x200 pixels and capacity up to 40 kB .

Expand Banner An interactive advert which expands to a bigger size after the mouse cursor is moved over it and makes it possible to Expand Billboard use additional space for the advert presentation. Size after expansion: Expand Navibox Expand Banner : 468x240 pixels and capacity up to 20 kB; Expand Billboard : 750x300 pixels and capacity up to 40 kB .; Expand navibox: : 600x250 pixels and capacity up to 40 kB;

Expand Corner Interactive graphical advert placed in the upper-right part of the website in the form of folded corner. Moving the cursor over expands it to a larger size to imitate a page of a book. Size: 120x120 pixels before expanding and 520x520 pixels after expanding. Size up to 30 kB.

Half Page Extra large graphical ad placed in the upper part of right page column. It is emitted only on pages with articles, excluding sections’ main pages. Size: 300x600 pixels , capacity up to 40 kB .

Multiscreening An ad combining Billboard 750x100 place and margins of the website. The billboard part is interactive and contains a link to client’s website. The part of advert on the margins is only visible for users with screen resolution over 1024 px, it is not clickable. This product is available only on particular sites, according to table 2. Capacity up to 40 kB

Navibox Graphic ad placed in the upper part of right page column. Size 300x250 pixels, capacity up to 30 kB.

Pushdown Interactive version of Billboard that expands after placing mouse cursor over it, causing the content of the website to Billboard move down (the advert does not cover the content). Setting a limit for number of user’s contacts with this ad is required (max. 3). Capping included in the package. Capacity – up to 40kB .

Rectangle Graphical rectangle placed in the middle of an article in specified section. Not available on some of the pages due to (Box in an article) technical restrictions. Size: 300x250 pixels and capacity up to 30 kB.

Scroll Banner An advert which is always visible for the site visitor. The advert scrolls down or up the web page viewed. The advert Scroll Billboard must have the ’X’-mark placed in the upper-right corner which, when clicked, sends it back to the advertising slot at the top of the web page. Minimum size of the closing mark: 14x14 px . Size: Scroll Banner : 468x60 pixels and capacity up to 15 kB ; Scroll Billboard : 750x100 pixels and capacity up to 30 kB.

Scroll Footer An advertising banner shown at the bottom of the browser window. The ad scrolls down or up the webpage viewed. It (Scroller) may contain text and graphical elements, both static or live, that scroll horizontally along the banner. The ad must contain visible closing X-mark, placed in the upper-right corner. Maximum height: 30 pixels , capacity up to: 10 kB .

Toplayer Animated graphical ad, displayed on the top layer in any position. It can contain sound effects. Capacity up to 40 kB, maximum time of displaying 30 seconds . The „X” mark (close), placed in the upper-right corner, is required. Minimum size of closing button: 14x14 pixels. Limitation of user’s contacts with the ad is required (maximum 3). Capping included in the package.

Wide Billboard Graphical rectangle placed in the middle-top of a website. Size: 950x100 pixels and capacity up to 40 kB .

XHTML A special animation, allowing e.g. moving site modules, changing the colors, fonts or images. Maximum duration: 12 seconds. The advert must have the ’X’-mark placed in the upper-right corner of the main element of the animation. Maximum capacity 100 kB . The ad creation requires acceptance from INTERIA.PL

4 Types of emission

(table 4) Run-On-Site Ad played on random pages of INTERIA.PL that allow usage of particular advertising product.

Joint Ads Simultaneous screening of two advertising products on one page. Possible combinations: - Billboard + Toplayer/Brandmark, Double Billboard + Toplayer/Brandmark - Billboard + Navibox *, Double Billboard + Navibox * - Navibox + Toplayer * The price equals the price of the more expensive plus 25% of the cheaper advertising product. The offer is valid for products included in table 2.

* Emission possible in one site of choice, excluding INTERIA.PL main page, run-on-site model and theme packages.

5 VideoAd

VideoAd – An advertising product that allows emission of a video file embedded in any means of advertising mentioned in Table 1. VideoAd is displayed using Macromedia Flash Video technology. Depending on user’s connection bandwidth the ad is displayed in one of 3 possible image qualities, ensuring smooth performance. INTERIA.PL adjusts the videos provided by the Advertiser for the requirements of Internet emission. The video ad contains standard navigation buttons allowing for stopping the video, turning down the volume or replaying it. The maximum length of video is 30s, and the emission begins automatically after the ad is loaded. The maximum capacity is 800kB. Limitation of user’s contacts with the ad is required (maximum 3). Capping included in the package.

6 In-Stream VideoAd

In-Stream VideoAd is emitted before INTERIA.PL’s featured video materials, in the Windows Media Player window embedded in the webpage. Depending on user’s connection bandwidth the ad is displayed in one of 3 possible image qualities, ensuring smooth performance. INTERIA.PL adjusts the videos provided by customer for the requirements of Internet emission. Maximum length of video is 30s. There is a possibility of displaying a standard Navibox ad in the webpage containing the video, linking to customer’s website. Limitation of user’s contacts with the ad is required (maximum 3). Capping included in the package.

Navibox – 300x250 px, maximum capacity is 30 kB, available file formats: GIF, FLASH. Video ad – the video material is provided by the customer (BETA, MPEG, MPEG4 Windows, VHS). INTERIA.PL converts the video file into WMV screening format.

7 Coverage packages

Coverage package on INTERIA.PL is a campaign emitted randomly on portal’s websites, with no option of choosing particular sites. It provides the lowest cost of reaching a wide audience and is available. The coverage packages are based on two models:

Emission without capping – no limitation for user’s contact with the ad, providing high emission frequency, high number of contacts with the ad and building brand awareness.

Emission with capping – allows specifying a maximum number of ad emissions per user, allows building a very wide coverage of the campaign.

Packages cannot be restricted to certain hours of emission, nor be geotargeted (emitted in particular city or region). Emission lasts for at least 7 days and the duration depends on overall advertising traffic intensity. The duration of package emission is specified by the Sales Department of INTERIA.PL

8 Theme packages

Theme packages – advertisements shown in a selected group of INTERIA.PL sites adjusted by specific topics to the specific target groups. Theme packages campaign is displayed randomly on all sites included in a given package without a guarantee of a number of emissions or unique users in the individual site. Advertising potential is defined for the entire package i.e. jointly for all the sites that make the package. Theme packages make it possible to reach a selected target group at lower cost.

9 My package

This service allows creation of a customized package, consisting of websites of choice from displayed in table 2. The customized campaign is emitted randomly on all of chosen sites, with no guaranteed number of views or unique users of particular sections.

11 Sponsored link in Google.interia.pl search engine

A sponsored link – a service that allows the Advertiser to distinguish the web pages of its company/product among other web sites that can be shown by the Google.interia.pl search engine. The advertiser provides a list of keywords. The ad is displayed for every user’s query that includes this specified keyword. The ad includes the title line, one text line and the displayed URL. The ad is shown on the 4th or 5th position in the list of displayed links (the 1 st or 2 nd position sold by INTERIA.PL).

12 Sponsored article

The service allows placing an article in a website of choice. Sponsored article is an option perfect for presenting a big amount of information (up to 10 000 signs). Furthermore, there is a possibility of placing images, video material or hyperlinks leading to client’s webpage. The content of the article should be relevant to the theme of the chosen website. Sponsored article is always marked according to Art. 36.3 of Press Law.

There is a possibility of purchasing an additional campaign promoting the article for 75% of the standard price of particular ad product.

19 Rules and regulations of advertising service provision

I. DEFINITIONS

INTERIA.PL – INTERIA.PL S.A. placed in Cracow, entered into the company register maintained at the National Court Register by the District Court for Kraków-Śródmiescie in Cracow, 11 th Economic Division of the National Court Register, under the number KRS 0000002117, address: os. Teatralne 9a, 31-946 Kraków.

INTERIA.PL Site – is an Internet portal, i.e. an organized information platform under the address www.interia.pl which provides access to its own as well as International Internet resources as well as an electronic platform which makes it possible to conduct on-line trade operations in the Internet.

INTERIA.PL Sales Department– a separate department within the company which accepts advertising and promotional orders from the Contracting Parties.

Advertising Service – is every message aimed at promoting the sale or other ways of using goods or services, supporting specific issues or ideas or achieving any other effect desired by the Contracting Party.

INTERIA.PL Advertising Services – advertising services provided by INTERIA.PL on the site pages, in accordance with the Rules and Regulations.

Contract – a contract of the Advertising Order for the INTERIA.PL Advertising Services.

Contracting Party – a person, a company, an organisation or an entity without a status of a legal status which orders INTERIA.PL to perform a promotional and marketing activity.

Advertising Order – a document in writing which specifies the conditions for the contract of the Advertising Order. The Advertising Order is an offer (Art. 66 of the Civil Code), unless its contents or the provisions of the Rules and Regulations provide that in a specific case the Order is only an invitation to negotiations (Art. 72 of the Civil Code) A written approval of the Advertising Order by INTERIA.PL is also a conclusion of the Contract whose contents is defined by the written declarations of the parties.

Modification of an Advertising Order – denotes only a change of the time and place of Advert emission, which does not decrease the value of the Advertising Order or change the agreed date of the beginning and completion of its launch.

Change of an Advertising Order – denotes all changes that go beyond the changes defined as the Modification of an Advertising Order.

Rules and Regulations – these Rules and Regulations as well as the attachments thereof.

Form of Internet Advertising – is a form of presentation in the INTERIA.PL site which is strictly defined as regards technology. Precise technical specifications of individual advertising services can be found in the Technical Specification of Adverts.

Emission – a one-off showing of an advert on a web page where it is placed.

Price List – a price list placed on the www.reklama.interia.pl web page which is in force on the day of Contract conclusion and which makes an integral part of the Rules and Regulations.

Technical Specification of Adverts – a document placed on the web page of www.reklama.interia.pl which specifies the technical conditions and is an integral part of the Rules and Regulations.

II. GENERAL PROVISIONS

1. The INTERIA.PL Sales Department accepts Advertising Orders on the conditions specified in the Rules and Regulations made in writing by correct filling in an order form and specifying the type of the Advert ordered, the number and the time of emission, the place in the INTERIA.PL site and all other conditions as regards the Advert ordered. 2. The Advertising Order must contain the signature of the person authorized to represent the Contracting Party and the stamp of the Contracting Party.

3. All submissions of declarations made by INTERIA.PL and the Contracting Party are deemed as executed if they are made in writing and in one of the following ways: a. By submitting a document to the seat of the other Party on the day when its receipt has been confirmed, b. By registered mail, c. By fax sent on the day when its receipt has been confirmed by the addressee. 4. If the Contracting Party is an economic entity acting on the basis of an entry into the Economic Activity Register the Advertising Order must also contain the name and surname of the owner or partners of the company. 5. INTERIA.PL reserves and the Contracting Party Accepts the fact that the right of pre-emption as regards emission in the case of an emission date clash is enjoyed by those Contracting Parties that paid in cash or by money transfer and only then the Advertising Orders settled in the form of barter, compensation or as substitution services provided in place of non–performing or inadequate performing of contracts where INTERIA.PL is or was a party to, will be executed. 6. INTERIA.PL states and Contracting Party acknowledges that INTERIA.PL will refuse acceptance of Emission Advertise Offer (Advertise offer refusal on the grounds of section III of rules and Regulations) if Advertising Offer is to be settled on barter cooperation basis, in subject to: a. One-day campaigns on main site of INTERIA.PL Site, or b. Form of Internet Advertising such as Half Page, Expand Corner, Double Billboard, or c. Web sponsorship campaigns, or d. Contests organised or co-organised by INTERIA.PL, or e. Coverage packages, or f. Joint ads.

III. CONTRACT CONCLUSION

1. Until a written confirmation of the Order receipt by INTERIA.PL the Order is an offer as provided for by Art. 66 of the Civil Code. 2. An Advertising Order must be submitted to the seat of INTERIA.PL 3 days before the date of the first emission the latest. 3. A written confirmation of the Advertising Order by INTERIA.PL by providing the Contracting Party with the declaration on accepting the filled in order form with the confirmation of the Advert ordered is tantamount to the Contract conclusion. 4. An Advertising Order which will be submitted later is only an invitation to negotiations as provided for by Art. 72 of the Civil Code, the provisions of paragraph 3 of this chapter shall apply accordingly. 5. The Contracting Party may transfer the rights following from the Advertising Order only after notifying INTERIA.PL and obtaining its agreement in writing. 6. Advertising agencies and other advertising intermediaries acting in the name and on behalf of their clients are treated on a par with the persons they represent to INTERIA.PL as regards settling the amounts due which result from the accepted Advertising Orders.

IV. OFFER MODIFICATION AND INVALIDATION

1. INTERIA.PL guarantees that the Contracting Party shall have the right to: a. Invalidate an Advertising Order, b. Modify an Advertising Order On the conditions specified in the Rules and Regulations. 2. A modification of an Advertising Order may not result in decreasing the value of the Advertising Order or changing the agreed date of beginning and completing its launch. 3. The changes of the Advertising Order that go beyond the definition of a Modification of an Advertising Order are tantamount to the Invalidation of an Advertising Order. 4. A declaration modifying an Advertising Order shall be submitted to INTERIA.PL not later that 3 working days before the date of the first emission. It is an offer as provided for by Art. 66 of the Civil Code INTERIA.PL shall accept such an offer in accordance with its capacity. 5. In a situation when it is not possible to execute a modified Advertising Order the Contracting Party may refrain from the modification of an Advertising Order or renounce the Contract. Such a withdrawal from the Contract is tantamount to the Invalidation of an Advertising Order after a penalty payment, in accordance with the rules of Order Invalidation. 6. A condition for a successful Order Invalidation is providing a written declaration of the Advertising Order Invalidation. 7. The Parties jointly agree that an Advertising Order is deemed annulled when:

a. The advertising and promotional materials to be placed in the portal have not been provided, or b. The advertising and promotional materials are not in line with the technical conditions defined in the advert technical specification and have been provided later than 3 days before the planned emission.

and in such a situation a penalty fee equal to 100 % of the gross value of the Advertising Order will be charged from the Contracting Party.

8. An Advertising Order may be entirely invalidated: a. Not later than 14 working days before the date of the first emission, which does not bear any financial liabilities on INTERIA.PL, b. Later than 14 working days before the date of the first emission and in such a situation INTERIA.PL reserves the right to charge a penalty fee amounting to: 1. 30 % of the gross value of the Advertising Order between the 13 th and the 7 th working day before the agreed date of the first emission, 2. 50 % of the gross value of the Advertising Order between the 6 th and the 3 rd working day before the agreed date of the first emission, 3. 100 % of the gross value of the Advertising Order in less than 3 days before the agreed date of the first emission, 9. If a part of the Advertising Order has been invalidated before the first emission of the Internet advert, the provisions specified in 1, 2 and 3 of paragraph 8 b. shall be applied respectively to the invalidated part of the Advertising Order.

V. BROADCASTING CONDITIONS FOR ADVERTISEMENTS AND PROMOTIONAL MATERIALS

1. Advertising material provided in the form and in accordance with the technical specification of the Internet advertisement form ordered shall be provided to the address of INTERIA.PL not later than 3 working days before the date of the first emission. a. In a situation when advertising materials are provided later or in the form which does not follow the technical specification of the Internet advertisement form INTERIA.PL reserves the right to consider the Order invalidated or execute the Advertising Order and, at the same time, introduce changes in the Schedule of emissions. 2. Each advertising material shall be thoroughly described (the Contracting Party’s name, the campaign subject, the number of Order) 3. All adverts shall remain in line with the Polish law and the regulations in force as regards the advertising conditions in audiovisual media. 4. INTERIA.PL does not bear any responsibility for the contents of the Adverts emitted. 5. During the launch of the advertising campaign and in the period of 30 days after its completion INTERIA.PL, at the Contracting Party’s request, shall make available to the Contracting Party the web page with the statistics concerning its adverts. 6. INTERIA.PL shall make an independent decision as to the contents of its Sites and a general style of the Advert presented. INTERIA.PL reserves the right to refuse to emit Adverts and especially the Adverts that are not in line with its style or the Adverts whose contents may be considered contrary to the fact of a case or the law in force. 7. Adverts on the INTERIA.PL Site shall be clearly different from the remaining graphical elements of the Site pages and those directly connected with its graphical layout. The Adverts may not imitate or in any way emulate the Service elements. INTERIA.PL reserves the right to additionally mark the Adverts emitted with such words as: ‘advert’, ‘service sponsor’, ‘promotion’, etc. if the INTERIA.PL Sales Department considers it justified. 8. If, for any reason that is fault of INTERIA.PL, an advertising material is not emitted or is emitted in an incorrect way INTERIA.PL shall repeat the emission of this material in the time agreed with the Contracting Party.

VI. COMPLAINTS

1. INTERIA.PL declares and the Contracting Party acknowledges the fact that the Contracting Party is not entitled to claims with regard to the publishing of a faulty advertising material if it does not inform INTERIA.PL about the fault (does not complain) within 14 days from the day of issuing the VAT invoice for emitting the advert or is in arrears with the payment for the emission of adverts or promotional materials. 2. If the VAT invoice has been issued before the advert emission the abovementioned period is counted from the date of the last emission. 3. INTERIA.PL shall reply to any complaint concerning placing adverts in INTERIA.PL within 21 days from the date of its receipt. 4. Filing a complaint does not withhold any payments due as a result of the advertising or promotional activity performed. 5. INTERIA.PL shall consider only the complaints concerning the adverts paid unless the term of payment has not expired yet.

VII. PRICE LISTS, PAYMENTS, INVOICING

1. The Advertising Price List does not include the VAT tax. All costs in connection with the tax regulations in force in Poland are borne by the Contracting Party. 2. INTERIA.PL reserves the right to modify the Price List without notifying the Contracting Parties about this fact unless a separate agreement concluded with the Contracting Party or its representative specifies in detail the date of notification about such a change. 3. INTERIA.PL reserves the right to negotiate the prices of the Advertising Services provided in the situation when atypical Advertising Orders are executed. 4. The prices of Adverts are established in accordance with the Price List in force on the date of issuing the Advertising Order unless the contents of this Advertising Order provides otherwise. 5. The Price List is an integral part of the Rules and Regulations. 6. The invoices are issued to the Contracting Party by INTERIA.PL in accordance with the Polish law in force within: a. 7 days from the completion day of the campaign provided for in the Advertising Order, b. 7 days from the end of the calendar month in the situation when the entire order has not been emitted to the amount equal to the value of the Advertising Order emitted, the remaining part shall be settled according to the general provisions. 7. If the invoices are not paid on time INTERIA.PL shall charge statutory interest rates for the delay. At the same time, in the case of payment delay, INTERIA.PL reserves the right to withhold the emission of advertising materials and the right to renounce the Advertising Order in part or entirety and the Contracting Party shall pay INTERIA.PL a penalty fee, just like in the case of an Advertising Order Invalidation.

VIII. FORCE MAJEURE

1. INTERIA.PL shall not bear any responsibility for the failure to execute or for the incorrect execution of the obligations following from the Advertising Contracts (Advertising Orders) should it be a result of events that remain outside its control and especially, although not exclusively, an outbreak of war, a danger of an outbreak of war; the actions, decisions or vetoes of government institutions, governmental or international agreements, strikes, lockouts or other protests, floods, fires, explosions, the breakdown of the entire INTERNET or its part, the breakdown of the electric grid, computer systems of control and distribution or other manifestations of force majeure. 2. Should such an event occur INTERIA.PL shall immediately inform the Contracting Party and offer, if it is possible, other convenient dates of advert emission.

IX. FINAL PROVISIONS

1. The provisions of the Act on the Electronic Service Provision as well as of the Civil Code shall apply to the matters not governed by these Rules and Regulations. 2. The Rules and Regulations enter into force on 22 May 2006. 3. The provisions of the Polish law shall apply to the Rules and Regulations, declarations and Contracts concluded under them. 4. The Parties agree that all disputes resulting from the application of these Rules and Regulations or declarations or contracts concluded under them shall be settled by the Civilian Court with jurisdiction over the seat of INTERIA.PL. 5. INTERIA.PL reserves the right to change the contents of the Rules and Regulations at any moment. Should the Contracting Party refuse to accept the new conditions of the Rules and Regulations the Contract between it and INTERIA.PL shall expire unless the emission of the Advertising Order began before the change in the Rues and Regulations and in such a situation the emission will be continued until it has finished on the conditions agreed so far.
