PRIVILEGED ATTORNEY-CLIENT COMMUNICATION EXECUTIVE SUMMARY SECOND AMENDED AND RESTATED LICENSE AGREEMENT (“SPIDER-MAN”) CREATIVE ISSUES This memo summarizes certain terms of the Second Amended and Restated License Agreement (“Spider-Man”) between SPE and Marvel, effective September 15, 2011 (the “Agreement”). 1. CHARACTERS AND OTHER CREATIVE ELEMENTS: a. Exclusive to SPE: . The “Spider-Man” character, “Peter Parker” and essentially all existing and future alternate versions, iterations, and alter egos of the “Spider- Man” character. All fictional characters, places structures, businesses, groups, or other entities or elements (collectively, “Creative Elements”) that are listed on the attached Schedule 6. All existing (as of 9/15/11) characters and other Creative Elements that are “Primarily Associated With” Spider-Man but were “Inadvertently Omitted” from Schedule 6. The Agreement contains detailed definitions of these terms, but they basically conform to common-sense meanings. If SPE and Marvel cannot agree as to whether a character or other creative element is Primarily Associated With Spider-Man and/or were Inadvertently Omitted, the matter will be determined by expedited arbitration. Not only a talented comic book artist, he was also a great storyteller, which is considered to be responsible for his success and longevity. Kirby’s influence can still be seen in any modern superhero comics, and even on the big screen. Kirby is responsible for creating many iconic and beloved comic book characters. Jack Kirby was born as Jacob Kurtzberg on August 28, 1917, on the Lower East Side of Manhattan in New York City. From and early childhood, Kirby aspired to be a storyteller, having being influenced by the stories his mother told him, and the stories in the newspaper comics and in the movie theaters. As a self-taught artist, he started drawing cartoons for the newspaper of the Boys Brotherhood Republic. By the age of 14, he was enrolled in Pratt Institute, but dropped out the afternoon of his first day due to financial pressures. He worked at various studios before starting his career as a super-hero comic book artist. Kirby didn’t begin his career in comics but in the animated cartoons, namely Popeye cartoons at the Max Fleischer studios. He began working at Lincoln Newspaper Syndicate as a political, gag, and strip cartoonist. Through work, he met Joe Simon, and formed a team. In 1940, they were hired by Timely Comics Company, which is known in the present as Marvel Comics.

Swing Papa and Barry Jordan: Comic Strips and Black Newspapers in Postwar Toledo Angela M. Nelson Introduction Popular culture reflects, symbolizes, and embodies the thoughts, attitudes, beliefs, and values of its producers and audiences.1 Popular culture is that part of all culture that is concerned with pleasure, enjoy- ment, and amusement. Comic art is a form of popular culture dating back to the early 1890s. After the turn of the century, comic strips2 had become a permanent part of white mainstream newspapers and magazines, but black newspapers overall were not as agreeable to their inclusion.3 In short, black newspapers focused their attention on the “serious” issues confronting blacks of that period. However, with the advent of large circula- tion newspapers especially published for black communities coupled with the established tradition of comic strips in major newspapers, many editors of black newspapers began encouraging the inclusion of comic strips.4 The Baltimore Afro-American, Chicago Defender, and Pittsburgh Courier were the leading large circulating black newspapers that included black comic strips following World War I.5 Scholarly essays or chapters written by John Appel, Ian Gordon, Thomas Inge, Steven Jones, John Stevens, and Roland Wolseley examine blacks in comic strips in mainstream newspapers and magazines and/or black comic strips in black newspapers.6 Together these writings are useful for providing descriptive information about black comic strips and charac- ters that are not well-known, for providing comparisons of white and ethnic representations in comic strips, and for bringing attention and structure to this area of study within the field of comic art scholarship.

Hayes 2009 PREFACE When the University of Wyoming began collecting the papers of national entertainment figures in the 1970s, it was one of only a handful of repositories actively engaged in the field. Business and industry, science, family history, even print literature were all recognized as legitimate fields of study while prejudice remained against mere entertainment as a source of scholarship. There are two arguments to be made against this narrow vision. In the first place, entertainment is very much an industry. It employs thousands. It requires vast capital expenditure, and it lives or dies on profit. In the second place, popular culture is more universal than any other field. Each individual’s experience is unique, but one common thread running throughout humanity is the desire to be taken out of ourselves, to share with our neighbors some story of humor or adventure. This is the basis for entertainment. The Entertainment Industry collections at the American Heritage Center focus on the twentieth century. During the twentieth century, entertainment in the United States changed radically due to advances in communications technology. The development of radio made it possible for the first time for people on both coasts to listen to a performance simultaneously. The delivery of entertainment thus became immensely cheaper and, at the same time, the fame of individual performers grew.

Kane 2013 i ABSTRACT This dissertation explores ways in which the graphic narrative (graphic novel) format for storytelling, known as sequential art, can be adapted for undergraduate-level introductory textbooks across disciplines. Currently, very few graphic textbooks exist, and many of them lack the academic rigor needed to give them credibility. My goal in this dissertation is to examine critically both the strengths and weaknesses of this art form and formulate a set of standards and procedures necessary for developing new graphic textbooks that are scholastically viable for use in college-level instruction across disciplines. To the ends of establishing these standards, I have developed a four-pronged information-gathering approach. First I read as much pre factum qualitative and quantitative data from books, articles, and Internet sources as possible in order to establish my base of inquiry. Second, I created a twelve-part dissertation blog (graphictextbooks.blogspot.com) where I was able to post my findings and establish my integrity for my research among potential interviewees. Third, I interviewed 16 professional graphic novel/graphic textbook publishers, editors, writers, artists, and scholars as well as college professors and librarians. Finally, I sent out an online survey consisting of a sample chapter of an existing graphic textbook to college professors and asked if the content of the source material was potentially effective for their own instruction in undergraduate teaching.

While commercial success is not always consistent from one decade to the next it is clear that the medium has been and will continue to be a cultural staple in the society of the United States. I have selected this type of popular culture for analysis precisely because of the longevity of the medium and the recent commercial success of film and television adaptations of comic book material. In this project I apply a Critical lens to selected comic book materials and apply Critical theories related to race, class, and gender in order to understand how the materials function as vehicles for ideological messages. For the project I selected five Marvel comic book characters and examined materials featuring those characters in the form of comic books, film, and television adaptations. The selected characters are Steve Rogers/Captain America, Luke Cage, Miles Morales/Spider-Man, Jean Grey, and Raven Darkholme/Mystique. Methodologically I interrogated the selected texts through the application of visual and narrative rhetorical criticism.
