(Stock Code: 0832) ANNUAL RESULTS ANNOUNCEMENT FOR THE YEAR ENDED 31 DECEMBER 2020 FINANCIAL HIGHLIGHTS • Revenue for the year ended 31 December 2020 amounted to approximately RMB43,304 million, representing an increase of approximately 40.8% as compared with 2019. • Gross profit margin for the year was 19.9%, representing a decrease of 6.1 percentage points as compared with 2019. • Gross profit from core business for the year was RMB7,321 million, representing an increase of approximately 7.0% as compared with 2019. • Profit attributable to equity shareholders of the Company for the year amounted to approximately RMB1,802 million, representing a decrease of approximately 10.6% as compared with 2019. • Profit attributable to equity shareholders of the Company for the year before changes in fair value of derivative financial instruments, including foreign exchange forward contracts, foreign exchange option contracts and foreign exchange swap contracts, was approximately RMB2,414 million, representing an increase of 28.7% as compared with 2019. • Profit for the year was approximately RMB2,102 million, representing a decrease of approximately 13.0% as compared with 2019. • Profit margin for the year was 4.9%, representing a decrease of 3.0 percentage points as compared with 2019. • Basic earnings per share for the year was RMB64.70 cents, a decrease of approximately 12.3% as compared with 2019. • The Board recommended to declare a final dividend of HK$26.80 cents (approximately RMB22.65 cents) per share. 1 ANNUAL RESULTS The Board announces the China Real Estate Limited (“the Company”) is a limited liability company incorporated in the Cayman Islands on 15 November 2007. Its principal place of business is at Room 7701B–7702A, 77th Floor, International Commerce Centre, 1 Austin Road West, Kowloon, Hong Kong and has its registered office at Cricket Square, Hutchins Drive, P.O. Box 2681, Grand Cayman, KY1-1111, Cayman Islands. The principal activity of the Company is investment holding and its subsidiaries are principally engaged in property development in Henan Province in the People’s Republic of China (“the PRC”). 1 SIGNIFICANT ACCOUNTING POLICIES (a) Statement of compliance These financial statements have been prepared in accordance with all applicable Hong Kong Financial Reporting Standards (“HKFRSs”), which collective term includes all applicable individual Hong Kong Financial Reporting Standards, Hong Kong Accounting Standards (“HKASs”) and Interpretations issued by the Hong Kong Institute of Certified Public Accountants (“HKICPA”), accounting principles generally accepted in Hong Kong and the disclosure requirements of the Hong Kong Companies Ordinance. These financial statements also comply with the applicable disclosure provisions of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited. Significant accounting policies adopted by the Group are disclosed below. The HKICPA has issued certain amendments to HKFRSs that are first effective or available for early adoption for the current accounting period of the Group. Note 1(c) provides information on any changes in accounting policies resulting from initial application of these developments to the extent that they are relevant to the Group for the current accounting periods reflected in these financial statements. (b) Basis of preparation and functional and presentation currency (i) The consolidated financial statements for the year ended 31 December 2020 comprise the Company and its subsidiaries (together referred to as “the Group”) and the Group’s interest in associates and joint ventures. The consolidated financial statements are presented in Renminbi (“RMB”) rounded to the nearest thousand, while the Company’s functional currency is the Hong Kong dollar (“HK$”). 7 (ii) The measurement basis used in the preparation of the financial statements is the historical cost basis except that the following assets and liabilities are stated at their fair value as explained in the accounting policies set out below: – investment property, including interests in leasehold land and buildings held as investment property where the Group is the registered owner of the property interest; – investments in debt and equity securities; and – derivative financial instruments; and – biological assets. The preparation of financial statements in conformity with HKFRSs requires management to make judgements, estimates and assumptions that affect the application of policies and reported amounts of assets, liabilities, income and expenses.
