Autor: Álvaro Ovejero Tutor: Alejandro Bonvecchi Firma del tutor: Junio de 2015 Abstract Esta investigación indaga en la forma en que los gobiernos manejan las crisis de deuda en relación con sus acreedores privados internacionales, sean estos bancos o bonistas. El objetivo es analizar si existe causalidad en la correlación entre tipo de régimen político y coercitividad gubernamental sobre acreedores privados internacionales a la hora de la reestructuración de la deuda soberana. Con este fin se examina el caso del proceso de reestructuración de deudas soberanas de Argentina en los períodos 1982-1993 y 2001-2005. Se estudian los mecanismos causales para ver de qué manera se conectan las variables, es decir, cómo se produce el resultado concreto que se observa. En este caso el resultado observado es mayor coercitividad en reestructuraciones protagonizadas por democracias. Para ello se analizan actitudes y comportamientos que se registran a nivel de los individuos que intervienen en los procesos decisorios utilizando el método rastreo de procesos. Para recolectar la información se revisaron documentos oficiales, escritos de los protagonistas, memorias, biografías y entrevistas. Fairness Opinions Under Fire By Bret A. Tack Los Angeles Office A renewed market for mergers and acquisitions (and growing value of the deals) is focusing fresh attention on the fairness opinions boards seek before approval. In our post-scandal business environment, the problems with fairness opinions, including conflicts of interest and potential manipulation, have drawn new criticism. How can boards assure the "fairness" of their fairness opinions. As the value of transactions requiring fairness opinions has surged, they have come under increased scrutiny because of systemic problems that undermine their credibility. The perception among many in the investment community is that fairness opinions are of dubious value as an independent assessment of whether a transaction is fair. Their only real purpose, it seems, is to protect fiduciaries in the event of a lawsuit. Concerns over fairness opinions have attracted the attention of regulatory bodies such as the NASD, the Securities and Exchange Commission and New York Attorney General Eliot Spitzer. The potential conflict of provider "success fees" is only one problem with fairness opinions. In truth, there are no coherent guidelines used by fairness opinion providers. Foremost on the regulators' list of concerns is the obvious conflict of interest that exists when the firm issuing the fairness opinion stands to earn a "success fee" upon consummation of the transaction. However, such conflicts are only one of the factors undermining fairness opinions. The most basic problem is that there is no coherent set of guidelines for fairness opinion providers to follow in assessing and demonstrating the financial fairness of a transaction. -

בס"ד My Encounter With שליט"א The Rebbe by Zalmon Jaffe 19th Installment Shovous 5747/1987 until Shovous 5748/1988 (REJOICE AND BE HAPPY) THE YEAR OF HAKHEL INTRODUCTION Once again, I extend grateful thanks to The A-mighty that I have had the Zechus and privilege to present to you another Instalment of "My Encounter with the Rebbe Shlita". This edition is the Nineteenth and covers the period from Shovuos 5747 (1987) till Shovuos 5748 (1988). This year 5748 is the Year of Hakhel, about which I have written and explained later on. 5748 in Hebrew is TE SA MACH which means "Rejoice and be Happy", and as the Rebbe has often remarked --"I love to see happy faces around me". I hope that you will enjoy reading this, my nineteenth edition and that you will derive much pleasure from it. All the photographs in this edition are by Isaac Freidin of Cholon, Israel. Unfortunately, on the 22nd Shevat (February 10th 1988) the Lubavitcher world suffered an irreplaceable loss. Our dear friend, The Rebbetzen (ZTzL) passed away, suddenly. This was a terrible blow to all of us, but moreso to our Beloved Rebbe Shlita, who had lost a perfect wife, an ideal companion and a worthy adviser, of almost sixty years standing. She was a real AISHESS CHAYIL (WOMAN OF WORTH). As this "diary" is written in chronological order, I have described some of our personal "Encounters with the Rebbetzen (ZTzL)" later on in this book. Until a few years ago, I had many encounters with the Rebbe, at Crown Heights and inside 770.
