TUSPARK (JIANGSU) 2019 (Jiangsu) Soft-Landing Pad Program

1. Overview of Tuspark (Jiangsu)

TusPark (Jiangsu) is the strategic platform of TusHoldings in the Yangtzi River Economic Zone (where Shanghai is located). TusPark (Jiangsu) operates 3 science parks and has invested in more than 20 companies. Besides mother funds of € 1.2Billion, TusPark (Jiangsu) owns € 12M Angel Fund, € 400M Sub Fund in Energy, € 13M Equity Fund in robotics, € 13M Equity Fund in Healthcare, and € 40M Fund for innovation industries.

2. Tuspark(Jiangsu) Soft-Landing Pad Program

The Soft-Landing Pad Program supports International high-tech startups and scale-ups to enter the Chinese market. The program helps the participating companies to develop their business, find reliable partners and raise capitals. It provides localized know-how training and mentorship, a network of local Chinese companies and investors, and matchmaking services to help you reach customers, partners and investment in China.

Participants profile:

• Startups and scaleups in sectors of Smart Manufacturing, Digital Economy, Clean Energy, New Materials, Smart Mobility, Healthcare, IOT, Microelectromechanical Systems (MEMS) • Market entry readiness of products / service • Highly innovative technology /service • IP filed or pending • Interested in expanding to the Chinese Market • Be able to use English as the working language

The Soft-Landing Pad Program lasts 2-3 weeks in October 2019, participants will receive:

• Mini Localized MBA courses based on the customer and investment-oriented methodology. You could build the Chinese market-fit business model, develop local customers, learn about the Chinese business environment, company law and taxation, IP protection and Chinese investors relation • Dedicated staff from Tuspark (Jiangsu) to facilitate in the whole program

TUSPARK (JIANGSU) • Weekly coaching and mentorship provided by experienced entrepreneurs and industrial experts • Weekly companies visit and matchmaking meetings to speak to potential customers, partners and investors • Roadshows to pitch your business to mentors, investors and corporates on Tuspark campuses and networks • The possibilities to get investment from Tuspark (Jiangsu) • Apartment arranged and paid by Tuspark (Jiangsu) during the program • Reimbursement of 1 return flight ticket (economy class) for each team and travel costs to business meetings and events • Reimbursement of meals during the program (within a reasonable amount per day) • Visa application facilitation and added-value business services by the partners of Tuspark(Jiangsu), including recruitment support, legal advice, fiscal and taxation advice, company registration in China • Participants can use the office and facilities for free during the program. After the program, participants can use them for free for 2 more month at Tuspark(Jiangsu) Campus

3. Eligiblity criteria • To be considered eligible, each participant must include at least 1 core team member from the company. • We expect active and consistent engagement in the program – this requires physical presence from the participant during the training, business meetings and pitching events in the 3 weeks. • Participants may be from anywhere in the world, and each participant will be responsible for ensuring that any persons travelling to and in China hold valid passports and any necessary visas and travel documents during the Soft-Landing Pad Program period. • Only applicants who submit a complete application and answered all the application questions in the application form will be evaluated and invited to the final selection.

4. Participation conditions • If your company decides to register your branch in China during or after the program, your company should settle in Tuspark(Jiangsu) Campus. • Tuspark (Jiangsu) will take minority share of your company established in China or success commission after your company get investment or sales through our network. The percentage shall be agreed in the participation agreement. • Participants must comply with the Chinese laws and regulations during the stay in China.

5. The Application and Selection Procedure

TUSPARK (JIANGSU) Phase 1: Online application

The application form is designed to address your company information, the technology uniqueness and market readiness of your company, the team and most importantly, your expectations on the Soft-Landing Pad program.

Deadlines: 30/7/2019

Phase 2: Application review and selection

Applicants who have completed the online application form and fully met the eligibility criteria will be scored by a panel of experts following the selection criteria. Short listed applicants will further be interviewed by a teleconference to make the final selection. Following this process 8 applicants will be selected. The selected applicants will be informed of the results by emails. They will be formally invited to attend the Soft-Landing Pad Program. Applicant must confirm their acceptance and ability to meet the program criteria.

Tuspark(Jiangsu) reserves the rights to reschedule some of the above-listed dates.

Phase 3: Soft-Landing Pad program

8 selected participants will be invited to the 3 weeks Soft-Landing program, which will be held in Tuspark (Jiangsu) Campus in Nanjing city, China. The program comprises of 2 weeks intensive workshops and coaching. Business meetings and company visits will be arranged every week. Pitching events will be arranged on Tuspark Campuses in Nanjing, , Shanghai, Ningbo, etc in the final week.

Dates: The Soft-Landing Program will begin from the middle of October 2019.

6. Funding terms

TUSPARK (JIANGSU) • All specific conditions of funding will be described in an agreement signed between selected teams and Tuspark (Jiangsu) in a separate document (a participation agreement signed between participants and Tuspark (Jiangsu) before the start of the program).

• Only after the successful completion of the soft-landing pad program and submitting an approved Action Plan and Budget accepted by Tuspark (Jiangsu), participants will receive reimbursement of travel costs to support the participation, customer development, pitching related activities and subsistence.

7. Confidentiality

• Tuspark (Jiangsu) undertakes to take all reasonable steps to ensure that any information of a confidential nature provided to it by a participant is kept confidential and is only disclosed to such persons as are necessary for the purposes of attending this program. Everybody that reads the applications during the review process is bound by confidentiality agreements.

• Each party reserves all rights in its confidential information.

8. Limitation of liability

Insofar as is permitted by law, Tuspark (Jiangsu) will not in any circumstances be responsible or liable to accept any liability for any loss, damage, personal injury or death occurring as a result of participating in the SLP program except where it is caused by the negligence of any of the employees from Tuspark (Jiangsu). Your statutory rights are not affected.
