Nomination and Election of Directors

To Member in the Second Federal Reserve District:

In accordance with the provisions of Section 4 of the Federal Reserve Act and Circular No. 1192, dated March 22, 1933, in regard to election of directors of this bank to hold office for the unexpired terms of HONORABLE WILLIAM H. WOODIN, formerly a Class B director of this bank, and ALBERT H. WIGGIN, formerly a Class A director of this bank, who have resigned as such directors and whose terms would have expired on December 31, 1934, there are given on the two following pages the names of the candidates nominated for election, indicating by whom nominated. The following are being sent to each bank in Group 1 with this circular: (a) Preferential ballot for use in voting for candidates for Class A director and Class B director. (b) Colored ballot envelope in which the ballot is to be sealed. (c) Certificate envelope bearing on its face the certificate in regard to the vote. (d) Self-addressed envelope in which all of the foregoing should be returned to me. The ballot and certificate on the certificate envelope must be executed by an officer who has been authorized to cast the vote. A list showing the officers designated for this purpose by the respective member banks in Group 1 was attached to the above mentioned circular dated March 22, 1933, and a similar list amended to April 14, 1933 is attached to this circular at page 4. In order that the ballot may be secret, the name of the bank and the name and title of the voting officer should not be written on the ballot, but should be written only on the certificate envelope. (1) After the preferential ballot has been marked, (2) It should be placed in the colored ballot envelope and that envelope sealed. (3) Then the sealed colored ballot envelope should be placed within the certificate envelope, and the certificate envelope should be sealed and the certificate thereon executed. (4) Then the certificate envelope containing the sealed colored ballot envelope should be returned to me in the enclosed self-addressed envelope. The law provides that the ballot shall be cast within 15 days after receipt of the list transmitted herewith. The polls will open on April 18, 1933, and will close at 12 o'clock noon on Wednesday, May 3, 1933, and in order to be counted as valid the ballot must be received by me at or before the latter time. Upon the closing of the polls the ballot box will be opened in the board room of this bank, the sealed envelopes containing the ballots will be opened, the votes counted and checked by tellers and the results of the election announced. The candidates are invited to be present or represented on this occasion. While the banks in Groups 2 and 3 will not vote in this election, this circular is sent to them without forms for their information. J. H. CASE, Chairman of the Board.

Chairman of the Board of Trustees, Central Hanover Bank and Trust Company, , N. Y. GEORGE W. DAVISON, now chairman of the board of trustees of Central Hanover Bank and Trust Company, entered the banking business in 1912 as vice-president of the Central Trust Company of New York. Later he became vice-president of the Central Union Trust Company of New York and was elected president of that institution in 1919. After the merger with the Hanover National Bank in 1929 he served as president of the Central Hanover Bank and Trust Company until he became chairman of the board in January, 1933. Mr. DAVISON is chairman of the New York Clearing House Committee and a member of the Federal Advisory Council, representing the Second Federal Reserve District, and a director in many prominent corporations. President, International Business Machines Corporation, New York City, N. Y. THOMAS J. WATSON was born in Campbell, N. Y., and was educated at Addison Academy and the Elmira (N. Y.) School of Commerce. He began his business career with the National Cash Register Com- pany of Dayton, Ohio, as a salesman at Buffalo, N. Y., successively becoming branch manager at Rochester, N. Y.; special representative of the president of the National Cash Register Company; and general sales manager of the organization. He severed his connection with the National Cash Register Company in 1914 and became president of the International Business Machines Corporation, with general offices in New York City. Mr. WATSON is a director of a number of industrial and financial institutions. He is a director of the Irving Trust Company, a member of the advisory committee of the Produce Exchange Branch of the Chase National Bank, a member of the advisory board of the Liberty Mutual Insurance Company, a director of the Weston Electrical Instrument Corporation and a director of the Niagara Fire Insurance Company. In addition to business affiliations Mr. WATSON has been interested in civic and educational matters for many years, and is now president of the Merchants Association of New York, president of the Economic Club of New York, vice chairman of the National Industrial Conference Board, a trustee of Lafayette College, and a member of the council of New York University.
